MICHAEL D, ROMO, Defondllnt JURY TRIAL DEMANDED mMPLAINT AND NOW, eomeG Martson Deardorff Williams & Otto, P,C. and files this Complaint against Dofendant Michael Romo, IInd in support thereof, livers as follows: I, Plaintiff, Martson DellrdorffWiIliams & Otto,P,C. is a Professional Corporation duly organized under the laws of the Commonwelllth of Pennsylvania and having a place of business at 10 East High Street, Carlisle, Cumberland County, Pennsylvania, 2. Defendant, Michael D. Romo, is an adult individual with a residence at 108 North Market Street, Mechanicsburg, Cumberland County, Pennsylvania, 3, By agreement dilled January 24, 1998, accepted January 25, 1998, Defendant contracted with Rosemary Stoner to purchase the real estale known as 108 North Market Street, Meehanicsburg, Pennsylvania (hereinafter the "Property") for $38,000,00, A tme and correct copy of the Agreement For the Sale and Purchase of Real Estate is attached hereto as Exhibit "A" and incorporated hcrein by reference, 4, Defendant sought IInd obtained financing in the amount of $35,998,84 (hereinafter the "Loan") from Keystone Financilll Mortgage for the purpose of purchasing the Property, and the closing on the transaction occurred on Friday, March 13, 1998 at the ReMax office in Camp Hill, Pennsylvania, 5, Plaintiff was engaged to and did act as the closing and disbursement agent at said closing, A true and correct copy of the settlement sheet executed by Defendant is attached hereto as Exhibit "B" and is incorporated herein by reference. 6, After closing, Plaintiff forwarded the Deed transferring the Property and the Mortgage on the Property to the Cumberland County Recorder of Deeds for recording, 7, Subsequently, Plulntiff be~~lll11e llwure thut the check tbl' the Loun pl'Oceeds from Keystone FinanciuJ Mortguge wus /nude puyuble to PJaintifflllld Delimdunt and thut Defondunt had not endorsed said Loan check, as required filr cushing, 8, Upon hecoll1ing awure of this omission, Pluintiff contucted Defondant on several occasions and requested that he l'ndorse the Loan check. To date, Defcndant has refused to do so, COUNTf SP.ECIFIC PERFORMANCE 9, Paragraphs f through 8 of this Complaint arc incorporated herein by reference as though set forth hereby fully. f 0, At closing, Defendunt executcd a Compliance Certificate, ugreeing to promptly sign any documents refuting to the Loanut the request of the closing agent. A true and correct copy of said Compliance Certificute is attached hereto as Exhibit "C" and incorpornted herein by reference. II, Defendant's failure to promptly sign the Loan check is u violation of the Compliance Certificutc, 12, Defendant should be required to comply with the Compliance Certificate and endorse the Loan check. WHEREFORE, Plaintiff respectfully requests that this Honorable Court direct Detendant Michael D, Romo to comply with the terms of the Compliance Certificate and to endorse the Loan check. COUNT II UNJUST ENRICHMENT 13, Paragraphs f through 12 of this Complaint are incorporated herein by reference as though set forth hercby fully, 14, As of said closing, Defcndant has taken title to the Property, 15, By failing to endorse the Loan check and violating the terms of the Compliance Certificate, Defendant has been unjustly enriched with ownership of the Property in the amount of $35,998.84, plus the interest thereon, WHEREFORE, Plaintiff rcspectfully demands that this Honol'llblc Court cnter judgment against Defcndant Michael D. Romo in thc alllount of$35,9911.R4, plus Interest thereon and eosts and othcr fees as may bc allowed by law, COUNT III INDEMNIFICATION 16. Paragraphs I through 15 of this Complaint arc incorporated herein by reference as thougb set forth hercby fully, 17. Plaintifl'is entitled to f\llIand complete indemnification fbr all costs, intcrest and fees that PlaintilTreasonably incurred as a direcl result of Defendant's refusal to endorse the Loan check. WHEREFORE, Plaintiff respectfully dcmands that this Honorable Court entcr judgment against Defendant Michacl D. Romo in the amount of$35,99R,R4, plus Interest thereon and costs and other fees as may be allowed by law, COUNT IV BREACH OF DUTY OF GOOD CONDUCT 18. Paragraphs I through 17 of this Complaint are incorporated herein by reference as though set fnrth hereby fully. 19, Defendant's rcfusal to endorse the Loan check is without legal justification and contrary to his duty to cooperate and act with good conduct towards Plaintiff. 20, As a rcsult of Defendant's breach of duty, Plaintill'has incurred .the cost of covering the Loan check, plus intcrest, tiling lees and costs of service, WHEREFORE, Plaintiff respectfully demands that this Honorable Court enter judgment against Defendant Michael D.
