NEW MATTER 10. At all times relevant to the present action, Plaintiff has been represented by Alyce Khouri. 11. At all times relevant to the present action, and in all matters referred to In the Complaint and this New Mutter, Ms. Khouri has acted as the employee of Plaintiff, and within the scope of her employment. 12. At all times relevant to the present action, and in all matters referred to In the Complaint and this New Matter, Ms, Khouri has acted as the agent ofPlaintif1; and within the scope of her agency relationship, D. In the early spring of 1995, Ms, Khouri approached the president of Defendant, and suggested to Defendant a contractual arrangement which included the following: (u), An advertisement would be placed III the Thomlls Register, listing Defendant as an export management company. (b), Defendant would pay for one-halfofthc cost of the advertisement, and Alycc Khouri would pay for thc other one-hal I' of the cost of the advertisement. (c). Defendant and Alyce Khouri would market certain products in the country of Lebanon and in other countries, and equally divide the net proceeds of the transactions. (d). Alyce Khouri would refer clients fill' export services to Dlltcndant. 14, As a pllrt ofthe suggested contructulll arrungements refbrred to in PlIrllgtaph 13 hereof, Alyce Khouri made vllrious representlltlons, including the following: (a), That Ms. Khouri, acting In concert with certain of her rcllltlvl1s, would make available to Defendant storage and wllrehouse facilities in the country of I ,ehllnon. (b), That Ms. Khouri,lIcting in concert with certain of he! relatives, would actively market various products in the country of Lebanon and in other countries 10clIted in the Middle East, as a part of the suggested contractual arrangement referred to previously herein. (e), That Ms. Khouri, through her activities as an IIgent and employee of Plaintiff, was aware of numerous domestic companies which were actively seeking export management services, and that she regularly encountered sUI~h c,ompanies and would continue to do so in the future. (d). That Ms, Khouri guaranteed that the suggested contractual arrangements, as specified previously herein, would easily generate sufficient revenues for Delcndant to pay for its one-half share of the advertising costs. (e), That Ms, Khouri had sufficient cash available to pay for her one-half share of the advertising costs, 15. On April 19, 1995, Plaintiff. Defendant, and Ms, Khouri entered into an agreement as delineated in paragraphs 13 and 14 hereof. 16.
