Joyoe, duly signed and exeouted thlil Aooeptance of said Purchase
Order,
8, On or about October 24, 1997, Plaintiff submitted a
Quotation to Defendant for additional work to be done within the
Subject Building. Said Quotat.ion was for additional plastio
laminat ion of cabinetry and countertops in the amount of Four
Thousand Four Hundred Eighty- Three and 80/100 Dollars ($4,483.80),
Said Quotation is attached as Exhibit "CD, and incorporated herein
by reference.
9, On or about November 13, 1997, Defendant submitted a
Change Order to Plaintiff for the additional work to be done within
the Subject Building. Said Change Order was for the work described
in Exhibit "C". Said Change Order also listed the revised
"contract total" of Twenty-Nine Thousand Ninety and 87/100 Dollars
($29,090.87). The Change Order was duly signed and executed by an
authorized off icer, namely, Brad S. Fulmer, Vice President of
Defendant. Said Change Order is attached as Exhibit "0", and
incorporated hor.ein by reference.
10, On or about November 24, 1997, within the thirty day
"aoceptance deadline", Plaintiff, by and through it owner, Michael
Joyce, duly signed and executed the Acceptance of said Change Order
for work to be done within the Subject Building.

11, Putsuant to the Contract terms, Plaintiff commenoed work
for the general contractor on or after November 24, 1997.
12. On or about December 15, 1997, Plaintiff issued its first
invoice (number 1105) to Defendant in the amount of Ten Thousand
and 00/10D Dollars ($10,000.00),
13. On or about December 31, 1997, Plaintiff oompleted all
work oontracted for within the Subject Building.
14. On or about January 5, 1998, Plaintiff issued its final
invoice (number 1106) to Defendant in the amount of Nine Thousand
Eighty-Five and 87/100 Dollars ($9,085.87).
15. Despite repeated demands both orally and in writingf
Defendant has refused to tender payment of the total balance due
and owing of Nineteen Thousand Eighty- Fi ve and 87/100 Dollars
($19,085.87) .
16. Defendant's failure to remit the total balance due and
owing to Plaintiff is a material breach of the contract consummated
between the parties hereto and described herein.
17, The amount due and owing to Plaintiff from Defendant for
the services performed are reasonable and customary,

Plaintiff, Joyce Millwork, hereby answers the averments set
forth in Defendant's, Shane Construction Group, New Mat ter as
follows:
19. Plaintiff does not need to respond to said paragraph,
20, Denied. Prior to the acceptanoe of the Purchase Order,
Plaintiff contacted Defendant and informed them that the Purchase
Order contained a scope of work in excess of the Quotation provided
by Plaintiff.
Speoifically, on the Purchase Order prepared by
Defendant, Rooms 108, 111, 112, 119, and 129 were included, however
these rooms were not on the Quotation.
Defendant instructed
Plaintiff to oross out the rooms not on the Quotation and to
execute the dooument. Specifically, Plaintiff deleted Rooms 102,
lOR, 112, and 129, executed the Aoceptance space on the document,
and returned to Defendant.
By way of further answer, Plaintiff
admits that the deletion of Room 102 was a mistake and agrees to
provide credit for the cost of Room 102.
Upon return of the
Purohase Order, with said deletions, Plaintiff avers that the scope
of work was equivalent to his Quotation (i. e., 12 rooms on the
Quotation versus 12 rooms on the acoepted Purchase Order) .
21. Denied. A close review of the change order reveals that
Rooms 108, 112/ and 129 were not on the Quotation provided by
Plaintiff or agreed to pursuant. to the executed Purohase Order, By
way of further answer, Plaintiff contacted Defendant and informed
him that several rooms were missed and Defendant asked Plaintiff to
provide another Quotation for these rooms, Plaintiff provided the
Quotation to Defendant on October 24, 1997 which resulted in a
purchaae Order dated November 13, 1997 I2!'~red and submitted by
Defenda\'lt for the same price. Plaintiff executed and accepted the
Purchase Order on November 24, 1997, Simultaneously therewith,
Defendant provided Plaintiff with a deposit in the amount of Ten
Thousand Dollars ($10,000.00).
22. Denied. Defendant is entitled to a credit only for the
costs/labor associated with Room 102.
23. Denied. Plaintiff has fully performed the work set forth
in the original cont.ract and the change order.
24, Denied. The Purchase Order attached to the Complaint ia
the actual Purchase Order.
25, Admitted in Part, Denied in Remainder. It is admitted
that the Purchase Order contains deletions of oertain rooms as the
document speaks for itself, However, any factual inference that
said deletions are improper, inaccurate, or otherwise done without
full Knowledge of both parties is denied.
WHEREFORE, Plaintiff, Joyce Millwork, respectfully requests
that judgment be entered in his favor for $19,085.87 minus a credit
for Room 102.
