I, MARIE SCHANTZ THOMAS, declare this to be my Last
Will and Testament and hereby revoke all prior wills and
codicils made by me.
FIRST: My Executors shall pay from the residue of my
estate all my debts, funeral expenses, administration
expenses, and all estate, inheritance, succession, and
transfer taxes imposed by the United States or any state,
territory, or possession which shall become payable by
reason of my death. It shall not be necessary to file any
claims therefor, nor to have them allowed by any court.
SECOND: I give such of my tangible personal property
as is set forth in a separate, dated and unsigned letter of
instruction, which I shall place with my Will, to the
persons therein designated. If I have not left a letter of
instruction or for those articles of property not
distributed under this letter of instruction, I direct that
such items be distributed to my children living at the time
of my death as they may select in as nearly equal shares as
is practical. If there is any disagreement as to
distribution, I direct my Executors to make such
distribution. The decision of my Executors shall be final

and binding. I direct my Executors to sell, or otherwise
dispose of in their discretion, any such property not
specifically distributed by my letter of instruction or
selected by my beneficiaries and to add the net proceeds
from their sale to the residue of my estate. My children
now living are TROY MELVIN THOMAS and ELSIE THOMAS SCHWERT.
THIRD: To the extent I have the right to designate the
distribution of certain payments received by me during my
lifetime from the Trust established by Troy M. Thompson and
Elsie S. Thompson by their Agreement with Elizabethtown
College, Lancaster County, Pennsylvania, dated May 14, 1964
and as amended on February l, 1965 and September 2l, 1968, I
hereby exercise such right to appoint my son, TROY MELVIN
THOMAS, and my daughter, ELSIE THOMAS SCHWERT, to receive in
equal shares the annual payments of the one (1%) percent of
the entire Trust principal as provided in the September 21,
1968 amendment to the Trust. If either of my children
predeceases me or fails to receive all of the payments to
which he or she shall be entitled, the surviving child shall
be entitled to all such payments from the Trust.
FOURTH: I give and devise the residue of my estate,
real, personal and mixed, of whatever kind and nature, and

wherever situate at the time of my death, including any
property over which I now have or hereafter acquire a power
of appointment, in particular, the trust established for me
by Troy M. Thompson and Elsie S. Thompson, dated September
21, 1968, to my children, in equal shares, provided that the
share of any child who predeceases me or is not living on
the sixty-first (61st) day after my death shall be
distributed to his or her issue, per stirpes, living on the
sixty-first (61st) day following my death and in default of
any such then living issue such share shall be added to the
share for my remaining child or in default thereof to his or
her then-living issue, per stirpes.
FIFTH: I nominate, constitute and appoint my son, TROY
MELVIN THOMAS, and my daughter, ELSIE THOMAS SCHWERT,
Executors of this my Last Will and Testament, to serve
without bond or security, and to make distribution of my
estate in cash or in kind, or partly in cash and partly in
kind and in such manner as they may determine. I authorize,
empower and direct them to sell and convey, by good and
sufficient deed, in fee simple estate, any and all of my
real estate, at public or private sale, for such price or
prices, upon such terms and conditions, as in their judgment

is best for my estate, and to that ond to sign, seal,
execute, acknowledge and deliver oIl deedn or other
instruments necessary therefor, os effectively os I could do
if I were personally present.
In the event that one of my nomed Executors does not
survive me, or refuses to act as Executor, or does not
complete the duties of Executor, then the surviving named
Executor shall complete the administration of my estate.
SIXTH: Should any distributee of my estate be a minor,
orr in the opinion of my Executor, be mentally or physically
incapacitated, my Executor may pay his or her share of my
estate to the parent or guardian of the distributee, or to
any person taking care of the distributee, or, in the case
of a minor may deposit the share in a savings account, made
payable to the minor upon attaining majority, which I define
as twenty-one (21) years of age.

AGREKMBNT TO INDEMNIFY. RECEIPT AND RELEASE
THIS AGREEMENT by and between ELSIE T. BROOKS AND TROY H.
THOMAS, Executors of the ESTATE OF HARlE SCHANTZ THOMAS, deceased
(hereinafter, the "Executors"); and ELSIE T. BROOKS, and TROY H.
THOMAS, each in his or her individual capacity as beneficiaries of
the Bstate of Marie Schantz Thomas, (hereinafter, collectively, the
"Beneficiaries," individually, the "Beneficiary");
WHBREAS, Marie Schantz Thomas, (hereinafter, the "Decedent"),
who resided in Mechanicsburg, Cumberland County. Pennsylvania, died
January 13, 1996, having left a Last Will and Testament dated
October 1, 1987; and
WHBREAS, Elsie T. Brooks and Troy M. Thomas have been duly
appointed as Bxecutors of the Estate of the Decedent (hereinafter,
the "Bstate"); and
WHBREAS, the Beneficiaries are Decedent's children, and each
is entitled to an equal share of Decedent's residual estate; and
WHBREAS, each Beneficiary has been furnished with a listing of
the Bstate assets, receipts and disbursements as set forth on the
First and Final Account as attached hereto and marked as Bxhibit
"A" and
WHBREAS, it is the desire of the parties to this Agreement
that final distribution of the Estate be accomplished without a
formal accounting to the Orphans' Court Division of the Court of
Common Pleas of Cumberland County, it being the desire of the
parties to avoid the expense, delay and publicity of a formal
accounting; and
WHEREAS, the parties to this Agreement acknowledge having
received a Schedule of Proposed Distribution to Beneficiaries
attached hereto and marked as Exhibit "B."
NOW, THEREFORE, WITNESSETH, in consideration of the mutual
promises, covenants and agreements recited herein, the parties do
agree as follows:
(1) The foregoing provisions of this Agreement are
incorporated herein by this reference.
(2) Each party hereto acknowledges and agrees that the
Executors will not file an Account or Petition for Distribution or
secure a Decree of Distribution from any Court having jurisdiction
in the matter of the Estate, and each of the Beneficiaries further
acknowledges his/her right to compel an accounting which right
he/she hereby waives.
(3) Each of the Beneficiaries acknowledges and agrees that
the Schedule of Proposed Distribution to Beneficiaries attached
hereto as Exhibit "B" is satisfactory and proper, and each of the
Beneficiaries accepts distribution in accordance with its
provisions and by executing this Agreement acknowledges receipt
from the Executors of the property allocated to him/her on Exhibit
"B" in full and complete satisfaction of his/her legacies under the
Last Will and Testament of the Decedent.
(4) Each or the BeneHciaries hereby rorever releases and
discharges the Executors rrom any and all claims and liabilities or
any kind or nature whatsoever arising rrom or related to their
services or status as the Executors or the Estate. Each or the
Benericiaries further agrees to refund to the Estate pro rata any
amount which may be necessary in the future to discharge any
liabilities of the Estate of which the Beneficiary may hereafter
receive notice. The Executors have no knowledge of any such claims
. and believe all matters have been satisfied.
(5) It is the expressed intention of the parties hereto that
the legal effect intended by this Agreement be the same in each and
every respect as would be obtained had a Decree of Distribution in
the Estate been entered by the Orphans' Court Division of the Court
of Common Pleas of Cumberland County, Pennsylvania, which Decree
had become final and unappealable.
(6) This Agreement shall be interpreted pursuant to and
governed by the laws of the Commonwealth of Pennsylvania, and shall
inure to the benefit of and be binding upon the parties hereto,
their personal representatives, heirs at law, successors and
assigns, as the case may be.
It is the intention of the undersigned to be legally bound by
this instrument.

(4) Bach of the Beneficiaries hereby forever releases and
discharges the Bxecutors from any and all claims and liabilities of
any kind or nature whatsoever arising from or related to their
services or status as the Bxecutors of the Bstate. Bach of the
Beneficiaries further agrees to refund to the Estate pro rata any
amount which may be necessary in the future to discharge any
liabilities of the Estate of which the Beneficiary may hereafter
receive notice. The Executors have no knowledge of any such claims
. and believe all matters have been satisfied.
(5) It is the expressed intention of the parties hereto that
