ARTICLE I II
Disposition of Residuary Estate
I devise and bequeath all the rest, residue and
remainder of my estate, real, personal and mixed, wherever
situate, to my niece, DIANA J. GRUBMEYER, if she survives me for
a period of 90 days. If my said niece fails to survive me by
such period, I devise and bequeath the same to my niece's
daughter, CHERYL E. GRUBMEYER, if she survives me.
ARTICLE IV
Executor
I hereby appoint DIANA J. GRUBMEYER as Executor of this
Will.

ARTICLE V
Powers of Fiduciaries
(A) I give to each fiduciary serving under this Will
(whether or not named herein) in addition to the authority
conferred by law and without the necessity of obtaining the order
of any court the following powers: to retain any property
received in kindl to sell, pledge, mortgage, lease for any term
whatsoever, exchange and dispose of, either publicly or
privately, any or all property, real, personal or mixed, at such
times and for such prices and amounts and upon such terms and
conditions as such fiduciary may determinel to invest and
reinvest in such stock, bonds and other real, personal or mixed
property of whatsoever character as such fiduciary may determine,
all statutory and other limitations now or hereafter enacted or
in force being hereby waived and without such fiduciary's being
subject to any liability by reason of the keeping of any cash
uninvested for any length of timel to exercise any option that
may be owned by me at the time of my deathl to borrow moneYl to
compromise and settle claimsl and to make any distribution or
division of property either in cash or in kind, or partly in cash
and partly in kind, and to allot different kinds of, or interests
in, property to different shares, all as such fiduciary shall
determine to be equitable to effect any such distribution.
(n) No bond shall be required in any jurisdiction of
any Executor or other fiduciary serving under this Will (whether

or not named herein), including any administrator c.t.a. or
ancillary administrator appointed to administer my estate, or if
a bond is required by law, no surety on such bond shall be
required.
ARTICLE VI
Taxes
"Death Taxes" shall mean all federal estate taxes and
all local, state and foreign estate, inheritance, transfer,
legacy, succession and similar taxes which by reason of my death
may be properly imposed upon, applicable to or payable with
respect to any property or interest in property which may be
included as part of my estate for the purposes of such taxes, or
anyone or more of them, including any property that may not be a
part of my estate for administration purposes, and nay interest
and penalties thereon. "Death Tax" shall mean anyone of such
taxes. I direct that all Death Taxes shall be paid from my
residuary estate passing under Article III of this Will.

Thousand Dollars ($20,000.00).
(C) I bequeath to each of FRANK and STEVE RICE the sum of One
Thousand Dollars ($1,000.00) if they survive me.
(D) I Lequeath to CHARLES L. ALBRIGHT, JR. of Pittsburgh,
Pennsylvania, the sum of Three Thousand Dollars ($3,000.00) if he
survives me.
(E) I bequeath to SALEM UNITED CHURCH OF CHRIST, of Harrisburg,
Pennsylvania, the sum of Three Thousand Dollars ($3,000.00) for
maintenance of the Church bell.
(F) I bequeath to the UNIVERSITY OF PITTSBURGH, DEPARTMENT OF
EDUCATION, the sum of One Thousand Dollars ($1,000.00).
(G) I bequeath to ALLEGHENY COLLEGE in memory of my husband,
Carl Morneweck, a graduate of the College, the sum of One Thousand
Dollars ($1,000.00).
(H) I bequeath to MESSIAH COLLEGE, of Grantham, Pennsylvania,
the sum of One Thousand Dollars ($1,000.00).
SECOND: ARTICLE III - Disposition of Residuary Estate, is
hereby revoked in its entirety and in its place shall be substituted

Disposition or Residuary Estate
(A) All the rest, residue and remainder of my estate, whether
real, personal or mixed, of whatsoever nature and kind, wheresoever
situate and from whatsoever source derived, I give, devise and
bequeath to my niece, DIANE J. GRUBMEYER, if she survives me by
sixty (60) days.
(B) In the event that my niece, DIANE J. GRUBMEYER, does not
survive me by such period, all the rest, residue and remainder of my
estate I give, devise and bequeath to THE DAUPHIN DEPOSIT BANK AND
TRUST COMPANY, in trust nevertheless, for the following uses and
purposes:
(1) The trustee shall accumulate the net income for a
period of five (5) years after the death of my niece, DIANE J.
GRUBMEYER; provided, however, that so much of the income and
principal as the Trustee, in the Trustee's sole discretion, may
from time to time think desirable shall be distributed to or for
the benefit of my grandniece, CHERYL G. MERRILL, and such
amounts or proportions as my Trustee may from time to time think
appropriate.
(2) Beginning with the sixth year after the death of my
niece, DIANE J. GRUBMEYER, all of the net income and so much of
the principal as the Trustee, in the Trustee's sole discretion,
may from time to time think desirable, shall be so distributed

to or for the benefit of my grandniece, CHERYL G. MERRILL, in
suoh amounts or proportions as my Trustee may from time to time
think appropriate; and
(3) Also beginning with the sixth year after the death of
my niece, DIANE J. GRUBMEYER, my grandniece, CHERYL G. MERRILL,
shall have the right to withdraw up to but no more than ten
percent (10%) of the prinoipal balance remaining in the trust in
anyone year. This right of withdrawal shall not be cumulative.
(4) Upon the withdrawal of all of the principal by my
grandniece, CHERYL G. MERRILL, the trust shall terminate, and
the Trustee shall distribute any undistributed income to CHERYL
G. MERRILL at the time of termination.
(5) Upon the death of my grandniece, CHERYL G. MERRILL,
prior to termination pursuant to subparagraph (B)(4) above, the
then principal and undistributed income of the trust shall be
distributed as follows:
(a) All the rest, residue and remainder of my estate,
shall continue to be held, in sole and separate trusts, by
THE DAUPHIN DEPOSIT BANK AlID TRUST CO~IPANY for the benefit
of the issue of my grandniece, CHERYL G. MERRILL, per
stirpes, for the following uses and purposes:
(1) So much of the net income and principal as
the Trustee, in the Trustee's sole discretion, may
from time to time think desirable, shall be
distributed to or for the benefit of my grandniece's

my Last Wlll end Testament. In the event that my nlece has
predeceased me or ls otherwlse unable to serve, I nomlnate,

FOURTH: A new ARTICLE VII shall be added as follows:
ARTICLE VII
Should any trust created hereln, ln the sole oplnlon of the
Trustee, be or become too small to warrant contlnulng such fund ln
trust, or should lts admlnlstratlon be or become lmpractlcal for any
other reason, the Trustee, ln lts sole dlscretlon, may pay such
share, absolutely, to the parent or other person malntalnlng sald
beneficlary ~f the trust, or If sald person ls over the age of
elghteen (18) years may dlstrlbute and make payment of sald share
dlrectly to the beneflclary.
FIFTH: The orlglnal Wlll dated October 22, 1987 ls only revoked
to the extent set forth ln thls Codlcll and otherwlse shall remaln ln
full force and effect.

survives me.

Pennsylvania, the sum of Three Thousand Dollars ($3,000.00) for
maintenanoe of the Churoh bell.

SECOND: ARTICLE III - Disposition of Residuary Estate, is
hereby revoked in its entirety and in its place shall be substituted

such amounts or proportions as my Trustee may from time to time

(3) Also beginning with the sixth year after the death of
my niece, DIANE J. GRUBMEYER, my grandniece, CIIERYL G. MERRILL,
shall have the right to withdraw up to but no more than ten
percent (10%) of the principal balance remaining in the trust in
eny one year. This right of withdrawal shall not be cumulative.
(4) Upon the withdrawal of all of the principal by my
grandniece, CHERYL G. MERRILL, the trust shall terminate, and
the Trustee shall distribute any undistributed income to CHERYL
G. MERRILL at the time of termination.
(5) Upon the death of my grandniece, CHERYL O. MERRILL,
prior to termination pursuant to subparagraph (8)(4) above, the
then principal and undistributed income of the trust shall be
distributed as follows:
(a) All the res t, res idue and remainde r of my es ta te,
shall continue to be held, in sole and separate trusts, by
TilE DAUPHIN DEPOSIT BANK AlID 'fRUST COMPANY for the benefit
of the issue of my grandniece, CHERYL O. MEHRILL, per
stirpes, for the following uses and purposes:
(1) So much of the net income and principal as
the Trustee, in the Trustee's sole discretion, may
from time to time think desirable, shall be
distributed to or for the benefit of my grandniece's

Disposition of Rcsiduary Estate
(A) All the rest, residuc and remainder of my estate, whether
real, personal or mixed, of whatsoever nature and kind, wheresoever
situate and from whatsoever source derived, I give, devise and
bequeath to my niece, DIANE J. GRUBMEYER, if she survives me by
sixty (60) days.
(B) In the event that my niece, DIANE J. GRUBMEYER, does not
survive me by such period, all the rest, residue and remainder of my
estate I give, devise and bequeath to TilE DAUPIlIII DEPOSIT BAN Ie AND
TRUST COI~PANY, in trus t nevertheless, for the following uses and
purposes:
(1) The trustee shall accumulate the net income for a
period of five (5) years after the death of my niece, DIANE J.
GRUBMEYER; provided, however, that so much of the income and
principal as the Trustee, in the Trustee's sole discretion, may
from time to time think desirable shall be distributed to or for
the benefit of my grandniece, CIIERYL G. lmRRILL, and such
amounts or proportions as my Trustee may from time to time think
appropriate.
(2) Beginning with the sixth year after the death of my
niece, DIANE J. GRUBMEYER, all of the net income and so much of

share, absolutely, to the parent or other person malntalnlng said
beneficiary of the trust, or if sald person ls over the age of
eighteen (18) years may dlstrlbute and make payment of said share

be divided equally among such survivors.
(D) I bequeath to VIRGINIA and CHARLES L. ALBRIGHT,
JR., of Pittsburgh, Pennsylvania, or the survivor of them, as
shall survive me, the sum of Five Thousand Dollars ($5,000).
(E) I bequeath to CHARLES A. GORDON, son of Jacqueline
A. Gordon, of Pittsburgh, Pennsylvania, if he survives me, the
sum of One Thousand Dollars ($1,000).
(F) I bequeath to SALEM UNITED CHURCH OF CHRIST,
Harrisburg, Pennsylvania, the sum of Five Thousand Dollars
($5,000) for maintenance of the Church bell.

(^) r give to each fiduciary serving under this Will
(whether or not named herein) in addition to the authority
conferred by law and without the necessity of obtaining the order
of any court the following powers: to retain any property
received in kindl to sell, pledge, mortgage, lease for any term
whatsoever, exchange and dispose of, either publicly or
privately, any or all property, real, personal or mixed, at such
times and for such prices and amounts and upon such terms and
conditions as such fiduciary may determinel to invest and
reinvest in such stock, bonds and other real, personal or mixed
property of whatsoever character as such fiduciary may determine,
ell statutory and other limitations now or hereafter enacted or
in force being hereby waived and without such fiduciary's being
subject to any 1;Ahtlity by reason of the keeping of any cash
uninvested for any length of timel to exercise any option that
may be owned by me at the time of my deathl to borrow moneYl to
compromise and settle claims; and to make any distribution or
division of property either in cash or in kind, or partly in cash
and partly in kind, and to allot different kinds of, or interests
in, property to different shares, all as such fiduciary shall
determine to be equitable to effect any such distribution.
(D) No bond shall be required in any jurisdiction of
any Executor or other fiduciary serving under this Will (whether
