ITEM I: I direct that all my just debts illld funeral expenses, including
my gravanarker illld all e>epenses of my last illness, shall be paid fIall my
residuary estate as soon as practicable after my decease as a part of the
administration of my estate.
ITEM II: I hereby direct illld confirm that I am the owner of certain
burial lots at Spring IIill Cerretery. I have already notified the Spring Hill
Cerretery Association that the burial lot located be~ the lot where my
BOO, Eugene Caj, is presently buried and the road is to be used for the burial
of Gloria M. Coy, widcM and surviving spouse of my son, Eugene Coy. The other
burial lots of which I am owner at Spring Hill Cenetery are available for
any other family rranber wOO may wish to direct that they be buried there.
ITEM III: I give, devise and bequeath the real estate of which I may
die seised to my child wOO shall bid the highest price under the terms and
conditions as herein set forth. I direct that my hereinafter naned executors
shall have any real estate of which I die seised appraised at the fair market
value as of the date of my death. Said appraisal shall be done and the
executors shall notify all of my surviving children of their ability to
exercise an option to purchase said real estate by subnitting to the executors
a sealed bid within sixty (60) days of the date of my death. My executors
shall then transfer and sell the real estate to the child su1:mitting the highes
bid.
If no child shall subnit a bid as set forth above, then the real estate
of which I die seised shall be disposed of in the sane manner as the rest,

residue and renainder of the estate.
ITEM IV: I give, devise and bequeath all of the rest, residue and
renainder of my estate of every nature and wheresoever situate to as follows:
One-fourth (1/4) to each of my children living on the date of the
signing of this Will, and one-fourth (1/4) to be shared equally by
Tracy Forest and Terry Coy, the children of my deceased son, Eugene Coy.
It is further my instruction that these shares be given on a per stirpes basis.
ITEM V: I appoint Tracy Forest guardian of any property which passes
either under this Will or otherwise to a minor and with respect to which I
am authorized to appoint a guardian and have not othetwise specifically done
so, provided that this appointJrent of a guardian shall not supersede the
right of any fiduciary in its discretion to distribute a share where possible
to the minor or to another for the minor's benefit. Such guardian shall have
the pcMer to use principal as \\ell as ineare from tine to tine for the minor's
support and education (including college education, both graduate and under-
.graduate) without regard to his or her parent's ability to provide for such
support and education, or to make payment for these purposes, without further
responsibility to the minor or to the minor's parent or to any person taking
care of the minor.
ITEM VI: I give, devise and bequeath to my issue living on the thirty-
first day following my death any itans of personal property of which I die
seised which they may choose to keep as rrerentos.
ITEM VII: I direct that all taxes that may be assessed in CXlnsequence
of my death, of whatever nature and by whatever jurisdiction inFosed, shall
be paid from my residuary estate as part of the expenses of the administration
of my estate.
ITEM VIII: I appoint Kay Kyle and Iois Keefer as co-executors of this my

Cumberland County. Pennsylvania leaving a Will dated February 26. 1988, a copy of which is

2, LeUers Testamentary were issued to KAY KYLE and LOIS KEEFER, the petitioner
by the Register of Wills of Cumberland County, Pennsylvania, on January 25, 1996,

4, The substantial asset ofthe Estate is the mobile home and lot known and numbered as
26 Airport Road, Shippensburg, Southampton Township, Cumberland County,Pennsylvania,
which has been appraised by Ronald L, Sailhamer of Sailhamer Real Estate and is more fully
described as follows:
ALL that certain lot of ground situate in the Township of Southampton,
County of Cumberland, and State of Pennsylvania, bounded and described as
follows, to wit: BEGINNING at a corner of lands of Lois Keefer and Carl Piper
marked with an iron pin; thence North 70 degrees 49 minutes East, a distance of
18,7 feet to an iron pin; thence along IllIIds of Carl Piper, North 48 degrees 10
minutes West, a distance of 164,4 feet to an iron pin; thence along land of Albert
Myers, North 75 dcgrees 00 minutes East, a distance of 431 feet to an iron pin;
thence along lands of Goshorn, South 31 degrees 57 minutes East, a distance of

6, Pursuant to Item III of the Last Will and Testament of Bessie I. COY, senled bids
were received in the office of Sally J. Winder, Esquire, The bids were received within Sixty (60)
Days of the date of death, nnd opened, The highest bid being sub milled by KAY KYLE for
Thirty-Three Thousand Five Hundred ($33,500,00) Dollars,
7" The highest bidder, KAY G. KYLE, has entered into nn Agreement of Sale

8, The Petitioners believe that the bid price of Thirty-Three Thousand Five Ilundred
($33,500,00) Dollnrs lor the renl estate is a reasonable and rail' price for the property and nets the
estate and its beneliciaries subs tan tinily the same amount as ir the property had been sold in the
general market for the appraisal value ofThirty-Seven Thousand ($37,00,00) Dollars, tnking into
account the costs of sale which the Estate would incur for real estate commission and expenses 01'
sale if the property were sold on the open market. Petitioners agree and Iherefore aver that the
terms oft.he Agreement of Sale and the bid arc fair and that the Agrccment ofSule is in

AGREEMENT OF SALE
TillS AGREEMENT, made the ~ day of MARC I-I, 1996, between KAY
KYLE and LOIS KEEFER, co-Executrices of the E.~tate (if lles.de 1. COY, deceased,
hereinafter whether singular or plural called "SELLER", and KAY G. KYLE,
individually, hereinafter whether singular or plural called "BUYER."
WITNESSETH:
I, SELLER agrees to sell, grant and convey to the BUYER and the BUYER
agrees to purchase and accept the conveyance of all that certain tract ofland situate in
Southampton Township, Cumberland County, Pennsylvania, known as 26 Airport Road,
Shippensburg, P A, more particularly described on Schedule A, hereto attached and
incorporated herein by reference thereto,
2, BUYER agrees to pay the sum of Thlrty- Three Thousand Five Hnndred
and 00/100 (533,500.00) Dollars as follows: Ten and 00/100 ($10,00) Dollars upon the
execution of this Agreement of Sale, receipt of which is hereby acknowledged by ahe
SELLER, and the balance ofahe purchase price, to wit: Thirty-Three Thousand Four
Hundred Ninety and 00/1 00 ($33,490.00) Dollars as hereinafter set forth: at Settlement,

5, All real estate transfer taxes shall be divided equally between the parties hereto
at the date of settlement. All real estate property tll)(es shall be prorated between the
parties as of the date of settlement.
6, Title shall be good and marketable and such as will be approved by an attorney
of record of Cumberland County, Pennsylvania,
7, At the time of settlement, the SELLER shall tender to the BUYER a properly
drawn and executed deed containing covenants of general warranty conveying to the
BUYER a good and marketable title in fee simple, free and clear of all liens and
encumbrances except easements and building and use restrictions and conditions visible or
of record,
8, No modification of this Agreement shall be binding upon any of the parties
thereto, unless the same shall be in writing and duly approved by all such parties,
9, The interest of the BUYER shall not be assignable in whole or in part without
the prior wrillen consent and approval of the SELLER, Transfer of title by will,
sUlVivorship or by descent shall not be regarded as an assignment requiring the consent
and approval of the SELLER. '
10, This Agreement of Sale is to extend to and be binding upon the heirs,
successors, executors, administrators and assigns of the parties hereto,
