I, WILLIAM B. BANKS, of Upper Allen Township, CUmberland
County, Pennsylvania, make, publish and declare this as and for my
Last Will and Testament, hereby revoking all other wills and
Codicils heretofore made by me.
FIRST: I bequeath such of my tangible personal property
as is set forth in a separate dated and signed Memorandum, which
dated and signed Memorandum shall be placed with or attached to
this, my Last will and Testament, to the individuals designated
therein. It is my intent that the last dated and signed Memoran-
dum shall control. If there is no Memorandum, it is my intent
that all of my tangible personal property shall be and become a
part of my residuary estate.
SECOND: I devise and bequeath all the rest, residue and
remainder of my estate of whatever nature and wherever situate,
including any property over which I hold power of appointment and
together with any insurance policies thereon, in equal shares, to
my sons, WILLIAM J. BANKS and JOHN B. BANKS, provided that should
any of my children predecease me, I give and bequeath such child's
share unto his issue per stirpes by representation, and if there
be a failure of same, then I give and bequeath such deceased
child's share to my surviving child as provided herein.
THIRD: Should any of my grandchildren not have attained
the age of twenty-one (21) years at the time for distribution to
him or her, I give, devise and bequeath the share of each such
grandchild to my hereinafter named Trustee, IN SEPARATE TRUSTS, to
hold, manage, invest and reinvest the shares so received, and to
use and apply from time to time such portion of income and prin-
~ipal for the said grandchild's education (including college,
trade school or other similar training or education) as my
Trustee, in its sole discretion, deems advisable. My Trustee may

make the payments directly to said grandchildren or to their
Guardian or Guardians as required.
Any income or principal not so applied shall be dis-
tributed to each grandchild when he or she attains the age of
twenty-one (21) years. In the event any of my grandchildren
predeceases ~e or dies prior to the termination of this Trust, the
interest of said grandchild in said Trust shall cease with any
income and principal being divided evenly between or among my
other grandchildren or the separate trusts established hereunder
for their benefit.
FOURTH: In addition to all powers granted to them by
law and by other provisions of this Will, I give the fiduciaries
acting hereunder the following powers, applicable to all property,
exercisable without court approval and effective until actual
distribution of all property:
(A) To sell at public or private sale, or to lease, for
any period of time, any real or personal prop~rty and to give
options for sales, exchanges or leases, for such prices and upon
such terms (including credit, with or without security) or
conditions as are deemed proper. This includes the power to give
legally sufficient instruments for transfer of the property and to
receive the proceeds of any disposition of it.
(B) To partition, subdivide, or improve real estate and
to enter into agreements concerning the partition, subdivision,
improvement, zoning or management of real estate and to impose or
extinguish restrictions on real estate.
(e) To compromise any claim or controversy and to
abandon any property which is of little or no value.
(D) To invest in all forms of property, including
stocks, common trust funds and mortgage investment funds, without
restriction to investments authorized for Pennsylvania fiduci-
aries, as are deemed proper, without regftrd to any principle of
diversification, risk or productivity.

(E) To exercise any option, right or privilege granted
in insurance policies or in other investments.
(F) To exercise any election or privilege given by the
Federal and other tax laws, including, but not necessarily being
limited to, personal income, gift and estate or inheritance tax
laws.
(G) To make distributions to my herein named benefici-
aries in cash or in kind or partly in each.
(H) To borrow money from themselves or others in order
to pay debts, taxes, or estate or trust administration expenses,
to protect or improve any property held under my will, and for
investment purposes.
(I) To select a mode of payment under any qualified
retirement plan (pension plan, profit sharing plan, employee stock
ownership plan, or any other type of qualified plan) to the extent
the plan or the law permits them to do so, and to exercise any
other rights which they may have under the plan, in whatever
manner they consider advisable.
FIFTH: I nominate and appoint CCNB BANK, N.A., as
Trustee of the hereinabove described trusts, who shall serve
without bond and shall receive fair and reasonable compensation,
in accordance with its then applicable fee and rate schedules.
SIXTH: I direct that all inheritance, estate, transfer,
succession and death taxes, of any kind whatsoever, which may be
payable by reason of my death, whether or not with respect to
property passing under this Will, shall be paid out of the princi-
pal of my residuary estate.
SEVENTH: I nominate and appoint my son, WILLIAM J.
BANKS, Executor of this, my Last Will and Testament. In the event
of the death, resignation or inability to serve for any reason
whatsoever of the said WILLIAM J. BANKS, I nominate and appoint my
son, JOHN B. BANKS, Executor of this, my Last Will and Testament.
In the further event of the death, resignation or inability to

serve for any reason whatsoever of the said JOHN B. BANKS, I
nominate and appoint CCNB BANK, N.A., Executor of this, my Last
will and Testament. I direct that my Executor, Trustee or
Trustees, and his successors, shall not be required to post
security or a bond for the performance of their duties in any
jurisdiction.

AGREEMENT OP PURCHASE AND SALE
THIS AGREEMENT, made this 1st day of July, 1996, by and
between the William B. Banks Estate, hereinafter referred to as
"Seller,"
and
Messiah College, a Pennsylvania nonprofit corporation with
principal offices at Grantham, Pennsylvania, hereinafter referred
to as "Buyer."
THE PARTIES HERETO, with intent to be legally bound, do
hereby agree, covenant and represent as follows:
1. SALE AND PURCHASE. Seller shall sell and convey to
Buyer, who shall purchase, all that certain lot or piece of
ground with improvements erected there on, commonly known as 314
West Lisburn Road, Mechanicsburg, Cumberland County,
Pennsylvania, being a single family dwelling, hereinafter
referred :'~ as the "Premises," upon the terms and conditions
stated herein.
2. PURCHASE PRICE. The price or consideration shall be
the sum of Ninety Five Thousand Dollars ($95,000,00), which shall
be paid to Seller by Buyer as follows:
A. The sum of Nine Thousand Five Hundred Dollars
($9,500.00) at the time of signing this Agreement, the receipt of
which is acknowledged, to be held in an escrow account by
Seller's attorney, and
B. The sum of Eighty Five Thousand Five Hundred
Dollars ($85,500,00) being the balance of the purchase price, by

cash or certified check at the time of settlement.
3. SETTLEMENT. Settlement and transfer of title to the
premises shall occur on or before July 11, 1996, unless the time
therefor is extended in writing by the parties to this Agreement.
Possession shall be delivered to Buyer on the settlement date
with the premises broom clean, free of debris, and the lawn and
shrubbery in trim.
4. WATER AND SEWER; MUNICIPAL IMPROVEMENTS; ZONING AND
OTHER ORDINANCES. Seller warrants that the premises is zoned
suburban residential and is serviced by public water and public
sewer, Further, Seller warrants that all charges for these
systems are fully paid and, as of the date of this Agreement,
that these systems are in good operating condition. Seller
warrants that it has no notice of municipal improvements such as
sidewalks, curbs, etc., or of any uncorrected violations of
zoning, housing, building, safety or fire ordinances,
5. PRO-RATION OF CHARGES. All real estate taxes and
charges for sewer, water, trash removal and the like shall be
pro-rated as of the date of settlement, All realty transfer
taxes shall be divided equally between Seller and Buyer.
6. FIXTURES AND ITEMS INCLUDED IN SALE. All existing
plumbing, heating and lighting fixtures and systems appurtenant
thereto and forming a part thereof, shrubbery and plantings now
in or on the premises are included in the sale and purchase
price.
7. TITLE; SETTLEMENT COSTS. At settlement, Seller shall
tender a good and sufficient deed of special warranty conveying
the premises in fee simple, free and clear of all encumbrances
excepting only easements or restrictions visible on the premises
or of record. Title to the premises shall be good and marketable
and such as will be insured by a reputable title insurance
company selected by the Buyer at standard rates. Should Seller
fail to tender good and marketable title in accordance with this
Agreement, Buyer shall be entitled to return of all monies paid
hereunder. Buyer shall pay all costs of oettlement, including
title search or title insurance and recording fees, exclusive of
Seller's legal fees for deed preparation and related services.
I. DEFAULT. Should Seller violate or fail to perform any
material terms or conditions of this Agreement, Buyer may elect
to bring suit for monetary damages or specific performance or may
obtain upon demand to Seller the return of all monies paid
hereunder. Upon the return of such monies, this Agreement shall
be null and void and Seller shall be released from further
liability. Should Buyer violate or fail to perform any material
terms or conditions of this Agreement, Seller may elect to bring
suit for specific performance or may retain all monies paid by
Buyer hereunder as liquidated damages. In the event that Seller
elects to retain such monies as liquidated damages, this
Agreement shall be null and void and Buyer shall be released from
further liability.
9. RISK OR LOSS. Seller shall bear the risk of loss or
damage to the property cauoed by fire, and the risk of any loss
of the type commonly covered by the extended coverage
endorsements of reputable insurance companies, between the date

00120, Letters Testamentary being issued on February 14, 1996,

ITEM 1: In addition to all powers granted to them by
law and by other provisions of this will, I give the fiduciaries
acting hereunder the following powers, applicable to all
property, exercisable without court approval and effective until
actual distribution of all property:

give options for sales, exchanges or leases, for such

Will contained, and in consideration of the sum of Ninety-Five
Thousand Dollars ($95,000.00) to him paid by the said party of
the second part, at and before the ensealing and delivery of
these presents, the receipt whereof is hereby acknowledged, have
granted, bargained, sold and conveyed, and do hereby grant,
bargain, sell and convey to the said party of the second part,
its successors and assigns forever:
ALL THAT CERTAIN lot of ground situate on the north side of
Lisburn Road in Upper Allen Township, cumberland county,
Pennsylvania, bounded and described as follows, to wit:
BEGINNING at a point in the center line of LegiSlative Route
'21013 (known as Lisburn Road) at the corner of lot formerly of
Jacob G. Kuhns, said point being located five hundred sixty-one
(561) feet from the center line of LegiSlative Route '21027;

If the bcncliciaries do not elec18life aMuity option by December 31, 1996, it is our understanding of
the Internal Revenue Code that distribution has to made by the end of the live year period following
the year in much the dca1h occumxI. Accordingly, if the distribution has not been made by December
31,2000, we will aUlomatically make the distribution to them and also apply the appropriate back-up
withholding regulation on distribution of proceeds, The prolit will be considered taxable income in
the year of constructive receipt.
The beneliciaries may elect to receive a lump sum distribution which would result in the prolit being
taxed as ordinary incom~ in the year of contructive receipt.
We have enclosed a Statement of Scttlement Options which explains the provisions of the various
optiCIIS available, If they would like specilic infonnation regarding any of these options which would
spread out tile tax liability, please feel free to contact our offiee, We will need to know the
beneliciaries dates of birth to calculate incomes available under the various life aMuity options,
Policy IRA 2005-2198 was originally issued to William B, Banks as an Individual Retirement
Annuity, On June I, 1990 the Insured surrendered the policy and elected to receive the proceeds of
the policy in moothly installments of$210,06 each, less $31.50 for withholding, under our Life Refund
Annuity,
As of the date of death, there remain thirty-four payments to complete the Life Refund. In accordance
with the A!;I<>Cluent dated June 11, 1990, the remaining guaranteed payments are to be commuted and
paid in a single sum to the executor of the estate of William B, Banks,

. Certilied Court Order appointing the executor or administrator of the dcccased's estate
. Completion of the enclosed Withholding Fonn, advising us whether or not Federal Income Tax
should be withheld from the income
