LAST WILL AND TESTAMENT OF JOHN B. FORTIER '1 I, JOHN B. FORTIER, of the Borough of Mechanicsburg, County of Cumberland, and Commonwealth of Pennsylvania, being of sound and disposing mind and memory, and not acting under undue influence of any person whomsoever, do make, publish, and declare this instrument to be my Last Will and Testament, in manner and form following. FIRSTI I hereby expressly revoke all Wills, Codicils . and testamentary writings of whatsoever kind and nature hereto- fore made by me. SECOND: I hereby direct my Executrix to pay all my just debts, expenses of administration and funeral expenses out of my estate as soon as is practicable after my decease. THIRD I I direct that all estate, inheritance, transfer legacy or succession taxes, or death duties, which may be assessed or imposed of, whatsoever situate, whether or not passing under this my Last will and Testament, including the taxable value, if any, of all policies of insurance on my life and all transfers, powers, rights or interests includible in my estate for the purpose of such taxes and duties, shall be paid out of my general estate as an expense of administration, and without apportionment, and shall not be prorated or charged against any of the gifts in this Will or against any property not passing under this Will. In the absolute discretion of my Executrix, hereinafter named, she may pay such taxes immediately or may postpone the payment of the taxes on future or remainder interests until the time possession accrues to the beneficiary or beneficiaries named herein. My Executrix, may, in her discretion, arrange for extension of time for the payment of said estate and inheritance taxes, and any interest and/or penalty incurred on any such taxes, whether or not resulting from such extensions or postponements, shall be borne by my estate as an expense of administration. FOURTH: All my property, real, personal and mixed, of which I may die seized or possessed, or over which I may have the power of testamentary disposition, of whatsoever kind and wheresoever situate, I give, devise and bequeath unto my wife, MARGARET H. FORTIER. , \ FIFTH: Should my said wife, MARGARET H. FORTIER, prsdscease me, or should we die at the same time, as the result of the same accident or disaster, or during a joint last illness, or under circumstances that are such that the order of our deaths cannot be ascertained with reasonable certainty, then and in any of such events, I hereby give, devise and bequeath my entire estate in equal shares to my sons, WILLIAM ALLEN FORTIER and RICHARD COLLINS FORTIER. In the event that one of my sons shall predecease me, then it is my wish that his share of my estate pass to his children, if there are no children then, 50% of his share shall go to his surviving spouse and the other 50% of his share to his brother. SIXTH: It is my intent to establish a revocable Living Trust to provide for the appropriate conversion and distribution of certain assets including my collectibles. If such a trust is in existence at my demise, I empower my Executrix, or her successor, to transfer any such assets to it. My Executrix shall have full authority and discretion as to which items, if any, are placed in such trust. To that end, this decision shall be final and determinative. SEVENTH: I hereby direct that all estate, inheritance, transfer and succession taxes that may be assessed in consequence of my death of whatever nature and by whatever jurisdiction imposed, shall be paid out of the principal of my general estate to the same effect as if said taxes were expenses of administration. EIGHTH I I hereby direct that my Executrix, or any successor as named by me herein, shall not be required to give bond or other security, required by law or otherwise, for the faithful performance of her duties. NINTH: I hereby give unto my Executrix and her successor, hereinafter named, the fullest power and authority in all matters and questions pertaining to the administration of my estate, TENTH: I hereby nominate, constitute and appoint my wife, MARGARET H. FORTIER, of Mechanicsburg to be the Executrix of this my Last Will and Testament with all powers and authority to sell, transfer, and convey any and all of my property, real, personal and mixed, which in her discretion she may deem necessary in order to pay my debts and liabilities or to effect distribution of my estate in accordance with this my Last Will and Testament. I hereby nominate, constitute and appoint my son, WILLIAM ALLEN FORTIER to serve as successor Executor with the powers as set forth herein, should the Executrix be unable or unwilling to serve. In the event WILLAIM ALLEN FORTIER is unable or unwilling to serve, I hereby -2- , . appoint my son, RICHARD COLLINS FORTIER as contingent successor Executor. ELEVENTH: I hereby give unto my Executrix and her successor, hereinafter named, the fullest power and authority in all matters and questions pertaining to the administration of my estate, executing the provisions of this my Last Will and Testament, including but not by way of limitation, the power and authority to determine all doubtful questions which may arise in the construction of this my Last Will and Testament. I further hereby authorize and empower my Executrix, or her successor, pending settlement of my estate, to sell, convey, mortgage, lease, exchange, encumber or otherwise dispose of any and all of the property, real, personal or mixed, at any time belonging to my estate, either at public or private sale, without prior approval of any court, and at such times and for such price or prices and in any such case upon such terms as they may think best in their discretion, and I authorize and empower my said Executrix to execute, acknowledge, and deliver to the purchasers, grantees, mortgagees, vendees, assignees, or other persons, such contracts, deeds, mortgages, bonds, bills of sale, and all other instruments of writing necessary or proper without obligation upon the latter to see to the proper application of the proceeds. She shall also have the power to compromise or otherwise to settle or adjust any and all claims, charges, debts and demands whatsoever against, or in favor of, my estate as fully as I could do if living. She shall further be empowered to carryon and conduct any business enterprise in which I may be engaged at my death, to retain any assets, including stocks or securities which I may own at the time of my death, pending the settlement of my estate, without regard as to whether or not such assets or securities are legal investments for fiduciaries. Pending settlement of my estate, she shall also have the authority in his discretion to convert, sell, exchange, or dispose of such assets and securities either for cash or for terms satisfactory to them and to acquire other assets without limitation to securities or investments as may be declared legal for investment of trust funds. She shall further be empowered to borrow money, and to pledge assets of my estate as security therefor, for the purpose of paying taxes which may be levied upon or payable by my estate in accordance with this will and in the event that funds in the hands of my Executrix, or her successor, shall be insufficient to pay such taxes, and if, in the opinion of my Executrix, or her successor, it appears that conversion of securities and other assets, real and personal, would then be made at a sacrifice. She shall also have the power to compromise or otherwise to settle or adjust any and all claims, charges, debts and demands whatsoever against, or in favor of, my estate as fully as I could do if living. She shall further be empowered to carryon and conduct any business enterprise in which I may be engaged at my death, to retain any assets, including stocks or securities which I may own at the time of my death, pending the settlement of my estate, without regard as to whether or not such assets or securities are legal investments for fiduciaries. Pending settlement of my estate, she shall also have the authority in his discretion to convert, sell, exchange, or dispose of such assets and securities either for cash or for terms satisfactory to them and to acquire other assets without limitation to securities or investments as may be declared legal for investment of trust funds. She shall further be empowered to borrow money, and to pledge assets of my estate as security therefor, for the purpose of paying taxes which may be levied upon or payable by my estate in accordance with this Will and in the event that funds in the hands of my Executrix, or her successor, shall be insufficient to pay such taxes, and if, in the opinion of my Executrix, or her successor, it appears that conversion of securities and other assets, real and personal, would then be made at a sacrifice. No tax was due the Commonwealth of Pennsylvania as is evidenced on the attached copy of the Inheritance Tax Return marked Exhibit "B" and as is indicated on the Acceptance by the Commonwealth Department of Revenue filed with the Register of Wills; and WHEREAS, the beneficilllY agrees that in order to expedite settlement and not to incur additional expenses, the Executrix need not file a fonnal Accounting and Schedule of Distribution with the Orphans' Court of Cumberland County, and that the net estate of the Decedent shall be distributed in accordance with his Last Will; and WHEREAS, the undersigned agree that all assets of the decedent's as reported on Schedule "0" attached as Exhibit "C" and made a part of this Agreement were transferred to Margaret H. Fortier as his surviving spouse, and all assets which were held jointly by the decedent and Margaret H. Fortier passed to her by operation of law. WHEREAS, the undersigned agrees to refund to the Estate of John B. Fortier any portion of the distribution to which the undersigned is not properly entitled, and, to the extent of said distribution, to indemnity the Executrix for claims made against her as Executrix and to reimburse the Estate of John B. Fortier all expenses and costs incurred in connection with any such claims; and -2- . , ., NOW THEREFORE, the undersigned intending to be legally bound hereby. mutually agrees, as follows: 1. Estate Tax Returns. The undersigned agrees and acknowledges that she has fully and carefully examined the Pennsylvania Inheritance Tax Return and find It to be correct as set forth. and acceptable. 2. Pennsvlvania and Federal Flduclarv Income Tax Returns The Executrix advises and acknowledges that the Final Pennsylvania and Federal Fiduciary Income Tax Returns have been timely filed for calendar year 1996 on behalf of the Estate. 3. Release and Discharl!e. The parties hereto do hereby release, remise and forever discharge the Estate of John B. Fortier and the Executrix of the Estate and Boswell, Snyder. Tlntner & Piccola, of and from all manner of acts, suits, claims, accounts, accountings, debts. dues and demands whatsoever which she or her legal representatives or assigns may at any time hereafter have, against the Executrix. the said Estate, its attorney or the assets thereof. from, or concerning any of the assets and property of the said Estate and/or any claim or Interest thereto or therein, and the administration, management, collection, sale or distribution of any of the said assets and for or on account of any money, interest. income, assets or proceeds out of the same, from the time of the death of the said decedent to and Including the date of this Agreement and release. 4. Final Asreements. This Instrument is a full and final Family Settlement Agreement by the undersigned, having been arrived at, concluded and executed after a full -3- . . The undersigned agrees that she will at all times In the future and whenever necessary, appropriate or convenient, make, execute and deliver to the said Executrix and to the other party or persons, any and all Instruments, documents, conveyances, deeds, releases or other Instruments of any kind necessary or convenient to carry out the Intention of this Agreement and/or to permit, assist and enable the Executrix to fulfill her duties with reference to the said estate and all of the assets thereof. 6. Entire A~reement. This Agreement constitutes the entire understanding of the undersigned, and she acknowledges that no representations or statement of any kind. written or oral, have been made to her prior hereto by the Executrix or by any other person or party on her behalf. 7 Heirs.
