LAST WILL AND TESTAMENT
OF
IVAN K. GLACE, JR.
I, IVAN M. GLACE, JR., of Middlesex Township, cumberland
County, pennsylvania, being of sound and disposing mind, memory
and understanding, do hereby make, publish and declare this to be
my Last Will and Testament, hereby revoking and making void any
and all prior wills, codicils, or writings thereto, made by me at
any time prior to the making of this Will.
ITEM I:
I direct that the payment of my debts and the
expenses of my last illness and funeral shall be paid from my
estate as an administrative expense as soon after my death as
conveniently may be done.
I direct that my personal representative be responsible for
making all necessary arrangements for my burial.
ITEM II :
I give, devise and bequeath my entire estate,
consisting of all realty, personalty and mixed, wheresoever
situate, to my wife, CAROLYN R. GLACE of Middlesex Township,
pennsylvania, provided that she is living on the thirtieth (30th)
day after the date of my death.
ITEM III:
In the event that my wife, CAROLYN R. GLACE,
predeceases me or does not survive me by said thirty (30) days, I

give, devise and bequeath all of my household furnishings,
oriental rugs, silver and jewelry, to my daughter CORINNE E.
(GLACE) ROST of Buffalo, New York.
ITEM IV: I give, devise and bequeath all stock owned by me
in my name alone at the time of my death, to be divided equallY
between my two sons, JOHN M. GLACE of Mechanicsbur9,
pennsylvania, and THOMAS E. GLACE of Nashua, New Hampshire.
ITEM V:
I give, devise and bequeath all the rest residue
and remainder of my estate, consisting of all realty, personalty,
and mixed, wheresoever situate, to be divided equally among my
three children, as folloWS, IN EQUAL SHARES PER STIRPES:
JOHN M. GLACE of Mechanicsburg, pennsylvania
THOMAS E. GLACE of Nashua, New Hampshire
CORINNE E. (GLACE) ROST of Buffalo, New york.
I further direct that all decisions made regarding the
disposition of my assets be made onlY by my three children.
ITEM VI: In the event that any share of my estate passes to
a grandchild under the age of twenty-five (25) years, I nominate,
constitute and appoint the DAUPHIN DEPOSIT BANK AND TRUST COMPANY
as Trustee for said assets. The Trustee shall have the power and
authority to invest and reinvest the assets of the Trust and
shall use the income and then the principal, if necessary to pay
for the reasonable higher education expenses of each grandchild.

Any balance remaining in the Trust fund for each grandchild shall
be paid when that grandchild attains his or her twenty-fifth
(25th) birthday.
ITEM VII: No interest of any beneficiary under this Will or
any codicil shall be subject to anticipation or voluntary or
involuntary alienation.
ITEM VIII:
All taxes, interest and penalties thereon
payable by reason of my death with respect to property comprising
my gross taxable estate, whether or not passing under this Will,
shall be paid from the principal of my residuary estate.
ITEM IX:
In addition to powers given to him by law, my
Executor and his successors shall have the following powers,
applicable to all property held by him, effective without Court
Order and until actual distribution:
a) To retain any property received by him, in the form in
which it is received, until actual distribution;
b) To sell real estate for any purpose, publicly or
privately, for such prices and on such terms as he deems
proper, without liability on the purchasers to see to
application or the purchase monies;
c) To compromise controversies;
d) To distribute in cash or kind or both at such valuations
as he may fix.

JOHN M. GLACE, Esquire, Executor of the Estate of IVAN M. GLACE,
JR. and respectfully states the following:
1. IVAN M. GLACE, JR. decedent, died on January 15, 1996 and
was a resident of 210 Old Stone House Road, Carlisle (Middlesex
Township), Cumberland County, Pennsylvania at the date of his
death.
2. Petitioner JOHN M. GLACE, Esquire is the son of the above
decedent and named executor. Said executor resides at 132 Brindle
Road,
Mechanicsburg
(Monroe Township)
cumberland County,
Pennsylvania.
3. Decedent died testate and his will was filed of record at
the Cumberland County Register of wills on February 27, 1996.
Letters Testamentary were subsequently granted the Petitioner by
Mary C. Lewis, Register of Wills of cumberland County. That will
is attached hereto as Exhibit A.

4. In addition to Petitioner, decedent ie eurvived by two
(2) adult children and hie wife:

Corinne E. Glace-Roet (Daughter)

6. There is an I.R.S. personal asoessment and lien lodged
against the decedent pursuant to the withholding and Federal
Insurance Act in the amount of $182,455.89 there are no other
unpaid Claimants.
7. A Pennsylvania Inheritance Tax Return was filed on or
about September 4, 1996 at the cumberland County Register of Wills
and on December l6, 1996, Pennsylvania Department of Revenue issued
a "No Tax Due" statement. Said statement is attached hereto and
made part hereof as Exhibit B.
8. All of decedent's children, being adult individuals,
understand fully the negative worth of their late father's estate
and renounce any claim thereof and consent to the bequeath of the
estate assets (less disbursements) to their mother, decedent' s
surviving spouse, and release with Carolyn R. Glace, John M. Glace,

Esquire, as Executor and consent to this Petition. Those releases
and consents are attached hereto as Exhibits C, D, and E.
9. Twenty (20) day written notice of Petitioner's intention
to file this Petition has been provided to all heirs.
WHEREFORE, Petitioner JOHN M. GLACE respectfully requests this

I, IVAN M. GLACE, JR., of Middlesex Township, cumberland
county, pennsylvania, being of sound and disposing mind, memory
and understanding, do hereby make, publish and declare this to be
my I.ast will and Testament, hereby revoking and making void any
and all prior wills, codicils, or writings thereto, made by me at
any time prior to the making of this Will.
ITEM I:
I direct that the payt1lent of my debts and the
expenses of my last illness and funeral shall be paid from my
estate as an administrative expense as soon after my death as
convenientlY may be done.
I direct that my personal representative be responsible for
making all necessary arrangements for my burial.
ITEM II :
I give, devise and bequeath my entire estate,
consisting of all realty, personalty and mixed, wheresoever
situate, to my wife, CAROLYN R. GLACE of Middlesex Township,
pennsylvania, provided that she is living on the thirtieth (30th)
day after the date of my death.
ITEM III:
In the event that my wife, CAROLYN R. GLACE,
predeceases me or does not survive me by said thirty (30) days, I

in my name alone at the time of my death, to be divided equally
between my two sons, JOHN M. GLACE of Mechanicsburg,
pennsylvania, and THOMAS E. GLACE of Nashua, New Hampshire.
ITEM V: I give, devise and bequeath all the rest residue
and remainder of my estate, consisting of all realty, personalty,
and mixed, wheresoever situate, to be divided equally among my
three children, as follows, IN EQUAL SHARES PER STIRPES:

THOMAS E. GLACE of Nashua, New Hampshire
CORINNE E. (GLACE) ROST of Buffalo, New York.
I further direct that all decisions made regarding the
disposition of my assets be made only by my three children.
ITEM VI: In the event that any share of my estate passes to
a grandchild under the age of twenty-five (25) years, I nominate,
constitute and appoint the DAUPHIN DEPOSIT BANK AND TRUST COMPANY
as Trustee for said assets. The Trustee shall have the power and
authority to invest and reinvest the assets of the Trust and
shall use the income and then the principal, if necessary to pay
for the reasonable higher education expenses of each grandchild.

Any balance remaining ~n the Trust fund for each grandchild shall
be paid when that grandchild attains his or her twenty-tilth
(25th) birthday.
ITEM VII: No interest of any beneticiary under this Will or
any cOdicil shall be subject to anticipation or voluntary or
involuntary alienation.
ITEM VIII:
All taxes, interest and penalties thereon
payable by reason of my death with respect to property comprising
my gross taxable estate, whether or not passing under this Will,
shall be paid from the principal of my residuary estate.
ITEM IX:
In addition to powers given to him by law, my
Executor and his SUccessors shall have the following powers,
applicable to all property held by him, effective without Court
Order and until actual distribution:
a) To retain any property received by him, in the form in
which it is received, until actual distribution;
b) To sell real estate for any purpose, publicly or
privately, for such prices and on such terms as he deems
proper, without liability on the purchasers to see to
application or the purchase monies;
c) To compromise controversies;
d) To distribute in cash or kind or both at such valuations
as he may fix.
