ALBERT N. WRIGHTSTONE
I, ALBERT N. WRIGHTSTONE, of the Borough of Shiremans-
town, Cumberland county, Pennsylvania, make, publish and declare
this as and for my Last Will and Testament, hereby revoking all
other Wills and Codicils heretofore made by me.
FIRST: I give and bequeath the sum of Five Thousand and
No/100 ($5,000.00) Dollars to my step-son, DAVID L. BERRY, of camp
Hill, Pennsylvania.
SECOND: I devise and bequeath all the rest, residue and
remainder of my estate of whatever nature and wherever situate,
including any property over which I hold power of appointment and
together with any insurance policies thereon, in equal shares, to
my sons, ALBERT N. WRIGHTSTONE, JR., and ANDREW N. WRIGHTSTONE,
provided that should any of my children predecease me, I give and
bequeath such child's share unto his issue per stirpes by repre-
sentation, and if there be a failure of same, then I give and
bequeath such deceased child's share to my surviving child as
provided herein.
~ THIRD: In addition to all powers granted to them by law
and by other provisions of this Will, I give the fiduciaries
acting hereunder the following powers, applicable to all property,
exercisable without court approval and effective until actual
distribution of all property:
(A) To sell at public or private sale, or to lease, for
any period of time, any real or personal property and to give
options for sales, exchanges or leases, for such prices and upon
such terms (including credit, with or without security) or condi-

_tions as are deemed proper. This includes the power to give
legally sufficient instruments for transfer of the property and to
receive the proceedS of any disposition of it.

(B) To partition, subdivide, or improve real estate and
to enter into agreements concerning the partition, subdivision,
improvement, zoning or management of real estate and to impose or
extinguish restrictions on real estate.
(e) To compromise any claim or controversy and to
abandon any property which is of little or no value.
(D) To invest in all forms of property, including
stocks, common trust funds and mortgage investment funds, without
restriction to investments authorized for pennsylvania fiduci-
aries, as are deemed proper, without regard to any principle of
. diversification, risk or productivity.
(E) To exercise any option, right or privilege granted
in insurance policies or in other investments.
(F) To exercise any election or privilege given by the
Federal and other tax laws, including, but not necessarily being
limited to, personal income, gift and estate or inheritance tax
laws.
(G) To make distributions to my herein named benefici-
J aries in cash or in kind or partly in each.
(H) To borrow money from themselves or others in order
to pay debts, taxes, or estate or trust administration expenses,
protect or improve any property held under my will, and for
investment purposes.
(I) To select a mode of payment under any qualified
retirement plan (pension plan, profit sharing plan, employee stock
ownership plan, or any other type of qualified plan) to the extent
the plan or the law permits them to do so, and to exercise any
other rights which they may have under the plan, in whatever
manner they consider advisable.
FOURTH: I direct that all inheritance, estate, trans-
fer, succession and death taxes, of any kind whatsoever, which may
be payable by reason of my death, whether or not with respect to
property passing under this Will, shall be paid out of the princi-

pal of my residuary estate.
FIFTH: All interests hereunder, whether principal or
income, which are undistributed and in the possession of the
fiduciaries acting hereunder, even though vested or distributable,
shall not be subject to attachment, execution or sequestration for
any debt, contract, obligation or liability of any beneficiary,
and furthermore, shall not be subject to pledge, assignment,
conveyance or anticipation.
SIXTH: I nominate and appoint my sons, ALBERT N.
WRIGHTSTONE, JR. and ANDREW N. WRIGHTSTONE, or the survivor
thereof, co-Executors of this, my Last Will and Testament. I
direct that my co-Executors, and their successors, shall not be
required to post security or a bond for the performance of their
duties in any jurisdiction.

I represent the Estate of Albert N. Wriqhtstone. Enclosed
is a check made payable to the Register of Wills in the amount of
$6,840.00, same constituting a prepayment at discount on account
of Pennsylvania inheritance taxes in the above-captioned estate.
The prepayment is determined as follows: $120,000.00 multiplied
by 6% or $7,200.00, less discount in the amount of 5% or $360.00,

WHEREAS, the said Albert N. Wrightstone by his Last Will and
Testament, duly proved and recorded in the Cumberland County
Register of Wills Office, Pennsylvania, in Docket Book 1996-
00198, Letters Testamentary being issued on March 5, 1996,
provided, in pertinent part, as follows:
CLAUSE 2: I devise and bequeath all the rest, residue
and remainder of my estate of whatever nature and wherever
situate, inclUding any property over which I hold power of
appointment and together with any insurance policies
thereon, in equal shares, to my sons, Albert N. Wriqhtstone,
Jr., and Andrew N. Wrightstone . . .
CLAUSE 3: In addition to all powers granted to them by
law and other provisions of this Will, I give the
fiduciaries acting hereunder the following powers,
applicable to all property, exercisable without court
approval and effective until actual distribution of all
property:
CA) To sell at public or private sale, or to lease,
for any period of time, any real or personal property and to
give options for sales, exchanges or leases, for such prices
and upon such terms (including credit, with or without
security) or conditions as are deemed proper. This includes
the power to give legally sufficient instruments for

CLAUSE 6: I nominate and appoint my sons, Albert N.
Wrightstone, Jr. and Andrew N. Wriqhtstone, or the survivor
thereof, Co-Executors of this, my Last will and Testament...
NOW THIS INDENTURE WITNESSETH, that the said parties of the first
part, by virtue of the power and authority aforesaid, in said
will contained, and in consideration of the sum of One Dollar
($1.00) to them paid by the said party of the second part, at and
before the ensealing and delivery of these presents, the receipt
whereof is hereby acknowledged, have granted, bargained, sold and
conveyed, and do hereby grant, bargain, sell and convey to the
said party of the second part, his heirs and assigns forever:
ALL THAT CERTAIN piece or parcel of land situate in the Borough
of Shiremanstown, Cumberland County, Pennsylvania, bounded and
described as follows, to wit:
BEGINNING at a point on the southern line of Green Street, said
point being at the dividing line between lands now or formerly of
Albert N. Wrightstone and st. John's Lutheran Church,
Shiremanstown, Pennsylvania; thence alonq the line of lands now
of st. John's Lutheran Church and lands now or formerly of Allen
Park Development Co., South 26 degrees 45 minutes East, one
hundred ninety-six and eight hundredths (196.08) feet to a point
on the northern line of a proposed alley known as parish Alley;
thence in an easterly direction along the northern line of said
Parish Alley, twenty-four and sixty-five hundredths (24.65) feet
to a point; thence North 14 degrees 54 minutes West, one hundred
ninety-one and eighty hundredths (191.80) feet to a point on the
southern line of Green Street; thence along the southern line of
Green Street, South 75 deqrees 06 minutes West, sixty-five (65)
feet to a point, the place of BEGINNING.
HAVING ERECTED THEREON a one-story brick dwelling house with
garage, said premises being known and numbered as 20 West Green
street, Shiremanstown, pennsylvania.
BEING the same premises which Albert N. wriqhtstone and palmina
L. wrightstone, his wife, by deed dated March 15, 1976 and
recorded in the Cumberland County Recorder of Deeds Office as a
corrective deed on November 24, 1980 in Deed Book "F", Volume 29,
Page 319, granted and conveyed unto Albert N. Wrightstone and
palmina L. Wrightstone, his wife. The said palmina L.
Wrightstone died July 25, 1989, whereupon title to the within
described real estate became vested solely in Albert N.
Wrightstone, surviving spouse, the decedent herein. The said

Albert N. wrightstone died February 24, 1996.
THE purpose of the within conveyance is to transfer the within
described real estate from the Estate of Albert N. Wrightstone to
Andrew N. Wrightstone, individually. Albert N. Wriqhtstone, Jr.
and Andrew N. Wrightstone are the sons of Albert N. wrightstone
and the residuary beneficiaries under the Last Will and Testament
of Albert N. Wrightstone.
TOGETHER with all and singular the rights, liberties, privileqes,
hereditaments and appurtenances whatsoever thereunto belonging or
in anywise appertaining, and the reversions and remainders,
rents, issues and profits thereof, and all the estate, right,
title, interest, property, claim and demand whatsoever of the
said Albert N. wrightstone at and immediately before the time of
his decease, in law or equity or otherwise howsoever, of, in, to
or out of the same:
TO HAVE AND TO HOLD the said granted premises to the said party
of the second part, his heirs and assigns forever.
AND the said parties of the first part, does covenant, promise,
grant and agree, to and with the said party of the second part,
his heirs and assigns, by these presents, that the said parties
of the first part, has not done, committed, or knowingly or
willingly suffered to be done, any act, matter or thing what-
soever, whereby the premises aforesaid, or any part thereof, is,
are, shall or may be charged or incumbered, in title, charqe or
estate, or otherwise howsoever.
