I, FRANCES E. BOYER, ot Silver spring Township, Cumber-
land county, Pennsylvania, make, publish and declare this as and
for my Last Will and Testament, hereby revoking all other Wills
and Codicils heretofore made by me.
FIRST: I devise and bequeath all the rest, residue and
remainder of my estate of whatever nature and wherever situate,
including any property over which I hold power of appointment and
together with any insurance policies thereon, unto my husband,
BROOKS E. BOYER, provided he survives me by sixty (60) days.
SECOND: Should my husband, BROOKS E. BOYER, predecease
me or die on or before the sixty-first (61st) day following my
death, I devise and bequeath all the rest, residue and remainder
of my estate of whatever nature and wherever situate, inclUding
any property over which I hold power of appointment and together
with any insurance policies thereon, as follows:
(A) Forty (40%) percent thereof to my son, GENE A.
BOYER, same to be held by my hereinafter named Trustee, IN TRUST,
uses and purposes set forth hereinbelow.
(B) sixty (60%) percent thereof to my dauqhter, KAREN
L. FUHRMAN, provided that should KAREN L. FUHRMAN predecease me, I
give and bequeath her share unto her issue per stirpes by repre-
sentation.
THIRD: As to the Trust established hereinabove for my
son, GENE A. BOYER, I direct that said Trustee hold, manage,
invest and reinvest the shares so received and to distribute so
much of the net income therefrom to GENE A. BOYER in such amounts
as said Trustee, in her sole and absolute discretion, shall
determine to be appropriate, said distributions to be made in such
periodic installments as said Trustee shall find convenient. Any
such distribution of income so made to GENE A. BOYER, shall be
discontinued whenever said Trustee determines that such distribu-

tions are no longer needed, and may be re-instituted and discon-
tinued from time to time as need arises. If at any time during
the term of this Trust the Trustee shall determine, in her sole
and absolute discretion, that the assets and sources of income and
support for my son, GENE A. BOYER, including his entitlement to
Federal or state Public Assistance benefits, is not sufficient to
maintain and support him, said Trustee may make distributions from
principal. Any such distribution of principal so made to GENE A.
BOYER, shall be discontinued whenever said Trustee determines that
such distributions are no longer needed, and may be re-instituted
and discontinued from time to time as need arises.
Upon the death of GENE A. BOYER, this Trust shall
terminate and the Trustee shall distribute all then remaininq
principal and any accumulated or undistributed income, in equal
shares, to the children of my daughter, KAREN L. FUHRMAN, or
should they predecease GENE A. BOYER, to their issue per stirpes
by representation.
All shares of principal and income hereby given shall be
free from anticipation, assignment, pledge or obligation of the
beneficiaries and any of them, and shall not be subject to any
execution, attachment, levy or sequestration or any other claims
of the creditors of said beneficiaries or any of them.
FOURTH: In addition to all powers granted to them by
law and by other provisions of this will, I qive the fiduciaries
acting hereunder the following powers, applicable to all property,
exercisable without court approval and effective until actual
distribution of all property:
(A) To sell at public or private sale, or to lease, for
any period of time, any real or personal property and to give
options for sales, exchanges or leases, for such prices and upon
such terms (including credit, with or without security) or
conditions as are deemed proper. This includes the power to give
legally sufficient instruments for transfer of the property and to

receive the proceeds ot any disposition ot it.
(8) To partition, subdivide, or improve real estate and
to enter into agreements concerning the partition, subdivision,
improvement, zoning or management ot real estate and to impose or
extinguish restrictions on real estate.
(C) To compromise any claim or controversy and to
abandon any property which is ot little or no value.
(D) To invest in all torms of property, including
stocks, common trust funds and mortgage investment funds, without
restriction to investments authorized for Pennsylvania fiduci-
aries, as are deemed proper, without regard to any principle ot
diversitication, risk or productivity.
(E) To exercise any option, right or privilege granted
in insurance pOlicies or in other investments.
(F) To exercise any election or privilege given by the
Federal and other tax laws, including, but not necessarily being
limited to, personal income, gift and estate or inheritance tax
laws.
(G) To make distributions to my herein named benefici-
aries in cash or in kind or partly in each.
(R) To borrow money from themselves or others in order
to pay debts, taxes, or estate or trust administration expenses,
o protect or improve any property held under my will, and for
investment purposes.
(I) To select a mode of payment under any qualified
retirement plan (pension plan, profit sharing plan, employee stock
ownership plan, or any other type of qualified plan) to the extent
the plan or the law permits them to do so, and to exercise any
other rights which they may have under the plan, in whatever
manner they consider advisable.
(J) To make immediate payment for the support and
maintenance of my child to said child directly or to his Guardian
or Guardians as are deemed to be in the best interest of said

FIFTH: I nominate and appoint KAREN L. FURRMAN, as
Trustee ot the hereinabove described trust. In the event ot the
death, resignation or inability to serve for any reason whatsoever
ot the said KAREN L. FUHRMAN, I nominate and appoint DAUPRIN
DEpOSIT BANK AND TRUST COMPANY, of Harrisburg, pennsylvania, as
Trustee ot the hereinabove described trust. I direct that my
Trustee shall serve without bond and shall receive fair and
reasonable compensation.
~IXTH: Should my husband, BROOKS E. BOYER, predecease
me, I nominate and appoint KAREN L. FUHRMAN, as Guardian of the
person of my son, GENE A. BOYER.
SEVENTH: I direct that all inheritance, estate,
transfer, succession and death taxes, of any kind whatsoever,
which may be payable by reason of my death, whether or not with
respect to property passing under this Will, shall be paid out of
the principal of my residuary estate.
EIGHTH: I nominate and appoint my husband, BROOKS E.
BOYER, Executor of this, my Last Will and Testament. In the event
of the death, resignation or inability to serve for any reason
whatsoever of the said BROOKS E. BOYER, I nominate and appoint
KAREN L. FUHRMAN, ExecutriX of this, my Last Will and Testament.
In the further event of the death, resignation or inability to
serve for any reason whatsoever of the said KAREN L. FUHRMAN, I
nominate and appoint DAUPHIN DEPOSIT BANK AND TRUST COMPANY, of
Harrisburg, pennsylvania, Executor of this, my Last will and
Testament. I direct that my Executor or Executrix, Trustee or
Trustees, Guardian or Guardians, as the case may be, and their
successors, shall not be required to post security or a bond for
the performance of their duties in any jurisdiction.

WHEREAS, the said Frances E. Boyer by her Last Will and
Testament, duly proved and recorded in the cumberland County
'Register of wills Office, Pennsylvania, in Docket Book 1996-
00199, Letters Testamentary being issued on March 5, 1996,
provided, in pertinent, ~art, as follows:
CLAUSE FOURTH: In addition to all powers granted to
them by law and by other provisions of this Will, I give the
fiduciaries acting hereunder the following powers, applicable to
all proprerty, exercisable without court approval and effective
until actual distributin of all property:
(A) To sell at public or private sale, or to lease,
for any period of time, any real or personal ,property and to give
options for sales, exchanges or leases, for such prices and upon
such terms (including credit, with or without security) or
conditions as are deemed proper. This includes the power to give
legally sufficient instruments for transfer of the property and
to receive the proceeds of any disposition of it...
CLAUSE EIGHTH: I nominate, and appoint my husband,
Brooks E. Boyer, Executor of this, my Last Will and Testament.
In the event of the death, resignation or inability to serve for
any reason whatsoever of the said Brooks E. Boyer, I nominate and
appoint Karen L. Fuhrman, Executrix of this, my Last will and
Testament. . .
NOW THIS INDENTURE WITNESSETH, that the said party of the first
part, by vir~e of th~ power and authority aforesaid, in said
will contained, and in consideration of the sum ot Eighty-Six
Thousand Five Hundred Dollars ($B6,500.00) to her paid by. the
said parties of the second part, at and before the ensealing and
delivery of these presents, the receipt whereof is hereby
acknowledged~ has granted, bargained, sold and conveyed, and does
hereby grantlbargair, sell and convey to the said parties of the
second part, their heirs and assigns forever:
ALL THAT CERTAIN lot or piece of land located in Silver Spring
Township, Cumberland County, Pennsylvania, bounded and described
as follows, to wit:
, e. BEGINNING at the northeast corner of Lot No. 19 of Silver Spring
Development Company, which point of beginning is located on the
southern side of a thirty-three (33) foot right-of-way in Silver
spring Development, whiqh right-of-way runs parallel to Carlisle
Pike, Route No. 11; thence, along the division line of Lot Nos.
lB and 19 of Silver spring Development South three (3) degrees
fifteen (15) minutes ~est one hundred twenty four and sixty-five
one-hundredths (124.65) feet to a point; thence along the
aivision line of Lot Nos. 15 and 19 of the herein referred to

minutes West fifty-nine ,(59) feet to a point on the division line
