LAST WILL AND TESTAMENT
I, COLE B. PRICE, JR., of Carlisle, Cumberland County, Pennsylvania, being of sound
and disposing mind and memory, do hereby make, publish and declare this to be my Last Will
and Testament, hereby revoking any and all fonner Wills or Codicils by me made.
I.
I direct that all my just debts, funeral expenses, testamentary expenses and all inheritance
taxes (whether such taxes may be payable by my estate or by any recipient of any property) shall
be paid from my residuary estate as soon as practicable after my deccase and as part of the
administration of my estate. My Executors shall have no duty or obligation to obtain
reimbursement for any such tax so paid, even though on proceeds of insurance or other property
not passing under this Will.
2.
I give the remainder of my tangible personal property, together with all insurance policies
thereon, to such of my sons who sUlVive me by thirty (30) days, to be divided among them as
they may agree or, in the absence of agreement as my corporate Executor may deem
appropriate. My Executors shall sell the rest of my tangible personal property and deliver the
net proceeds in equal shares to such of my sons who sUlVive me by thirty (30) days. My
Executors may give away or throw out any property that is not practical to sell.
3.
I give the residue of my estate (meaning the rest of the property belonging to me at my
death before the payment of any death taxes but not meaning any property over which I then
have only a power of appointment) to Fanners Trust Company of Carlisle, Pennsylvania, Cole
B. Price, m, James L. Price and Morgan B. Price in trust for the uses and purposes set forth
in a certain Amended and Restated Trust Agreement dated October 21, 1988, and amended
January 23, 1992, and all amendments thereto in which I am designated as Settlor; provided,
however, that if a share in the principal or income of my residuary estate is distributable to a

beneficiary under said Tmst Agreement as soon as reeeived by the Tmslees, my Executors may
make distribution directly to such beneficiary.
4.
I direct that all estate and inheritance taxes and genemtion skipping tmnsfer taxes on
direct skips that are assessed by reason of my death (including any interest and penalties
thereon), shall be paid out of the principal of my residuary estate or if none, the Genemtion
Skipping Tmst created under the aforesaid Tmst Agreement, except that the amount, if any, (a)
by which the estate and inheritance taxes shall be increased as a result of the inclusion of
property in which I may have a qualifying income interest for life or over which I may have a
power of appointment, and (b) of genemtion skipping tmnsfer taxes caused by a disclaimer or
by a direct skip from a trust not established hereunder, shall be paid by the person holding or
receiving said property.

I authorize and empower my Executors and Trustees, in their sole and absolute
discretion, to purchase or otherwise acquire and retain any investments of which I die seized or
any real or personal property of any nature; to sell, lease, pledge, mortgage, transfer, exchange,
dispose of or grant options in regard to any or all property of any kind fonning a part of my
estate for such tenns and such prices as they may deem advisable; to borrow money for any
purposes connected with the protection and preservation of my estate; to mortgage or pledge any
real or personal property fonning a part of my estate or to join in or secure the partition of
same; to compromise any claims or demands of my estate against others or of others against my
estate; to make distribution in kind and to cause any share to be composed of cash, property or
undivided fmctional shares in property different in kind from any other share; and to execute
and deliver such instruments as may be necessary to carry out any of these powers.
6.
I appoint Fanners Trust Company of Carlisle, Pennsylvania, and my sons, Cole B. Price,
m, James L. Priee and Morgan B. Price, Executors under this Will. My corporate Executor
shall be compensated as provided in any fee agreement between me and it, or if none, as my

individual Executors and my corporate Executor shall agtte. Compensation, if any. paid to my
individual ExecutOrs sl1all be in addition to that paid to any corporate Executor. No bond or
other !eCUtlty lIhall be required of any fiduciary in any jurisdiction.

I. COLE B. PRICE, JR.. of Carlisle. Cumberland County, Pennsylvania. being of sound
and disposing mind and memory, do hereby make, publish and declare this to be my Last Will
and Testament, hereby revoking any and all fonner Wills or Codicils by me made.
I.
I direct that all my just debts, funeral expenses, testamentary expenses and all inheritance
taxes (whether such taxes may be payable by my estate or by any recipient of any properTy) shall
be paid from my residuary estate as soon as practicable after my decease and as part of the
administration of my estate. My Executors shall have no duty or obligation to obtain
reimbursement for any such tax so paid, even though on proceeds of insurance or other properTy
not passing under this Will.
2.
I give the remainder of my tangible personal property, together with all insurance policies
thereon, to such of my sons who survive me by thirty (30) days, to be divided among them as
they may agree or, in the absence of agreement as my cOlporate Executor may deem
appropriate. My Executors shall sell the rest of my tangible personal property and deliver the
net proceeds in equal shares to such of my sons who survive me by thirty (30) days. My
Executors may give away or throw out any property that is not practica1to sell.
3.
I give the residue of my estate (meaning the rest of the property belonging to me at my
death before the payment of any death taxes but not meaning any property over which I then
have only a power of appointment) to Fanners Trust Company of Carlisle, Pennsylvania, Cole
B. Price. m, James L. Price and Morgan B. Price in trust for the uses and purposes set forth
in a cenain Amended and Restated Trust Agreement dated October 21, 1988, and amended
January 23. 1992. and all amendments thereto in which I am designated as Settlor; provided.
however. that if a share in the principal or income of my residuary estate is distributable to a

beneficiary under said Trust Agreement as soon as received by the Trustees. my Executors may
make distribution directly to such beneficiary.

I direct that all estate and inheritance taxes and generation skipping transfer taxes on
direct skips that are assessed by reason of my death (including any interest and penalties
thereon), shall be paid out of the principal of my residuary estate or if none, the Generation
Skipping Trust created under the aforesaid Trust Agreement, except that the amount, if any, (a)
by which the estate and inheritance taxes shall be increased as a result of the inclusion of
property in which I may have a qualifying income interest for life or over which I mar have a
power of appointment. and (b) of generation skipping transfer taxes caused by a disclaimer or
by a direct skip from a trust not established hereunder, shall be paid by the person holding or
receiving said property.

I authorize and empower my Executors and Trustees, in their sole and absolute
discretion, to purchase or otherwise acquire and retain any investments of which I die seized or
any real or personal propeny of any nature; to sell. lease, pledge, mongage, transfer, exchange,
dispose of or grant options in regard to any or all property of any kind forming a pan of my
estate for such terms and such prices as they may deem advisable; to borrow money for any
putpOses connected with the protection and preservation of my estate; to mongage or pledge any
real or personal property forming a pan of my estate or to join in or secure the parotion of
same; to compromise any claims or demands of my estate against others or of others against my
estate; to make distribution in kind and to cause any share to be composed of cash, property or
undivided fractional shares in property different in kind from any other share; and to execute
and deliver such instruments as may be necessary to carry out any of these powers.

I appoint Farmers Trust Company of Carlisle, Pennsylvania. and my sons, Cole B. Price.
m, James L. Price and Morgan B. Price. Executors under this Will. My corporate Executor
shall be compensated as provided in any fee agreement between me and it. or if none, as my

individual Executors shall be in addition to that paid to any corpol1lte Executor. No bond or

TRUST AGREEMENT
This Trust Agreement is made on this ~ day of October,
1988, between Cole B. Price, Jr. ("Settlor"), and Farmers Trust
Company, Cole B. Price, III, James L. Price and Morgan B. Price
("Trustees") .
WIT N E SSE T H :
Settlor hereby transfers and delivers to Trustees the
property listed on the attached Schedule A, the receipt of which
is hereby acknowledged by Trustees. Trustees shall hold and
manage such property in trust, as well as any other property that
is a part of this trust or that may be added to this trust for
the following uses and purposes:
I. DISTRIBUTION DURING SETTLOR'S LIFETIME. During the
lifetime of Settlor:
A. The net income shall be paid to him in quarterly
or other convenient installments.
B. As much of the principal as he may from time to
time request in writing shall be paid to him or to
any other person or organization, including the
entire exhaustion of principal.
C. As much of the principal as Trustees may from time
to time deem advisable for his health, maintenance
and support shall be paid to him or shall be
applied for his benefit by Trustees.

ARTICLE B. GENERATION SKIPPING TRUST. Trustees shall
hold in trust those assets to which settlor's Executors
have allocated the exemption from the generation
skipping transfer tax pursuant to section 2631(a) of
the Internal Revenue Code of 1954 or the corresponding
provision of any successor federal tax law, which shall
be administered as follows:
1. If settlor's wife survives him and if Settlor and
his wife have not been divorced or estranged,
thereafter during her lifetime or until her

earlier remarriage, the net income shall be paid
to her in quarterly or other convenient
installments.
2. Upon the death or earlier remarriage of Settlor's
wife (or if Settlor's wife does not survive him or
if Settlor and his wife have been divorced or
estranged) all funds then held in trust under this
Article B shall be divided into equal trusts, so
there will be one trust for each child of Settlor,
either then living or then dead leaving issue to
survive, and thereafter said trusts shall be
administered as follows:
8. The net income from each trust shall be paid
to the beneficiaries, applied for their
benefit or accumulated as corporate Trustee
may determine.
b. As much of the principal of each trust as
corporate Trustee may determine shall from
time to time be paid to or applied for the
health, maintenance, support or education of
the beneficiaries.
c. At the death of each child (or at the time
for setting apart his share in the case of
each child who dies before that time),
Trustees shall distribute his share as such
child may appoint by will, expressly
referring to the power of appointment hereby
created. Such appointment shall be limited
to such child's spouse and to descendants of
such child or of Settlor. Any appointment to
such child's spouse shall be limited to
income only and shall not include the
appointment of any principal of said Trust,
which principal can only be appointed to
descendants of such child or of Settlor. In
default of the effective exercise of this
power by any child, the trust shall be
distributed per stirpes among such child's
then living issue. In case any of Settlor's
children should die without issue, the trust
for such child shall be distributed equally
among the trusts for Settlor's other
children. If such a trust has terminated
previously, the share distributable to such
trust shall be distributed instead to the
issue then living of the child for whom such
trust was established, per stirpes.

d. If all of Settlor's children should die
without issue, the trust shall be distributed
to Settlor's heirs under the intestate laws
of the commonwealth of Pennsylvania.
3. In the exercise of its discretion with respect to
the accumulation of income and the use of
principal for any beneficiary, corporate Trustee
may take into account other property and income
available to such beneficiary. In so doing,
corporate Trustee may rely conclusively on
written representations made to it by such
beneficiary, and the judgment of corporate Trustee
as to the amount of income accumulated nnd
principal so used and the extent to which other
resources are considered shall be conclusive as to
all parties in interest.
4. Notwithstanding anything herein to the contrary,
no beneficiary, whether having a vested or
contingent interest, who is also a Trustee, 'shall
participate in any discretionary decision relating
to his or her right in or to income or principal
or the division of tangible personal property or
in any determination of his or her capacity, in
which cases the decision of the corporate Trustee
shall control.
ARTICLE C. RESIDUARY TRUST. Trustees shall hold the
assets remaining herein, if any, after setting aside
the sum required for the Generation Skipping Trust in
trust, to be called the Residuary Trust, which shall be
administered as follows:
1. If Settlor's wife survives him and if Settlor and
his wife have not been divorced or estranged,
thereafter during her lifetime or until her
earlier remarriage, the net income shall be paid
to her in quarterly or other convenient
installments.
2. Upon the death or earlier remarriage of Settlor's
wife (or if Settlor's wife does not survive him or
if Settlor and his wife have been divorced or
estranged) all funds then held in trust under this
Article C shall be distributed free of trust to
Settlor's issue, per stirpes.

III. YOUNG OR DISABLED BENEFICIARIES. If any person
entitled to a share of any income or principal under
this Trust Agreement is, in the opinion of Trustees,
disabled, or under the age of thirty-five (35) years at
the time of distribution to him or her, and if the
value of any such share is more than the amount that
may be paid to him or her or in his or her behalf
without the appointment of a guardian or other
fiduciary or the delivery of security, corporate
Trustee shall retain such share in trust, and expend as
much of the income and principal as corporate Trustee
may deem appropriate to provide amply for the needs of
such beneficiary. Any income not so expended shall be
accumulated and paid, together with the remaining prin-
cipal, to the beneficiary upon reaching age thirty-five
(35) or, in the opinion of corporate Trustee, upon
becoming free of disability, or to the said bene-
ficiary's estate if he or she dies before reaching that
age. Notwithstanding the foregoing, if said share is
or becomes of such value that, in the judgment of
corporate Trustee, it shall be uneconomical or
otherwise inappropriate to set up or continue the
trust, corporate Trustee may, in its absolute discre-
tion, distribute said share directly to the beneficiary
or to any other person deemed suitable by corporate
Trustee (in which case the receipt of the beneficiary

or other peroon shall be a full acquittance to
corporate Trustee), or deposit such principal and any
accumulated income in an interest-bearing bank account
for the beneficiary, with or without restrictions as
corporate Trustee may deem appropriate.
1. Notwithstanding the foregoing, each trust
hereunder shall terminate not later than twenty-
one (21) years after the death of the last
survivor of Settlor's descendants living at the
time of the execution of this Trust Agreement, and
the assets shall be distributed free of trust to
the beneficiary thereof.
IV. PROTECTION OF BENEFICIARIES. The interest of the
beneficiaries hereunder, until actually distributed,
shall not be subject to anticipation or to voluntary or
involuntary alienation.
V. TRUSTEES' POWERS. Any Trustee may resign at any time
without court approval. All Trustees acting under this
Agreement, whether or not named herein, in addition to
the powers granted to them by law and by other
provisions hereof, may exercise the following powers,
which shall continue after termination of the trusts
provided for herein until actual distribution of the
assets:
1. To retain and invest in any property, inclUding by
way of illustration and not by way of limitation,
common stock up to one hundred (100%) percent of
Settlor's trusts, stock of corporate Trustee or
any affiliated or subsidiary corporations thereof,
any common or diversified trust funds maintained
by corporate Trustee, certificates of deposit of
corporate Trustee and any form of life insurance,
annuity or endowment policies. In so doing,
Trustees may act without restriction to legal

investments and without responsibility for
diversification. Trustees may also keep reason-
able amounts of cash uninvested.
2. To sell any real or personal property at public or
private sale, for cash or credit, with or without
security; and to exchange, repair, improve,
partition or lease real property without restric-
tions as to time, and give options for sales,
leases and exchanges.
3. To compromise claims.
4. To borrow money, and to mortgage or pledge any
property.
5. To make distributions in cash or in kind or partly
in each. Any property distributed in kind shall
be distributed at the lower of (a) its value at
the time of distribution or (b) its value as
finally determined for federal estate tax
purposes. Distributions in kind shall be made
proportionately among the distributees.
6. To subscribe for stocks, bonds or other invest-
ments; exercise any stock options or similar
right; join in any plan of lease, mortgage,
merger, reorganization, consolidation, foreclosure
or voting trust and deposit securities thereunder;
register securities in the name of the nominee of
corporate Trustee; and generally exercise all the
rights of security holders of any corporation.
7. To retain and pay agents, employees, accountants
and counsel (including but not limited to
investment counsel) for advice or other profes-
sional services; no fiduciary acting hereunder,
however, shall be obligated to follow any such
advice.
8. To hold, manage, invest and account for separate
trusts either as separate funds or in one or more
consolidated funds in which each trust shall own
an undivided interest.
9. Unless Settlor in his Will shall direct otherwise
by express reference to this Trust Agreement, to
pay all estate and inheritance taxes and genera-
tion skipping transfer taxes on direct skips that
are assessed by reason of Settlor's death
(including any interest and penalties thereon) out
of the principal of Settlor's residuary estate,

which shall be borne by the above Residuary
Trust, or if none, the above Generation Skipping
Trust, except that the amount, if any, (a) by
which the estate and inheritance taxes shall be
increased as a result of the inClusion of property
in which Settlor may have a qualifying income

power of appointment, and (b) of generation
Skipping transfer taxes caused by a disclaimer or
by a direct skip from a trust not established
hereunder, shall be paid by the person hOlding or
receiving said property.
lO. To add to the principal of any trust created
hereunder any property received from any person by
deed, Will or otherwise.
11. To determine whethel: any receipt or disbursement
should be allocate to income or principal or
partly to each, except that all stock dividends
shall be allocated to principal and fractional
shares shall be rounded up to full shares. All
income undistributed at a beneficiary's death
shall be treated as if it had accrued after his or
her death.
l2. To claim any expense of administration of
Settlor's estate as an income tax deduction
whenever and to the extent that in Trustees' sole
jUdgment such action will achieve an overall
reduction in income and death taxes of Settlor's
estate. No compensating adjustments among
beneficiaries or as between income and principal
shall be required or made as a result of such
action.
l3. To perform the terms of a certain Antenuptial
Agreement dated October 10, 1985, entered into by
Settlor, and to execute all documents necessary to
effectuate the purposes of said agreement.
14. To make such elections and allocations under the
tax laws as Trustees in their absolute discretion
deem advisable, including allocating Settlor's
generation skipping transfer tax exemption.
Elections and allocations shall be made without
regard to the relative interests of the bene-
ficiaries, and shall be conclusive upon all
affected persons. Trustees should be guided by
Settlor's desire to minimize the estate tax
payable by his estate. No adjUstment shall be
made between principal and income or in the

relative interests of the beneficiaries to
compensate for the effect of elections or
allocations under the tax laws made by Trustees.
15. To relinquish by instrument in writing, in whole
or in part, any power given to them by law or
under any provision of this Trust Agreement,
provided that such relinquishment shall not bind
their successors unless similarly relinquished in
writing.
VI. COMPENSATION. corporate Trustee shall be compensated
for its services hereunder as provided in any fee

AMENDMENT TO TRUST AGREEMENt

WITNESSETH:
Whereas, Settlor created a certain trust by agreement (the .Agreement"), dated
October 21, 1988, between himself and FARMERS TRUST COMPANY, COLE B. PRICE,
III, JAMES L. PRICE, AND MORGAN B. PRICE as Trustees;
Whereas, under the provisions of paragraph VII of the Agreement, Settlor retained
the right to change the Agreement in any manner that he may desire; and
Whereas, Seltlor now wishes to exercise that retained right by amending the
Agreement in whole.
Now, Therefore, effective immediately, the Agreement is amended in whole as
follows:
1. Sections I through vm are deleted in their entirety and the following paragraphs
are substituted therefor:

I. DlSTRIBUTlON DURING SElTLOR'S LIFETIME. During the lifetime of Seltlor:
A, The net income shall be paid to him in quarterly or other convenient
installments or shall be applied for his benefit by Trustees.
B. As much of the principal as he may from time to time request in writing shall
be paid to him or to any other person or organization, including the entire
exhaustion of principal.
child shall be distributed equally among the trusts for Settlor's
other children. If such a trust has terminated previously, the
share distributable to such trust shall be distributed instead to the
issue then living of the child for whom such trust was
established, per stirpes.
d. If all of Seulor's children should die without issue, the trust
shall be distributed to Settlor's heirs under the intestate laws of
the Commonwealth of Pennsylvania.
2. In the exercise of its discretion with respeclto the accumulation of
income and the use of principal for any beneficiary, corporate Trustee
may take into account other property and income available to such
beneficiary. In so doing, corporate Trustee may rely conclusively on
wriuen representations made to it by such beneficiary, and the
judgment of corporate Trustee as to the amount of income accumulated
and principal so used and the extent to which other resources are
considered shall be conclusive as to all parties in interest.
3. Notwithstanding anything herein to the contrary, no beneficiary,
whether having a vested or contingent interest, who is also a Trustee,
shall participate in any discretionary decision relating to his or her right
in or to income or principal or the division of tangible personal
property or in any determination of his or her capacity, in which cases
the decision of the corporate Trustee shall control.
ARTICLE B. REMAINlNG ASSETS. All assets remaining, if any, after funding the
Trust described in Article A above and after paying all taxes and other expenses of
administering Settlor's estate shall be distributed free of trust to Settlor's issue, per
stirpes.
Ill. YOUNG OR DISABLED BENEFICIARIES. If any person entitled to a share of any
income or principal under this Trust Agreement is, in the opinion of Trustees,
disabled, or under the age of thirty-five (35) years at the time of distribution to him
or her, and if the value of any such share is more than the amount that may be paid
to him or her or in his or her behalf without the appointment of a guardian or other

the powers granted to them by law and by other provisions hcreof, may cxcrcise the
following powers, which shall continue aftcr termination of thc trusts provided for
herein until actual distribution of the assets:
1. To retain and invest in any property, including by way of illustration
and not by way of limitation, common stock up to one hundred (100%)
percent of Settlor's trusts, stock of corporate Trustee or any affiliated
or subsidiary corporations thereof, any common or diversified trust
funds maintained by corporate Trustee, certificates of deposit of
corporate Trustee and any form of life insurance, annuity or
endowment policies. In so doing, Trustees may act without restriction
to legal investments and without responsibility for diversification.
Trustees may also keep reasonable amounts of cash uninvested.
2. To sell any real or personal property at public or private sale, for cash
or credit, with or without security; and to exchange, repair, improve,
partition or lease real property without restrictions as to time, and give
options for sales, leases and exchanges.
3. To compromise claims.
4. To borrow money, and to mortgage or pledge any property.
5. To make distributions in cash or in kind or partly in each. Any
property distributed in kind shall be distributed at the lower of (a) its
value at the time of distribution or (b) its value as finally determined
for federal estate tax purposes. Distributions in kind shall be made
proportionately among the distributees.
6. To subseribe for stocks, bonds or othcr investmcnts; exercise any stock
options or similar right; join in any plan of lease, mortgage, merger,
reorganization, consolidation, foreclosure or voting trust and deposit
securities thereundcr; register securities in thc name of the nominee of
corporate Trustee; and generally exercise all the rights of security
holders of any corporation.
7. To retain and pay agents, employees, accountants and counsel
(including but not limited to investment counsel) for advice or other
professional services; no fiduciary acting hcreundcr, however, shall be
obligated to follow any such advice.

8. To hold, manage, invest and account for separate trusts either as
separate funds or in one or more consolidated funds in which each trust
shall own an undivided interest.
9. Unless Settlor in his Will shall direct otherwise by express referenee to
this Trust Agreement, to pay all estate and inheritanee taxes and
generation skipping transfer taxes on direct skips that are assessed by
reason of Settlor's death (including any interest and penalties thereon)
out of the principal of Settlor's residuary estate, which shall be borne
by the assets described in Article B above, or if none, the above
Generation Skipping Trust, except that the amount, if any, (a) by which
the estate and inheritanee taxes shall be increased as a result of the
inclusion of property in which Settlor may have a qualifying income
interest for life or over which Settlor may have a power of
appointment, and (b) of generation skipping transfer taxes eaused by a
disclaimer or by a direct skip from a trust not established hereunder,
shall be paid by the person holding or receiving said property.
10. To add to the principal of any trust created hereunder any property
received from any person by deed, Will or otherwise.
11. To determine whether any receipt or disbursement should be allocate to
income or principal or partly to each, except that all stock dividends
shall be allocated to principal and fractional shares shall be rounded up
to full shares. All income undistributed at a beneficiary's death shall
be treated as if it had accrued after his or her death.
12. To claim any expense of administration of Seulor's estate as an income
tax deduction whenever and to the extent that in Trustees' sole
judgment such action will achieve an overall reduction in income and
death taxes of Settlor's estate. No compensating adjustments among
beneficiaries or as between income and principal shall be required or
made as a result of such action.
