I. TRACY IlILLIAM GHEENLUND. of Cumberland County,
Pennsylvania, declare this to be my '({ill and hereby revoke all
prior wills and codicils made by me.
1. I bequeath to my wife. Joan Evans Greenlund. if she
survives me. all of my furniture and furnishings. automobiles,
and property of a personal nature such as clothing, jewelry, and
the like. together with the insurance thereon.
2. If my wife survives me, then all the rest of my
property. of whatever nature and wherever situated, including
property over which I hold a power of appointment. shall be divided
into two parts. One part, which shall be known as Trust A. shall
consist of such fractional portion of my estate passing under this
oaragraph as may be needed to obtain the maximum marital deduction
in determining the federal estate tax of my estate, after taking
into account all other items of my gross estate, whether passing
under this will or otherwise, that qualify for said deduction.
In computing the value of the property, if any. passing under
this clause. the final determination in the Federal Estate Tax
proceedings shall control. and only assets that qualify for said
deduction shall pass under this clause. The other part, which shall
be known as Trust B shall consist of the remaining portion of my
estate passing under this paragraph. In the event that my wife does
not survive me, but there are children of mine or their issue who
survive me, then all of the said rest of my property shall be known
as Trust B. I bequeath, devise and appoint the entire property

passing under this paragraph to my trustee, to hold in trust in
accordance with the following terms and conditions:
(a) To pay the net income from both Trust A
and Trust B to my wife for her life in such in-
stallments as my trustee may determine, but not
less frequently than quarterly.
(b) To pay to my wife frorr. time to time such
portions of the principal of either Trust A or
Trust B or bth as may be necessary to maintain
for her a standard of living approximately equal
to that maintained by us during my lifetime and
to meet any expenses caused my emergencies such
as serious illness or accident. It is my desire
that insofar as possible all invasions of principal
hereunder shall be made from Trust A.
(c) Upon the death of my wife, to distribute
the total sum then held in Trust A as she may by
will appoint. The power to make such appointment,
the conditions to which it is subject, and the
permissible beneficiary shall be without restric-
tion or qualification of any kind. To the extent
that my wife shall fail to exercise her power of
appointment hereunder, the property in Trust A
shall, at her death, be added to and distributed

Elizabeth Greenlund Moore of Lower Allen Tovmship,
Pennsylvania, or, if she is not then living, to her
issue per stirpes, one-fourth to my brother, Arnold
Foster Greenlund, of Los Angeles, California, or if
he is not then livinG to his issue per stirpes, one-
sixth to my wife's brother, Hobert I. Evans of
Deerfield, Illinois, or if he is not then living
to his issue per stirpes, one-sixth to my wife's
brothen David F. Evans of Haddon Heights, New
Jersey, or if he is not then living to his issue
per stirpes, and one-sixth to my wife's brother,
H. Thomas Bvans, of \'/est Simsbury, Connecticut,
or if he is not then livine; to his issue per
stirpes.

7. In the administration of my estate and the trusts
created in this will, the fiduciaries named herein shall have the
following powers. in addition to such powers as they may have by law:
(a) '1'0 retain all or any part of my property, real
or personal, in the form in which it may be at the time
of my decease, includinr, any business owned or controlled
by me, or any closed corporation, partnership. or family
enterprise in I~hich I have an interest. as long as in
the exercise of their discretion it may be advisable
so to do, notwithstanding that said property may not
be of a character authorized by law, and to operate any
such business as a sole proprietorship. partnership or
corporation; provided, however, that they shall abide
by the terms of any valid and enforceable Buy and Sell
Agreement~th respect to any stock in Tracy Engineers, Inc.
(b) To invest and reinvest any funds in my estate or
the trusts created in this will in any property, real or
personal, even though such property would not be considered
appropriate or legal for fiduciaries apart from this pro-
vision, it being my intention to give my fiduciaries the
same power of investment and reinvestment which I would
possess if present and acting. Without limiting the fore-
going, this shall specifically include the power to hold
contracts of insurance in Trust B hereunder.
(c) To sell, convey, exchanf,e, partition, give op-
tions upon, or otherwise dispose of dony property, real or
personal, at any time held by them, dot public or private
sale or otherwise, for cash or other consideration or on
credit. and upon such terms and for such price as they may
detennine.

with the administration of my estate or the trusts created
in this will. to execute promissory notes or other obliea-
tions for amounts so borrowed. and to secure the payments

(e) To mClke loans. secured or unsecured. in such
amounts. upon such terms. at such rates of interest. and
to such persons. finns or corporations as they may deem

estate or the trust. for as long a period or periods of
time. and on such terms, as they may determine. and to ad-
just. settle and arbitrate claims or demands in favor of
or against my estate or the trust created in this will.
(g) In dividing or distributing any property. real
or personal. included herein. to divide or distribute in
cash. in kind, or partly in cash and partly in kind. as
they milY determine, and to that end to allot specific
securities or other property or an undivided interest

(h) To hold. manage. and develop any real estate which
may be held by them at any time. to mortf,ilge any such prop-
erty in such amounts and or. such terms as they may deem

voting trust, consolidation or exchange, and to deposit
