1. I nominate, conntitute and appoint S. Joseph !,!oomaw, Esquire, Camp Hill,
Pennsylvania, to be Executor of thin, my last Hill and 'l'estament. Should a
substitute or succesnor Executor be required, I nominate, conntitute and appoint
as such Cumberland COWlty National Bank, New Cumberland, Pennsylvania, or its
successor corporation. I direct that my said Executor shall not be required to
give bond for the faithful performance of his duties hereunder in this or any
other jurisdiction, and that if, notwithstanding this direction, any bond is
required by any law, statute or rule of court, no surety be required thereon.
II. I bequeath to my niece, Patricia Hornby, who, at the time of execution
of this last Hill and Testament, resides at 2 Hilton Villas, New North Road,
London, N.I. DN, England, the sum of five thousand dollars ($5,000.00). It is
my express direction that this bequest shall be free of all inheritance or es-
tate taxes, it being my direction that all such taxes which may be assessed as
the result of my death shall be paid out of my residuary estate.
III. All the rest, residue and remainder of my property and estate, of
whatsoever kind and whercsoever situate, of which I shall die seized 01' possessed,
or of which I shall be entitled to dispone at the time of my death, I give, de-
vise and bequeath to my son, Albert F. Stidman, Falls Church, Virginia, the same
to be his abnolutely. Should my naid son not be living at the time of my death,
my entirc rcniduary cstate nhall pass instead in equal nhares to my then surviv-
ing grandchildren.

YOU ARE HEREBY NOTIFIED, pursuant to Rules 23 and 23.1 of the Federnl Rules of Civil Procedure, and an order of the
United States District Coun for the Southern District of California (the "Coun"), that the parties have reached a settlement of nil
claims, including nil class action claims and nI\shareholder derivative action claims (the "Settlement") assened in the above.entitled
action (the "Action"). The Settlement 15 described below.
I. SUMMARY
This section is a summary of the Action and the Settlement. PLEASE READ THE ENTIRE NOTICE CAREFULLY.
Plaintiffs filed the Action against Investors Trust, as the Investors Trust Government Fund, a series of Investors Trust (the
"Fund") and its adviser and sub-adviser, among others, Plaintiffs have alleged that the Fund, contrary to its stated investment
policies and disclosures, invested in 50-called derivalive securities (the "Challenged Investments") including, for example,
collateralized mongage obligations. .
Plainliffs have reached a proposed settlement with the Fund and the olher defendanlS which calls for payment of S7,3 million to
the plaintiff class. This sum is a negotiated figure which reOects the uncenainties in litigating the Action, the defenses assened by
the defendants, and the potential range of damages which the plaintiff class might have been able to establish at trial.
Between October 31, 1993 and November 8, 1994, the net asset value pcr share dropped over 17% per share representing a :
loss to the entire Fund in the range of $200 million. Market conditions, including a rising intercst rale environment which ,.
adversely affected all bond funds, were responsible for a substantial ponion of this decline.
Damage studies evaluated by the plaintiffs, their counsel, and their expens have concluded that the total loss to the Fund due to
the Challenged Investments was only $27 million. This sum 'may have been subject to a reduction to the range of 518 to 520
million to reflect the losscs all bond funds suslained in 1994 due to inleresl rate changes and uther markel faclOrs, Defendants
claim that even if the class were successful in establishing liability, lhe damages wuuld be subjecl to addilional offsets that may
have funher reduced damages to the range of 57 million to SIO milliunto reflectlhe losses suslained by olher investments in which
the Fund could properly have invested, including mongage.backed pass.lhrough certificales, While the 57,3 million selllement
represents roughly 3,5 % of the entire 1055 to the Fund, it represents 27 % of lhe loss arguably allribulable to the Challenged
Inveslments. Moreover, the S7.3 million selllement rcpresents up to 100% of the damages that Defendants argue could be
recovered cven if Plaintiffs wcre successful in proving that the Challenged Investments were improper.
The proposed senlement includes a provision thaI class members who do not request exclusion from the class will waive all
claims they might have regarding all losses (from the Challenged Investments and all olher inve511ncnts) suslained by the Fund
during the class period, against all Defendants and all persons who sold these invesunents to you, including but nOl limited to
banks, financial inslitutions, investment advisers, and brokers, Class counsel did not plead claims relating to the losses to the Fund
other than those caused by the Challenged Inveslments, and did not invesligate thc circumstances surrounding each individual
investor's purchase of Fund shares whether from a bank, financial instilulion, investment adviser, broker, or otherwise. Therefore,
each class member mUSl make his or hcr own evaluation (independent of that made by the class representatives) as to whether under
his or her own panicular circumstances he or she should waive any such claims,
All investors of the Fund who either purchased or held any Fund shares during the class period, and who sustained losses as a
result lhereof, are eligible to receive a share of lhe Selllement provided the Selllemenl is approved by the Coun and the investor
timely returns a compleled claim form in the manner sel forth below,
IF YOU DO NOT WANT TO PARTICIPATE IN TIlE SETTLEMENT, YOU MAY REQUEST TO BE EXCLUDED FROM
THE PLAINTIFF CLASS, ALL INVESTORS WHO DO NOT REQUEST TO BE EXCLUDED FROM TIlE PLAINTIFF
CLASS IN THE MANNER SET FORTH BELOW WILL DE DEEMED TO HAVE RELEASED ALL CLAIMS, INCLUDING
ANY POTENTIAL CLAIMS, WHICH THEY MAY IIA VE AGAINST TIlE FUND, OR ANY OF TIlE OTHER
DEFENDANTS, OR ANY DANK, FINANCIAL INSTITUTION, OR DROKER, OR TIIEIR AGENTS OR EMPLOYEES,
RELATING TO THE INVESTOR'S PURCHASE OF FUND SHARES. IF YOU DO NOT WANT TO PARTICIPATE IN THE
SETTLEMENT AND YOU DO NOT WANT TO RELEASE ALL CLAIMS YOU IIAVE OR MAY HAVE AGAINST TIIESE
ENTITIES, YOU MUST SUBMIT A WRITTEN REQUEST FOR EXCLUSION FROM THE PLAINTIFF CLASS ON OR

The AClion also includcs a shareholder derivative claim on behalf of the Fund alleging that the defendants caused the Fund to
invest in the Challenged Investments. The selllement of this claim will result in several changes to the operation of the Fund.
