County, Pennsylvanin, declare this to he my lust will and testament
and revoke nIl wills which I have previously made,
I I give, devise and hequenth my entire estate, real
and personal, wherever situated unto my isstte per stirpes, absolutely
and in fee simple.
II Any share of my estate which shall become distri-
butable to a beneficiary not of full legal age shall be held in a
federally insured savings account in the name of the beneficiary and
marked not to be withdrawn until the beneficiary attains the age of
18 years or on order of a court of competent jurisdiction.
III I appoint as executor of this my last will and
testament my son, Norris McCoy; if for any reason he shall fail to
qualify or cease to act as such during the administration of my estat ,
I appoint my daughter, Romaine ~Iackey, as alternate executrix of this
will; if for any reason she shall fail to qualify or cease to act as
such during the administration of my estate, I appoint Farmers Trust
Company of Carlisle, Pennsylvania, as second alternate executor of
this my last will and testament,

WHEREAS, each of the above identified parties in interest
are entitled (0 equal distributive shares of the net residuary
estate;
WHEREAS, each of the parties to this Agreement has been
furnished with a complete listing of the estate assets, receipts
and disbursements as set forth in the Pennsylvania Inheritance
Tax Return, accepted by the Department of Revenue as filed,
attached hereto and marked as Exhibit "A"; and in the informal
final account summarization attached hereto and marked as Exhibit
liB;"
WHEREAS, the parties to this Agreement each acknowledge to
having received a Schedule of Distribution included within
Exhibit "B," attached hereto; and
WHEREAS, each of the parties to this Agreement does
acknowledge having received from the Executor the distributive
gifts set forth in said Exhibit "B;" and
WHEREAS, it is the desire of the parties to this Agreement
that final distribution of this estate be accomplished without a

formal accounting to the Orphans' Court Division of the Court of
Common pleas of Cumberland County, it being the desire of the
parties to avoid the expense. delay and publicity of a formal
accounting.
NOW THEREFORE WITNESSETH. in consideration of the mutual
promises. covenants and agreements recited herein the parties do
agree as follows:
l. Each party does hereby acknowledge receipt of the
gifts described as distributions of principal and interest shown
in said Exhibit "8" hereto.
2. Each party does hereby waive the filing of a formal
First and Final Account and Schedule of Distribution.
3. Each party to this Agreement does hereby release
and forever discharge Norris O. McCoy from any and all liability
which may from time to time arise in connection with his services
as Executor of the Estate of Rilda O. McCoy, Deceased; and the
parties do further agree to indemnify and hold harmless said
Norris 0, McCoy, Executor from any and all liability which may
arise against the estate from creditors or other claimants.
4. Each party does hereby agree to be jointly and
severally liable for any proper liabilities of the estate which
should hereafter come to the attention of the Executor or any of
the other parties hereto. and to reimburse on a prorata basis
payment for such obligations of the Estate, if any.
5. Each party to this Agreement acknowledges that this
Agreement may be executed in multiple counterparts and one shall

wealth of Pennsylvania, and have been actively engaged in
the Real Estate profession for mony yoars. Wo are familiar
with real estate values in Carlisle and surrounding areas,
On August 13, 1996, we inspected the property at 200
Shughart Avenue, Boiling springs, Pa., to determine the
market value for inheritance tax purposes as of July 28,
1996, the date of death of Rilda A McCoy.
Market Value is defined as the highest price estimated in
terms of money which the property will bring if exposed for
sale in the open market, allowing a reasonable time to find
a purchaser who buys with the knowledge of all the uses to
which it is capable of being used. The highest and best use
of the property in our opinion ie its preeent use as a

The within transaction Is excluded from the Imposition of Pennsylvania and
similar realty transfer taxes under Realty Transfer Tax law and case law.
Specifically, Section 1102-c,3.(7) and (6) of the Act (72 P,S, Section 8102-
c.3.(7) and (6)) respectively exclude a transfer for no or nominal actual consideration
by testate succession from the personal representative of a decedent to the
decedent's devisees; and a familial transfer from said beneficiaries, who are brothers
and sisters, to one of them.
This transaction is structured In two corresponding steps: (1) the personal
representative is distributing the real property In-kind to the residuary beneficiaries
named in the decedent's Will In equal undivided Interests; and (2) these beneficiaries
(the siblings) are in tum transferring their undivided Interests to one of them.
A requirement to accomplish the foregoing purpose by recording two separate
tax free deeds Is avoided under the case precedent of BAEHR BROS. V. Com., 487
Pa.233, 239 (1979).
