I, GLADYS L. FREBERG, of 4 Strawberry Drive, Carlisle, Cumberland
County, Pennsylvania, declare this to be my last will and revoke
any will previously made by me.
ITEM ONE: I direct that all my debts and funeral expenses,
including my gravemarker shall be paid from my residuary estate as
soon as practicable after my decease as a part of the expense of
the administration of my estate.
ITEM TWO: I give, devise and bequeath my entire estate as follows:
A. I give the items son the attached list to the persons named
with the designation of the gift.
B. I give, devise and bequeath any automobile that I may own at
the time of my death to my grandson, MATTHEW D. FREBERG.
C. I give, devise and bequeath the sum of TWENTY-FIVE THOUSAND
DOLLARS ($25,000.00) to my son, JOHN A. FREBERG, JR., if he
survives me by 60 days. In the event that he predeceases me or is
not then living on the 6lst day after my death, then I give, devise
and bequeath the sum of TWENTY-FIVE THOUSAND DOLLARS ($25,000.00)
to be divided equally between my grandsons, MATTHEW D. FREBERG and
BRYAN W. FREBERG, per capita.
D. I give, devise and bequeath the sum of FIVE THOUSAND DOLLARS
($5,000.00) to my grandson, DONALD R. FREBERG, JR., if he survives
me by 60 days. In the even that he predeceases me or is not then
living on the 6lst day after my death, then I give, devise and
bequeath the sum of FIVE THOUSAND DOLLARS ($5,000.00) to be divided
equally between my grandsons, MATTHEW D. FREBERG and BRYAN W.
FREBERG, per capita.
E. I give, devise and bequeath the sum of TEN THOUSAND DOLLARS
($10,000.00) to each of my grandsons, MATTHEW D. FREBERG and BRYAN
W. FREBERG.
F. I give, devise and bequeath all the rest, residue and
remainder of my estate, whatever kind and nature, and wheresoever
situated, to my son, DONALD R. FREBERG, if he survives me by 60
days. In the event that he predeceases me or is then not living on
the 6lst day after my death, then I give, devise and bequeath the
rest, residue and remainder of my estate, equally, share and share
alike, to my grandsons, MATTHEW D. FREBERG, and BRYAN W. FREBERG.
G. In the event that my entire estate is less than Fifty Thousand
Dollars ($50,000.00) in value, then ITEM 2(C)(D)(E), and (F) shall
be void and in place of the bequests, as set forth therein, I do
substitute the provisions of this paragraph and do give, devise and
bequeath all the rest, residue and remainder of my estate, whatever
kind and nature, and wheresoever situated, to JOHN A. FREBERG, JR.,
DONALD R. FREBERG, DONALD R. FREBERG, JR., MATTHEW D. FREBERG, and
BRYAN W. FREBERG, equally, share and share alike, per capita.
ITEM THREE: I appoint my son, DONALD R. FREBERG, Executor of this
my last will. Should he fail to qualify or cease to act as
Executor, I appoint CCNB BANK, N.A., or its successor, of New
Cumberland, Pennsylvania, to act as Executor with the same rights,
powers and duties.

ITEM FOUR: The share of any grandchild received pursuant to the
provisions of ITEM TWO, who has not reached the age of 18 years at
the time of my death, shall be held in trust by the CCNB Bank,
N.A., or its successor, of New Cumberland, Pennsylvania, to be held
and administered in accordance with the following conditions:
A. The income and principal of the trust estate shall be applied
for the benefit of such grandchildren to the extent the Trustee, in
its absolute discretion, may from time to time deem necessary or
advisable for the proper care, maintenance, support and education
(including college education, both graduate and undergraduate) of
such minor grandchildren and make payment for these purposes,
without further responsibility, to the beneficiary's parent, the
beneficiary, or to any person taking care of the beneficiary. My
trustee shall have the same powers that I could exercise in
connection therewith if I were living, including but not limited to
those set forth herein.
B. When any such grandchild attains the age of 18 years, his
trust shall terminate and the Trustee shall distribute the
principal of said trust outright and free of the trust to such
grandchild. If the grandchild dies prior to the grandchild' s
reaching the age of 18 years, that grandchild's trust shall be
distributed and divided equally between the then-surviving
grandchildren, if over 18 years of age, or to the then-surviving
grandchildren's trusts created herein to be held pursuant to the
terms, powers, duties and conditions as are outlined above.
ITEM FIVE:
A. Notwithstanding anything herein to the contrary, the trusts
under this instrument shall terminate on the date preceding the
21st anniversary of the death of the last survivor of my
descendants living on the date of my death. At that time, the
Trustee shall distribute each remaining portion of the trust
property to the then-current beneficiary or beneficiaries of the
income thereof and, if there is more than one beneficiary, in the
proportions in which they are beneficiaries.
B. No interest under this instrument shall be transferable or
assignable by any beneficiary, or be subject during its life to the
claims of his creditors.
C. The Trustee either may expend directly any income or principal
which it is authorized in this instrument to use for the benefit of
any person, or may pay it over to him for his use to his parent or
guardian, or to any person with whom he is residing. The receipt
by any such person shall be a complete discharge to the Trustee who
shall not be responsible for the application of such payment.
D. If any income or principal becomes distributable to a minor,
the Trustee may in its absolute discretion pay all such income or
principal to the guardian of the property of such minor, or retain
such income or principal for such minor during minority. In case
of such retention, the Trustee Inay apply such income or principal
to the support, comfort, and education of such minor. Any
unapplied principal and income shall be paid over to such minor
upon his attaining majority, or, if he shall die before attaining
majority, to his estate. In holding these funds for any minor, the
Trustee shall have all the powers and discretions conferred upon
him under this instrument.

E. The Trustee shall not be required to obtnin nuthor i ty or
approval of any court in the exercise of any power permitted under
this instrument. The Trustee shall not be roquired to rile
accountings with any court.
F. No person dealing with the Trustee IIhall ho ohUgated to
inquire into the Trustee's power or authority or into tho vaUdity
of any act of the Trustee, or be liable for tho application of any
money paid to the Trustee in the management of tho trust fundll.
G. Any trust created hereunder which hall the IIIJCjro<Jnte principal
value of $10,000 or less may, but need not be, terminllted in the
discretion of the Trustee. In such event, tho 'I'rulltee shall
distribute the assets thereof in his poollellalon to the then-current
beneficiary or beneficiaries of the income nnd, H more than one
beneficiary is so entitled, in the proportionn In which they are
beneficiaries.
ITEM SIX: In addition to any powero given by law or otherwise, and
not by way of limitation of any nuch poworn, my Executor and
Trustee are authorized and empowered, at IInytime IInd from time to
time, in their absolute discretion I
A. To hold and retain all or any property received from my estate
or any other source, without regard to any lllw or rule of court
concerning diversification, risk, or non-productivity.
B. To invest and reinvest (or leave temporarily uninvested) any
funds in any property, real or personal, of any kind or nature,
including, without limitation, stocks (whether common, preferred,
or otherwise), bonds (secured or unsecured), obligations,
mortgages, other securities, and interests in any of the foregoing
without regard to any law or rule of court prescribing or
restricting investments for fiduciaries.
C. To make any loans, either secured or unsecured, in such
amounts, upon such terms, at such rates of interest, and to such
persons, firms, or corporations, as deemed advisable.
D. To sell, exchange, partition, or otherwise dillpose of any
property, real or personal, at public or private Dale, for such
purposes and upon such terms, including options and sales or
credit, with or without security.
E. To mortgage any real property in ouch amount and on such terms
as deemed advisable1 to lease any ouch property for such term or
terms, upon such conditions and rentaln, and in such manner as
deemed advisable, irrespective of whether the term of any lease
shall exceed the period permitted by lllw or the probable period of
any trust created hereby, and to renew or modify any such lel\ses1
and to make repairs, replacemento, and improvements, structural or
otherwise, of any such property, IInd to charge the expense thereof
in any equitable manner to princlplIl or income, as deemed proper.

G. To renew or extend the time of payment of any obligation,
secured or unsecured, payable to or by the estate of any trust
created hereby for as long a period or periods of time and on such
term as deemed advisable; and to adjust, settle, compromise, and
arbitrate claims or demands upon such terms as deemed advisable.
H. In respect of any stock or other securities forming part of my
estate or any trust created hereby, to vote upon any proposition or
election of any meeting and to grant proxies, discretionary or
otherwise, to vote at any such meeting; to join in or become a
party to any reorganization, readjustment, merger, voting trust,
consolidation, or exchange, and to deposit any such securities with
any committee, depository, trustee, or otherwise, and to payout
any fees, expenses, and assessments incurred in connection
therewith, and to charge the same to principal or income as deemed
proper; to exercise conversion, subscription, or other rights, or
to sell or abandon such rights, and to receive and hold any new
securities issued as a result of any such reorganization,
readjustment, merger, voting trust, consolidation, exchange, or
exercise of conversion, subscription, or other rights; and,
generally, to take all action in respect to any such securities as
could be done by an absolute owner.
I. Whenever required or permitted, to divide or distribute any
property, and to make such division or distribution in kind or in
money, or in part kind and in part money and without regard to the
income tax basis of any such property.
J. To apportion extraordinary stock and liquidating dividends
between income and principal in such manner as shall fairly take
into account the relative interests of the beneficiaries; and to
determine what constitutes such dividends.

K. In connection with making investments, to determine whether to
amortize premiums in whole or in part.

L. To hold and administer the trusts created hereby in one or
more consolidated funds, in whole or in part, in which the separate
trusts shall have undivided interests.
M. To engage attorneys, accountants, agents, custodians, clerks,
investment counsel, and such other persons as deemed advisable, to
make such payments therefor as deemed reasonable, and to charge the
expense thereof to income or principal as equitably determined, and
to delegate to such persons any discretion deemed proper.
N. To exercise all power and authority, including any discretion,
conferred in this instrument, with respect to all accumulations of
income under this instrument and with respect to all property held
under a power in trust.
O. To exercise all power and authority, including any discretion,
conferred in this instrument after the termination of any trust
created herein and until the same is fully distributed.
ITEM SEVEN: All estate, inheritance, succession and other taxes,
imposed or payable by reason of my death, and interest and
penalties thereon, with respect to all property comprising my gross
estate for tax purposes, whether or not such property passes under
this will, shall be paid out of the principal of my residuary
estate, without apportionment or right of reimbursement.

D. To sell at public or private sale, for cash or credit, with or
without security, to exchange or to partition real or personal
property, and to give optionu for leases.
E. To make distribution in kind.
F. To compromise claims.

County, penneylvania, declare thie to be my laet will and revoke
any will previouely made by me.
ITEM ONE: I direct that all my debte and funeral expeneee,
including my gravemarker ehall be paid from my reeiduary estate as
eoon as practicable after my deceaee ae a part of the expense cf
tho adminietration of my estate,
ITEM TWO: I give, deviee and bequeath my entire eetate ae followe:
A. I give the items son the attached liet to the pereone named
with the designation of the gift.
B. I give, devise and bequeath any automobile that I may own at
the time of my death to my grandson, MATTHEW D. FREBERG.
C. I give, devise and bequeath the sum of TWENTY-FIVE THOUSAND
DOLLARS ($25,000.00) to my son, JOHN A. FREBERG, JR., if he
survives me by GO days. In the event that he predeceases me or is
not then living on the Glst day after my death, then I give, devise
and bequeath the sum of TWENTY-FIVE THOUSAND DOLLARS ($25,000.00)
to be divided equally between my grandsons, MATTHEW D. FREBERG and
BRYAN W. FREBERG, per capita.
D. I give, devise and bequeath the sum of FIVE THOUSAND DOLLARS
($5,000.00) to my grandson, DONALD R. FREBERG, JR., if he survives
me by GO days. In the even that he predeceases me or is not then
living on the GIst day after my death, then I give, devise and
bequeath the sum of FIVE THOUSAND DOLLARS ($5,000.00) to be divided
equally between my grandsons, MATTHEW D. FREBERG and BRYAN W.
FREBERG, per capita.
E. I give, devise and bequeath the sum of TEN THOUSAND DOLLARS
($10,000.00) to each of my grandsons, MATTHEW D. FREBERG and BRYAN
W. FREBERG.
F. I give, devise and bequeath all the rest, residue and
remainder of my estate, whatever kind and nature, and wheresoever
situated, to my son, DONALD R. FREBERG, if he survives me by GO
days. In the event that he predeceases me or is then not living on
the Glst day after my death, then I give, devise and bequeath the
rest, residue and remainder of my estate, equally, share and share
alike, to my grandsons, MATTHEW D. FREBERG, and BRYAN W. FREBERG.
G. In the event that my entire estate is less than Fifty Thousand
Dollars ($50,000.00) in value, then ITEM 2(C)(D)(E), and (F) shall
be void and in place of the bequests, as set forth therein, I do
substitute the provisions of this paragraph and do give, devise and
bequeath all the rest, residue and remainder of my estate, whatever
kind and nature, and wheresoever situated, to JOHN A. FREBERG, JR.,
DONALD R. FREBERG, DONALD R. FREBERG, JR., MATTHEW D. FREBERG, and
BRYAN W. FREBERG, equally, share and share alike, per capita.
ITEM THREE: I appoint my son, DONALD R. FREBERG, Executor of this
my last will. Should he fail to qualify or cease to act as
Executor, I appoint CCNB BANK, N.A., or its successor, of New
Cumberland, pennsylvania, to act as Executor with the same rights,
powers and duties.

ITEM FOUR: The share of any grandchild received pursuant to the
provisions of ITEM TWO, who has not reached the age of 18 years at
the time of my death, shall be held in trust by tho CCNB Bank,
N.A., or its succosaor, of New Cumberland, pennaylvania, to be held
and administered in accordance with the following conditions:
A. The income and principal of the trust estate shall be applied
for the benefit of such grandchildren to the extent the Trustee, in
ita abaolute discretion, may from time to time deem necessary or
advisable for the proper care, maintenance, support and education
(including college education, both graduate and undergraduate) of
such minor grandchildren and make payment for these purposes,
without further responsibility, to the beneficiary's parent, the
beneficiary, or to any person taking care of the beneficiary. My
truatee shall have the same powers that I could exercise in
connection therewith if I were living, including but not limited to
those set forth herein.
B. When any ouch grandchild attains the age of 18 years, his
trust shall terminate and the Trustee shall distribute the
principal of said truat outright and free of the trust to such
grandchild. If the grandchild dies prior to the grandchild's
reaching the age of 18 years, that grandchild's trust shall be
distributed and divided equally between the then-surviving
grandchildren, if over 18 years of age, or to the then-surviving
grandchildren's trusts created herein to be held pursuant to the
terms, powers, duties and conditions as are outlined above.
ITEM FIVE:
A. Notwithstanding anything herein to the contrary, the trusts
under this instrument shall terminate on the date preceding the
21st anniversary of the death of the last survivor of my
descendants living on the date of my death. At that time, the
Trustee shall distribute each remaining portion of the trust
property to the then-current beneficiary or beneficiaries of the
income thereof and, if there is more than one beneficiary, in the
proportions in which they are beneficiaries.
B. No interest under this instrument shall be transferable or
assignable by any beneficiary, or be subject during its life to the
claims of his creditors.
C. The Trustee either may expend directly any income or principal
which it is authorized in this instrument to use for the benefit of
any person, or may pay it over to him for his use to his parent or
guardian, or to any person with whom he is residing. The receipt
by any such person shall be a complete discharge to the Trustee who
shall not be responsible for the application of such payment.
D. If any income or principal becomes distributable to a minor,
the Trustee may in its absolute discretion pay all such income or
principal to the guardian of the property of such minor, or retain
such income or principal for such minor during minority. In case
of such retention, the Trustee may apply such income or principal
to the support, comfort, and education of such minor. Any
unapplied principal and income shall be paid over to such minor
upon his attaining majority, or, if he shall die before attaining
majority, to his estate. In holding these funds for any minor, the
Trustee shall have all the powers and discretions conferred upon
him under this instrument.

E. The Truotee ohall not bo required to obtain authority or
approval of any court in the exorcioe of any power permitted under
this inotrument. The Truotee shall not be required to file
accountings with any court.
F. No person dealing with the Trustee shall be obligated to
inquire into the Trustee's power or authority or into the validity
of any act of the Trustee, or be liable for the application of any
money paid to the Trustee in the management of the trust funds.
G. Any trust created hereunder which has the aggregate principal
value of $10,000 or less may, but need not be, terminated in the
discretion of the Trustee. In such event, the Trustee shall
distribute the assets thereof in his possession to the then-current
beneficiary or beneficiaries of the income and, if more than one
beneficiary is so entitled, in the proportions in which they are
beneficiaries.
ITEM SIX: In addition to any powers given by law or otherwise, and
not by way of limitation of any such powers, my Executor and
Trustee are authorized and empowered, at anytime and from time to
time, in their absolute discretion:
A. To hold and retain all or any property received from my estate
or any other source, without regard to any law or rule of court
concerning diversification, risk, or non-productivity.
B. To invest and reinvest lor leave temporarily uninvested) any
funds in any property, real or personal, of any kind or nature,
including, without limitation, stocks (whether common, preferred,
or otherwise), bonds (secured or unsecured), obligations,
mortgages, other securities, and interests in any of the foregoing
without regard to any law or rule of court prescribing or
restricting investments for fiduciaries.
C. To make any loans, either secured or unsecured, in such
amounts, upon such terms, at such rates of interest, and to such
persons, firms, or corporations, as deemed advisable.
D. To sell, exchange, partition, or otherwise dispose of any
property, real or personal, at public or private sale, for such
purposes and upon such terms, including options and sales or
credit, with or without security.
E. To mortgage any real property in such amount and on such terms
as deemed advisablel to lease any such property for such term or
terms, upon such conditions and rentals, and in such manner as
deemed advisable, irrespective of whether the term of any lease
shall exceed the period permitted by law or the probable period of
any trust created hereby, and to renew or modify any such leasesl
and to make repairs, replacements, and improvements, structural or
otherwise, of any such property, and to charge the expense thereof
in any equitable manner to principal or income, as deemed proper.
F. To borrow money for any purpose in connection with the
administration of my estate or any trust created herebYl to execute
promissory notes or other obligations for amounts so borrowed, and
to secure the payment of any amounts so borrowed by mortgage or
pledge of any real or personal property.

G. To renew or extend the time of payment of any obligation,
secured or unsecured, payable to or by the eotate of any truot
created hereby for aD long a period or periodo of time and on ouch
term as deemed advisable; and to adjuot, oettle, compromise, and
arbitrate claims or demands upon ouch termo aD deemed advioable.
H. In respect of any stock or other securities forming part of my
estate or any trust created hereby, to vote upon any proposition or
election of any meeting and to grant proxies, discretionary or
otherwise, to vote at any such meeting; to join in or become a
party to any reorganization, readjuotment, merger, voting truot,
consolidation, or exchange, and to deposit any such securities with
any committee, depository, trustee, or otherwise, and to payout
any fees, expenses, and assessments incurred in connection
therewith, and to charge the same to principal or income as deemed
proper; to exercise conversion, subscription, or other rights, or
to sell or abandon such rights, and to receive and hold any new
securities issued as a result of any such reorganization,
readjustment, merger, voting trust, consolidation, exchange, or
exercise of conversion, subscription, or other rights; and,
generally, to take all action in respect to any such securities as
could be done by an absolute owner.
I. Whenever required or permitted, to divide or distribute any
property, and to make such division or distribution in kind or in
money, or in part kind and in part money and without regard to the
income tax basis of any such property.
J. To apportion extraordinary stock and liquidating dividends
between income and principal in such manner as shall fairly take
into account the relative interests of the beneficiaries; and to
determine what constitutes such dividends.
K. In connection with making investments, to determine whether to
amortize premiums in whole or in part.
L. To hold and administer the trusts created hereby in one or
more consolidated funds, in whole or in part, in which the separate
trusts shall have undivided interests.
M. To engage attorneys, accountants, agents, custodians, clerks,
investment counsel, and such other persons as deemed advisable, to
make such payments therefor as deemed reasonable, and to charge the
expense thereof to income or principal as equitably determined, and
to delegate to such persons any discretion deemed proper.
N. To exercise all power and authority, including any discretion,
