LAST WILL AND TESTAMENT
I, AMY K. BRANDT of Upper Mifflin Township, cumberland
county, pennsylvania, declare this to be my Last Will and
Testament and revoke any Will or Codicil previously made by me.
ITEM I: I direct that all my just debts and funeral expenses,
including my gravemarker and all expenses of my last illness,
shall be paid from my residuary estate as soon as practicable
after my decease as a part of the administration of my estate.
ITEM II: I bequeath those articles of my household
furniture and furnishings and those articles of my personal
effects and personal property as set forth in a separate
memorandum, which I shall place with my will or deposit with my
attorney, to the persons therein designated.
ITEM III: I give and bequeath to my grandsons, JEFFREY A.
BRANDT and STEVEN L. DREXLER, or the survivor of them, a sum of
money equal to the remaining amount, if any, payable by them to
me at the time of my death, under a certain installment sale
agreement between them as BUYERS and me as SELLER, dated
F<b(",.'1 2") 1'1 'lb.-, for certain farm real estate situate in Upper
Mifflin Township, Cumberland county, Pennsylvania.
ITEM IV: If I have not accomplished this prior to my death,
I direct that my Executors complete the subdivision process for
three lot additions (which I have commenced) and I give and
devise the lot additions shown on a certain sUbdivision plan

entitled "Land Subdivision for Amy K. Brandt", Mountain and
Brandy Run Roads, dated January 22, 1992, (which lot additions
are designated as Lots 4, 5 and 6 on this plan) as follows: Lot
4 is given as a lot addition to my grandson, RONALD F. BRANDT;
Lot 5 is given as a lot addition to my granddaughter, DIANE L.
DUNSMORE and MICHAEL DUNSMORE (her husband); and Lot 6 is given
as a lot addition to my grandson, JEFFREY A. BRANDT and his wife
GAIL BRANDT.
ITEM V: I devise and bequeath the residue of my estate of
every nature and wherever situate as follows:
A. one-third to my son, JOHN A. BRANDT;
B. one-third to my daughter, SHIRLEY R.
DREXLER;
C. one-sixth to my grandson, RONALD L. BRANDT;
D. one-sixth to my grandson, JEFFREY A. BRANDT.
Should any of my beneficiaries predecease me or die on or before
the thirtieth (30th) day following my death, but leaving issue
who so survive me, then such issue shall receive, per stirpes,
the share that such beneficiary would have received had he or
she so survived me.
ITEM VI: I appoint his or her parent or guardian, Guardian
of any property which passes outright either under this will or
otherwise to a minor and with respect to which I am authorized
to appoint a guardian and have not otherwise specificallY done

so, provided that this appointment of a guardian shall not
supersede the right of any fiduciary in its discretion to
distribute a share where possible to the minor or to another for
the minor's benefit. Such guardian shall have the power to use
principal as well as income from time to time for the minor's
support and education (including secondary, college education,
both graduate and undergraduate, professional and other
education) without regard to his or her parent's ability to
provide for such support and education, or to make payment for
these purposes, without further responsibility to the minor or
to the minor's parent or to any person taking care of the minor.
ITEM VII: I direct that all taxes that may be assessed in
consequence of my death, of whatever nature and by whatever
jurisdiction imposed, shall be paid from my residuary estate as
part of the expenses of the administration of my estate.
ITEM VIII: I appoint my children, JOHN A. BRANDT and SHIRLEY
R. DREXLER, Executors of this my Last Will.
ITEM IX: I direct that my Executors or Guardian or their
successors shall not be required to give bond for the faithful
performance of their duties in any jurisdiction.
IN WITNESS WHEREOF, I hereunto set my hand and seal to this

county, pennsylvania, declare this to be the Sole Codicil to my
last Will dated February 20, 1992.
ITEM I:
I hereby revoke ITEM V of my Last will and in its
place substitute the following:
"ITEM V: I devise and bequeath the residue of my estate
of every nature and wherever situate as follows:
A. one-third to my son, JOHN A. BRANDT;
B. One-third to my daughter, SHIRLEY R.
DREXLER;
(Should either of my children predecease me or die on or
before the thirtieth poth) day following my death, but

AGREEMENT OF SALE

by and between SHIRLEY' R. DREXLER and JOliN A. BRANDT. CO-Executors
of the Estate of AMY K. BRANDT, hereinnftcr referred to an
"SELLER", and RUSSELL P. MITTEN. III and DANIELLS GUTSHALL,
hereinafter referred to as "PURCHl\SER."
WITNESSETH, that fOl- and in consideration of the sum of NINETY
EIGHT THOUSAND FIVE HUNDRED DOLLARS ($ 98,500,00), to be paid by
the PURCHl\SER to the SELLER as hereinafter provided, the SELLER
agrees to convey to PURCI~SER a tract of real estate located at 854
Mountain Road, Upper Mifflin Township, Cumberland County,
Pennsylvania, containing 92,925 Sq. ft., more or less, with mailing
address of 854 Mountain Road, Newville, PA, more fully deocribed in
Exhibit "A" attached hereto and incorporated by reference herein,
upon the following terms:
1. PURCHASER shall pny ONE THOUSAND DOLLl\RS ($ 1,000.00) of
the purchase price upon execution of this Agreement. The balance
of the purchase price shall be paid at final settlement, which
shall be held within 90 days of the daLe of thlo Agreement. The
hand money shall be held in escrow by SELLER'S attorney.
2. l\t settlement, SELLER will execute to PURCHASER a deed of
fiduciary warranty, excepting however, existing building and uoe
restrictions, ordinances, easemento (vioible and of record) and
utility right-of-ways, said title to be good and marketable and
insurable by a reputable title insurance company licenoed to do
business in Penllsylvania.
3. If SELLER is unable to convey good and marketable title,
PURCHASER shall have the option of taking such title as the SE:I~LER
can give without abatement of price, or of being repaid all monies
paid on account by PURCHASER to SELLER and the PURCHASER shall also
be reimbursed for any title examination costs incurred; and in the
latter event, there shall be no further liability or obligation by
either of the parties hereunder and this agreement shall become
null and void. SELLER is obligated to take reasonable steps and
expend reasonable sums to clear title of any liens, encumbrances,
defects, or clouds which might appear on the title.
4. SELLER shall bear the risk of loss until final settlement
and shall continue to insure the premises until that time.
5. fulY real estate taxes, rents, water and sewer expenses
and the like shall be apportioned pro rata as of the date of
settlement based upon the calendar or fiscal year of the respective
government authority.
6, All realty transfer taxes shall bf! borne equally by
PURClmSER and SELLER; however, PURCHASER shall be liable for all
realty transfeL" taxes if his rights are assigned to a third party.
7. SE[~LER shall deliver full and complete possession of the
premises to PURa~SER on the date of settlement.
8. In the event PURCI~SER fails to make settlement as
provided, or violates or fails to perform of fulfill any of the
terms or condi tions of the Agreement, then in such case all
deposit, money and other sums paid by the PURCHASER on account of
the purchase price, whether required by this Agreement or not, may
be (a) retained by SELLER on account of the purchase, or (bl as
monies to be applied to the SELLER'S damages, or (c) as liquidated
damages for such breach, as the SELLER may elect, and in the event
that SELLER elects to retain the monies as liquidated damages in
accordance with this paragraph, the SELLER shall be released from
all liability or obligations and this Agreement shall be null and
void and all copies will be returned to SELLER for cancellation.
SELLER shall have the right to seek specific performance hereof.
9. Settlement shall be held at the offices of Richard L.
Webber, Jr., Attorney at Law, 366 Green Spring Road, NeWville, PA
17241, on a date and time as the parties shall mutually agree.
10. Thio Agreement is contingent upon PURCHASER obtaining a
Mortgage from Harris SaVings Bank for at least $ 93,500.00 at an
interest rate not to exceed 7.5~ for a term of at least 30 years.
PURCHASER shall exercise reasonable efforts to secure the mortgage.
11. Prior to settlement, it is agreed that all inspection
shall be completed of the existing septic system. This inspection
shall be arranged for and paid for by SELLER. Said inspection
shall be submitted in writing by a reputable septic service
company. The septic system shall be opened, the tank pumped and the
draih field flushed through to determine that the system is in good
working order. SELLER has had this done and will provide
documentation to PURCHASER.
12. SELLER shall, at SELLERS expense, order from a re-
putable Pest Control Operator certified by the Pennsylvania
Department of Agriculture, a written "Wood Destroying insect
infestation and Resultant Damage Report"; and shall present said
report to PURCHASER on or before settlement. Such report is to
provide that an inspection of the readily visible and accessible
areas of all structures within the property limits has been made
satisfactory to and in compliance with; applicable laws, mortgage
and lending institutions, and/or Federal insuring and Guarantee-
ing Agency requirements, if any.
If the inspection reveals evidence of active infestation(s),
previous infestation(s) and/or resultant damage which has not been
coriected, SELLER agrees, at SELLER'S expense, to have the
structure (s) treated for such infestation. SELLER shall notify
PURCHASER in writing of such condition (s) and make available to
PURCHASER all documents and drawings received from the Pest Control
Operator, showing the location of visible evidence of infest-
ation (s) and/or damage. If the inspection reveals significant
resUltant damage which has not been corrected, the parties shall
agree upon the responsibility for repair or either SELLER or
PURCHASER shall have the option of terminating this Agreement.
13. Prior to settlement, SELLER shall provide a satis-
factory FilA series water test (coliform bacteria, nitrates, etc.)
Any remediation required shall be paid by SELLER and BUYER, shal'ed
equally.
14. This Agreement shall not be recorded in the Office of the
Recording of Deeds or in any other office or place of public
record.
