I, MARTHA M. LENKER, of Lower Allen Township, Cumberland
County, Pennsylvania, make, publish and declare this as and for my
Last Will and Testament, hereby revoking all other Wills and
codicils heretofore made by me.
FIRST: I give and bequeath the crocheted bedspread and
crocheted table cloth to my daughter, EDNA M. DEARDORFF.
SECOND: I devise and bequeath all the rest, residue and
remainder of my estate of whatever nature and wherever situate,
including any property over which I hold power of appointment and
together with any insurance policies thereon, in equal shares, to
my children, EDNA M. DEARDORFF, GEORGE W. LENKER, RUTH A. YOUNG,
DAVID R. LENKER and HENRY L. LENKER. If any of my children
predecease me, I direct that that child's share or shares under
this, my Last Will and Testament, be divided equally among or
between my surviving children.
~RQ: In addition to all powers granted to them by law
and by other provisions of this Will, I give the fiduciaries
acting hereunder the following powers, applicable to all property,
exercisable without court approval and effective until actual
distribution of all property:
(A) To sell at public or private sale, or to lease, far
any period of time, any real or personal property and to give
options for sales, exchanges or leases, for such prices and upon
such terms (including credit, with or without security) or condi-
" tions as are deemed proper. This includes the power to give

diversification, risk or productivity.
(E) To exercise any option, right or privi.lege granted
in insurance policies or in other investments.
(F) To exercise any election or privilege given by the
Federal and other tax laws, including, but not necessarily being
limited to, personal income, gift and estate or inheritance tax
laws.
(G) To make distributions to my herein named benefici-
aries in cash or in kind or partly in each.
(H) To borrow money from themselves or others in order
to pay debts, taxes, or estate or trust administration expenses,
to protect or improve any property held under my will, and for
investment purposes.
(I) To select a mode of payment under any qualified
retirement plan (pension plan, profit sharing plan, employee stock
owner'ship plan, or any other type of qualified plan) to the extent

the plan or the law permits them to do so, and to exercise any
other rights which they may have under the plan, in whatever
manner they consider advisable.
FOURTH: I direct that all inheritance, estate, trans-
fer, successlon and death taxes, of any kind whatsoever, which may
be payable by reason of my death, whether or not with respect to
property passing under thls wi 11, shall be paid out of the princi-
pal of my residuary estate.

NOW, THEREFORE, In consideration of the Sales Agreemont, and in
consideratIon of the mutual promises hereIn set forth and intending
to be legally bound, the parties agree as follows:
1. Lenker does hereby reserve and retain unto hersel f the
rIght of possession in the single-family horne, now occupied by
Lenker together with 1.0017 acres of land surrounding said home and
on which it is situate, more particularly described in Exhibit "e"
attached hereto and incorporated herein (hereinafter referred to as
the "Lenker Homestead") .
2. Lenker's right of possession to the Lenker Homestead shall
terminate upon her death, or when Lenker fails to occupy the Lenker
Homestead for a period of one hundred twenty (120) consecutive days
(not including hospital stays or periods of rehabilitation as a
result of injury or sickness), whichever shall first occur.
3. Until Lenker I s right of possession to the Len),er Homestead
terminates as provided in paragraph 2 above, Lenker shall:
(a) provide and keep at her expense insurance coverage in
an amount not less than Forty-five Thousand Dollars
($45,000.00) on the Lenker Homestead, wIth Williams being named
as an additional insured with Lenker providing Williams proof
of such insurance coverage, said insurance policy to contain a
notification provision requiring the insurance company to
notify Williams in the event of said policy lapse or
termination of coverage;
(b) pay all costs and expenses for all utility services
for or with respect to the r..enker Homestead whet.her public,
private or quasi-publio; and

(c) reimburse Williams upon demand for all real estate
taxes attributable to the single-family home located on the
Lenker Homestead. If Williams develops the real estate
purchased by him pursuant to the Sales Agreement with more than
two new residences (.not including barns and outbuildings), it
is agreed that the real estate taxes to be paid by Lenker shall
not exceed One Thousand Two Hundred Dollars ($1,200.00) per
year.
4. In the event that williams eliminates the present access
road t,o the Lenker Homestead, Williams agrees to provide another
means of access substantially comparable to the existing acce.ss
road.
5. (a) Williams hereby appoints CCNB Bank, N.A., a national
banking association with offices in New CUmberland, Cumberland
County, Pennsylvania to serve as the "Escrow Agent" under this
paragraph 5.
(b) Pursuant to paragraph 1 (d) of t.he Addendum to the
Sales Agreement, Williams hereby makes available a portion of a
certain certificate of deposit presently held by the Escrow Agent
eq\lal to Seventy 'l'housand Dollars ($70,000). Escrow Agent
acknowledges that the Seventy 'l'housand Dollars ($70,000) of said
certificate of deposit shall be restricted and reserved and held by
it in escrow under the terms and conditions of this paragraph 5
(hereinafter referred to as the "Escrow Amount"). All interest
earned on the Escrow Amount shall inure and be paid monthly to
Williams, or at such other times as Williams and Escrow Agent shall
agree. Upon receipt by the Escrow Agent of written notice from

Lenker, or her duly appointed personal or legal representative, that
Lenker's right of possession to the Lenker Homestead has terminated
together with such document or instrument as required by paragraph 6
of this Agreement, EscroW Agent shall distribute the Escrow Amount
to Lenker, or her duly appointed personal or legal representativB,
within five (5) days after giving Williams written notice of its
intent to make such distribution. williams shall have the right to
replace the Escrow Anlount with cash delivered to the Escrow Agent
prior to its distribution hereunder.
(c) In the event any dispute or disagreement exists or is
pending as to the release from escrow of the Escrow Amount
hereunder, Escrow Agent shall be entitled without liability in its
sole discretion to hold disbursement of the Escrow Amount until
final resolution or adjudication of such dispute or disagreement
occurs.
(d) Williams and Lenker acknowledge that the Escrow
Amount is part of the consideration of the purchase of certain real
estate from Lenker by Williams pursuant to the Sales Agreement and
that all realty transfer taxes have been paid on such amount.
(e) Upon the written request of Lenker, the Escrow Agent
will provide Lenker with a written statement of the existence of the
Escrow Amount, together with a statement that it continues to serve
as the escrow agent hereunder in accordance with the terms and
conditions of this paragraph 5.
6. Upon the termination of Lenker's right to possession of
the Lenker Homestead pursuallt to the provisions of paragraph 2

above, Lenker, or her duly appointed personal or legal
representative shall execute, acknowledge, deliver, ~ile and r.cord
such instruments, documents or memoranda that are necessary to
terminate this Agreement as a matter of record with the Recorder of
Deeds in and for Cumberland County.
7. This Agreement has been made and executed in the
Commonwealth of Pennsylvania, shall be governed by, construed under
and enforced in accordance with the laws of said jurisdiction.
8. Where herein used, the plural shall include the singular,
and unless the context otherwise clearly requires, the singular
shall include the plural. Where used in this Agreement, the words
"hereunder", "herein" and other similar compounds of the word "here"
shall mean and refer to this entire Agreement, and not to any
particular parngrap)1 or provision hereof, unless the context
otherwise clearly requires.
9. The provisions of this Agreement shall be binding upon,
inure to the benefit of and be enforceable by the parties hereto and
their respective heirs, personal representatives, successors and
assigns.
10. This Agreement as contained on these six (6) pages
together with Exhibits A, Band C attached hereto and deemed a part
hereof, are the complete and final integration constituting the
entire Agreement among all of the parties hereto, and no agreement,
promise, representation, condition or term not herein expressly
provided shall be deemed or permitted to vary, modify or otherwise
change the provisions hereof unless made in writing .and signed by
all of the parties hereto.
