I, ELDON L. GAUGHEN, of the Township of Hampden, County of
Cumberland and Commonwealth of Pennsylvania, declare this to be
my Last Will and Testament, and hereby revoke any and all prior
Wills and Codicils made by me.
ITEM I :
I give all of my tangible personal property,
including by way of illustration, household goods, furniture,
furnishings,
books,
pictures,
silver,
chinaware,
jewelry,
automobiles, boats, and personal effects, and any insurance
thereon to my wife, LORENA G. GAUGHEN.
ITEM II:
I give and bequeath the sum of Five Thousand
($5,000.00) Dollars each to nieces and nephews of my wife and me,
as follows:
per stirpes;
a) BETSY A. VANDEPEREL WOLF, of Lebanon, Pennsylvania,
b)
SUSAN VANDEPEREL GROBASKI,
of Boyne Falls,
Michigan, per stirpes;
c)
stirpes;
d)
e)
stirpes; and
SUSAN MARLENE SHANK, of Carlisle, Pennsylvania, per
GREGORY SORENSEN of Lincoln, Nebraska, per stirpes;
SUZANNE PALKOVIC of Highspire, Pennsylvania, per

event assets or the proceeds of assets which do not qualify for
such marital deduction shall be the last to be used to satisfy
Trust A). Either cash or investments or both may be allocated to
this Trust.
This Item of my Will is intended to empower my Executor
to qualify this gift or as much thereof as he deems advantageous
for the qualified terminable interest property provision set
forth in Section 2056(b)(7) of the Internal Revenue Code of 1986,
and my Executor is hereby authorized to make the election to
qualify or not to qualify. As such I direct that (l) if any
provision of my Will shall result in depriving this Item of the
benefits of IRC 2056(b)(7), if elected, such provision is hereby
revoked and my Will shall be read as if any portion thereof which
would result in such disqualification is null and void; (2) my
Executor is hereby excused from liability to any person for the
decision to elect to have this Item qualify for the marital
deduction or for the decision to elect not to so qualify it; and
(3) no reimbursement or other adjustment shall be made as among
beneficiaries by reason of the consequences of such election or
failure to elect.
B) Trust B shall consist of the remaining fractional share
of all property in my residuary estate after deducting the
fractional share allocated to Trust A.

C) (i) The Trustee shall pay the net income from Trust A
to or for the benefit of my wife, LORENA G. GAUGHEN, for her
lifetime, in such installments, but not less frequently than
quarterly, as it may determine.
(ii) The Trustee shall pay from time to time from the
principal of Trust A to or for the benefit of my wife:
(1) Such sums as shall in its discretion seem necessary to
permit her to maintain a standard of living approximately equal
to that maintained by her during my lifetime, taking into account ~
such other sources of income, support and estate that may be
readily available to her, and
(2) Such sums, including any or all the principal, that my
wife may request in writing.
0) (i) The Trustee shall pay the net income from Trust B
at least quarterly to or for the benefit of my wife in such
proportions or amounts as it may determine to be proper to
provide for her support, maintenance, and health care, and for
the maintenance by my wife of the standard of living maintained
by her during my lifetime, taking into account such other sources
of income, support and estate that may be readily available to
her.
(ii) The Trustee shall from time to time pay such sums
from the principal of Trust B to or for the benefit of my wife as
may, in the Trustee's discretion, be necessary for her support,

per stirpes; and (ii) Seventy-Five (75\) percent to my son,
THOMAS W. GAUGHEN, per stirpes. The share(s) if any, to which
issue of my son THOMAS W. GAUGHEN become entitled under the terms
hereof, shall be added to and become subject to and governed by
the terms and conditions of the Will probated on behalf of my
said son and/or any pertinent trust(s) relating thereto.
H) Should my wife die without leaving issue, the balance in
Trust A and B shall be distributed as follows:
(i) Twenty-Five (25\) per cent to the CATHOLIC DIOCESE
OF HARRISBURG; and
(ii) Seventy-Five (75\) per cent to be divided as
follows:
(a) three-fourths (3/4) thereof to my sister,
BERNITA K. SORENSEN, of Camp Hill, Pennsylvania, or her surviving
spouse, per stirpes, and
(b) one-fourth (1/4) thereof to my sister-in-law,
PAULENE VANDEPEREL, or her surviving spouse, per stirpes, of
Grand Rapids, Michigan, per stirpes.
ITEM IV: If my wife, LORENA G. GAUGHEN, predeceases me, I
hereby give, devise and bequeath all the rest, residue and
remainder of my estate as follows:
A) (i) Twenty-five (25\) percent to my sister, BERNITA K.
SORENSEN (MRS. MARVIN SORENSEN), per stirpes; and

(il) Seventy-five (75%) percent to my son, THOMAS W.
GAUGHEN, per stirpes. The share(s), if any, to which issue of my
son THOMAS W. GAUGHEN become entitled under the terms hereof
shall be added to and become subject to and governed by the terms
and conditions of the Will probated on behalf of my said son
and/or any pertinent trust(s) relating thereto.
B) In the event there are no issue, the balance of my
estate shall be distributed as follows:
(i) Twenty-Five (25%) percent to the CATHOLIC DIOCESE
OF HARRISBURG; and
(ii) Seventy-Five (75%) percent to be further divided
as set forth below:
a) Three-fourths (3/4) thereof to my sister,
BERNITA K. SORENSEN, of Camp Hill, pennsylvania, or to her
surviving spouse, per stirpes; and
b) One-fourth (1/4) thereof to my sister-in-law,
PAULENE VANDEPEREL, of Grand Rapids, Michigan, or her surviving
spouse, per stirpes.
ITEM V:
I grant to my Executor the following powers in
addition to and not in limitation of such powers as it may hold
by law:
A) To retain property owned by me at my death and to invest
any funds of my estate or trust in any stocks, bonds, notes or
other securities or property, real or personal, notwithstanding

that such investments may not be of the character allowed to
fiduciaries by statute or general rules of law, it being my
intention to give my Executor the broadest investment powers
possible.
B) To sell or otherwise dispose of my property, real or
personal, at any time forming a part of my estate or trust, for
cash or upon credit, in such manner and on such terms and
conditions as my Executor may deem best, and no persons dealing
with said Executor shall be bound to see to the application of
any monies paid.
C) To manage, operate, repair, improve, mortgage to lease
for any term any real estate at any time held or owned by my
estate.
D) To borrow money for the payment of taxes or for other
proper purposes in administration of my estate.
E) To distribute in cash or in kind, upon any division or
distribution of my estate.
F) In general, to exercise all powers in the management of
my estate which any individual could exercise in the management
of similar property owned in his own right, upon such terms and
condition as to said Executor may deem best, and to exercise and
deliver all instruments and to do all acts which said Executor
may deem necessary or proper to carry out the purposes of this
Will.

ITEM VI:
In addition to such other powers and duties as
may have been granted elsewhere in this Will, or which may be
granted by law, the Trustee hereunder shall have the following
powers and duties:
A) To retain any property owned by me at death and to
invest any funds of my estate or trust in any stocks, bonds,
notes or other securities or property, real or personal,
notwithstanding that such investments may not be of the character
allowed to fiduciaries by statute or general rules of law, it
being my intention to give the Trustee the broadest investment
powers possible.
B) To sell, convey, exchange, partition, give options upon,
or otherwise dispose of any property, real or personal, at any
time forming a part of the trust estate or trust, for cash or
upon credit, in such manner and on such terms and conditions as
the Trustee may deem best, and no person dealing with said
Trustee shall be bound to see to the application of any monies
paid.
C) To borrow money from any person, including any fiduciary
hereunder, for any purpose in connection with the administration
hereof, to execute promissory notes or other obligations for
amounts so borrowed, and to secure the payments of such amounts
by mortgages or pledges of any property, real or personal, which
may be held hereunder.

0) To make loans, secured or unsecured, in such amounts,
upon such terms, at such rates of interest, and to such persons,
firms or corporations as it may deem advisable.
E) To invest and reinvest any funds in the Trust in any
property, real or personal.
F) In dividing or distributing any property, real or
personal included herein, to divide or distribute in cash or in
kind, or partly in cash and partly in kind, as said Trustee may
determine, and to that end to allot specific securities or other
property or any undivided interest therein, to any share or part.
G) To employ such brokers, banks, custodians, investment
counsel, attorneys, accountants and other agents, to delegate to
them such duties, rights and powers as it may determine and for
such periods as it thinks fit.
H) To register any securities at any time in the Trustp.e's
own name, in Trustee's name as Trustee or in the name of
nominees, with or without indicating the trust character of the
securities so registered.
I) To determine as to all sums of money and other things of
value received by the Trustee whether and to what extent the same
shall be deemed to be principal or income, and as to all charges
and expenses paid by said Trustee, whether and to what extent the
same shall be charged against principal or income.

J) To receive such other property, including policies of
insurance upon my life, or the proceeds thereof, as may from time
to time be deposited with the Trustee by me or my estate, and to
administer such policies and the proceeds thereof in accordance
with the terms of this Will.
K) Notwithstanding anything in this Will to the contrary,
Sin the event that any proceeds from a qualified employment
benefit plan are received by the Trustee, the Trustee shall in no
event use any of said proceeds to pay any debt or claim against
me or my estate, nor any taxes or similar charges against my
estate.
L) To operate, own, or develop any business or property
held hereunder in any form, including without limitation sole
proprietorship, limited or general partnership, corporation,
association, tenancy in common, condominium, or any other,
whether or not they have restricted or no management rights, as
Trustee in its discretion may determine.
M) If the Trustee shall be compelled at any time during the
existence of this trust, or thereafter, to pay any tax or
interest or penalty for any reason, the Trustee shall be entitled
to be reimbursed from the principal of the trust; or if the trust
principal be then insufficient, or if it be then terminated, the
Trustee shall be reimbursed by the person to whom the principal
of the trust shall have been distributed to the extent of the

give and bequeath the following:
A) The sum of One Thousand ($1,000) Dollars each to my nieces and nephews
as follows, per stirpes: Susan Marlene Shank, of Carlisle, Pennsylvania; Susan Palkovic, of
Highspire, Pennsylvania, and Gregory Sorensen, of Lincoln, Nebraska.
B) The sum of Two Thousand Five Hundred ($2,500) Dollars to my niece, Besty
A. Vande pc rei Wolfe, of Lebanon, Pennsylvania.
C) The sum of Two Thousand ($2,000) Dollars each to my niece, Susan
Vandeperel Grobaski, per stirpes, of Boyne Falls, Michigan, and to my dear friend. Gloria
Dellree, of Mechanicsburg, Pennsylvania.
D) The sum of Five Hundred ($500) Dollars to my nephew, William Vandeperel,
of Grand Rapids, Michigan, per stirpes.
E) The sum of Ten Thousand ($10,000) Dollars to my sister, Bernita K. Sorensen.

Introductorv Clause I. Eldon L. Gaughen. do hereby make, publish and
declare this to be the Second Codicil to my Last Will and Testament dated April IS. 1992.
FIRST
Amendment of an Item. I do hereby amend Item II of my Last Will and
Testament dated April 15,1992, and revoke Item FIRST of my First Codicil dated July 6.
1995, and amend Item FIRST of my Second Codicil dated November IS. 1995, so that after
amendment it will read as foJlows:
ITEM II:
I hereby give and bequeath the foJlowing:
A) The sum of One Thousand ($1.000) DoJlars to my niece, Susan
Marlene Shank, per stirpes.
B) The sum of Two Thousand Five Hundred ($2.500) DoJlars to my niece,
Betsy A. Vandeperel Wolfe.
C) The sum of Two Thousand ($2,000) Dollars each to my niece, Susan
Vandeperel Grobaski, per stirpes, and to my dear friend, Gloria
DeJlree.
D) The sum of Five Hundred ($500) Dollars to my nephew. William
Vandeperel, per stirpes.
E) The sum of Four Thousand ($4.000) DoJlars each to my niece, Suzanne
Palkovic, and my nephew. Gregory Sorensen, in memory of their
mother (my sister) Bernita K. Sorensen, per stirpes.

signed to the attached or foregoing instrument, being first duly sworn, do hereby declare to
the undersigned authority that the Testator signed and executed the instrument as his Third
Codicil to his Last Will and that he had signed willingly (or willingly directed another to sign
for him), and that he executed it as his free and voluntary act for the purposes therein
expressed, and that each of the witnesses, iR the pFesence and hearing of the Testator,
signed the Will as witness and to the best of our knowledge the Testator was at that time
eighteen years of age or older, of sound mind, and under no constraint or undue influence.

I, ELDON L. GAUGIIEN, of the 'l'ownship of lIampden, County of
Cumberland and Commonwealth of Pennsylvania, declare this to be
my Last Will and Testament, and hereby revoke any and all prior
Wills and Codicils made by me.
ITEM I:
I give all of my tangible personal property,
including by way of illustration, household goods, furniture,
furnishings, books, pictures,
silver,
chinaware,
jewelry,
automobiles, boats, and personal effects, and any insurance
thereon to my wife, LORENA G. GAUGHEN.
ITEM II :
I give and bequeath the sum of Five Thousand
($5,000.00) Dollars each to nieces and nephews of my wife and me,
as follows:
a) BETSY A. VANDEPEREL WOLF, of Lebanon, Pennsylvania,
per stirpes;
b)
SUSAN VANDEPEREL GROBASKI,
of Boyne Falls,
Michigan, per stirpes;
SUSAN MARLENE SHANK, of Carlisle, Pennsylvania, per

ITEM III: If my wife, LORENJI G. GJlUGHEN, survives me, my
Executor shall divide my residuary estate, of whatever nature and
wherever situate, into two parts, hereinafter designated as Trust
A and Trust 8, and pay over the same to my Trustee hereinafter
named, each such Trust to be ascertained as follows:
A) Trust A shall consist of the smallest fractional share
of all property in my residuary estate that qualifies for the
federal estate tax marital deduction as will be sufficient to
result in the lowest federal estate tax being imposed upon my
estate after allowing for the unified credit, and any other
allowable credits and deductions. In making those computations
necessary to determine such fractional share, the final
determinations in the federal estate tax proceedings shall
control, and there shall not be allocated to Trust A any asset or
the proceeds of any asset: (i) which does not qualify for the
marital deduction for federal estate tax purpose, or (ii) with
respect to which any estate or death taxes are paid to any
foreign country or any of its possessions or subdivisions, or
(iii) with respect to which any tax credit or deduction shall be
available because it shall be subject to both federal estate and
federal income tax (except to the extent that assets of my estate
other than those herein described are not sufficient, in which

event assets or the proceeds of assets which do not qualify for
such marital deduction shall be the last to be used to satisfy
Trust A). Either cash or investments or both may be allocated to
this 'l'rust.
This Item of my Will is intended to empower my Executor
to qualify this gift or as much thereof as he deems advantageous
for the qualified terminable interest property provision set
forth in Section 2056(b)(7) of the Internal Revenue Code of 1986,
and my Executor is hereby authorized to make the election to
qualify or not to qualify. As such I direct that (1) if any
provision of my Will shall result in depriving this Item of the
benefits of IRC 2056(b)(7), if elected, such provision is hereby
revoked and my Will shall be read as if any portion thereof which
would result in such disqualification is null and void; (2) my
Executor is hereby excused from liability to any person for the
decision to elect to have this Item qualify for the marital
deduction or for the decision to elect not to so qualify it; and
(3) no reimbursement or other adjustment shall be made as among
beneficiaries by reason of the consequences of such election or
failure to elect.
S) Trust B shall consist of the remaining fractional share
of all property in my residuary estate after deducting the
fractional share allocated to Trust A.

C) (i) The Trustee shall pay the net income from Trust A
to or for the benefit of my wife, LORENA G. GAUGHEN, for her
lifetime, in such installments, but not less frequently than
quarterly, as it may determine.
(ii) The Trustee shall pay from time to time from the
principal of Trust A to or for the benefit of my wife:
(1) Such sums as shall in its discretion seem necessary to
permit her to maintain a standard of living approximately equal
to that maintained by her during my lifetime, taking into account
such other sources of income, support and estate that may be
readily available to her, and
(2) Such sums, including any or all the principal, that my
wife may request in writing.
0) (i) The Trustee shall pay the net income from Trust B
at least quarterly to or for the benefit of my wife in such
proportions or amounts as it may determine to be proper to
provide for her support, maintenance, and health care, and for
the maintenance by my wife of the standard of living maintained
by her during my lifetime, taking into account such other sources
of income, support and estate that may be readily available to
her.
(ii) The Trustee shall from time to time pay such sums
from the principal of Trust B to or for the benefit of my wife as
may, in the Trustee's discretion, be necessary for her support,

maintenance and health care.
Regardless, the Trustee may
annually dIstrIbute to my wife principal equal to the greater of
Five Thousand ($5,000) Dollars or Five (5%) percent of the
principal balance.
E) My first priority for the income and principal of Trust
B taken together is the support, maintenance and health care of
my wife for her life. In determining whether any invasion shall
be made for the benefit of my wife from the principal of Trust A
or from the principal of Trust B, it is my desire that such
invasion be made from Trust A as far as practical.
F) Upon the death of my wife, LORENA G. GAUGH EN , the
Trustee shall first deduct from Trust A and pay to the personal
representative of my wife's estate an amount equal to the
increase in federal estate tax or state death taxes which her
estate will have to pay because of the inclusion of the assets
under this Item of my Will in her gross estate (unless she
directs otherwise in her will), and all then-remaining principal
of Trust A shall be distributed pursuant to the provisions of
Paragraph G of this Item, and any income not previously
distributed to my wife shall be distributed to her estate.
G) Upon the death of my wife, Trust B shall terminate and
all assets in Trust B and any undistributed balance remaining in
'I'rust A shall be distributed as follows: (i) Twenty-Five (25%)
percent to my sister, BERNITA K. SORENSEN (MRS. MARVIN SORENSEN),

per stirpes; and (ii) Seventy-Five (7St) percent to my son,
'I'1I0MAS W. GAUGIIEN, per stirpes. The share(s) if any, to which
issue of my son 'I'1I0MAS W. GAUGIIEN become entitled under the terms
hereof, shall be added to and become subject to and governed by
the terms and conditions of the Will probated on behalf of my
said son and/or any pertinent trust(s) relating thereto.
H) Should my wife die without leaving issue, the balance in
Trust A and B shall be distributed as follows:
(i) Twenty-Five (25%) per cent to the CATHOLIC DIOCESE
OF HARRISBURG; and
(ii) Seventy-Five (75%) per cent to be divided as
follows:
(a) three-fourths (3/4) thereof to my sister,
BERNITA K. SORENSEN, of Camp Hill, Pennsylvania, or her surviving
spouse, per stirpes, and
(b) one-fourth (1/4) thereof to my sister-in-law,
PAULENE VANDEPEREL, or her surviving spouse, per stirpes, of
Grand Rapids, Michigan, per stirpes.
ITEM IV: If my wife, LORENA G. GAUGIIEN, predeceases me, I
hereby give, devise and bequeath all the rest, residue and
remainder of my estate as follows:
A) (i) Twenty-five (25%) percent to my sister, BERNITA K.
SORENSEN (MRS. MARVIN SORENSEN), per stirpes; and

GI\UGHEN, per stirpes. 'I'he share(s), if any, to which issue of my
son THOMAS W. GAUGHEN become enti tIed under the terms hereof
shall be added to and become subject to and governed by the terms
and conditions r,f the Will probated on behalf of my said son
and/or any pertinent trust(s) relating thereto.
B) In the event there are no issue, the balance of my
estate shall be distributed as follows:
(i) Twenty-Five (25%) percent to the CATHOLIC DIOCESE
OF HARRISBURG; and
(ii) Seventy-Five (75%) percent to be further divided
as set forth below:
a) Three-fourths (3/4) thereof to my sister,
BERNITA K. SORENSEN, of Camp Hill, Pennsylvania, or to her
surviving spouse, per stirpes; and
b) One-fourth (1/4) thereof to my sister-in-law,
PAULENE VANDEPEREL, of Grand Rapids, Michigan, or her surviving
spouse, per stirpes.
ITEM V:
I grant to my Executor the following powers in
addition to and not in limitation of such powers as it may hold
by law:
A) To retain property owned by me at my death and to invest
any funds of my estate or trust in any stocks, bonds, notes or
other securities or property, real or personal, notwithstanding

that such investments may not be of tlw character allowed to
fiduciaries by statute or g(lI1er.11 rules of law, it being my
intention to give my Executor the broadest investment powers
possible.
B) To sell or otherwise dispose of my property, real or
personal, at any time forming a part of my estate or trust, for
cash or upon credit, in such manner and on such terms and
conditions as my Executor may deem best, and no persons dealing
with said Executor shall be bound to see to the application of
any monies paid.
C) To manage, operate, repair, improve, mortgage to lease
for any term any real estate at any time held or owned by my
estate.
D) To borrow money for the payment of taxes or for other
proper purposes in administration of my estate.
E) To distribute in cash or in kind, upon any division or
distribution of my estate.
F) In general, to exercise all powers in the management of
my estate which any individual could exercise in the management
of similar property owned in his own right, upon such terms and
condition as to said Executor may deem best, and to exercise and
deliver all instruments and to do all acts which said Executor
may deem necessary or proper to carry out the purposes of this
Will.

granted by law, the 'I'rustee hereunder shall have the following
powers and duties:
A) To retain any property owned by me at death and to
invest any funds of my estdt.e or trust in any stocks, bonds,
notes or other securities or property, real or personal,
notwithstanding that such investments may not be of the character
allowed to fiduciaries by statute or general rules of law, it
being my intention to give the Trustee the broadest investment
powers possible.
B) To sell, convey, exchange, partition, give options upon,
or otherwise dispose of any property, real or personal, at any
time forming a part of the trust estate or trust, for cash or
upon credit, in such manner and on such terms and conditions as
the Trustee may deem best, and no person dealing with said
Trustee shall be bound to see to the application of any monies
paid.
C) To borrow money from any person, including any fiduciary
hereunder, for any purpose in connection with the administration
hereof, to execute promissory notes or other obligations for
amounts 50 borrowed, and to secure the payments of such amounts
by mortgages or pledges of any property, real or personal, which
may be held hereunder.

D) To make loans, secured or unsecured, in such amounts,
upon such terms, at such rates of interost, and to such persons,
firms or corporations as it may deem advisable.
E) To invest and reinvest any funds in the Trust in any
property, real or personal.
F) In dividing or distributing any property, real or
personal included herein, to divide or distribute in cash or in
kind, or partly in cash and partly in kind, as said Trustee may
determine, and to that end to allot specific securities or other
property or any undivided interest therein, to any share or part.
G) To employ such brokers, banks, custodians, investment
counsel, attorneys, accountants and other agents, to delegate to
them such duties, rights and powers as it may determine and for
such periods as it thinks fit.
H) To register any securities at any time in the Trustee's
own name, in Trustee's name as Trustee or in the name of
nominees, with or without indicating the trust character of the
securities so registered.
I) To determine as to all sums of money and other things of
value received by the Trustee whether and to what extent the same
shall be deemed to be principal or income, and as to all charges
and expenses paid by said Trustee, whether and to what extent the
same shall be charged against principal or income.

J) To receive such other property, including policies of
insurance upon my life, or the proceeds thereof, as may from time
to time be deposited with the Trustee by me or my estate, and to
administer such policies and the proceeds thereof in accordance
with the terms of this Will.
K) Notwithstanding anything in this Will to the contrary,
Sin the event that any proceeds from a qualified employment
benefit plan are received by the Trustee, the Trustee shall in no I
event use any of said proceeds to pay any debt or claim against ~
me or my estate, nor any taxes or similar charges against my
estate.
L) To operate, own, or develop any business or property
held hereunder in any form, including without limitation sole
proprietorship, limited or general partnership, corporation,
association, tenancy in common, condominium, or any other,
whether or not they have restricted or no management rights, as
Trustee in its discretion may determine.
M) If the Trustee shall be compelled at any time during the
existence of this trust, or thereafter, to pay any tax or
interest or penalty for any reason, the Trustee shall be entitled
to be reimbursed from the principal of the trust; or if the trust
principal be then insufficient, or if it be then terminated, the
Trustee shall be reimbursed by the person to whom the principal
of the trust shall have been distributed to the extent of the

amount received by each distributee. The Trustee, before making
any distribution of either income or principal, may accordingly
require an undertaking in form satisfactory to the Trustee to
reimburse the Trustee, or the Trustee may withhold distribution
pending determination or release of any tax lien.
N) The Trustee shall be entitled to receive compensation

ITEM VII: No interest of any beneficiary of my estate

returns. Also, you will find a copy of a gift tax return filed for 1986, You will notice that Sch.
B mentions a gift tax return for the 4th quarter of 1980; we have not been able to locate
that return. If you feel it worthwhile we will spend additional time searching for it. I have

WHEREAS, Eldon L, Oaughen, late of the Township of Hampden, County of
Cumberland, Commonwealth of Pennsylvania, died October II, 1996 leaving his Last Will
and Testament and Three Codicils which provide in pertinent part that after payment of
administrative expenses, taxes, debts and the distribution of certain specific bequests, the
residue of his Estate should be placed in trust upon the terms and coaditions therein stated;

WHEREAS, with respect to Trust "A" his surviving spouse, Lorena 0, Oaughen, was
given the right of withdrawal in part or in full of the principal of said Trust; and
WHEREAS, by written notification dated April4,l997 the said Lorena 0, Oaughen
did exercise her right to withdraw the entire amouat of Trust "A"; and
WHEREAS, the Estate has not yet been settled and the Trusts provided therein have
not yet been funded, and
WHEREAS, Donn L. Snyder, the named Executor and Trustee under the Will of
Eldon L. Oaughen. has consented to the distribution of principal funds which would
otherwise comprise Trust "A" upon the terms and conditions hereinafter stated; and
WHEREAS, the value of Trust "A", while not certain of ascertainment at this point
in time. is in good faith estimated to be One Hundred Ninety Seven Thousand Two
Hundred Forty Seven and 00/100 ($197,247.00) Dollars, which will be finally determined
at the closing of the Estate.

herein set forth. I, LORENA O. OAUGHEN, surviving spouse of Eldon L. Oaughen, of the
Township of Hampden, County of Cumberland and Commonwealth of Pennsylvania, do

Estate of the said Eldon L. Oaughen, Deceased. the sum of One Hundred Seventy-Five

and his attorneys and agents of and from the said share or dividend of the Estate and Trust

Dollars. received by me on account of this exercise of my right to demand the present
payment of Trust "A" principal, of and from all actions, suits. payments, accounts,
reckonings, claims, and demands whatsoever, for or by reason thcreof, or of any othcr act,
matter, cause, or thing whatsoever, from the beginning of the world to the day of the date
of thesc presents.
As a condition for receipt of this partial distribution made this date by the said
Executor and Trustee, I hereby agree to payor refund any amount, to pay any tax (including
Interest and penalties), liability, or any proper debt of the Estate or Trust as determined by
the said Executor and Trustee or a Court of competent jurisdiction to the extent of
