Pennsylvania, (hereinafter referred to as "Maker" or "Obligor")
promises to pay to the order of MARY C. MURDOCH and WILLIAM
A. MURDOCH, jointly and/or the survivor of them, adult individuals

25, 1989 and on the same day of each month thereafter, for a
total term of one hundred twenty (120) months, Maker shall pay
to Payee equal, consecutive monthly payments upon principal
and interest in the amount of Eight Hundred ($800.00) Dollars.
Each such monthly payment shall be applied first to interest
and the remainder to the reduction of the principal balance.
The last such payment shall be due and payable on
December 25, 1998 at which time any unpaid balance of principal
hereof and all interest accrued thereon shall be due and payable.
Payment of this Note is made in security for the obligations
of the Maker to Payee in that certain "Purchase Agreement" relating
to corporate stock of even date herewith. All of the agreements,
conditions, covenants, provisions or stipulations contained
in the Purchase Agreement which are to be kept and performed
by the Maker are hereby made a part of this Note to the same
extent and with the same force and effect as if they were fully
set forth herein and Maker covenants and agrees to keep and
perform them or cause them to be kept and performed strictly
in accordance with their terms.
Should any default be made in the payment of any install-
ment of principal or interest required to be paid herein for
a period of fifteen (15) days after the same shall be due or
should Maker default in the performance of any of the other
agreements, covenants, conditions, provisions or stipulations
contained in this Note and the Purchase Agreement within fifteen
(15) days, then Payee, at his option, without notice to Maker,
may declare immediately due and payable the entire unpaid balance
of principal, with interest accrued thereon, at the rate specified
to the date of default and the payment thereof may be enforced
and recovered in whole or in part at any time by one or more
of the remedies provided to Payee in the Purchase Agreement
or the "Escrow Agreement" relating to the escrow of certain
corporate stock to secure the covenants and obligations of the
Purchase Agreement entered into this date between the Maker
and Payee and payment thereof may be enforced and recovered
in whole or in part at any time by one or more of the remedies
provided to Payee in the Purchase Agreement or Escrow Agreement.
In such case, Payee may also recover all costs of suit and other
expenses in connection therewith, together with an attorney's
commission for collection of five (5%) percent of the total
amount due by Maker to Payee (but in no event less than $500.00),
together with interest on any judgment obtained by Payee at
the rate first hereinabove provided, including interest at that
rate from and after the date of any sheriff's sale until actual
payment is made by the sheriff to Payee of the full amount.
In the event of a default hereunder, Maker hereby
irrevocably authorizes and empowers any attorney, or the prothonotary
or clerk of any court in the Commonwealth of Pennsylvania, or
elsewhere, to appear at any time for Maker, with or without
declaration filed as of any term, and thereto to confess or
enter judgment against Maker for the entire unpaid principal
of this Note and all arrearages of interest thereon, together
with costs of suit, attorney's commission of five (5%) percent
for collection (but in no event not less than $500.00) and,
for so doing, this Note, or a copy hereof verified by affidavit,
shall be sufficient warrant.
The authority granted herein to confess judgment shall
not be exhausted by any exercise thereof but shall continue
from time to time, and at all times, until payment in full of
the amounts due hereunder. The remedies of Payee, as provided
in this Note, the contemporaneously executed Purchase Agreement,
the contemporaneously executed Escrow Agreement and the warrants
contained herein and therein, shall be cumulative and concurrent
and may be pursued singly, successively or together at the sole
discretion of Payee and may be exercised as often as occasion
thereof shall occur; and the failure to exercise any such right
or remedy shall in no event be construed as a waiver or release
thereof.
Maker hereby waives and releases all errors, defects
and imperfections in any proceedings instituted by Payee under
the terms of this Note, the Purchase Agreement or the Escrow
Agreement, as well as all benefits that might accrue to Maker
by virtue of any present or future laws exempting any property,

real or personal, or any part of the proceeds arising from any
sale of any such property from attachment, levy or sale under
execution or providing for any stay of execution, exemption
from civil process or extension of time for payments: and Maker
agrees that any property that may be levied upon pursuant to
a judgment obtained by virtue hereof or any writ of execution
issued thereon may be Bold upon any such writ, in whole or in
part, in any order desired by Payee.
Payee shall not be deemed by any act of omission or
commission to have waived any of his rights or remedies hereunder
unless such waiver is in writing and signed by Payee and then
only to the extent specifically set forth in writing. Any waiver
on one event shall not be construed as continuing or as a bar
to or a waiver of any right or remedy to a subsequent event.
This instrument shall be governed by and construed
according to the laws of the Commonwealth of Pennsylvania.
Whenever used, the singular number shall include the
plural, the plural the singular, the use of any gender shall
be applicable to all genders, and the words "Payee" and "Maker"
shall be deemed to include their respective successors, heirs,
personal representatives and assigns.
Maker is a Pennsylvania corporation with its principal
offices situate: 4614 Derry Street, Harrisburg, Pennsylvania 17111.
Maker certifies that the undersigned officer, Donald
K. Murdoch, President of Murdoch Insurance & Investments, Inc.,
has full and complete corporate authority to execute this document
in accordance with its terms.

Dear Mr. Shughart:
please allow this correspondence to highlight our meeting of
March 18, 1997, in regards to the William A. Murdoch estate.
As your letter of February 17, 1997 pointed out, there is a
difference between the refund of $43,395.48, calculated by
cumberland crossings Retirement communi ty, and $46,931.64,
calculated by your office.
As agreed upon, we will indicate that the refund was
representative of 61 months, not 64 months, and therefore, we would
start with your number of $46,931.64. out of that, as agreed upon,
we would subtract the fair market value of renting the cottage,
which equals $477.00, leaving a balance to be refunded to the
estate of William A. Murdoch of $45,500.00.
