LAST WILL AND TESTAMENT
I, RUTH M. BUEHLER, of the Township of Monroe, county of
cumberlandr and Commonwealth of pennsylvania, being of sound and
disposing mind, memory and understandingr do maker publish and
declare this as and for my Last Will and Testament, hereby
revoking and making void all former wills and codicils by me at
any time heretofore made.
FIRST. larder and direct that all my just debts and
funeral expenses be paid by my Executor, hereinafter named, as
soon as conveniently may be done after my decease.
SECOND. I give and bequeath my fur coat, chinar glassware
and sterling silver flatware unto my step-daughter, namely, DAWN
M. SCRIVENr absolutely, if she survives me.
THIRD. I give, devise and bequeath all the rest, residue
and remainder of my Estate, realr personal and mixedr whatsoever
and wheresoever situated, unto my husband, JOHN F. BUEHLER,
absolutely and in fee simpler if he survives me by as many as
sixty (60) days.
FOURTH. If my husband, JOHN F. BUEHLERr does not survive
me by as many as sixty (60) days, then and in that event, I
order and direct my Executor, hereinafter named, to convert all
the restr residue and remainder of my Estater real, personal and
mixedr whatsoever and wheresoever situated, into cash as soon as
practicable after my death and to divide the net balance thereof
into nine (9) equal parts which shall be distributed and
disposed of as follows:
A. I give and bequeath one (1) such part of my

absolutely. During the existence of said trustr I authorize and
empower my said Trustee to use, consume, expend and apply from
time to time such amounts of trust principal and income as the
Trustee, in the exercise of its sole discretionr shall determine
to be necessary and proper for the beneficiary's educationr
after consideration of the beneficiary's parent's primary
responsibility to provide such education. The term "education"
shall be construed to mean college or other post-highschoo1
training which is intended to improve the beneficiary's
productivity as an adult or enhance the quality of his or her
life.
LASTLY. I nominater constitute and appoint my husband,
JOHN F. BUEHLER, to be the Executor of this, my Last will and
Testament, but if for any reason he should fail to qualify as
such Executor or cease so to server then in that event, I
nominate, constitute and appoint my step-son, namely, JOHN F.
BUEHLER, JR.r to be the Executor hereofr each and both to serve
without bond or other security as a condition of qualification
hereunder.
If both of the above named persons should fail to
qualify as my personal representative hereunder or cease so to
serve, then and in that ultimate event, I nominate, constitute
and appoint THE FIRST BANK AND TRUST COMPANY OF MECHANICSBURG,
PA. (or its successor by any mergerr consolidation or other
corporate reorganization)r to be the Executor of thisr my Last
will and Testament, to serve without bond.
IN WITNESS WHEREOF, I, RUTH M. BUEHLERr have hereunto set

PETITION TO CONFIRM ACCOUNT
AND ORDER DISTRIBUTION
TO THE HONORABLE, THE JUDGES OF SAID COURT:
AND NOWr comes your petitioner, John F. Buehler, Jr.,
Executorr by his Attorneys, snelbaker, Brenneman & spare, P.C.,
and respectfully represents as follows:
1. Your Petitioner is John F. Buehler, Jr'r the Executor of
the Estate and under the Last Will and Testament of Ruth M.
Buehlerr Deceased.
2. Ruth M. Buehler ("Decedent") died on December 10, 1996.
3. Petitioner completed his administration of Decedentrs
Estate by filing his First and Final Account ("ACcount") with
statement of proposed Distribution ("statement") on June 3, 199B,
notice of which was properly given to all persons interested in
Decedent's Estate.
4. said Account and statement were scheduled for
presentation at a session of this Court on August 25r 199B.
5. Upon information received from the Clerk of this courtr
your petitioner through his counsel was advised that said Account
and statement were not confirmed/approved because of a letter

received by the Clerk on August 24, 199B, a true copy of which is
attached hereto marked "Exhibit A" for the convenience of the
court.

6. Michael D. McGregor, a beneficiary of the Estate,
appears to be the author of "Exhibit A".
7. Michael D. McGregor failed to serve Petitioner or his
counsel with a copy of "Exhibit A". It was necessary for
Petitioner's attorney to obtain a copy of "Exhibit A" from the
Clerk in order to discern the reason for the non-confirmation{
non-approval of the Account and statement.
8. Michael D. McGregor has failed to advance the purpose of
his "Exhibit A".
9. "Exhibit A" contains no objections or exceptions to the
Account or statement. Rather, "Exhibit A" appears to be a
complaint against Mellon Private Asset Management corporation
("Mellon").
10. Mellon is the trustee of an inter vivos trust ("Trust")
created by Decedent and is not subject to Petitioner's
administration or control. Attached hereto is a true copy of a
"Deed of Trust" dated November 28r 1969 and an amendment thereto
dated April 28r 1971r collectively marked "Exhibit B"
(hereinafter called "Trust Deed") which is the Trust to which
Michael D. McGregor makes reference.
11. Article One, Paragraph (B), of the Deed of Trust
specifically provides as follows:
upon the Settlor's deathr the Trustees are
authorized to pay to the Settlor's personal
representative, from assets held in trust prior to the
Settlor's death, the amount which said personal
representative shall request in writing to supplement
the Settlor's estate in order to pay debts, death
taxes, administration expenses and legacies.

[Mellon is the successor to The First National Bank of Altoona;
"Settlor" is the Decedent herein; "Settlor's personal
representative" is Petitioner herein; and since Decedent was also
a trustee in the Trust Deed, Mellon became the sole trustee upon
Decedent's death thereby modifying by law the reference to
"trustees" (plural).]
12. In keeping with the express provisions of the Trust
Deedr Petitionerr in performance of his rights and duties in the
administration of Decedent's Estater duly requested the sum of
$20,000 from Mellon. Attached hereto are true copies of said
request as contained in letters dated March 4r June 25 and July
19, 1997, collectively marked "Exhibit C".
13. Mellon duly exercised its authority under the Trust Deed
in paying said requested $20,000 to the Decedent's Estate on July
25, 1997, as evidenced by its letter dated July 25r 1997,
attached hereto marked "Exhibit D".
14. Petitioner accounted for the receipt of said $20,000 in
his Inventory duly filed with the Register of Wills of cumberland
county, Pennsylvania, a true copy of which is attached hereto
marked "Exhibit E".
15. Michael D. McGregor objects to Mellon's payment of funds
from said Trust to Estate.

Dear Mr. carey:
Thank you for your letter of February 27r 1997 advising as
to the Harold W. Mauk Trust. We agree that Mrs. Buehler'S estate
has no interest in her late husband's Trust.
With regard to the Ruth M. Buehler Trust (522-27W), we
cannot, at this time, advise as to the amount of funds to be
disbursed by the Trust to the Estate.
In reviewing the Deed of Trust dated November 28r 1969, we
note the following pertinent provision in paragraph (B) of
Article One:
Upon the Settlor's death, the Trustees are
authorized to pay to the Settlor's personal
representativer from assets held in trust prior to the
Settlor's death, the amount which said personal
representative shall request in writing to supplement
the Settlor's estate in order to pay debtsr death
taxesr administration expenses and legacies.
We believe it was Mrs. Buehler'S intention that the Trust would
indeed pay all of the items set forth in the quoted provision.
Mrs. Buehler'S will does not contain any specific cash legacies,
but there will be "debts"r "death taxes" and "administration
expenses". As soon as all are determinedr we will supply you
with the executor's requisition.

MOTION TO MAKE RULE ABSOLUTE
TO: THE HONORABLE GEORGE E. HOFFER, PRESIDENT JUDGE:
AND NOW comes John F. Buehler, Jr., Executor of the Estate
of Ruth M. Buehler, Deceased, by his attorneys, Snelbaker,
Brenneman and Spare, P.C. and via his said attorneys represents
as follows:
1. That on or about January 28, 1999, said attorneys
presented to the Court his Petition to Confirm Account and Order
Distribution.
2. By Order dated January 28, 1999, President Judge Hoffer
directed that a RUle be issued to be returnable within 25
calendar days from the date of mailing a duly certified copy of
said Order with the Petition attached to Michael D. McGregor at
the address specified therein.
3. The Clerk of this Court duly issued a Rule to Michael D.
McGregor under date of January 28, 1999 in compliance with
President Judge Hoffer's Order aforesaid.

4. The undersigned attorney did send a copy of said
Petition, a certified copy of the above-referenced Order and an
original counterpart of the Rule to Michael D. MCGregor on
January 28, 1999 as evidenced by the Affidavit of Service filed

5. Said Michael D. McGregor has not filed any matters nor
contacted the Executor or his attorney in response to said Order
and Rule.
6. The Rule returnable time (25 days from the date of
mailing, to wit: January 28, 1999) has expired.
WHEREFORE, the Executor aforesaid by his attorneys does
hereby respectfully request your Honorable Court to make the Rule
absolute and to confirm the Executor's First and Final Account as
heretofore filed and order of distribution in accordance with his
statement of Proposed Distribution filed with said account.

I, RUTH M. BUEHLER, of the Township of Monroe, county of
Cumberland, and Commonwealth of pennsylvania I being of sound and
disposing mind, memory and understanding, do make, publish and
declare this as and for my Last Will and Testament, hereby
revoking and making void all former wills and codicilS by me at
any time heretofore made.
FIRST. I order and direct that all my just debts and
funeral expenses be paid by my Executor, hereinafter named, as
soon as conveniently may be done after my decease.

SECOND. I give and bequeath my fur coat, china, glassware
and sterling silver flatware unto my step-daughter, namely, DAWN
M. SCRIVEN, absolutely, if she survives me.

THIRD. I give, devise and bequeath all the rest, residue
and remainder of my Estate, real, personal and mixed, whatsoever
and wheresoever situated, unto my husband, JOHN F. BUEHLER,
absolutely and in fee simple, if he survives me by as many as
sixty (60) days.
FOURTH. If my husband, JOHN F. BUEHLER, does not survive
me by as many as sixty (60) days, then and in that event, I
order and direct my Executor, hereinafter named, to convert all
the rest, residue and remainder of my Estate, real, personal and
mixed, whatsoever and wheresoever situated, into cash as soon as
practicable after my death and to divide the net balance thereof
into nine (9) equal parts which shall be distributed and

If any of the above named beneficiaries should predecease me and

deceased beneficiary shall be distributed unto his or her lawful
issue per stirpes by representation and not per capita.
FIFTH. 1 order and direct that the distributive share to
any beneficiary who is under the age of twenty-two (22) years at
the time of my death shall be paid over and delivered unto THE
FIRST BANK AND TRUST COMPANY OF MECHANICSBURG, PA. (or its
successor by any merger, consolidation or other corporate
reorganization), as my testamentary Trustee, IN TRUST,
NEVERTHELESS, to hold, manage, invest and reinvest until the

beneficiary attains the age of twenty-two (22) years, at which
time said trust shal1 be terminated and the then remaining net
proceeds shall be paid over and delivered unto the beneficiary,

absolutely. DUring the existence of said trust, I authorize and
empower my said Trustee to use, consume, expend and apply from
time to time such amounts of trust principal and income as the
Trustee, in the exercise of its sole discretion, shall determine
to be necessary and proper for the beneficiary's education,
after consideration of the beneficiary's parent's primary
responsibility to provide such education. The term "education"
shall be construed to mean college or other post-highschool
training which is intended to improve the beneficiary's
productivity as an adult or enhance the quality of his or her
life.

Testament, but if for any reason he should fail to qualify as
such Executor or cease so to serve, then in that event, I

BUEHLER, JR., to be the Executor hereof, each and both to serve
without bond or other security as a condition of qualification
hereunder.
If both of the above named persons should fail to
qualify as my personal representative hereunder or cease so to
