writing, which is dated, makes sped.fic reference to this Will, and
is signed by me at the end thereof, to those persons designated in
such separate writing who survive me. If any item of tangible
personal property is identified in more than one separate writing,
I direct that only the separate writing bearing the last date shall
govern the disposition of such item.
ITEM III. I gi va and bequeath all my household and
personal effects, jewelry, automobiles, and other tangible
personalty of like nature not effectively disposed of by any
separate writing referred to above, to my son, JEFFREY ALAN
GUCKELBERGER (my "Son"), subject, however, to the following
provision. My Executor shall have, in her exclusive discretion,
the right to determine whether any such items of personal property
either shall be distributed outright to my Son or, on his behalf,
to the Guardian of the Person of my Son, or shall be distributed
into the Trust created under ITEM IV hereof.
ITEM IV. I give, devise and bequeath all of the resJ.due
of my estOlte, whether rea I, personal, or mixed, and wherever
situate, including any property subject to any power of appointment
which I may now have or hereafter acquire, to my Trustee
(hereinafter mentioned), IN TRUST NEVERTHELESS, for the benefit of
my son, JEFFREY ALAN GUCKELBERGER, for the following uses and
purposes:

A. My Trustee shall hold and invest the prinoipal of
the Trust Corpus, oolleot the inoome therefrom, and expend and
apply so muoh of the net inoome (any inoome not so expended or
appl~ed to be accumulated and added to prinoipal), and so much
of the prinoipal and aooumulated inoome, as my Trustee shall
deem, in her sole and absolute disoretion, necessary or
advisable, for the support, maintenanoe, and eduoation
(inoluding oollege eduoation, both graduate and undergraduate)
of my Son, after taking into oonsideration other readily
available assets and sources of income. During illness or
emergency, my Trustee may either pay a distribution to my Son,
or may make a distribution for the benefit of my Son.
B. At the time my Son attains the age of twenty-one
(21), one-half of the Trust corpus and all accumulated income
shall be distributed to my Son. At the time my Son attains
the age of twenty-five (25), then this Trust shall terminate,
and my Trustee shall distribute the then-remaining principal
and acoumulated or undistributed income to him.
C. If my Son should die during the existence of this
Trust, it shall be continued for the benefit of his then-
living issue, per stirpes. If he does not have such issue,
distribution shall be made in acoordance with paragraph D.
hereof.

D. If my son should predecease me without issue, or if
he should die before attaining the age of twenty-five (25),
then distribution of any remaining assets in the Trust shall
be made to my sister, LINDA C. SENTS, now of Mechanicsburg,
Pennsylvania, absolutely, or to her then-living issuE'l, per
stiroes, subject to the provisions of a Trust as set forth in
ITEM IV. A. above if a particular beneficiary is under the age
of twenty-five (25).
ITEM V. The interest of beneficiaries hereunder shall
not be subject to anticipation or to vOluntary or involuntary
alienation.
ITEM VI. I hereby appoint my sister, LINDA C. SENTS, now
of Mechanicsburg, Pennsylvania, as Executrix (the "Executor"), of
this, my Last Will and Testament. In the event of her refusal or
inability to so serve, I then nominate and appoint MELLON BANK,
N.A., COMMONWEALTH REGION, of Harrisburg, Pennsylvania, or its
successors in interest, to serve in such capacity as Executor.
ITEM VII. In the event that I am entitled, upon my death,
to appoint a Guardian of the Person of my minor natural children,
I hereby appoint my sister, LINDA C. SENTS, now of MechanJ.csburg,
Pennsylvania, as such Guardian of the Person of my Son, JEFFREY
ALAN GUCKELBERGER, who presently is ouch a minor. In the event of

her refusal to so serve, I then grant to her the right and power,
exeroisable in her exolusive disoretion, to nominate and appoint in
writing suoh a Guardian of the Person of my minor children, which
nomination shall be honored as if I had made such appointment in
this Will.
ITEM VIII. If, at the time of my death, I own any
residence, including but not limited to, the premises known as
2 High Ridge Trail, Mechanicsburg, Pennsylvania (the "Residenoe),
then I hereby grant to my sister, LINDA C. SENTS, now of
Mechanicsburg, Pennsylvania, a conditional use of my Residence,
whereby she may, in her sole discretion, live therein rent free,
upon the following conditions: 1) she must aocept to serve and
continue to serve as Guardian of the Person of my Son, JEFFREY ALAN
GUCKELBERGER, as provided herein; 2) my Son must live in such
Residence with her; 3) suc.h use shall not extend, in any event,
beyond the twenty-first birthday of my Son, unless he shall consent
otherwise in u writing delivered to my Trustee; 4) she must pay
the costs of utilities and serv:ces (but my Trustee shall pay costs
of taxes, and of structural upkeep and maintenance) of my Residence
while living there; and 5) suoh use shall terminate upon her
willful absence from my Residence for a period greater than ninety
(90) days.

Her acceptance of such use must occur w~thin six (6) months of
the time of my death. Her immediate family may also reside in my
residence with her for so long as such use remains in effect.
My Residence, as burdened by this conditional use, shall be
distributed in accordance with Item IV hereof to my Trustee for the
benefit of my Son, but shall be restricted, limited, and used in
accordance with this Item VIII, until this use terminates.
ITEM IX. I hereby appoint MELLON BANK, N.A.,
COMMONWEALTH REGION, of HarriSburg Pennsylvania, or its successors
in interest, as the Trustee of any Trust created hereunder with
regard to any Beneficiary, as defined herein.
ITEM X. I express my desire that my Executor and
Trustee engage Neil Hendershot, Esq., and the law firm with which
he is associated at the time, as legal counsel for my Estate and
any Trust created hereunder.
ITEM XI. I direct that my Executor and Trustee shall not
be required to give bond or post any other sl:lcurity for the
faithful performance of duties in any jurisdiction.
ITEM XII. My Executor and Trustee shall have the
following powers in addition to those invested in them by law and

writing, which is dated, makes specific reference to this Will, and
is signed by meat the end thereof, to those persons designated in
.such separate writing who survive me. If any item of tangible
personal property is identified in more than one separate writing,
I direct that only the separate writing bearillg the last date shall
govern the disposition of such item.
ITEM III. I give and bequeath all my household and
personal effects, jewelry, automobiles, and other tangible
personalty of like nature not effectively disposed of by any
separate writing referred to above, to my son, JEFFREY ALAN
GUCKEI,BERGER (my "Son"), subject, however, to the following
provision. My Executor shall have, in her exclusive discretion,
the right to determine whether any such items of personal property
either shall be distributed outright to my Son or, on his behalf,
to the Guardian of the Person of my Son, or shall be distributed
into the Trust created under ITEM IV hereof.
ITEM IV. I give, devise and bequeath all of the residue
of my estate, whether real, personal, or mixed, and wherever
situate, including any property subject to any power of appointment
which I may now have or hereafter acquire, to my Trustee
(hereinafter mentioned), IN TRUST NEVERTHELESS, for the benefit of
my Son, JEFFREY ALAN GUCKELBERGER, for the following uses and
purposes:

A. My Trustee shall hold and invest the prinoipal of
the Trust corpus, collect the income therefrom, and expend and
apply so much of the net ir.oome (any income not so expended or
applied to be accumulated and added t.o principal), and so much
of the principal and accumulated income, as my Trustee shall
deem, in her sole and absolute discretion, necessary or
advisnble, for the support, maintenance, and education
(including collage p.ducat.ion, both graduate and undergraduate)
of my Son, after taking into conslderation othel: I:eadily
available assets and soul:ces of income. During illness or
emergency, my Trustee may either pay a distribution to my Son,
or may make a distribution for the benefit of my Son.
B. At the time my Son attains the age of twenty-one
(21), one-half of the Trust Corpus and all accumulated income
shall be distributed to my Son. At the time my Son attains
the age of twenty-five (25), then this Trust shall terminate,
and my Trustee shall distribute the then-remaining principal
and aocumulated or undistributed income to him.
C. If my Son should die during the existence of this
Trust, it shall be continued for the benefit of his then-
living issue, per stirpes. If he does not have such issue,
distribution shall be made in accordance with paragraph D.
hereof.

D. If my son shoulQ predecease me without issue, or if
he should die before attaining the age of twenty-five (25),
then distribution of any remaining assets in the Trust shall
be made to my sister, LINDA C. SENTS, now of Mechanicsburg,
Pennsylvania, absolutely, or to her then-living issue, per
stirpes, subject to the provisions of a Trust as set forth in
ITEM IV. A. above if a particular beneficiary is under the age
of twenty-five (25).
ITEM V. The interest of beneficiaries hereunder shall
not be subject to anticipation or to voluntary or involuntary
alienation.
ITEM VI. I hereby appoint my sister, LINDA C. SENTS, now
of Mechanicsburg, Pennsylvania, as Executrix (the "Executor"), of
this, my Last Will and Testament. In the event of her refusal or
inability to so serve, I then nominate and appoint MELLON BANK,
N.A., COMMONWEALTH REGION, of Harrisburg, Pennsylvania, or its
successors in interest, to serve in such capacity as Executor.
ITEM VII. In the event that I am ent i tIed, upon my death,
to appoint a Guardian of the Person of my minor natural children,
I hereby appoint my sister, LINDA C. SEN'rS, now of Mechanicsburg,
pennsylvania, as such Guardian of the Person of my Son, JEFFREY
ALAN GUCKELBERGER, who presently is such a minor. In the event of

her refusal to so serve, r then grant to her the right and power,
exercisable in her exclusive discretion, to nominate and appoint in
writing such a Guardian of the Person of my minor children, which
nomination shall be honored as if I had made such appointment in
this Will.
ITEM VIII. If, at the time of my death, I own any
residence, including but not limited to, the premises known as
~ High Ridge Trail, Mechanicsburg, pennsylvania (the "Residence),
then I hereby grant to my sister, IjINDA C. SENTS, now of
Mechanicsburg, Pennsylvania, a conditional use of my Residence,
whereby she may, in her sole discretion, live therein rent free,
upon the following conditions: 1) she must accept to serve and
oontinue to serve as Guardian of the Person of my Son, JEFFREY ALAN
GUCKELBERGER, as provided herein; 2) my Son must live in such
Residence with her; 3) such use shall not extend, in any event,
beyond the twenty-first birthday of my Son, unless he shall consent
otherwise in a writing delivered to my Trustee; 4) she must pay
the costs of utilities and services (but my Trustee shall pay costs
of taxes, and of structural upkeep and maintenance) of my Residence
while living there; and 5) such Use shall terminate upon her
willful absence from my Residence for a period greater than ninety
(90) days.

Her acceptance of such use must occur within six (6) months of
the time of my death. Her immediate family may also reside in my
r.."idence with her for so long as such use remains in effect.
My Residence, as burdened by this conditional use, shall be
distributed in accordance with Item IV hereof to my Trustee for the
benefit of my Son, but shall be restricted, limited, and used in
accordance with this Item VIII, until this use terminates.
ITEM IX. I hereby appoint MELLON BANK, N.A.,
COMMONWEALTH REGION, of Harrisburg Pennsylvania, or its successors
in interest, as the Trustee of any Trust created hereunder with
regard to any Beneficiary, as defined herein.
ITEM x. r express my desire that my Executor and
Trustee engage Neil Hendershot, Esq., and the law firm with which
he is associated at the time, as legal counsel for my Estate and
any Trust created hereunder.
ITEM XI. I direct that my Executor and Trustee shall not
be required to give bond or post any other security for the
faithful performance of duties in any judsdiction.
ITEM XII. My Executor and Trustee shall have the
fallowing powers in addition to those invested in them by law and

of all trust and without obligation or liability of the
purchaser or purchasers to see to the application of the
purchase money or to make inquiry into the validity of
said sale or sales; also, to make, execute, acknowledge,
and deliver any and all deeds, assignments, options, or
other writings which may be necessary or desirable, in
carrying out any of the powers conferred upon my Executor
or Trustee in this paragraph or elsewhere in my Will.
E. To mortgage real estate, and to make leases of
real estate for any period of time as is deemed
reasonable by them.
F. To borrow money from any party to pay
indebtedness of mine, or of my Estate or Trust, expenses

such separate writing who survive me.
If any item of tangible
personal property is identified in more than one separate writing,
I direct that only the separate writing bearing the last date shall
govern the disposition of such item.
ITEM III.
I give and bequeath all my household and
personal effects, jewelry, automobiles, and other tangible
personalty of like nature not effectively disposed of by any
separate writing referred to above, to my son, JEFFREY ALAN
GUCKELBERGER (my "Son"), subjeot, however, to the following
provision. My Executor shall have, in her exclusive discretion,
the right to determine whether any such items of personal property
either shall be distributed outright to my Son or, on his behalf,
to the Guardian of the Person of my Son, or shall be distributed
into the Trust created under ITEM IV hereof.
ITEM IV.
I give, devise and bequeath all of the residue
of my estate I whether real, personal, or mixed, and wherever
situate, inoluding any property subject to any power of appointment
which I may now have or hereafter acquire, to my Trustee
(hereinafter mentioned), IN TRUST NEVERTHELESS I for the benefit of
my Son, JEFFREY ALAN GUCKELBERGER, for the following uses and
purposes:

A. My Trustee shall hold and invest the prinoipal of
the Trust corpus, collect the income therefrom, and expend and
apply so much of the net income (any income not so expended or
applied to be accumulated and added to princi.pal), and so much
of the principal and accumulated income, as my Trustee shall
deem, in her sole and absolute discretion, necessary or
advisable, for the support, maintenance, and education
(including college education, both graduate and undergraduate)
of my Son, after taking into consideration other readily
available assets and sources of income. During illness or
emergency, my Trustee may either pay a distribution to my Son,
or may make a distribution for the benefit of my Son.
B. At the time my Son attains the age of twenty-one
(21), one-half of the Trust Corpus and all accumulated incomo
shall be distributed to my Son. At the time my Son attains
the age of twenty-five (25), then this Trust shall terminate,
and my Trustee shall distribute the then-remaining principal
and aocumulated or undistributed income to him.
c. If my Son should die during the existence of this
Trust, it shall be continued for the benefit of his then-
living issue, per stirpes. If he does not have such issue,
distribution shall be made in accordance with paragraph D.
hereof.

D. If my son sho~ld predecease me without issue, or if
he should die before attaining the age of twenty-five (25),
then distribution of any remaining assets in the Trust shall
be made to my sister, LINDA C. SENTS, now of Mechanicsburg,
Pennsylvania, absolutely, or to her then-living issue, ~.
stirDe~, subject to the provisions of a Trust as set forth in
ITEM IV. A. above if a particular beneficiary is under the age
of twenty-five (25).
ITEM V. The interest of beneficiaries hereunder shall
not be subject to anticipation or to voluntary or involuntary
alienation.
ITEM VI. I hereby appoint my sister, LINDA C. SENTS, now
of Mechanicsburg, Pennsylvania, as Executrix (the "Executor"), of
this, my Last Will and Testament. In the event of her refusal or
inability to so serve, I then nominate and appoint MELLON BANK,
N.A., COMMONWEALTH REGION, of Harrisburg, Pennsylvania, or its
successors in interest, to serve in such capacity as Executor.
ITEM VII. In the event that I am entitled, upon my death,
to appoint a Guardian of the Person of my minor natural children,
I hereby appoint my sister, LINDA C. SENTS, now of Mechanicsburg,
Pennsylvania, as such Guardian of the Person of my Son, JEFFREY
ALAN GUCKELBERGER, who presently is such a minor. In the event of

her refusal to so serve, I then grant to her the right and power,
exercisable in her exclusive discretion, to nominate and appoint in
writing such a Guardian of the Person of my minor children, which
nomination shall be honored as if I had made such appointment in
this Will.
JTEM VIII. If, at the time of my death, I' own any
residence, including but not limited to, the premises known as
2 High Ridge Trail, Mechanicsburg, Pennsylvania (the "Residence),
then I hereby grant to my sister, LINDA C. SENTS, now of
Mechanicsburg, Pennsylvania, a conditional use of my Residence,
whereby she may, in her sole discretion, live therein rent free,
upon the following conditions: 1) she must accept to serve and
continue to serve as Guardian of the Person of my Son, JEFFREY ALAN
GUCKELBERGER, as provided herein; 2) my Son must live in such
Residence with her; 3) such use shall not extend, in any event,
beyond the twenty-first birthday of my Son, unless he shall consent
otherwise in a writing delivered to my Trustee; 4) she must pay
the costs of utilities and services (but my Trustee shall pay costs
of taxes, and of structural upkeep and maintenance) of my Residence
while living there; and 5) such use shall terminate upon her
willful absence from my Residence for a period greater than ninety
(90) days.

Her acoeptanoe of such use must occur within six (6) months of
the time of my death. He.r immediate family may also reside in my
residence with her for so long as such use remains in effect.
My Residence, as burdened by this conditional use, shall be
distributed in accordance with Item IV hereof to my Trustee for the
benefit of my Son, but shall be restricted, limited, and used in
acoordance with this Item VIII, until this use terminates.
ITEM IX. I hereby appoint MELLON BANK, N.A.,
COMMONWEALTH REGION, of Harrisburg Pennsylvania, or its successors
in interest, as the Trustee of any Trust created hereunder with
regard to any Beneficiary, as defined herein.
ITEM X. I express my desire that my Executor and
Trustee engage Neil Hendershot, Esq., and the law firm with which
he is associated at the time, as legal counsel for my Estate and
any Trust created hereunder.
ITEM XI. I direct that my Executor and Trustee shall not
be reqllired to give bond or post any other security for t;he
faithful performance of duties in any jurisdiction.
ITEM XII. My Executor and Trustee shall have the
following powers in addition to those invested in them by law and

of all trust and without obligation or liability of the
purchaser or purchasers to see to the application of the
purchase money or to make inquiry into the validity of
said sale or sales; also, to make, execute, acknowledge,
and deliver any and all deeds, assignments, options, or
other writings which may be necessary or desirable, in
carrying out any of the powers conferred upon my Executor
or Trustee in this paragraph cr elsewhere in my will.
E. To mortgage real estate, and to make leases of
real estate for any period of time as is deemed
reasonable by them.
F. To borrow money from any party to pay
indebtedness of mine, or of my Estate or Trust, expenses

Orphans' Court Division, dated December 19,1997, Such Order also directed the Petitioner, as
Guardian, to Immediately contribute to the Trust any or all of the assets of Jeffrey Alan
Guckelberger which would come Into her possession as guardian of his estate, A true and
correct copy of such Order Is attached hereto as Exhibit 8,
5. The terms of the Trust direct that
[the] Trustee shall hold and invest the principal of the Trust Corpus, collect the
Income therefrom and expend and apply so much of the net income (any Income
not so expended or applied to be accumulated and added to principal). and so
much of the principal and accumulated income, as [the] Trustee shall deem, In
her sole and absolute discretion, necessary or advisable, for the support,
maintenance, and education (including college education, both graduate and
undergraduate) of [Jeffrey Alan Guckelbergerj, after taking Into consideration
other readily available assets and sources of income.
6. At the time _'effrey Alan Guckelberger reaches the age of twenty-one (21), one-half
of the Trust Corpus is to be distributed to him.
7. At the time Jeffrey Alan Guckelberger reaches the age of twenty-five (25), all of the
then remaining principal and accumulated Income of the Trust is to be distributed to him.
8, If Jeffrey Alan Guckelberger dies without issue before the complete termination of
the Trust, the Trust assets are to be distributed to th~ Petitioner.
9, The Trust presently holds assets as set forth in the First and Partial Account filed
concurrently herewith, A list of the assets on hand is attached hereto as Exhibit C,
10, Jeffrey Alan Guckelberger has recently attained the age of eighteen (18) years
and, therefore, Petitloner's guardianship of his estate has terminated.
11, The Petitioner wishes to resign as Trustee of the Trust. Petitioner's Resignation Is
attached hereto as Exhibit D,
12. The terms of the Will do not make provision for the appointment of a successor
Trustee,

writing, which is dated, makes specific reference to this Will, and
is signed by me at the end thereof, to those persons designated in
such separate writing who survive me. If any item of tangible
personal property is identified in more than one separate writing,
I direct that only the separate writing bearing the last date shall
govern the disposition of such item.
ITEM III.
I give and bequeath all my househcld and
personal effocts, jewelry, automobiles, and other tangible
personalty of like nature not effectively disposed of by any
separate writing referred to above, to my son, JEFFREY ALAN
GUCKELBERGER (my "80n"), subject, however, to the following
provision. My Executor shall have, in her exclusive discretion,
the right to determine whether any such items of personal property
either shall be distributed outright to ~y Son or, on his behalf,
to the Guardian of the Person of my Son, or shall be distributed
into the Trust created under ITEM IV hereof.
ITEM IV.
I give, devise and bequeath all of the residue
of my estate, whether real, personal, or mixed, and wherever
situate, including any property subject to any power of appointment
which I may now have or hereafter acquire, to my Trustee
(hereinafter mentioned), IN TRUST NEVERTHELESS, for the benefit of
my Son, JEFFREY ALAN GUCKELBERGER, for the following uses and
purposes:

11. My Trustee shall hold and invest the prinoipal of
the Trust corpus, collect the income therefrom, and expend and
apply so muoh of the net inoome (any income not so expended or
applied to be accumulated and added to principal), and so much
of the principal and accumulated income, as my Trustee shall
deem, in her sole and absolute discretion, necessary or
advis~ble, for the support, maintenance, and eduoation
(including oollege education, both graduate and undergraduate)
of my son, after takinCj into oonsideration other readily
avai lable assets and sources of income. DudnCj illness or
emergency, my Trustee may either pay a distribution to my Son,
or may make a distribution for the benefit of my Son.
B. At the time my Son attains the age of twenty-one
(21), one-half of the Trust Corpus and all accumulated income
shall be distributed to my Son. At the time my Son attains
the age of twenty-five {25), then this Trust shall terminate,
and my Trustee shall distribute the then-remaining principal
and acoumulated or undistributed income to him.
C. If my Son 'sh'ould die during the existence of this
Trust, it shall be continued for the benefit of his then-
living issue, per stirpes. If he does not have such issue,
distribution shall be made in acoordance with paragraph D.
hereof.

D. If my son should predecease me without issue, or if
he should die before attaining the age of twenty-five (25),
then distribution of any remaining assets in the Trust shall
be made to my sister, LINDA c. SENTS, now of Mechanicsburg,
Pennsylvania, absolutely, or to her then-living issue, J2Slr
stiroes, subject to the provisions of a Trust ns set forth in
ITEM IV. A. above if a particular beneficiary is under the age
of twenty-five (25).
ITEM V. The interest of beneficiaries hereunder shall
not be subject to anticipation or to voluntary or involuntary
alienation.
ITEM VI. I hereby appoint my sister, LINDA c. sEN'rs, now
of Mechanicsburg, Pennsylvania, as Executrix (the "Executor"), of
this, my Last will and Testament. In the event of her refusal or
inability to so serve, I then nominate and appoint MELLON BANK,
N. A., COMMONWEALTH REGION, of Harrisburg, Pennsylvania, or its
successors in interest, to serve in such capacity as Executor.
ITEM VII. In the event that I am entit.led, upon my death,
to appoint a Guardian of the Person of my minor natural children,
I hereby appoint my sister, LINDA C. SENTS, now of Mechanicsburg,
Pennsylvania, as such Guardian of the Person of my Son, JEFFREY
ALAN GUCKELBERGEH, who presently is such a minor. In the event of

her refusal to so serve, I then grant to her the right and power,
exercisable in her exclusive disoretion, to nominate and appoint in
writing such a Guardian of the Person of my minor children, which
nomination shall be honored as if I had made such appointment in
this Will.
ITEM VIII. If, at the time of my death, I own any
residence, including but not limited to, the premises known as
2 High Ridge Trail, Mechanicsburg, Pennsylvania (the "Residence),
then I hereby grant to my sister, LINDA C. SENTS, now of
Mechanicsburg, Pennsylvania, a conditional use of my Res idence,
whereby she may, in her sole discretion, live therein rent free,
upon the following conditions: 1) she must accept to serve and
continue to serve as Guardian of the Person of my Son, JEFFREY ALAN
GUCKELBERGER, as provided herein; 2) my Son must live in such
Residence with her; 3) such use shall not extend, in any event,
beyond the twenty-first birthday of my Son, unless he shall consent
otherwise in a writing delivered to my Trustee; 4) ehe must pay
the costs of utilities and services (but my 'rrustee shall pay costs
of taxes, and of structural upkeep and maintenance) of my Residence
while living there; and 5)' such use shall terminate upon her
willful absence from my Residence for a period greater than ninety
(90) days.
