IUl1.Yl: I give and bequeath to FARMERS
TRUST COMPANY, as Trustee of The Mary Brooks Price Educational
Trust Fund, established under an Irrevocable Agreement of Trust
executed by me as Grantor and by FARMERS TRUST COMPANY as

cash necessary to make the principal balance of such Trust, as
of the date of my death, TWO HUNDRED TEN THOUSAND ($210,000)
DOLLARS.

who survive me. or the survivor of them, absolutely and in fee
simple, all of my household furniture and furnishings, books,
pictures, jewelry, silverware, wearing apparel and all other
articles of household or personal use or adornment and all
policies of insurance thereon, to be divided amon~ them as they
shall agree, Should there be no agreement, such property shall
be divided among them by the Executor in as nearly equal
portions as is deemed practical in the sole discretion of the
Executor, having due regal'd to the personal preferences of such
child ren.
lTEM3.ilI.: I give, devise and bequeath all
the rest. residue and remainder of my estate, not disposed of
in the preceding portions of this Will, to FARMERS TRUST
COMPANY, Carlisle, Pennsylvania, as Trustee (hereinafter
referred to as "Trustee"), IN TRUST NEVERTHELESS, to be held,
administered and distributed in accordance with the terms of a
certain Revocable Agreement of Trust executed by FARMERS TRUST
n.
COMPANY as Trustee, and by me as Gr antor on the 1(' -- day
of UfJ'l,,(l! ,1911. I hereby confirm and ratify said
Agreement of Trust in every respect,

In the settlement of my estate,
among others, the following powers:

(a) To retain any investment.s I may have at my
death, including specifically those consisting of
stock of any bank even if I have named such bank as
the Executor herein, as long as the Executor may deem
it advisable to my estate so to do,
(b) To vary investments, when deemed desirable
by the Executor, and to invest in such bonds, stocks,
notes, real estate mortgages or other securities or in
such other property. real or personal, as the Executor
shall deem wise, without being restricted to so-called
"legal investments", and without being limited by any
statute or rule of law regarding investments by
fiduciaries,
(c) In order to effect a division of the
principal of my estate or for any other purpose,
including any final distribution, the Executor is
authorized to make said divisions or distributions of
the personalty and realty part.1y or wholly in kind,
and to allocate specific assets among beneficiaries
hereunder so long as the total market value of any
share is not affected by such division, distrihution
or allocation in kind, Should it appear desirable to
partition any real estate, the Executor is authorized
to make, join in and consummate partitions of lands,
voluntarily or involuntarily, including giving of
mutual deeds, recognizances or other obligations, with
as wide powers as an individual owner in fee simple,
(d) To sell either at public or private sale and
upon such terms and conditions as the Executor may
deem advantageous to the estate, any or all real or
personal estate or interest therein owned by the

or allocation in kind. Should it appear desirable to
partition any real estate, the Executor is authorized
to make, join in and consummate partitions of lands,

as wide powers as an individual owner in fee simple.

upon such terms and conditions as the Executor may
deem advantageous to the estate, any or all real or

J\greement of mrust
THIS AGREEMENT OF TRUST, made and entered into
thi s ( C day of GtLA.J! ,197.1., by and between MARY
BROOKS PRICE, of City of Harrisburg, Dauphin County,
Pennsylvania, as Grantor, hereinafter referred to as "Grantor",
and FARMERS TRUST COMPANY, Carlisle, Cumberland County,
Pennsylvania, as Trustee, hereinafter referred to as "Trustee".
WITNESSETH:
WHEREAS, Grantor is the owner of certain assets more
fully described in Schedule "A", attached hereto and made a
part hereof; and
WHEREAS, Grantor is desirous of being relieved of
business cares and worries and of the management of Grantor's
property and, for those reasons, among others, is desirous of
placing the active management and control of such property in
the hands of Trustee,
NOW, THEREFORE, in consideration of the mutual
covenants and a&reements herein contained, it is agreed by and
between the parties hereto as follows:
ARTICLE-I: Grantor, concurrently with or
subsequent to the execution of this Agreement of Trust, will
transfer and convey to Trustee the assets listed on Schedule
"A", attached hereto and made a part hereof, which said assets
are hereinafter referred to as the "Trust", receipt of which
assets hereby is acknowledged by Trustee, and Trustee, in
consideration thereof, agrees to hold and administer said
assets and any additions thereto, as Trustee, IN TRUST
NEVERTHELESS, for the following uses and purposes:
(a) Trustee shall have, hold, manage, invest and
reinvest the same, collect the income and pay over the
net income in convenient installments to Grantor
during Grantor's lifetime,
(b)

(d) Upon the death of Grantor, Trustee shall pay
over to the Executor of Grantor's estate so much of
the principal as shall be required to pay all
pecuniary and specific bequests provided in Grantor's
Will and inheritance and estate taxes, funeral and
administration costs which may be incurred with
respect to Grantor's estate, Thereafter, Trustee
shall divide the remaining principal and any other
assets, or any proceeds from or on account of
insurance policies received by reason of the death of
Grantor, into four (4) equal parts, one equal share
being set apart for each of Grantor's children, and
one equal part being aside for Grantor's friend,
KATHLEEN T. BALDWIN. The share set apart for
Grantor's children shall be held, administered and
distributed as provided in ARTICLE II hereof. The

share set apart for Grantor's friend,KATHLEEN T,.
BALDWIN; shall be held, administered and dist~ibuted
as provided in ARTICLE III hereof.
ARTICLE U: The following provisions shall
apply to each Trust established for the benefit of one of
Grantor's children:
(a) In each Trust thus established for a then
living child of Grantor, Trustee shall pay to or for
the benefit of such child all of the net income, in
quarterly or other convenient installments,
(b) Trustee shall pay to or for the benefit of
such child so much of the principal of said Trust, as,
in the discretion of the Trustee, after taking into
account other resources available to such child, may
be necessary to maintain such child in the proper
station in life, includ ing proper support,
maintenance, and medical care. Trustee shall also pay
to or for the benefit of the issue of such child so
much of the principal of said Trust, as, in the
discretion of the Trustee, after taking into account
other resources available to such issue, may be
necessary to maintain such issue in the proper station
in life, including proper support, maintenance,
medical care, and elementary, secondary, college or
other higher education. It is Grantor's intention
that these powers be exercised sparingly and only
under the most compelling circumstances.
(c) Upon the death of each child, or upon
Grantor's death should such child predecease Grantor,
the following provisions shall apply:

(i) If Grantor's child is survived by
then living issue, the Trustee shall further
divide said share into as many equal shares as
there are then living children of Grantor's
child and then deceased children of Grantor's
child survived by then living issue, Trustee
shall hold one such share as a separate Trust
for the benefit of each living child of
Grantor's child, and one such share as a
separate Trust for the benefit of the then
living issue of each deceased child of
Grantor's child, per stirpes.
(ii) Should such child not be survived
by living issue, FIFTY (50%) PERCENT of the
assets of such Trust shall be divided among
Grantor's then living issue, per stirpes. The
share of each such issue who is then the
income beneficiary of a Trust created
hereunder shall be added to the principal of
such Trust and shall be held, administered and
distributed as provided herein, The share of
each such issue for whom there is then in
existence no Trust created hereunder shall be
paid to such issue, Grantor's child shall
have the right to designate to whom the
remaining FIFTY (50%) PERCENT of the assets of
the Trust shall be paid, payment being
permitted to any person or persons, or
corporation or corporations, or to the estate
of Grantor's said child, in such amounts or
proportions, and in such lawful interests or
estates, whether absolutely or in trust, as
Grantor's said child may have directed, either

survived by then living issue, Trustee shall quarterly
pay the net income from said Trust to or for the
benefit of said issue, per stirpes, living at each
time of quarterly distribution; as soon as anyone of
said issue attains the age of twenty-one (2l) years,
and in no event later than twenty (20) years following
the death of Grantor's grandchild, Trustee shall pay
over all of the then assets in the Trust to the then
living issue of Grantor's deceased grandchild, per
stirpes, Should such grandchild of Grantor die before
final distribution and not be survived by then living
issue, the provisions of subparagraph (f) herein shall
obtain,
(e) In each Trust established for the benefit of
the issue of a deceased grandchild of Grantor, Trustee
shall quarterly pay the net income to or for the
benefit of the issue of such deceased grandchild of
Grantor, per stirpes, living at each time of quarterly
distribution; as soon as anyone of said issue attains
the age of twenty-one (21) years, and in no event
later than twenty (20) years following the death of
Grantor's grandchild, Trustee shall pay over all of
the then assets in the Trust to the then living issue
of Grantor's deceased grandchild, per stirpes.
(f) If at any time before final distribution of
the assets of any of the T.usts established for issue
of a deceased child of Grantor there are no living
Beneficiaries of said Trust, the Trust shall terminate
and its assets shall be divided into as many equal
parts as there are then living children of Grantor and
then deceased children of Grantor represented by then
living issue, The share of each such issue who is

then the income beneficiary of a Tr.ust created
hereunder shall be added to the principal of such
Trust and shall be held, administered and distributed
as provided herein, The share of each such issue for
whom there is then in existence no Trust created
hereunder shall be paid to such issue.

installments to KATHLEEN T. BALDWIN, during her

KATHLEEN T. BALDWIN so much of the principal of this
Trust as may be necessary, after taking into
consideration other reSources available to KATHLEEN T,
BALDWIN, as may be necessary, in the sole discretion
of Trustee, for the proper support, maintenance and
medical care of KATHLEEN T. BALDWIN, It is Grantor's
intention that this power of invasion be exercised
only in the event that other resources available to
KATHLEEN T. BALDWIN are exhausted,
(c) Upon the death of KATHLEEN T, BALDWIN,
TWENTY-FIVE (25%) PERCENT of the assets of this Trust
shall be conveyed and paid over to one or all, or. lesS
than all, of Grantor'S issue, or such charities, in
such amounts or proportions, and in such lawful
interest or estates, whether absolutelY or in trust,
as KATHLEEN T, BALDWIN may have directed, either by

instrument filed with Trustee during her lifetime,
exercising this Power of Appointment, or by her Last
Will and Testament.
In no event may said Power of Appointment be
exercised in favor of KATHLEEN T, BALDWIN, her estate
or the creditors of either,
(d) If this Power of Appointment is for any
reason not validly exercised by KATHLEEN T. BALDWIN,
in whole or in part during her lifetime, or in her
Last Will and Testament, then upon her death, or upon
Grantor's death if she fails to survive Grantor, then
such portion or all of the principal of this Trust, or
such interest in estates therein as shall not have
been validly appointed shall be divided among
Grantor's then living issue, per stirpes. The share
of each such issue who is the income beneficiary of a
Trust created hereunder shall be added to the
principal of such Trust, and shall be held,
administered and distributed as provided herein. The
share of each such issue for whom there is then in
existence no Trust created hereunder shall be paid to
such issue,
(e) Upon the death of KATHLEEN T, BALDWIN, the
remaining SEVENTY-FIVE (75%) PERCENT of the assets of
this Trust shall be divided among Grantor's then
living issue, per stirpes, The share of each sur.h
issue who is the income beneficiary of a Trust created
hereunder shall be added to the principal of such
Trust, and shall be held, administered and distributed
as provided herein, The share of each such issue for
whom there is then in existence no Trust created
hereunder shall be paid to such issue,

ARTIC~ IV: No part of the income or principal
of the property held under these Trusts shall be subject to
attachment, levy or sei;:ure by any creditor, spouse, assignee
or trustee or receiver in bankruptcy of any beneficiary prior
to his or her actual rrJceipt thereof, Trustee shall pay over
the net income and the principal to the parties herein
designated, as their iuterests may appear, without regard to
any attempted anticipation, pledging or assignment by any
beneficiary under a Trust, and without regard to any claim
thereto or attempted levy, attachment, seizure or other process
against said beneficiary,
ARTICLE V: The Trustee shall possess, among
others, the following powers:
(a) To vary or to retain investments, including
the stock of any corporate Trustee named herein, when
deemed desirable by Trustee, and to invest in such
bonds, stocks, notes, real estate mortgages or
securities or in such other property, real or personal
as Trustee shall deem wise, without being restricted
to so-called "legal investments" and without being
limited to any statute or rule of law regarding
investments by fiduciaries.
