(1) My sister, Alfnrata Dunn, shall have first choice aa to any item or items of my tangible personal property located in my residence at the time of my death. (2) After my sister has made her selections, Dehlia cain shall have second choice as to any item or items of my tangible personal property located in my residence at the time of my death. (3) After Dehlia Cain has made her selections, carol Joseph shall have third choice as to any item or items of my tangible personal property located in my residence at the time of my death. (4) After carol Joseph has made her selections, Mrs. .Tames A. Wright shall have fourth choice as to any item or items of my tangible personal property located in my resi- dence at the time of my death. (5) Daniel shauffler shall have any item or items of my profesoional or other equipment. (6) After Daniel Shauffler has made hi.i') selections, Charles Law shall have second choice as to any item or items of my professional or other equipment. (7) The balance of my tangible personal property, if any, shall be divided equally between Atlee Keefer and Noami prosser, or the survivor of them. -2- /1S~4fd/ ;; . ,(8) Any property not distributed as provided above shall be sold by my Executor as soon as practicable and the proceeds added to my residuary estate. ~ijIRD: I direct my Executor to sell, as soon as practicable after my death, my real estate located at 307 south 24th strset, Camp Hill, cumberland County, pennsylvania. This real estate consists of three (3) lots, improved with a house, garage and carport. Under existing ordinances of the borough of Camp Hill, this property cannot be divided for sale. Unless and until the borough of Camp Hill shall. repeal such ordinances, any deed executed by my Executor shall indicate the restriction against sale of the individual. lots. During the administration of my estate, my Executor is authorized and directed to emploY carol Joseph as caretaker for this real property, and for such services shall pay to her, as an expense of the administration of my estate, a salary of nine hundred dollars ($900) per week, beginning with the date of my death and continuing unt.il the real estate is sold and settlement has occurred, at which time Carol Joseph shall receive a lump sum severance payment of forty-six thousand eight hundred dollars ($46,800), in recognition of her past employment by me. Until this real estate has been sold and settlement has occurred, my Executor shall also permit carol Joseph to occupy rent- .ree the residence located on the premises, without any "" I obli.gation to pay real estate taxes, expenses of maintai.ning the -X" 1/ I~ ,trzf~. -3- - apartment in suitable revair and oondition and hazard and liabil- ity insurance thereon. The proceeds from such sale shall be added to my residuary estate, and shall pass as hereafter provided. FOURTH: (1) I give, devise and bequeath all the rest, residue and remainder of my property of every kind and descrip- tion (including lapsed legaoies and devises) wherever situate and whether acquir.ed before or after the execution of this Will, to the Trustee of that certain Trust Agreement between myself, GUY D. Wengert, as Settlor, and GUY D. Wengert, as Trustee, and referred to therein as "The Guy D. Wengert Revocable Trust," which Trust Agreement was originally exeouted by me on April 2, 1996, and was amended and restated in its entirety on even date herewith. My Trustee shall add the property bequeathed and devised by this Article to the principal of the above Trust. and shall hold, administer and distribute such property in accordance with the provisions of such Trust Agreement, as amended and restated. (2) In the event that the above bequest and devise is ineffective or invalid, for any reason, then I hereby give, devise and bequeath such undisposed property, up to the residue of my estate, to be held, administered and distributed in aocor- dance with the provisions of the aforesaid Trust Agreement between myself, Guy D. ~l",nge~t, as Settlor, and Guy D. Wengert, as Trustee, and referred tv therein as "The Guy D. Wengert ~'~' ~ --h/i'/ fe'/- -4- Revooable Trust," whioh Trust Agreement, as amended and restated in its entirety on even date herewith (and immediately before the execution of this Will), is hex'eby fully incorporated herein by this reference and made a part hereof, the same as if the entire Trust Agreement, as amended and restated, were set forth herein. FIFTH: No person shall benefit hereunder unless he or she shall survive me by thirty (30) days. SIXTH: (1) I name Robert J. Trace and Dauphin Deposit Bank and Trust Company as my Co-Executors. If Robert J. Trace is unable or unwilling to serve, Dauphin Deposit Bank and Trust Company shall serve alone. I direct that my co-Executors, herein referred to as my Executor regardless of number or gender, serve without bond in any jurisdiction in which called upon to act. (2) Except as otherwise provided herein, if all of the above persons should fail to qualify as my Executor hereunder, or for any reason should cease to act in such capacity, the succes- sor or substitute Executor shall be some bank or trust company with trust powers, which successor or substitute Executor shall be designated by the court having jurisdiction over the probate of my estate. (3) My Executor shall be entitled to recoive reason- able compensation for services rendered and reimbursement for reasonable and necessary expenses inourred. Each Co-Executor shall be authorized to retain legal counselor other professional advisors of their choosing to carry out their fiduciary duties I / /];--- ~~9..:,6/ ( -5- . . and the reasonable coet thereof shall be paid as an expense of administration from the residue of my estate. SEVENTH: (1) I give to any Executor named in this Will or any Codicil hereto or to any successor or substitute Executor all of the powers enumerated in this Will and all of the powers applicable by law to fiduciaries in the Commonwealth of Pennsyl- vania and in particular through the Pennsylv~nia Probate, Estates and Fiduciaries Code, as effective and as in effect on the date of my death, during the administration and until the completion of the distribution of my estate. All such powers shall be construed in the broadest possible manner and shall be exer- cisable without court authorization. In exercising these powers each Co-Executor may exercise separately and independently any or all of these powers, provided, however, that no Co-Executor shall be liable for the unilateral actions of any other Co-Executor unless such Co-Executor joins in or ratifies such actions. (2) My Executor is authorized and empowered to acquire and to retain, either permanently or for such period of time as my Executor may determine, any assets, including the capital stock of any corporate fiduciar.y, or its common trust funds, or its proprietary mutual funds, whether such assets are or are not of the character approved or authorized by law for investment by fiduciaries and whether such assets do or do not represent an o':tll'(llmcentration in one investment. -$' '7 ,:.~~~ -6,- , , . , (3) My Executor is authorized and empowered to dis- claim any interest, in whole or in part, of which I, or my Exeoutor, may be the beneficiary, devisee, or legatee, by execut- ing an appropriat~ instrument (in accordance with section 2518 of the Internal Revenue Code of 1986, as amended, or such similar section as may then be in effect). (4) My Executor is authorized and empowered to sell at public or private sale, or exchange, and to encumber or lease, for any period of time, any real or personal property and to give options to buy or lease any such property. Additionally, my Executor is authorized and empowered to compromise claims, to borrow from anyone (including a fiduciary hereunder) and to pledge property as security therefor, to make loans to and to buy property from anyone (including a fiduciary or beneficiary hereunder); provided that any such loans shall be adequately secured and at a fair interest rate. (5) My Executor is authorized and empowered to allo- cate property, charges on property, receipts and income among and between principal or income, or partly to each, without regard to any law defining principal and income. Furthermore, the Settlor retains the right during his lifetime to direct the Trustee not to retain any asset or assets that the Settlor determines not to be productive. ARTICLE IV pavmefit.e to Settlor's Executor Unon Settlor's Deatl1. In case the Settlor's probate estate (excluding income) is insuffi- cient to pay his funeral expenses, all legally enforceable claims against his estate, the expenses of administering his estate and all death taxes chargeable to the Astate and to satisfy all pre- residuary legacies or devises given by the Settlor's Last Will, the Trustee shall make available to the Settlor's Executor, out of the Trust Estate, such sums as the Executor shall, from time to time, certify to be required to satisfy any deficiency. The Trustee shall have no duty to inquire as to the propriety of any certification made by the Executor. The Trustee shall also pay -3- ". , . . - out of the Trust Estate all expenses of administration of the Trust Estate (including but not limited to reasonable commissions for the Trustee and reasonable attorneys' fees) payable from the principal of the Trust Estate after thPr Settlor's death and until the complete and final distribution of the Trust Estate, and any and all death taxes chargeable to the Trust Estate as a result of the Settlor's death. ARTICLE V . Provisions UpOLLOeath of Settlor, Upon the death of the Se'ctlor, and after making all payments to the Settlor's Executor authorl.zed under Article IV: A. The Trustee shall set aside from the Trust Estate as then constituted (which shall include any property which may be received from the Settlor's probate estate) cash or other proper- ty having a valUE! of Six Hundred Thousand Dollars ($600,000) to constitute the Alfarata Dunn Trust, which shall be held, adminis- tered and distributed as follows: 1. Forty thousand dollars ($40,000) to Robert J. v' Trace, Esquire, of camp Hill, Pennsylvania, in recognition of the Settlor's long friendship with him. 10. Forty thousand dollars ($40,000) to oehlia Cain, ./ 11. Forty thousand dollars ($40,000) of Camp Hill, Pennsylvania. 12. with regard to the foregoing gifts, the decision , to Carol Joseph, / of Harrisburg, Pennsylvania. of the Trustee regarding the proper identification of all beneficiaries shall be final for all purposes. 13. If the Trust Estate is not sufficient to satisfy in full the pecuniary and charitable gifts listed in para- graphs 1 through 11, then the Trustee shall pro rate the amount of each gift. -6- c. The rest, re.idue and remainder of the Trust Estate shall be distributed to Alfarata Dunn, Naomi Prosser, and Atlee Keefer, in equal ehares, or to the survivor or survivors of them. ARTICLE VI ContinallDt Distribution. If, at the time of the settlor's death, or at any later time prior to final distribution hereun- der, all of the beneficia~ies named in Article V above are deceased and no other disposition of the Trust Estate is directed by this Trust, then and in that event only, the then remaining Trust Estate shall be distributed among the tax-exempt organiza- tions specified in Paragraphs B(l) through B(2) of Article V, in such shares and amounts as the Trustee shall appoint in writing, provided, however, that such charitable organizations are quali- fied under each of section 170(b)(1) (A), section 170(c), Section 2055(a) and Section 2522(a) of the Internal Revenue Code of 1986, as amended (the "Code"). ARTICLE VII EAPilitv of Pavme~. The Trustee may make any of the distributions authorized herein (a) directly to the beneficiary, (b) if the beneficiary is under a legal disability or if the Trustee determines that the beneficiary is unable properly to manage his or her affairs, to a person furnishing support, maintenance, or education for the beneficiary or with whom the beneficiary is residing, for expenditure on the beneficiary's behalf, (c) to the Trustee of any trust created before or after this Trust and under which the beneficiary may receive income, -7- , . principal or both, or (d) if the beneficiary is a minor, to a custodian for the beneficiary, as selected by the Trustee, under the Uniform Transfers to Minors Act or Uniform Gifts to Minors Act of any state. Al ternati vely, the 'rrustee may apply all or a part of the distribution directly for the benefit of the benefi- ciary. Any distribution under this Article shall be a full discharge of the Trustee with respect thereto. ARTICLE VIII Gen,ral 'frustee Powers. In addition to the powers hereinbe- fore provided and those given by law, the Trustee, and any additional or successor Trustee, without any order of court and in its sole discretion, may: A. Hold and retain the property now or hereafter compris- ing a part of the Trust Estate, for such length of time as in its sole discretion it may deem wise, or sell any part thereof, without liability of any kind by reason of such retention or sale and invest and reinvest, alter, vary and change investments from time to time, in such manner and in such property, real, personal or otherwise, i.ncluding any common or diversified trust funds or proprietary mutual funas maintained by, or the common stock of, Dauphin Deposit Bank and Trust Company or of any holdi.ng company or affiliate thereof, as the Trustee may deem prudent, without being confined to what are known as legal investments under the laws of any state or jurisdiction; -8- B. Repair, alter, improve or lease, for any period of time (even tor more than five (5) years) any property and give options for leases; C. Make distribution hereunder either in cash or in kind or partly in each, and cause any share to be composed of property different in kind from any other shares, without regard' to the basis of such property; D. Purchase investments at a premium; E.Vote in person, or by proxy, all stocks or other securities held; F. Exercise any rights or warrants to subscribe for stocks or bonds or other allotments received by reason of securities held, or sell them for such prices as it may deem best; G. Deposit, surrender or eXChange stocks or pay any assessments in connection with any reorganization or merger or similar proceedings as it may deem best; H. Exercise any option, right or privilege granted in any insurance policy; I. Sell any real or personal property at public or private sale to any person or entity, or give options therefor for cash or credit, without liability on the part of the purchaser to see to the app1J.cation of the purchase money; provided, however, that no sale hereunder shall be made at a price less than that which the Trustee acting in good faith shall consider to represent adequate and full consideration; -9- J. Borrow money from any source, including any Trustee, , and purchase assets f'rom the Set- mortgage or pledge any property tlor'e estate at fair market value and loan money to any person or entity or to said estate; provided, ,however, that appropriate interest and coll.ateral shall be required for such loans; K. After the death of the Settlor, to merge any trust created hereunder with any other trust or trusts created by the Settlor under will or trust if the terms of such trusts are then substantially similar and held for the primary benefit of the same person; L. Compromise claims; M. Register securities in the name of a nominee in such manner that title shall pass by delivery; N. Employ investment counsel, accountants and agents in connection with the discharge of its duties, and determine and pay to them reasonable compensation; o. pool the assets of all trusts created hereunder or any of them for investment purposes, allocating to each trust an undivided i.nterest in all of the assets so held; P. Add to the principal of any trust created hereunder any property received from any person by Deed, Will or in any other manner; Q. In the exercise of its discretion with respect to the use of principal for any beneficiary, the Trustee may take into account other property and income available to such beneficiary; in so doing, the Trustee may conclusively rely on written repre- -10- ARTICL!l IX Trustee Matte~. The Trust shall be administered subject to the following: A. Trustee succession. Upon the,death of the Settlor, or should the Settlor, while serving as sole Trustee, resign or become disabled, Robert J. Trace and Dauphin Deposit Bank and Trust Company shall become successor Trustees. Any successor or sllbstitute Trustee shall qualify by filing his or its consent to act with the trust records. For purposes of this Agreement, the Settlor shall be deemed disabled whenever any person who would become a successor Trustee upon such determination of disability, receives written certification from two (2) physicians regularly attending the settlor, at least one (1) of whom is board-certi- fied in the specialty most closely associated with the alleged disability, that the settlor has become physically or mentally incapacitated, regardless of cause and regardless of whether or. not there has been any adjudication of incompetence, mental ill- ness, or need for a committee, conservator, guardian, or other personal representative. No successor Trustee shall be liable to anyone, including the Settlor, for r.emoving the Settlor from the Trusteeship, if such successor Trustee relied in good faith on the aforementioned physicians' certifications. No one else is liable to anyone for dealing with a successor Trustee, if such removal was made upon good-faith reliance on the aforementioned physicians' certifications. -12- B. ~rustee~ianatl2n. Any Trustee acting hereunder may resign at any time without court approval, to become effective upon delivery of a written instrument signed by the resigning Trustee, and delivered to the designated successor Trustee, if there is one, or to any Co-Trustee, or otherwise to each adult beneficiary of the current trust income, to a custodial parent of each minor beneficiary of current trust income, and to the legal guardian of any beneficiary of current trust income having a legal guardian, each determined at 'the time such notice is given. If there is no successor Trustee, then any person, includi.ng a corporation authorized to render trust services, shall be named successor Trustee by majority vote of the income beneficiaries, with the adult beneficiaries voting on their own behalf, one (1) vote being cast for each minor income benef iciary by hls or her custodial parent, and one (1) vote being cast by the legal guardian for any beneficiary having a legal guardian. For purposes of this Article, the right to receive "support" from the trust is a right to current trust income. C. Trustee com~sation. Any individual serving as Trustee shall be entitled to receive reasonable compensation for his services and to reimbursement for reasonable and necessary expenses incurred. Any corporate Trustee shall be entitled to receive reasonable compensation for its services, as determined by its standard fee schedule in effect and applicable at the time of the performance of such services, without regard to the involvement of any individual Trustee.. -1)- - D. ~~stee's Counsel. Each Trustee acting hereunder shall be entitled to engage its own attorney, and any attorney hired to assist any Trustee shall be entitled to receive reasonable compensation for its services and reimbursement for reasonable and necessary expenses incurred. E. ~ver of Bond. The Trustee shall serve without bond in any juriSdiction in which called upon to act. F. ~itations on Trustees. No person, other than the Settlor while serving as sole Trustee, who at any time is acting as a Trustee hereunder shall have any power or obligation to participate in any discretionary authority which the Settlor has given to the Trustee to pay principal or income to such person, or for his or her benefit or in relief of his or her legal obligations. G. Independent Exercise of Trustee Powers. Any Trustee acting hereunder may at any time and from time to time exercise unilaterally and separately any and all of the powers, discretio- ns and duties given hereunder, and no Trustee shall be liable for the consequences of any action undertaken by any other Trustee unless he expressly consents to or ratifies such actions. H. waiver of Accountinq. Any successor Trustee may, without liability, accept without examination or review the accounts rendered and the property delivered by any predecessor Trustee. I. Definition. Whenever the word the "Trustee" or any modifying or substituted pronoun therefor is used in this Trust, -14- such words and respective pronouns shall include both the singu- lar and the plural, the masculine, f.eminine and neuter gender thereof, and shall apply equally to the Trustee named herein and to any successor or substitute Trustee ,acting hereunder, and such successor or substitute Trustee shall have all the rights, powers and duties, authority and responsibility conferred upon the Trustee originally named herein, without any additional convey- ance. ARTICLE X Gover~09 Law and Situs. The situs of this Trust shall be Cumberland County, Pennsylvania, and questions pertaining to the validity, construction and administration of any trust hereunder shall be determined in accordance with the laws of the Common- wealth of Pennsylvania. ARTICLE XI SDendthrift provision.
