c. The Exeoutrix shall receive reasonable oompensation for
her servioes performed as determined by the Court in whioh this
will i. admitted to probate.
D. I 9ive my Exeoutrix in addition to and not in limitation
of the powers given by law or by other provisions of this Will,
the following powers with respect to settlement of my estate, to
be exeroised from time to time in the discretion of my Executrix
without further order or license of the Register of Wills or of
any court:
1. To retain any property, pending distribution
hereunder, to invest in or purchase any property without
restriction to legal investments for fiduciaries, to
distribute property in kind, to compromise claims, and to
sell any property at public or private sale;
2. To hold shares of stock or other securities in
nominee registration form, including that of a clearillg
oorporation or depository, or in book entry form or
unregistered or in such other form as will pass by delivery;
3. To engage in litigation and compromise, arbitrate
or abandon claims;
4. To make distributions in cash, or in kind at
current values, or partly in each, allocating specific
assets to particular diRtributees on a non-prorata basis,
and for such purposes to make reasonable determinations of
current values;
5. To make elections, decisions, concessions and
settlements in connection 'with aU income, estate,
inheritance, gift or other tax returns and the payment of
such taxes, without obligation to adjust the distributive
share of income or principal of any person affected thereby;
6. To borrow money from any person including any
fiduciary acting hereunder, and to mortgage or pledge any
real or personal property;

7. To .anage, oontrolr repair and improve all .state
property;
8. To prooure and oarry at the expense of the estate,
insurance of the kinds, forms and amounts deemed advisable
by the Exeoutor to proteot the estate and the Exeoutor,
against any hazard;
9. To employ any attorney, investment adviser,
aocountant, broker, tax specialist or any other agent deemed
necessary in the discretion of the Executor; and to pay from
the estate reasonable compensation for all services
performed by any of them;
10. To conduct alone or with others any business i.n
which I am engaged or in which I have an interest at my
death, with all the powers of any owner with respect
thereto, including the power to delegate discretionary
duties to others, to invest other property held hereunder in
such business and to organize a partnership or corporation
to carryon such business.
11. To do all the acts, to take all the proceedings,
and to exercise all the rights, powers and privileges which
an absolute owner of the property would have, subject always
to the discharge of its fiduciary obligations; the
enumerfttion of certain powers in this will shall not limit
the general or implied powers of the Executor; the Executor
shall have all additional powers that may now or hereafter
be conferred on the Executor by law or that may be necessary
to enabla the Executor to administer the provisions of this
Will, subject to any limitations specified in this Will.

My wife and I are executing Wills at approximately the same
time in which each of us is the primary beneficiary of the Will
of the other. These Wills are not executed because of any
agreement between my wife and myself. Either Will may be revoked
at any time at the sole discretion of the maker thereof.

I, PHILLIP D~VXD DELORENZO, presently of 3815 Carriage House
Drive, Camp Hill, Cumberland County, Pennsylvania, deolare this
to be my Last Will and Testament hereby revoKing all Wills and
codicils previously made by me.
I declare that I am married to NADINE YVONNE DELORENZO and
that all references in this Will to my wife are references to
NADINE YVONNE DELORENZO.
I declare I have no ohildren born to me.

PERBON1\LTY
I give all of my household furnishings and tangible personal
property to my wife, NADINE YVONNE DELORENZO, provided she
survives me by thirty (30) days. If my wife fails to survive me
by thirty (30) days, then my household furnishings shall be
distributed by my Executrix, Cara Denniston Garney, in the
following manner. It is my wish and desire that Cara Denniston
Garney be given the first choice of any of my household
furnishings. I then direct that both John Denniston, currently
of 1424 ParKer Lane, Henderson, Ne, 27536 and FranK Denniston,
currently of 429 Fortress Way, Occoquan, VA, 22125, be given the

not already been ohosen. After them, I ~ireot that my mother, ,
Anqela DeLorenzo, ourrently of 2223 Aspen Drive, Mechaniosburg,
Pennsylvania, 17055, and my sister, Marie Denniston, ourrently of
5503 Hamstead Crossing, Raleigh, NC, 27512, be given the option
to equally ohoose any of my remaining household furnishings. Any
items seleoted by Cara Denniston Garney, John Denniston and Frank
Denniston shall be valued for purposes of determining an equal
division of the rest, residue and remainder to Cara Denniston
Garney, John Denniston and Frank Denniston. Any items not so
selected shall then be sold and the prooeeds thereof shall pass
with the residue of my estate as set forth in Artiole II.

I give the restr residue and remainder of my estate to my
wife provided she survives me by thirty (30) days. Should my
wife fail to survive me by thirty (30) days, then I give the
rest, residue and remainder of my estate in equal shares per
oapita, and not per stirpes, to Cara Denniston Garney, John
Denniston and Frank Denniston.

C. The Exeoutrix shall receive reasonable compensation for
her services performed as determined by the Court in whioh this
Will is admitted to probate.
D. I give my Executrix in addition to and not in limitation
of the powers given by law or by other provisions of this Will,
the following powers with respeot to settlement of my estate, to
be exercised from time to time in the discretion of my Executrix
without further order or lioense of the Register of Wills ox' of

1. To retain any property, pending distribution
hereunder, to invest in or purchase any property without
restriotion to legal investments for fiduciaries, to
distribute property in kind, to compromise olaims, and to
sell any property at pUblic or private sale;
2. To hold shares of stock or other securities in
nominee registration form, including that of a clearing
corporation or depOSitory, or in book entry form or
unregistered or in such other form as will pass by delivery;
3. To engage in litigation and compromise, arbitrate
or abandon claims;
4. To make distributions in cash, or in kind at
current values, or partly in each, allocating specific
assets to particular distributees on a non-prorata basis,
and for such purposes to make reasonable determinations of
current values;
5. To make electi.ons, decisions, concessions and
settlements in connection with all income, estate,
inheritance, gift or other tax returns and the payment of
such taxes, without obligation to adjust the distributive
share of incomM or principal of any person affected thereby;
6. To borrow money from any person including any
fiduci.ary acting her.eunder, and to mortgage or pledge any
real or personal property;

7. To manage, oontrol, repair and improve all estate

8. To procure and oarry at the expense of the estate,
insuranoe of. the kinds, forms ahd amounts deemed advisable
by the Exeoutor to protect the estate and the Executor
against any hazard;
9. To employ any attorney, investment adviser,
accountant, broker, tax specialist or any other. agent deemed
necessary in the discretion of the Exeoutor; and to pay from
the estate reasonable compensation for all services
performed by any of them;
10. To conduct alone or with others any business in
whioh I am engaged or in which I have an interest at my
death, with all the powers of any owner with respect
thereto, inClUding the power to delegate disoretionary
duties to others, to invest other property held hereunder in
such business and to organize a partnership or corporation
to carryon such business.
11. To do all the acts, to take all the proceedings,
and to exercise all the rights, powers and privileges which
an absolute owner of the property would have, subject always
to the disCharge of its fiduciary obligations; the
enumeration of certain powers in this Will shall not limit
the general or implied powers of the Exeoutor; the Executor
shall have all additional powers that may now or hereafter
be oonferred on the Executor by law or that may be necessary
to enable the Executor to administer the provisions of this
Will, subject to any limitations speoified in this Will.
ARTICLE VI
MY.QgATION
My wife and I are executing Wills at approximately the same
time in which eaoh of us is the primary beneficiary of the Will
of the other. These Wills are not executed because of any
agreement between my wife and myself. Either Will may be revoked
at any time at the sole discretion of the maker thereof.
