FAMILY SETTLEMENT AGREEMENT

THIS
1998 by
and between Martha L. Blumenstein of 96 Hillcrest Drive, New
Cumberland, pennsylvanic 17070 and John Henry Blumenstein, ,Jr., of
3 Birch Streett Enola, Pennsylvania, 17025 and JoAnn Hope Haring,
5 Bridle Court, Etters, Pennsylvania, 17319.
WHEREAS / the parties hereto are the surviving children
and grandchildren and the sole beneficiaries of the Estate of
. Frederick S. Mayer, Jr.; and
WHEREAS, Martha L. Blumenstein was named Executrix under
the roast. Will and Testament of Frederick S. Mayer, Jr. i and
WHEREAS / the said Executrix has caused an Inheri tance Tax
Return, in the form attached hereto as Exhibit A, incorporated
herein by reference and made a part hereof / to be duly prepared for
filing with the Register of Wills of Cumberland County,
Pennsylvania, which return reflects all assets of the Decedent
known to the said Executrix excepting income to the Estat.e and all
debts of the Decedent. known to them excepting inherit.ance and
income tax obligations of the Decedent and the Estate i and
WHEREAS, following the filing of said ret.urn the
Executrix has reserved a Bum of Two Thousand ($2,000.00) Dollars
for possible debts which may accrue to the said Estate leaving
approximately Two Hundred Fifty Three Thousand ($253/000.00)
Dollars.

NOW THEREFORE, INTENDING TO BE LEGAIJrJYBOUND, the parties
hereto agrees as follows:
1. The Executrix of the Estate of Frederick S. Mayer,
Jr. hereby waives any right to Executor's fee or commission.
2. The Bum of Two Hundred FHty Three Thousand
($253/000.00) Dollars, being the approximate balance proposed for
distribution upon complete execution hereof, shall be distribut.ed
pursuant to the Last Will and Testament of Frederick S. Mayer, Jr.
as follows:
(a) To Martha L. Blumenstein thirty three and one
third (33 1/3) percent of the Residual Estate and the 1996 Chevy
Blazer.
(b) To John Henry Blumenstein, Jr., thirty three and
one third (33 1/3%) percent of t.he Residual Estate or t.he
residence located at 3 Birch Streett Enola, Pennsylvania, and his
grandfather's Diamond Ring and t.he lump sum of Twelve Hundred
($1/200.00) Dollars.
(c) To JoAnn Hope Haring, thirty t.hree and one third
(33 1/3%) percent of the residual estate consisting of the IRA
together with a Twenty Thousand ($20/000.00) Dollar lump sum
payment toward the income tax due on the IRA.

3. Each party hereto acknowledges notice t.hat,
pursuant. to the laws of the commonwealth of Pennsylvania, the
residence of Frederick S. Mayer, Jr. when he died, creditors have
a si:lt-mont.h period of time following advertisement of the
granting of Letters Test.amentary within which to submit claims to
t.he ExecutriK of the Estate. Advertising of the grant of Let.ters
Test.amentary was accomplished by publication in the Cumberland
County Reporter, the legal publication of the Decedent's last
residence, on August 29/ Sept. ember 5, and September 12/ 1997 and
by publication in The pat.riot News, a periodical of general
circulation in t.he Decedent's last Residence / on August 21 /
August 28/ and September 4, 1997. The first date for
publication, therefore, being August 29, 1997. Copies of the
official proofs of publication are at.t.ached hereto as Exhibits
"B". Furthermore, each of t.he parties acknowledges notice that.
the Commonwealt.h of Pennsylvania or other taxing authorities
having jurisdiction may tax the Estate or income of the decedent.,
creating debt.s not contemplat.ed by the Executrix. In the event.
that any debts of creditors, t.ax obligations, or other
liabilit.ies of the Estate arise, the parties hereto each agree t.o
return, repay and contribute to the Estate a share, proportionate
to their distribution interest, of the amount of such debts due.

4. Each of the part.iea hereto acknowledges notice,
t.hat, pursuant to the laws of the Commonwealth of pennsylvania,
such party is entitled to the fUing of an accounting with the
Court. of Common pleas of cumberland County, orphan'[j Court
Division, by which the Executrix, by sworn statement and
affidavi t / verifies the assets received by her in administering
t.he Estate and the expenses incurred by them in connect.ion with
it.s administration. Not.withstanding Huch notice, and in the
int.erest of economy and conservation of Est.ate assets, each of
t.he parties hereto waives and relinquishes [juch party's right. to
require such an accounting and hereby releases and discharges the
EKecutrix from any and all claims, demands or liability of any
kind or character relating to or arising from the failure to file
such accounting, it being the intention of all partl.es hereto
that no such accounting shall be filed.
S. In the event the amounts held in reserve by the
ExecutriK for payment of all debt.s and t.axes are not, in fact,
eKpended to creditors for debts or for taxes/ or for other
liabilities of the Ef3tate, then upon the satisfact.ion of the
Executrix that all such claims and liabilities have been made and
are paid, the funds, together with any income thereon and any
anticipated refund of prepaid Inherit.ance Tax and/or Income Tax,
shall be distributed, to each party pursuant to each party's
