RUMQERGER, survives. me, the Trustees shall divide "aid r,sidue into
two (2) separate pelrts, designated Funcl A elnd ",und B. If my wife
predsoeues me, the Trustees shall hold elll the residue as, Fund B.
The Trustees shelll distribute the net inoome (hereinafter oalled
IfII'lQOmelt) and principal of said Funds in elocordanoe with Artiollillil
FOURTH andFIF1'H.below. 'lihe division into Fund A and Fund B shall
be macle as follows I
(A) Fund A shall oonsist of a fraotional share of
the residue as defined in paragraph (B) below. The numerator of
,the fraction shelll be the minimum amount neoessary to reduce my
Federal estatta tax (eXolUsive of any tax imposed under seotion
4gBOA(d) of the ~nternal Revenue Code) to zero after the use of the
unified credit and any other oredits available to my estate
(eXolusive of any oredits the use of whioh WOUld inorease my total
death taxes). The denominator of such fraotion shall be the value
of': the residue as finally determined f.or Federal estate tax
pUrposes prior to the payment of death taxee therefrom. Fund B
shall oonsist of' the other' fraotional share. Any death, taxes
payable from the residue shall be oharged against Fund B, ae well,
as any administration eXPenses whioh are not allowed as estate tax
deduotions. This fraotion shall be oomputed as if all qualified:
t.erminable interests were.eleoted as part of the marital deduotion
on my Federal estate tax return, regardless of the election
elotually filed.

portion of Fund A, suoh portion shall be added to Fund a, and my

the exception of any power ofappoi~tment. If my wife dies before
acoepting any benefits, her personal representative shall have the
right to disolaim her interest in all or a portion of Fund A.

eXhaustGd, the Trustees shall accumulate the Income and add it to
principal ana invest it as such. If Fund A ,should beoome exhausted
durinq the lifetime of my wife, the Trustees shall pay the Income
of Fund B in quarter-annual or other convenient inetallments to or
for the benefit of my wife, and the Corporate Trustee may also
expend suoh sums frOm principal as the Corporate Trustee oonsiders
advisable to' provide for the support and maintenanoe of , my Wife, in
view or other readily available funds of whioh the corporate
Trustee has knowledge. Upon the death of my wife, the prinoipal
shall be distributed outrit;lht to or on further trust for such -one
or more of my desoendants as she direots by speoific reference to
Fund $ in her Will.
(2) If my wife, NANCY W. RUMBERGER, is not
livinq at my dt;lath or in the event she cUes thereafter without

exempt from federal generation-skipping transfer tax or with non-
exempt assets or partiallY with eaoh, so long as the market value

a separate trust/ PROVID~P, however., thllt unle,ss said share is
totally exempt from federal generation-skipping transfer tax, it
shall be divided into ,two separate trusts, an Exempt Trust having
an inolUsion ratio for the purposes of said tax of zero, and a Non-

to the corporate Trustee, eaoh of my ohildren shall have the right
to beoome a Co-Trustee with the Corporate Trustee of. his or her own

Trustee oonsiders advisable, in view of other readily available
funde of whioh the corporate Trustee has knowledge rto provide for

Trustee, to hold IN TRUST as followsl If my wife, NANCY W.
RUMBERGER" survives ma, the 'l'rustees shall divide saiq residue into
two (2) separate parts, designated Fund A and Fund B, If my wife
predeceases me, the Truetees shall hold all the residue as Fund B.
The Trustees shall distribute the net income (hereinafter called
n~noome") and prinoipal of said Funds in acoordance with Articles
FOURTH and FIFTH below. The division into Fund A and Fund B shall
be made as folloWSl
(A) Fund A shall consist of a fractional share of
the residue as defined in paragraph (B) below. The numerator of
the fraction shall be the minimum amount neoessary to reduce my
Federal estate tax (exclusive of any tax imposed under seotion
4980A(d) of the Internal Revenue Code) to zero after the use of the
unif ied oredi t and any other credits ava !lable to my estate
(exolusive of any credits the use of whioh would increase my total
death taxes). The denominator of suoh fraotion shall be th~ value
of the residue as finally determined for Federal estate tax
purposes prior to the payment of death taxes therefrom. Fund B
shall oonsiSt of the other fractional share. Any death taxes
payable from ~he residue shall be charged against Fund B, as well
as any administration expenses which are not allowed as estate tax
deduotions. This fraotion shall be oomputed as if all qualified
terminable interests Were elected as part of the marital deduotion
on my Federal estate talC return, regardless of the eleotion
actua lly f !led.

(6) For t~e 9urpose of this division, the residue
sha*l include not only my remaining probate assets, but also any
insuranoe prooeeds or other items paid direotly to the Trustees and
forming part of my taxable estate for Federal estate ,tax purposes.
Any items paid direotlY to the Trustees and not forming part of my
taxable estate shall be added, to Fund 6, in addition to the
fraotional share hereinabove speoified, and shall not be Used for
the payment of death taxes or administration expenses.
(0) The Trustees need not make a pro rata division
of eaoh asset, but may allooate different kinds of or interes~s in
property to eaoh fund, so long ,as the total market value of saoh is
not affeoted. There $hall not be allocated to Fund'A any property
or the pioceeds of any property which does not qualifY for the
marital deduction.
(0) ,If any portion of my Individual Retirement
Aooount benefits or qualified employee plan benefits are ~$ed to
fund FUnd A, my wife shall have the pOWer to direot the T,rustee$ to
exeroise their right to withdraw,any p~rt or all of the ordinary
inoome earned on the benefiis during any year, in whioh oa$e the
amount so withdrawn $hall be allooated to Income,. All other
PaYments, of suoh benefits reoeived by the Trustees shall be
allooatedto principal, If th~ Trustees do not have the right to
witharaw any pa~t or all of the ordinary inoome earned on the
benefits durinq a partioular year, then my wife shall have the

powe~ to require the Trustees to payout of any other aesets of
Fund A an amount equal to suoh ordinary inoome.
(E) If my wife and I die under suoh oiroumstanoes
that there is no suffioient evidenoe that'we' have died otherwise
than simultaneously, it shaH be oonclusively presumed for the
purpose of this Artiole that my wifs s~rvived me.
FOURTH I Fund A shall be held in the manner sst forth in
this Artiollil.
. (A) Fund A shall be dividec\, into two separate
parts/~nd each Part shall be held as a separate trust. Part One
shall oonsist of afraotional ~hare of Fund' A. The numerator of

wife shall have all the tights therein hereinafter set forth with
the exoeption of any power of appointment. If my wife dies before

PROVIOroO, however, that my said grandohild may also appoint the
principal of the Non-Exempt Trust and any portion of either tru~t
that he or she could have withdrawn before death in favor of
~nyone. Any unappointed portion shall be paid, per stirp$S, to his
or her then-living issue I and if he or she has none, to the then-
living issue of his or her parent who was my Child, the share of
any grandohild of mine to be added to his or her s~parate trust
hereunder if it is still in existence.
(c) If any of my children has no issue
living at the death of the survivor of my said Child, his or her,
children, if any, my wife and me, any r.emaining unappointed portion
of my said ohild's ~hare shall be added eqUally to the share of my

(3) If I have no issue living at the death of
the survivor of my wife, my children, my grandchildren and me, any
remaining unappointed principal shall be transferred and delivered

Trustee, my son, JEFFREY S. RUMBERGER, shall beoome the Individual
Trustee. In the event of the inability or unwillingness of my son,
JEFFREY S. RUMBERGER, to-aot or to oontinue to aot as a Trustee, my
son"in"law, THOMAS J. FOSTER, shall beoome the Individual Trustee.
In the event of the inability or unwillingness of my son"in"law,
THOMAS J. FOSTER, to aot or to oontinue to aot as a Trustee, no
suocessor Individual Trustee shall be appointed, and thereafter,
the term "Trustees" shall 'be interpreted as referring only to the
corporate Trustee. Notwithstanding the foregoing, eaoh of my
ohildren shall have the right to beoome the sole individual Co-
Trustee of his or her separate trust hereunder, fOllowing the death

if the Trustees are unable to agree with t'espeot to any deoisipn
