I, LORRAINE B, LANGE. 845 Indiana Avenue, Lemoyne,
Cumberland County, Pennsylvania, being of sound and disposing
mind, memory and understanding, do hereby make, publish. and
declare this as and for my last will and testament, hereby
revoking any and all prior wills, and any and all codicils
thereto, by me at any time heretofore made.

conveniently may be done.
SECOND:
Except as I may have otherwise provided in a
memorandum signed by me and accompanying this will I give my
tangible personal property to my husband, WILLIAM C. LANGE, if he
survives me by sixty (60) days.
THIRD:
All the rest, residue, and remainder of my estate,
both real and personal and wheresoever situate, I give to my
husband, WILLIAM C. LANGE, if he survives me by sixty (60) days.
FOURTH:
Upon my death, if my husband has predeceased me or
does not survive me for sixty (60) days, I give, devise, and
bequeath all the rest, residue, and remainder of my estate in

equal shares to our sons, WUliam R. Lange and James C. Lange,
If either of our sens is not li.ving at the time of my death or at
the time of my husband's death if he survives me by less than
sixty (60) days, but leaves issue then surviving, the share which
any such SO\l would have taken if he had been living shall pass to
his issue. I.f either of my said sons is not living at the time
of my death (or at the time of my husband's death if he survives
me by less than sixty (60) days) and does not leave issue then
surviving, the share which my said son would have taken if he had
been living shall pass to my other son or to his issue if he
should then be dead leaving issue surviving him. However, if my
son, James C. Lange is not living at the time of my death and
leaves no issue, and at the time of death of James C. Lange he
was married to Mary Maureen Vincent-Emory Lange, then I bequeath
$200,000 to Mary Maureen Vincent-Emory'Lange.
If my husband disclaims any portion of his bequest, the
disclaimed portion shall be diRtributed in accordance with this
paragraph.
FIFTH:
Any
portipn of
my estate which
becomes
distributable under paragraph FOURTH of this will to a minor or
minor shall be held in trust by Dauphin Deposit Trust Company
during the minority of such minor or minors.
During such
minority, my Trustee shall apply such amounts of income and
principal as it, in its sole discretion, deems proper for the

support, education (including graduate education) and welfare of
such minor or minors and shall accumulate any unexpended balance
of income. Such amounts may be applied directly or may be paid
to the person who has the care and control of such minor or

The Trus tee
shall not be obliged to supervise or inquire into the application
of such amounts by such pe.rson and the receipt of such person
shall be a complete release of the Trustee.
Should the amount thus held in Trust for any such
minor, in the sole opinion of the Trustee, be or become too small
to warrant continuing such fund in Trust, or should its
administration be or become impractical for any other reason, the
Trustee, in its sole discretion, may pay such amount absolutely,
to the parent or other person maintaining such minor, or \fiay
deposit such share in the minor's name in a savings account in a
savings institution of its choos ing, payab le to the minor at
majority.
SIXTH:
My Executor shall, in its absolute discretion,
determine any available eLections under the Internal Revenue Code
of 1986 or that in effect at the time of my death. Generally, I
anticipate that my Executor will elect to minimize the estate tax
payable by my estate.
However, I would expect that some
consideration be given to the estate tax payable in my husband's
estate upon his death, especially if he should die prior to the

time the election is made. The deter.mination of my Executor with

Any and all payment or payments of any sum or sums, whether in

VI. TRUSTS FOR MINORS.
If any final distribution under Section V hereof is to
be made to a person who is a minor, the amount shall be held by
Settlor's Trustee in a separate trust for the benefit of such
minor. During the minority of such minor/ the Trustee shall
accumulate the net income and, in its absolute discretion, pay to
or apply for the benefit of such minor, from time to time, such
sums from the principal and such income as it may deem necessary
or advisable to provide for the medical care, comfortable mainte-
nance, education and welfare of such minor, irrespective of the
resources of such minor. When such minor shall attain the age of
majority, the Trustee shall pay the principal, together with all
accumulated income to su:::h minor, and if such minor shall die
before attaining such age, the principal and all accumulated
income shall be paid over to the estate of such minor. 'rhe au-
thority conferred upon the Trustee by this paragraph shall be
construed as a power only and shall not operate to suspend the
absolute ownership of such property by such minor, or to prevent
the absolute vesting thereof in such minor. with respect to the
administration of any such property which shall vest in absolute

ownership in a minor and which shall be held by settlor's Trustee
as authorized in this paragraph, the Trustee shall have all the
powers vested in it under the provisions of Section VIII hereof.
VII. TRUSTEE'S POWERS DURING SETTLOR'S LIFETIME.

In the administration of the Trust Estate, the Trustee
shall have the following powers during the lifetime of the
Settlor:
and until the Settlor, by a writing delivered to the 'rrustee,
shall otherwise direct, all of the securities and other property
originally assigned, transferred, or delivered to the Trustee
hereunder or at any time forming a part of the Trust Estate,
whether or not such securities or other property be of the char-
acter authorized by the laws of the commonwealth of pennsylvania
for the investment of trust funds,
(a) The Trustee shall retain as an investment, unless

one or more corporations, or in any non-income producing securi-
ties or other property, or in any so-called wasting investments.

to comply with the written directions received by it from the
Settlor, the Trustee shall not be responsible or liable in any
way for any action taken with respect to any investment of the
Trust Estate, or for any loss or depreciation resulting from the
purchase, retention, sale, exchange, lease, or alteration of any
investment, or from any want of diversification of the investments
of the Trust Estate, and shall have no duty to advise anyone with
respect to the desirability of any such action. The Trustee
shall be entitled to assume that the Settlor remains alive until
it shall have received notice in writing of the Settlor's death.
(d) If, at any time during the Settlor's lifetime, the
Settlor shall deliver to the Trustee a notice in writing signed
by the Settlor stating in substance that the Settlor relinquishes
the powers reserved by her in the foregoing Subsections (al and
(bl, or, if at any time during the Settlor's lifetime Settlor
should be declared legally incompetent for any reason, then the
aforesaid powers reserved to the Settlor will cease and terminate
and, from and after the delivery of such notice or from and after
such declaration of such incompetency, the Trustee shall have
those powers with respect to the Trust Estate given to it under
section VIII hereof.

VIII. TRUSTEE~20WERSl\.rTER SETTLOR I ~ DEATH.
In the administration of the Trust Estate and any
other Trust provided for hereunder, the Trustee shall have the
following powers during the lifetime of the Settlor to the extent
not inconsistent with the provisions of Section VII hereof, and
shall have the following powers without restriction, either after
the delivery of the notice referred to in subsection (d) of
Section VII hereof, or after the declaration of incompetency re-
ferred to in that subsection or after t.he death of the Settlor:
(a) To retain, whether originally a part of the 'I:rust
Estate or subsequently acquired, and to purchase or otherwise
acquire and to retain, any property, whether or not such property
is authorized by law for investment by fiduciaries, or is un-
secured, unproductive, or of a wasting nature, all without diver-
sification as to kind and amount,
(b) To transfer, sell, exchange, partition, lease,
mortgage, pledge, give options upon, or otherwise dispose of any
property at any time held by it, at public or private sale or
otherwise, for cash or other consideration or on credit, and upon
such termS and conditions, with or without security, and for
such price, as it may determine,
(e) To hold any part of the assets of the Trust Estate
or any other Trust provided for hereunder, in cash, or uninvested
for any period deemed advisable.
(d) To extend, modify, or waive the terms of any bond

and mortgage at any time forming part of the Trust Estate or
any other Trust provided for hereunder I to foreolose any such
mortgage or take title to the property securing it by deed in
lieu of foreclosure or otherwise I to protect or redeem any such
property from forfeiture for non-payment of taxes or other liens!
and generally exercise ~s to such bond and mortgage or such
property all powers that an absolute owner might exercise.
(e) To exercise any option, right or privilege to
convert bonds, notes, stocks, or other securities, or to subscribe
for additional or other bonds, notes, stocks, or other securities!
to make such conversions or subscriptions! to make payments
therefor, and to advance or borrow money for the purpose of
exercising any such option, right, or privilege; and to hold as
investments such bonds, notes, stocks, and other securities so
acquired, notwithstanding that they are not of a character au-
thorized for investments by law or by other provisions of this
Trust Agreement.
(f) To vote any corporate stock held by it through its
designees, or by proxy, with or without power of substitution, and
to execute authority or proxies to one or more designees or
nominees.
(g) To borrow money from the Trustee's banking depart-
ment or from any other lender for any Trust purpose and to pledge
all or part of any Trust to secure such borrowing, without in-
curring any personal liability therefor.

(h) To pay, extend, renew, modify, or compromise, upon
such termS as it may determine, and upon such evidence as it may
deem sufficient, any obligation or claim, including taxes,
either in favor of or against any Trust.
(i) To hold or register any securities or other property
of any Trust in the names of a nominee or in such form as to pass
by delivery, with or wit.hout indicating the fiduciary character
of such securities or other property.
(j) To hold any separate parts or shares of the Trust
Estate or any other Trust provided for hereunder, wholly or partly
in undi.vided form for convenience of investment and administration.
(k) To divide and distribute the Trust Estate or
any other Trust provided for hereunder, in kind or in money, or
partly in each, or by way of undivided interests, and for such
purposes to value any property to be thus divided or distributed
at fair market values at the date or dates of distribution.
IX. ADDITIONAL PROPERTY.
The Settlor reserves the right for himself, or any other
person, to increase the Trust Estate by transferring or delivering
assets to the Trustee, or by having the proceeds of insurance
policies made payable to the Trustee, or by bequest or devise by
Will. The Settlor will notify the Trustee in writing of any
poiicies so made payable to it, or deliver such policies to the
Trustee as custodian thereof. The duties and liabilities of the

Trustee hereunder shall under no circumstances be sUbstantial,ly
increased, except with its written consent.
X. MERGER OR CONSOLIDATION AFFECTING TRUSTEE.
If the Trustee shall merge with or be consolidated with
another corporation, said other corporation shall succeed to all
the duties and all the powers, including discretionary powers
herein granted to such Trustee.
XI. ACCOUNTING BY TRUSTEE.
The Trustee shall keep all the accounts and records of
any Trusts created hereunder and quarterly, or oftener, shall
render to the Settlor during her lifetime statements showing all
receipts, disbursements, and investment transactions, After the
death of the Settlor, the Trustee shall render, at least annually
to each beneficiary then entitled to income under the terms of
any Trust created hereunder, a statement showing in detail re-
ceipts, disbursements and distributions of both principal and
inoome of the Trust involved.
XII. COMPENSATION OF TRUSTEE.
The compensation of the Trustee 'for services performed
hereunder shall be as agreed upon from time to time by the
Settlor and the Trustee and set forth in a written Fee Agreement
which shall be attached hereto.

XIII. SPENDTHRIFT CLAUSE.
No interest of any beneficiar.y under any Trust created
hereunder, either in income or in principal, shall be subject to
pledge, assignment, sale or transfer in any manner, nor shall
any beneficiary have the power in any manner to anticipate, charge,
or encumber his interest, oither in income or principal, nor
shall such interest of any beneficiary be liable or subject in
any manner for the debts, contracts, liabilities, engagements
or torts of such beneficiary.
XIV. TAX PROVISION.
The Trust Estate shall not be chat'ged with the payment
of any Federal Estate Taxes, or any Inheritance Taxes, upon the
Settlor's death, except to the extent that the assets in the
Settlor's testamentary estate shall be insufficient to discharge
such taxes, The Trustee may rely conclusively upon written
advice from the Executors of the Settlor's testamentary estate,
or upon any other evidence, as to the existence of such insuffi-
ciency and the amount thereof,
XV. SI'l'US.
This Revocable Trust Agreement shall be construed in
all respects according to the laws of the Commonwealth of Pennsylvania.
XVI. AMENDMENT AND REVOCATION.
The Settlor reservos the right. at any time, and from
time to time, by instrument in writing, signed and delivered to

the Trustee, during her H fetime I to modi fy, amend or revoke / in
whole or in part, this Revocable Trust Agreement or any of the
Trusts hereby created. To the extent thus revoked, the Trustee
shall deliver the principal of the Trust or Trusts involved to
the Settlor upon receiving a proper receipt, and shall execute
and deliver any instruments required to release all interests of
the Trustee in such property. No modification shall diminish
the compensation of the Trustee or increase its obligation without
its consent in writing.
XVII. REPLACEMENT OF TRUSTE~.
If Settlor I s husband, WILLIAM C. LANGE, survives her
by as many as sixty (60) days and the Separate Trust provided for
in Section III hereof is established, then during the lifetime
of Settlor's husband, he and Settlor's two sons, WILLIAM ROBERT
LANGE and JAMES CORDON LANGE, are hereby authorized by written
decision of at least two of them, delivered to the Trustee of
the Separate Trust hereunder, to discharge such Trustee and
appoint a new Trustee in which event the Trustee so discharged
shall immediately transfer the assets and undistributed income
in the Separate Trust, less expenses, to the new Trustee.
IN WITNESS WHEREOF, the Settlor has set her hand
and seal and the Trustee, in acceptance of this Revocable Trust
Agreement, has caused these presents to be executed and attested

AMENDMENT OF TRUST
Pursuant to the powers reserved to me in the Revocable Trust Agreement dated
September 1985, between myself and Dauphin Deposit Bank and Trust Company, I hereby
amend said trust agreement strictly for the purposes of clarification by adding a Paragraph
XVIII which shall read as follows:
XYll1: Words used in the singular may be read to
include the plural or the plural may be read as the
singuler. Similarly, the masculine form may be read to
include the feminine and neuter; the feminine may be
read to include the masculine and neuter; and the
neuter may be read to include the masculine and
feminine. Further, issue shall include all issue, including
but not limited to my grandson Michael Lange Hughes.
