I, HARRY H. WEISS, of 30 Strawberry Drive, Carli~le, Cumberland
County, Pennsylvania, declare this to be my last will and revoke
any wlll prevlously made by me.
ITEM ONE: I direct that all my debts and funeral expenses,
including my gravemarker shall be paid from my residuary estate as
soon as practicable after my decease as a part of the expense of
the administration of my estate.
ITEM TWO: I, give, devise and bequeath all of my jewelry,
automobiles, clothing, and other purely personal effects as well as
all household goods and equipment which I may own, together with
any policies of insurance thereof, to my wife, ARLINE C. WEISS, per
sUrpes.
ITEM THREE: I give, devise and bequeath all of the rest of my
assets to be divided between my wife and the trust described below
and referred to in this Will as the Harr'y H. Weiss Trust, as
follows:
A. I give, devise and bequeath to my wife, ARLINE C. WEISS, an
amount equal in value to (1) the unlimited federal estate tax
marital deduction allowable to my estate minus (ii) the value
for federal estate tax purposes of all items in my gross
esta te which quali fy for the deducUon and which pass o,r have
passed from me to my wife in a form qualifying for the
deduction otherwise than under this gi ft, In making the
computations necessary to determine the amount of this gift,
values as finally determined for federal estate tax purposes
shall be used, This gift shall be reduced by the amount, if
any, needed to increase my taxable estate to the largest
amount that will result in no federal estate tax being payable
by my estate, after allowing for the unified credit against
the federal estate tax but no other credit. It is my intent
that the bequest under this ITEM THREF; A shall qualify for the
marital deduction for federal estate tax purposes, and that
the provisions of this will relating to the marital deduction
shall comply with Section 2056 of the Internal Revenue code.

Neither my Executor nor the Trustee shall take any action or
have any power that will impair the marital deducUon, and all
provisions of this will regarding the marital bequest, shall
be interpreted to conform to that objective.
B. I give all of the remainder of my estate, including any of the
above gifts that lapse ("my residuary estate") :
1. If my wife, ARLINE C. WEISS, survives me, t.o the Trustee
of the Harry H. Weiss Trust.
2, 1f my wife, ARLINE C. WEISS, predeceases me or is not
then living on the 61'" day after my death, then I give,
devise and bequeath my residuary estate to my children,
CECEILE M. 1'1, STRAND and CAROL J. STAUDTER, equally, per
stirpes.
3. The gift to the Trustee of the Harry H, Weiss Trust shall
constitute the trust estate of the trust for the
exclusive benefit of my wife,
a. During my wife's lifetime, the Trustee shall
distribute all of the net income of the trust to my wife
in monthly or in other conveniemt installments, but in no
event less often than annually. In addition, the Trustee
at any time and from time to time may distribute to my
wife or apply for her benefit so much or 11 of the trust
estate as, in the Trustee's discretion, is sufficient to
provide for my wife's needs for health, support and
maintenance in the standard of living to which she was
accustomed at my death, taking into consideration any
other sources of support (both principal and income)
which my wife may have to the knowledge of the Trustee.
b. The trust shall terminate when my wife has died,
Upon termination, the trust estate shall be distributed
to my chUdren, CECEILE M. W. STRAND and CAROL J.
STAUDTER, equally, per stirpes.
4. Any portion of my residuary estate which would be
distributable to a beneficia~y who is under age 25 shall
be distributed to the Trustee of a Contingent Trust.

6. Marital Deduotion Gift. 'The r~xecutor may satisfy the
marital deduction gift by making distributions of cash or
in kind, or by making distributions partly of cash and
partly in kind. In making distributions in kind, assets
are to be valued at their dats of distribution value. In
no event shall the gift be satisfied with tho property or
the proceeds of property with respect to which the
federal estate tax marital deduction would not be
allowable if the property or the proceeds thereof wore so
used, and the amount of the marital deduction gift shall
be reduced to the extent that it cannot be satisfied with
property that qualifies for the deducti.on. It is my
intention that any assets in the Harry H. Weiss Trust
shall not qualify for the federal estate tax marital
deduction. To this end my Executor shall not elect under
Internal Revenue Code Section 2056 (b) (7) or any
comparable section in effect at my death for the assets
in the Harry H. Weiss Trust to qualify for the federal
estate tax marital deduction.
7. Distributions Durin J\dministration. prior to final
d stdbution of my estate which shall not be unreasonably
postponed by the Executor), the Executor in his
discretion may make partial distributions to one or more
beneflciaries or trusts. As a consequence, the
executorship and any trust created under the Win may
exist contemporaneously. A distribution may be made
subject to any indebtedness or liability of my estate,
8, Distributions to or for Benefioiaries, During the term
of a trust, the Trustee may make any distribution from
the trust (i) to the benefic1ary, (il) to a person
furnishing support, malntenance or education for the
beneficiary or with whom the beneficiary Is reslding or
the beneficiary's use, or (iil) to a custodian for a
minor beneficiary, as selected by the Trustee, under the
Uniform Gifts to Minors Act of any state. Alternatively,
the Trustee may apply the distribution for the
beneficiaryrs benefit.

If any beneficiary of the gift of personal dnd household
effect.s is under a legal disabJ.lity, the E;xecutor may
folloW any of the above methods in making distribution of
that beneficiaryrs share of the gift. The Executor may
also sell all or part of such beneficiary's share of
personal and household effects and then follow any of the
above methods in making distribution of the sale
proceeds.

ITtM FOUR: I appoint my wife, ARLINE C. WEISS, Executrix of my
estate. Should she fail to qualify or cease to act as Executrix,
I appoint my daughters, CECEILE M. W. STRAND and CAROL J. STAUDTER,
to act as co-Executrices with the same rights, powers and duties.
In the event that either of my daughters predecease me, then I
direct that the survivor act as sole Executrix.
ITtM FIVE: I appoint my wife, ARLINE C. WEISS, as Trustee of the
Harry H. Weiss Trust. If my wife, ARLINE C. WEISS, is unable or
unwilling to act or to continue to act as a Trustee, then I appoint
FABMERS TRUST COMPANY, as the Trustee with the same powers, rights,
discretions, obligations, and immunities. I appoint FARMERS TRUST
COMPANY as Trustee of any Contingent Trust,
ITEM SIX: All estate, inheritance, succession and other taxes,
imposed or payable by reason of my death, and int.erest and
penalties thereon, with respect to all property comprising my gross
estate for tax purposes, whether or not such property passes under
this will, shall be paid out of the principal of my r"esiduary
estate, without apportionment or right of reimbursement.
ITEM SEVEN: I direct that my person representaUve or any trustee
shall not be required to give bond for the faithful performance of
their duties in any jurisdiction.
ITEM EIGHT:
A. The Trustee shall not be required to obtain authority or
approval of any court in the exercise of any power permitted

B. No person dealing with the ~'rustee shall be obligated to
inquire into the Trustee's power or authori ty or into the
validity of any act of the Trustee, or be liable for the
application of any money paid to the Trustee in the management
of the trust funds.
C. Any trust created hereunder which has the aggx.'egate principal
value of $10,000 or less may, but need not be, terminated at
the discretion of the Trustee. In such event, the Trustee
shall distribute the assets thereof in his possession to the
then-current beneficiary or beneficiaries of the income and,
if more than on<) beneficiary is so entitled, in the
proportions in which they are beneficiaries.
ITEM NINE: In addition to any powers by law or otherwise, and not
by way of limitation of any such powers, my Executrix and Trustee
are authorized and empowered, at anytime and from time to time, in
their absolute discretion:
A. 'fo hold and ret.ain all or any property received from my estate
or any other source, without regard to any law or rule of
court concerning diversification, risk, or non-productivity.
B. To invest ilnd reinvest (or leave temporarily uninvested) any
funds in any property, real or personal, of any kind or
nature, or otherwise), bonds (secured or unsecured),
obligations, mortgages, other securities, and interests in any
of the foregoing without regard to any law or rule of court
prescribing or restricting investments for fiduciaries.
C. To make any loans, either secured or unsecured, in such
amounts, upon such terms, at such rates of interest, and to
such persons, firms, or corporations, as deemed advisable.
D. To sell, exchange, partition, or otherwise dispose of any
property, real or personal, at public or private sale, for
such purposes and upon such terms, including options and sales
or credit, with or without securit.y.

E. To mortgage any real property in such amount and on such terms
as deemed advisabl(1; t.o lease any such property for such term
or terms, upon such conditions and rentals, and in such manner
as deemed advisable, irrespective of whether the term of any

period of any trust created hereby, and to renew or modify any
such leases; and to make repairs, replacements, and
improvements, structural or otherwise, of any such property,
and to charge the expense thereof in any equitable manner to
principal or income, as deemed proper,
F. To borrow money for any purpose in connection with the
administration of my estate or any trust created hereby; to
execute promissory notes or other obligations for amounts so
borrowed, and to secure the payment of any amounts so borrowed
by mortgage or pledge of any real or personal property.
G. To renewal' extend the time of payment of any obligation,
secured or unsecured, payable to or by the estate of any trust
Created hereby for as long a period or periods of time and on
such term as deemed advisable; and to adjust, settle,
compromise, and arbitrate claims or demands upon such terms as
deemed advisable,
H. In respect of any stock or other securities forming part of my
estate or any trust created hereby, to vote upon any
proposition or election of any meeting and to grant proxies,
discretionary or otherwise, to vote at any such meeting; to
join in or become a party to any reorganization, readjustment,
merger, voting trust, consolidation, or exchange, and to
deposit any such securities with any committee, depository,
trustee, or otherwise, and to payout any fees, expenses, and
assessments incurred in connection therewith, and to charge
the same to principal or income as deemed proper; to exercise
conversion, subscription, or othe.r ri.ghts, or securities
issued as a result of any such reorganization, readjustment,
merger, voting trust, consolidation, exchange, or exercise of
conversion, subscription, or other rights; and, generally, to
take all action in respect to any such securities as could be
done by an absolute owner.

I, HARRY H. WEISS, of 30 Strawberry Drive, Carlisle, Cumberland
County, Pennsylvania, declare this to be my last will and revoke
any will previously made by me,
ITEM ONE: I direct that all my debts and funera 1 expenses,
including my gravemarkor shall be paid from my residuary estate as
soon as practicable after my decease as a part of the expense of
the administration of my estate.
ITEM 'rwo: I, give, devise and bequeath all of my jewelry,
automobiles, clothing, and other purely personal effects as well as
all household goods and equipment which I may own, together with
any policies of insurance thereof, to my wife, ARLINE C. WEISS, per
stirpes.
ITEM THREE: I give, devise and bequeath all of the rest of my
assets to be divided between my wife and the trust described below
and referred to in this Will as the Harry H. Weiss Trust, as
follows:
A. I give, devise and bequeath to my wife, ARLINE C. WEISS, an
amount equal in value to (i) the unlimited federal estate tax
marital deduction allowable to my estate minus (iil the value
for federal estate tax purposes of all items in my gross
estate which qualify for the deduction and which pass or have
passed from me to my wife in a form qualifying for the
deduction otherwise than under this gift, In making the
computations necessary to determine the amount of this gift,
values as finally determined for federal estate tax purposes
shall be used, This gift shall be reduced by the amount, if
any, needed to increase my taxable estate to the largest
amount that will result in no federal estate tax being payable
by my estate, after allowing for the unified credit against
the federal estate tax but no other credit. It is my intent
that the bequest under this ITEM THREE A shall qualify for the
marital deduction for federal estate tax purposes, and that
the provisions of this will relating to the marital deduction
shall comply with Section 2056 of the Internal Revenue code,

Neither my Executor nor the Trustee shall take any action or
have any power that will impair the marital deduction, and all
provisions of this will regarding the marital bequest, shall
be interpreted to conform to that objective.
B. I give all of the remainder of my est.ate, including any of the
above gifts that lapse (Mrny residuary estate") :
1.. If my wife, ARLINE C. WEISS, survives me, to the Trustee
of the Harry H. Weiss Trust,
2. If my wife, ARLINE C. WEISS, predeceases me or is not

3. The gift to the Trustee of the Harry H. Weiss Trust shall
constitute the trust estate of the trust for the
exclusive benefit of my wife.
a. During my wife's lifetime, the Trustee shall
distribute all. of the net income of the trust to my wife
in monthly or in other convenient installments, but in no
event less often than annually. In addition, the Trustee
at any time and from time to time may distribute to my
wife or apply for her benefit so much or 11 of the trust
estate as, in the Trustee's discretion, is sufficient to
provide for my wife's needs for health, support and
maintenance in the standard of living to which she was
accustomed at my death, taking into consideration any
other sources of support (both principal and income)
which my wife may have to the knowledge of the Trustee,
b. The trust shall terminate when my wife has died,
Upon termination, the trust est.ate shall be distributed
to my children, CECEILE M, W. STRAND and CAROL J.
STAUDTER, equally, per stirpes.
4. Any portion of my residuary estate which would be
distributable to a beneficiary who is under age 25 shall
be distributed to the Trustee of a Contingent Trust.

,6. Marital Deduction Gift. The Executor may satisfy the
marital deduction gift by making distributions of cash or
in kind, or by making distributions partly of cash and
partly in kind. In making distributions in kind, assets
are to be valued at their date of distribution value. In
no event shall the gift be satisfied with the property or
the proceeds of property with respect to which the
federal estate tax ffiarital deduction would not be
allowable if the property or the proceeds thereof were so
used, and the amount of the marital. deduction gift shall
b.e reduced to the extent that it. cannot be satisfied w,ith
property that qualifies for the deduction, It is my
intention that any assets in the Harry H, Weiss Trust
shall not qualify for the federal estate tax marital
deduction. To this end my Executor shall not elect under
Internal Revenue Code Section 2056 (b) (7) or any
comparable section in effect at my death for the assets
in the Harry H. Weiss Trust to qualify for the federal
estate tax marital deduction,
7. Distributions During Administration. Prior to final
distribution of my estate which shall not be unreasonably
postponed by the Executor), the Executor in his
discretion may make partial distributions to one or more
beneficiaries or trusts. As a consequence, the
executorship and any trust created under the Will may
exist contemporaneously, A distribution may be made
subject to any indebtedness or liability of my estate,
8. Distributions to or for Beneficiaries, oilring the term
of a trust, the Trustee may make any distribution from
the trust (i) to the beneficiary, (iil to a person
furnishing suppor't, maintenance or education for the
beneficiary or with whom the beneficiary is residing or
the beneficiary's use, or (iii) to a custodian for a
minor beneficiary, as selected by the Trustee, under the
Uniform Gifts to Minors Act of any state. Alternatively,
the Trustee may apply the distribution for the
beneficiary's benefit.

effects is under a legal disability, the Executor may
follow any of the above methods in making distribution of

In the event that either of my daughters predecease me, then I
direct that the survivor act as sole Executrix.
ITEM FIVE: I appoint my wHe, ARLINE C. WEISS, as Trustee of the
Harry H. Weiss Trust. If my wife, ARLINE C, WEISS, is unable or
unwilling to act ot to continue to act as a Trustee, then I appoint
FARMERS TRUST COMPANY, as the Trustee with the same powers, rights,
discretions, obligations, and immunities. I appoint FARMERS TRUST
COMPANY as Trustee of any Contingent Trust,
ITEM SIX: All estate, inheritance, succession and other taxes,
imposed or payable by reason of my death, and interest and
penalties thereon, w.ith respect to all property comprising my gross
estate for tax purposes, whether or not such property passes under
this will, shall be paid out of the principal of my residuary
estate, wJ.thout apportionment or right of reimbursement.
ITEM SEVEN: I direct that my person representative or any trustee
shall not be required to give bond for the faithful performance of
their duties in any jurisdiction.
ITEM EIGHT:
A. The Trustee shall not be required to obtain authority or
approval of any court in the exercise of any power permitted

B. No person dealing with the 'l'rustee shall be obligated to
inquire into the Trustee's power or authority or into the

application of any money paid to the Trustee in the management
of the trust funds.
c. Any trust created hereunder which has the aggregate principal
value of $10,000 or less may, but need not be, terminated at
the discretion of the Trustee. In such event, the Trustee
shall distribute the assets thereof in his possession to the
then-current beneficiary or beneficiaries of the income and,
if more than one beneficiary is so entitled, in the
proportions in which they are beneficiaries.
ITEM NINE: In addition to any powers by law or otherwise, and not
by way of limitation of any such powers, my Executrix and Trustee
are authorized and empowered, at anytime and from time to time, in
.their absolute discretion:
A. To hold and retain all or any property received from my estate
or any other source, without regard to any law or rule of
court concerning diversification, risk, or non-productivity.
B. To i.nvest and reinvest (or leave temporarilY uninvested) any
funds in any property, real or personal, of any kind or
nature, or otherwise), bonds (secured or unsecured),
obligations, mortgages, other securities, and interests in any
of the foregoing without regard to any law or rule of court
prescribing or restricting investments for fiduciaries.

To make any
amounts, upon
such per sons,
loans, either secured or unsecured, in such
such terms, at such rates of interest, and to
firms, or corporations, as deemed advisable.
D, To sell, exchange, partition, or otherwise dispose of any
property, real or personal, at public or private sale, for
such purposes and upon such terms, including options and sales
or credit, with or without security.

E. To mortgage any real property in Buch amount and on such terms
as dee.ed advisable; to leaSB any such property for such term

period of any trust created hereby, and to renew or modify any
such leases; and to make repairs, replacements, and
improvements, structural or otherwise, of any such property,
and to charge the expense thereof in any equitable manner to
principal or income, as deemed proper.
F. To borrow money for any purpose in connection with the
administration of my estate or any trust created hereby; to
execute promissory notes or other obligations for amounts so
borrowed, and to secure the pa~nent of any amounts so borrowed
by mort.gage or pledge of any real or personal property.
G. To renew or extend the time of payment of any obligation,
secured or unsecured, payable to or by the estate of any trust
created hereby for as long a period or periods of time and on
such term as deemed advisable; and to adjust, settle,
compromise, and arbitrate claims or demands upon such terms as
deemed advisable,
H. In respect of any stock or other securities forming part of my
estate or any trust created hereby, to vote upon any
proposition or election of any meeting and to grant proxies,
discretionary or otherwise, to vote at any such meeting; to
join in or become a party to any reorganization, readjustment,
merger, voting trust, consolidation, or exchange, and to
deposit any such securities with any conunittee, depository,
trustee, or otherwise, and to payout any fees, expenses, and
assessments incurred in connection therewith, and to charge
the same to principal or income as deemed proper; to exercise
conversion, subscription, or other rights, or securities
issued as a result or any such reorganization, readjustment,
merger, voting trust, consolidation, exchange, or exercise of
conversion, subscription, or other rights; and, generally, to
take all action in respect to any such securities as could be
