I, WALTER PAYNE BENHAM JR., of the Township of
McCandless, County of Allegheny and Commonwealth of Pennsylvania,
being of sound mind and memory, do make, publish and declare
this my Last Will and Testament, hereby revoking and declaring
null and void any and all Wills and Codicils by me at any time
heretofore made.
li'IRSTi, I direct my Exeoutor to pay my just debts,
the expenses of my lsst illness and my funeral expenses as soon
as praoticable after my decease.
SECOND: All the rest, residue and remainder of my
estate of whatsoever kind and nature and wheresoever situate,
of which I shall die seized and possessed or to which, at the
time of my death I may be entitled, I give, devise and bequesth
I to my wife, DONNA LYNN BENHAM, if she survives me. Should my
!wife, DONNA LYNN BENHAM, predecease me, I then give, devise
and bequeath all of my estate, of whatsoever kind and nature
and wheresoever situate, to my children, ahare and share alike.
THIRD: In the event my wife and I should die as a
result of a common disaster and if my death cannot be definitely
established as taking place before the death of my wife, the

At the time of his death, the daoedent, Walter P.
Benham, Jr., was in thoomploy of Exxon Company. He was a
member of the Thrift Fund. The Thrift Fund is an employoes.
trust exempt from taX under Seotion 501(s) and is a part of
an employees' profit-sharing plan qualified under Seotion
401(a) of the Internal Revenue Code. Under the terms and
provisions of the plan, the widow, Donna Lynn Benham,
eleoted a lump sum distribution. She reoeived s total sum
of $43,479.36. The deoedent's oontribution to the plan was
$1,127.68. Attaohed hereto is a statement giving a break-
down of the various oomponents of the amount reoeived for
federal inoome tax purposos. Under the terms and provisions
of the Internal Revenuo Code, the widow oxercisod her eleo-
tion to average inoome over a ten year period. By reason
thereOf, she was required to include in the gross estate for
federal estate tax purposes the entire amount of the lump
sum distribution. Nothwithstanding the aforesaid, it is the
oontention of the estate that the lump sum distribution is
exempt from Pennsylvania inheritanoe tax under the provisions
of Section 316 .of the Pennsylvania Inheritance Tax Act.
