accordance with the books and racords of the Corporation, fairly present
the financial condition of the Corporation at such dates and the results of the
operation for the periods therein specified, were prepared in accordance with'
generally accepted accounting principles applied on a basis consistent with
prior accounting periods, except for depreciation which was changed from strai'ght

Accounts Receivablel Seller warrants and indemnifies the Purchaser
and Corporation against any and all loss which the Corporation or the
Purchaser way sustain by reason of accounts receivable which were on the books
of the Corporation at closing and which Corporation cannot coUact. A

Purchaser shall cauee Corporation to (1) apply all monies received from.
customers to the accounts of customers in the chronological order in which
the sccount receivable was created j and (2) to first look to monies placed

monies prove insufficient for the Purchaser's indemnification, the Seller
shall make reimbursement to the Corpora tion.
Purchaser or Corporation shall have the right to declare any such
account receivable unco11ectable at any time if said account receivable is
unpaid sixty days after Closing. In such event Buyer's paying the -.

amount of such uncollected account receivable out of the escrow account, or
directly, Purchaser shall cause Corporation to assign such account to Seller.
Taxes I The Seller hereby expr.essly agrees to indemnify and hold harmlsss
Corporation and Purchaser in respect and against any and all tax liability
of Corporation of any nature or kind which accrued prior to the date of Closing.

9ther Liabilites or Contracts I Seller shall further indemnify the
Corporation and Purchaser fo, any and all loss sustained by reason of , any claim,
sui~, action litigation, or arbitration or any liability absolute or contingent
and all losses, expenses or other costs of suit derived therefrom, if such cause
of action occurred or liabilty therefore occu~red prior to the date of Closing.
In the event of such claim, or suit or assertion of liability, Seller shall
be, notified of the same and given and opportunity to defend and bring

Purchaser and Corporation shall have the right to take any steps which they

All of the statements of fact, inf~~tion, warranties and indemnification
all information, memorandum, or any other items given to the Pruchaser by or
on behalf of the Seller for information or reliance shall be deemed repTesentations,
Warranties and matters of indemnification and shall survive the date of closing,
inspections, audits or other items on behalf of the parties for thirty-six
months aftar the date of closing. In the event that a tax-clearance of
Corporation is obtained within eighteen montha from the date of closing,
said period of thirty-six months shall be reduced to eighteen months, Seller
wsrrants that there will be no distribution or closing of the Estabes of Palmer
L. Green and Julia G. Green so long as indemnification and warranties survive.
Seller may however make a partial distribution of the above said Estates t.f
the werranties and indemnifications survive at the end of twenty-four months.

RECORDS OF THE CORPORATION

with tax audits or in connoction with any claim for inde~ification.
EXPENSES
Each of the parties shall bear all expenses and costs incurred by it
in conl1ection with this Agreement and in the consulTllN1tion of the transaction
contemplated hereby and in the preparation thereof,

continued service to Palmer Oreen Company after said purchase and
further ,request a letter expressing the intent of such suppliers
~o continue with such service, The above said notice shall be mailed
, withill 48 hours of the date on which Beach1y-Hardy Seed Company
accepts this offer.
Beachly-Hardy Seed Company shall have the right to have their employees
or agents contact the various Companies (Suppliers) as potential'
purchasers of Palmer Green Company and inquire as to the intent of
such supplier to continue service after purchase.
H. Rllcords
All corporate records and lists of customers will be delivered
at settlament. Beachly-Hardy Seed Company's representatives
uill have the right to check the financial books and records
on reasonable notice any time hereafter excluding customar
liBts.
Alter the time of settlement, Executrix shall have the right to
:I.nspect the above said f:l.nancia1 records, and any and all records
necessary, to enable Executr:l.x to file or confirm tax returns or
audits. The above said records shall be kept by Beachly-Hardy
Seed Company for a period of 3 years from the time of settlement.
Executrix shall make copies of all recor.de which are deemed
necessary, excluding customer lists, in an attempt to reduce
the amount of the above said inspection which may be necesaary,
I. Resi~nations
The resignations of all officers, if any, and directors, if any,
of Palmer Green Company will be delivered at settlement or a
sufficient affidavit of attorney expressing why such resignations
cannot be made or are not necessary.

J. Contracts
Beachly-Hardy Seed Company will be furnished vithin five days
from the date hereof vith a l:l.st of all known' contracts, oral
or ~itten that survive the date of settlement and the opportun:l.ty
to examine all such contracts promptly.
The estate end the undersigned vill guarantee in accordance with
he usual terT:lS the ac;cllracy of the financial statement of Palmer Green Company
as of October 31, 1979j and ~i1l give the usual ~arranties on sale of all
corporate stock of a privately owned corporation.
Estate and the underSigned as Executrix will agree to indellll1ify
purchaser against aay liabilities of Palmer Green Company undisclosed at
tho tioe of settlement or arising from any event or transaction or
tax return prior to and including time of settlement. All liablities
of Palmer Green Company will be discharged on date of settlaoent or
indacnit1es and warrantieo given for the same.

d. Kathleen Green Shazes will agree to act as consultant to Palmer

40 hour week and further payment will be required for any hours in excess

e. No brokar is involved in this transaction and no sales or brokarage

all charges, fees, or other work or rents tlecessary to hook to the said
system or to run lines or laterals to the same shall be the responsibilty of

OPINION OF SEL.LER'S COUNSEL
In the opinion of H. Anthony Ad~~s, counsel for Seller, the Corporation
is aduly organicied and existing corporation in good standing under the laws
of the Co~onwealth of Pennsylvania with full corporate powers to carry
on the business in which it is engaged.
Further, the performance of this Agreement and tbe cons~tion of this
transaction contemplated hecdn wUl not result in any breach or violation
of Any of the terms or provisions of, or constitute a default under, the
Corporation's Articles of Incorporation or By-Laws, or any order, rule, or
'regulation of any court or governmental agency or body having jurisdicition
over the Corporation or any of its activities or properties, or any statute
indenture, mortgage, deed of trust, lease, loan agreement, security agreement,
or other agreement or instrument known to said counsel, to which the Corporation
is a party or by which it is bound or to which its property is subject.
No provision of the Articles of Incorporation or By-Laws, minutes,
share certifiCAtes or other articles of the Corporation, or Any contract to
which the Seller or the Corporation is A party or otherwise bound or affected
prevents the Seller from delivering good, absolute and marketable tit1a
to the Corporation's Stock to the Purchaser as contemplated by this Agreement.
The Sellar has complete, unrest;ricted power and right to transfer
sell, assign, and delivtlr to the Purchaser the Corporation's Stock and good
absolute and marketable title to the Corporation's Stock free and clear
of all liens and encumbrances, chargee, escrows, equities and other restrictions.

The Corporation is authorized by its Articles of Incorporation to issue
