applied for the use or benefit of such minor, The receipt of such
parent, guardian, custodian, or minor, or evidence of the applica-
tion of such amount, shall be a full and complete discharge of my
executors to the extent of such payment or application. This
paragraph shall be applicable to payments of income as well as
principal.
14. In the administration of my estate and the trust created
in this will, the fiduciaries named herein and their successor or
successors shall have the following powers, in addition to such
powers as they may have by law:
(a) To retain all or any part of my property,
real or personal, in the form in which it may be at
the time of my decease, including any business owned
or controlled by me, or any closed corporation,
partnership, or family enterprise in which I have an
interest, as long as in the exercise of their dis-
cretion it may be advisable so to do, notwithstanding
that said property may not be of a character
authorized by law, and to operate any such business
as a sole proprietorship, partnership, or corporation.
(b) To invest and reinvest any funds in my
estate or the trust created in this will in any
property, real or personal, including investments
that yield a high rate of income or no income at all,
and wasting investments, even though such property
would not be considered appropriate or legal for a
fiduciary apart from this provision, it being my in-
tention to give my executors and trustees the same
power of investment and reinvestment which I would
possess if present and acting.
(c) To sell, convey, exchange, partition, give
options upon, or otherwise dispose of any property,
real or personal, at any time held by them, at public
or private sale or otherwise, for cash or other con-
sideration or on credit, and upon such terms and for
such price as they may determine.
(d) To borrow money for any purpose in connection
with the administration of my estate or the trust
created in this will, to execute promissory notes or
other obligations for amounts so borrowed, and to
secure the payments of such amounts by mortgages or
pledges of any property which may be included in my
estate or the trust created in this will.

(e) To make loans, secured or unsecured, in such
amounts, upon such terms, at such rates of interest,
and to such persons, firms or corporations as they may
deem advisable.
(f) To renew or extend the time for payment of
any obligation, secured or unsecured, payable to or by
my estate or the trust, for as long a period or periods
of time, and on such terms, as they may determi.ne, and
to adjust, settle and arbitrate claims or demands in
favor of or against my estate or the trust created in
this will.
(g) In dividing or distributing any property,
real or personal, included herein, to divide or distribute
in cash, in kind, or partly in cash and partly in kind,
as they may determine, and to that end to allot specific
securities or other property or an undivided interest
therein to any share or part.
(h) To hold, manage, and develop any real estate
which may be held by them at any time, to mortgage any
such property in such amounts and on such terms as they
may deem advisable, to lease any such property for such
term or terms, and upon such conditions and rentals as
they may deem advisable, irrespective of whether the
term of any such lease shall exceed the period permitted
by law or the probable period of retention under this
will; to make repairs, replacements and improvements,
structural or otherwise, in connection with any such
property, to abandon any such property which they may
deem to be worthless or not of sufficient value to
warrant keeping or protecting, and to permit any such
property to be lost by tax sale or other proceeding.
(i) To employ such brokers, banks, custodians,
investment counsel, attorneys and other agents, and
to delegate to them such duties, rights and powers as
they may determine, and for such periods as they think
fit.
(j) To register any such securities at any time
in their own names, in their names as executors or
trustees, or in the names of nominees, with or without
indicating the trust character of the securities so
registered.
(k) With respect to any securities forming a part
of my estate or the trusts created in this will, to vote
upon any proposition or election at any meeting of the
corporation issuing such securities, and to grant proxies,
discretionary or otherwise, to vote at any such meeting;
to join or become a party to any reorganization, readjust-
ment, merger, voting trust, consolidation or exchange, and
to deposit any such securities with any committee,

depository, trustee or otherwise, and generally to take
all action with respect to any such securities as could
be taken by the absolute owner thereof.
(1) To determine, as to all sums of moneys and
other things of value received by them whether and to
what extent the same shall be deemed to be principal or
income, and as to all charges and expenses paid by them,
whether and to what extent the same shall be charged
against principal or income.
15. I appoint my sons, J. Bernard Schmidt and Albert S.
Schmidt, Jr., as executors. Any vacancy resulting from the inability
or unwillingness of a son to serve shall be filled by my oldest
daughter willing and able to serve. I appoint as Trustees here-
under my wife, Emily Herrick Schmidt, my son, J. Bernard Schmidt,
and my wife's son, Paul Gerard Herrick. If my wife should be
unable or unwilling to serve, then no successor need be appointed
to serve in her place; if my son, J. Bernard Schmidt, should be
unable or unwilling to serve, then my son, Albert S. Schmidt, Jr.,
shall serve in his place, and if he should be unable or unwilling
to serve, then my oldest daughter willing and able to serve shall
serve in his place; if Paul Gerard Herrick should be unable or
unwilling to serve, then my wife's son, Crawford M. Herrick, Jr.,
shall serve in his place. My Trustees shall serve as guardians
of the property passing to any minor beneficiaries who are issue
(including adopted children) of a son of Emily Herrick Schmidt as
a result of the trust created herein, and my executors shall serve
as guardians of the property of any other minor beneficiaries here-
under, under any policies of insurance on my life, under any trust
created by me during my lifetime, and with respect to any other
property passing as a result of my death, it being my intention to
make this appointment effective in all cases where it is permitted
under the laws of Pennsylvania. No fiduciary named herein shall

A family exemption of $2,000 may be claimed by a spouse of a decedent who died domiciled in Pennsylvania.
If there is no spouse, or if the spouse has forfeited his/her rights, then any child of the decedent who is a member of

PENNSYLVANIA INHERITANCE TAX GENERAL INFORMATION
1, PERSDNS RESPONSIBLE FOR RETURN
Section 701 of the Inheritance and Estate Tax Act of 1961 provides that the following persons shall prepare and file
a return:

a, The personal representative of the eslate of the decedent as to property of the decedent administered by him
and such additional property which is or may be subject to Inheritance Tax of which he/she shall have or
acqui re knowl edge;
b. The transferee of property upon the transfer of which Inheritance Tax is or may be imposed by the 1961 Statute,
including a trustee of property transferr:' :. trust, prol'i de~ that no separate return need be made by the transferee
of properly included in the return of a p~.sonal representative.
2. PLACE FOR FILING
Toe returll is to be filed in duplicate with the Register of Wills of the county wherein the decedent resided.

Tre Islvf: is due nine months after the decedent's death, unless an extension for filing has been applied for and

Ir,he;itanct Tax is payable at the rate of 6% on transfers to lineal descendants, such as father, mother, husband, wife,
s:n, d3ughi~r, grandchildren, grandparent, son-in-law and daughter-jn-Iaw and at the rate of 15% as to all others,
6. P AYfmn 0 F TAX
The tax assessed on the transfer of property reported in the return is due 9 months after the decedent's death. Interest
althe rate of 6% per annum accrues thereafter until payment is made. All payments received are first applied to any
interest wrich may be due with any remainder applied to the tax. IF TAX IS PAID WITHIN 3 MONTHS AFTER THE
DECEDENTS DEATH, A DISCOUNT OF 5% OF THE TAX PAYMENT IS ALLOVlED.

7. FAiLURE TO PAY
Tile taxes imposed, together with any interest thereon, are a lien upon real property, which lien remains in effect until

8. FILING OF FALSE RETURN
Any person who willfully makes a false return or report required 01 him shall, in accordance with Section 793 of the
19:1 Statute, be guilty of a misdemeanor and, on conviction thereof, shall be sentenced to pay a fine not exceeding

I, ALBERT S. SCHMIDT, of Cumberland County, Pennsylvania, do
make, publish and declare this to be my last will and testament,
hereby revoking and making void any and all former wills, codicils
and other testamentary documents by me made.
1. I give my soul to God, asking a merciful judgment, I
direct that funeral expenses, the expense of erecting a suitable
monument for my gr.ave and the cost of perpetual care of my grave'
to be paid out of the funds of my general estate. As part of my
funeral expenses, I direct that one hundred Masses be offered for
my inteption.
2, Since I have made substantial contributions for charitable
purposes throughout my lifetime and the size of my estate does not
warrant further depletion, I have not made any bequests to charities
in this Idll.
3. I direct my executors to permit my wife, Emily Herrick
Schmidt, to occupy my home at 77 Greenwood Circle, Wormleysburg,
Cumberland County, Pennsylvania, rent-free, for a period of six (6)
months after my death. During this period, my executors shall pay
all real estate taxes, costs of utilities, and expenses of

maintenance and repair.
4. I bequeath to my wife's son, Crawford M. Herrick, Jr.,
if he survives me, the Omega wristwatch and bracelet given to me
by my said wife,

5. I bequeath to my wife, Emily Herrick Schm~dt, if she
survives me for a period of five (5) months, all furniture,
furnishings, housewares, and appliances that were acquired by me
or us on or after April 23, 1966, the date of our marriage, and all
other items of furniture, furnishings, housewares, and appliances
normally kept at our home in Wormleysburg that she shall request
in writing of my executors within six (6) months after my death.
6. I bequeath to each of my grandchildren who survives me the
sum of Five Hundred Dollars ($500.00).
7. If my wife, Emily Herrick Schmidt, survives me, then I
bequeath and devise to my Trustees hereinafter named all my shares
of stock in Bahia Vista, Inc., a Florida corporation, all of my
rights under any lease with the said Bahia Vista, Inc., and all the
furniture, furnishings and other similar contents normally kept in
Bahia vista Apartment No.4, 3037 Harbor Drive, Fort Lauderdale,
Florida, under the following terms and conditions:
(a) My wife, Emily Herrick Schmidt, shall have
the benefit of all rights (other than rights of dis-
position or encumbrance) deriving from said shares and
lease, including in particular the right to occupy said
Bahia Vista Apartment No.4, 3037 Harbor Drive, Fort
Lauderdale, Florida, and she shall have the right to
use the said furniture, furnishingsr and other contents
so long as she pays all assessments made by Bahia Vista,
Inc., for upkeep, all utilities, and all other expenses
connected with said apartment and the ownership.of said
shares and lease.
(b) Upon the death of my said wife, or if she
should fail to pay the aforementioned assessments and

other expenses, or if she should so direct in ~riting,
said shares of stock and any then existing lease with
Bahia vista, Inc" and all furniture, furnishings and
other contents in the aforementioned apartment shall
be sold and the proceeds and any other property then
held in trust divided into as many shares as there are
children of mine who are then living and children who
have predeceased my wife or me but left issue who are
then living. One such share shall then be distributed
to each such living chi~d and one such share shall then
be distributed per stirpes to the issue of each such
deceased child.
8. I bequeath to my Trustees all of the stock I own in
Dauphin Deposit Trust Company and all of the bonds which I own in
the Nuveen Tax Exempt Bond Fund. At present, I am the owner of
832 shares of Dauphin Deposit and Nuveen Bonds 73-2774, 92-3050, and
97-3218. All of said property shall be held in trust for the life-
time of my wife, Emily Herrick Schmidt, and she shall receive all of
the income therefrom. At the death of my wife, or at my death if
she should predecease me, all of the property then held in trust
shall be divided into as many shares as there are children of mine
who are then living and children who have predeceased my wife or me
but left issue who are then living. One such share shall then be
distributed to each such living child and one such share shall then
be distributed per stirpes to the issue of each such deceased child.
9. All the rest of my property, of whatsoever nature and
wherever situated, shall be divided into five equal portions, one
of which shall be distributed to each of my children, Helen Ann

Maurer, Berna Louise Herrick, Nancy Murphy, Albert ~chmidt, Jr.,
and Bernard schmidt. If any of my children should predecease me,
I bequeath and devise his interest per stirpes among those of his
issue who survive roe, and if there are no such issue, his interest
shall be distributed per stirpes among those of my issue who
survive me.
10, If my wife and I die under such circumstances that it
cannot be determined which of us died first, she shall be deemed
to have predeceased me for all purposes hereunder.
11. I direct that all estate, inheritance and succession
taxes that may be assessed in consequence of my death, of whatsoever
nature and by whatsoever jurisdiction imposed, shall be paid out of
the principal of my general estate to the same effect as if said
taxes were expenses of administration; and all property includible
in my taxable estate, whether or not passing under this will, shall
be free and clear thereof,
12. No interest of any beneficiary of my estate, either in
income or principal, shall be subject to anticipation or to pledge,
assignment, sale or transfer in any manner, nor shall any
beneficiary have power in any manner to charge or encumber his
interest, either in income or principal, nor shall the interest
of any beneficiary be liable or subject in any manner while in the
possession of the executors for the liability of such beneficiary,
whether such liability arises from his debts, contracts, torts, or
other engagement of any type.
13. Any amounts which are payable to a minor u~der this will
herein may, at the discretion of my executors, be paid either to a
parent or guardian of the property of such minor, to the person who

has custody of such minor, or directly to such mino~, or may be
applied for the use or benefit of such minor. The receipt of such
parent, guardian, custodian, or minor, or evidence of the applica-
tion of such amount, shall be a full and complete discharge of my
executors to the extent of such payment or application. This
paragraph shall be applicable to payments of income as well as
principal.
14. In the administration of my estate and the trust created
in this will, the fiduciaries named herein and their successor or
successors shall have the following powers, in addition to such
powers as they may have by law:
(a) To retain all or any part of my property,
real or personal, in the form in which it may be at
the time of my decease, including any business owned
or controlled by me, or any closed corporation,
partnership, or family enterprise in which I have an
interest, as long as in the exercise of their dis-
cretion it may be advisable so to do, notwithstanding
that said property may not be of a character
authorized by law, and to operate any such business
as a sole proprietorship, partnership, or corporation.
(b) To invest and reinvest any funds in my
estate or the trust created in this will in any
property, real or personal, including investments
that yield a high rate of income or no income at all,
and wasting investments, even though such property
would not be considered appropriate or legal for a
fiduciary apart from this provision, it being my in-
tention to give my executors and trustees the same
power of investment and reinvestment which 1 would
possess if present and acting.
(c) To sell, convey, exchange, partition, give
options upon, or otherwise dispose of any property,
real or personal, at any time held by them, at public
or private sale or otherwise, for cash or other con-
sideration or on credit, and upon such terms and for
such price as they may determine.

(d) To borrow money for any purpose in connection
with the administration of my estate or the trust
created in this will, to execute promissory notes or
other obligations for amounts so borrowed, and to
secure the payments of such amounts by mortgages or
pledges of any property which may be included in my
estate or the trust created in this will.

(e) To make loans, secured or unsecured, in such
amounts, upon such terms, at such rates of interest,
and to such persons, firms or corporations as they may

(f) To renew or extend the time for payment of
any Obligation, secured or unsecured, payable to or by
my estate or the trust, for as long a period or periods
of time, and on such terms, as they may determine, and
to adjust, settle and arbitrate claims or demands in
favor of or against my estate or the trust created in
this will.
(g) In dividing or distributing any property,
real or personal, included herein, to divide or distribute
in cash, in kind, or partly in cash and partly in kind,
as they may determine, and to that end to allot specific
securities or other property or an undivided interest
therein to any share or part.
(h) To hold, manage, and develop any real estate
which may be held by them at any time, to mortgage any
such property in such amounts and on such terms as they
may deem advisable, to lease any such property for such
term or terms, and upon such conditi.ons and rentals as
they may deem advisable, irrespective of whether the
term of any such lease shall exceed the period permitted
by law or the probable period of retention under this
will; to make repairs, replacements and improvements,
structural or otherwise, in connection with any such
propertYr to abandon any such property which they may
deem to be worthless or not of sufficient value to
warrant keeping or protecting, and to permit any such
property to be lost by tax sale or other proceeding.
(i) To employ such brokers, banks, custodians,
investment counsel, attorneys and other agents, and
to delegate to them such duties, rights and powers as
they may determine, and for such periods as they think
fit.
(j) To register any such securities at any time
in their own names, in their names as executors or
trustees, or in the names of nominees, with or without
indicating the trust character of the securities so
registered.

to serve, then my oldest daughter willing and able to serve shall

FIRST CODICIL TO WILL

ALBERT S. SCHMIDT
I, ALBERT S. SCHMIDT, of Cumberland County, Pennsylvania,
declare this to be a First Codicil to my will executed on
August 11, 1977.
1. Paragraph 6 shall be changed to read as follows:
"6. I bequeath to each of my grandchildren
who survives me the sum of One Thousand Dollars
($l,OOO.OO). I bequeath to Leslie Herrick, Laura
Herrick, and Ashley Herrick, the sum of Five
Hundred Dollars ($500.00), if they respectively
survive me."
2. In all other respects, said will shall remain unchanged.

other expenses, or if she should so direct in ~riting,
said shares of stock and any then existing lease with
Bahia vista, Inc., and all furniture, furnishings and
other contents in the aforementioned apartment shall
be sold and the proceeds and any other property then
held in trust divided into as many shares as there are
children of mine who are then living and children who
have predeceased my wife or me but left issue who are
then living. One such share shall then be distributed
to each such living child and one such share shall then
be distributed per stirpes to the issue of each such
deceased child.
8. I bequeath to my Trustees all of the stock I own in
Dauphin Deposit Trust Company and all of the bonds which I own in
the Nuveen Tax Exempt Bond Fund. At present, I am the owner of
832 shares of Dauphin Deposit and Nuveen Bonds 73-2774, 92-3050, and
97-3218. All of said property shall be held in trust for the life-
time of my wife, Emily Herrick Schmidt, and she shall receive all of
the income therefrom. At the death of my wife, or at my death if
she should predecease me, all of the property then held in trust
shall be divided into as many shares as there are children of mine
who are then living and children who have predeceased my wife or me
but left issue who are then living. One such share shall then be
distributed to each such living child and one such share shall then
be distributed per stirpes to the issue of each such deceased child.
9. All the rest of my property, of whatsoever nature and
wherever situated, shall be divided into five equal portions, one

Maurer, Berna Louise Herrick, Nancy Murphy, Albert ~chmidt, Jr.,
and Bernard schmidt. If any of my children should predecease me,
I bequeath and devise his interest per stirpes among those of his
issue who survive me, and if there are no such issue, his interest
shall be distributed per stirpes among those of my issue who
survive me.
10. If my wife and I die under such circumstances that it
cannot be determined which of us died first, she shall be deemed
to have predeceased me for all purposes hereunder.
11. I direct that all estate, inheritance and succession
taxes that may be assessed in consequence of my death, of whatsoever
nature and by whatsoever jurisdiction imposed, shall be paid out of
the principal of my general estate to the same effect as if said
taxes were expenses of administration; and all property includible
in my taxable estate, whether or not passing under this will, shall
be free and'clear thereof.
12. No interest of any beneficiary of my estate, either in
income or principal, shall be subject to anticipation or to pledge,
assignment, sale or transfer in any manner, nor shall any
beneficiary have power in any manner to charge or encumber his
interest, either in income or principal, nor shall the interest
of any beneficiary be liable or subject in any manner while in the
possession of the executors for the liability of such beneficiary,
whether such liability arises from his debts, contracts, torts, or
other engagement of any type.
13. Any amounts which are payable to a minor under this will
herein may, at the discretion of my executors, be paid either to a
parent or guardian of the property of such minor, to the person who

has custody of such minor, or directly to such minoJ;, or may be
applied for the use or benefit of such minor. The receipt of such
parent, guardian, custodian, or minor, or evidence of the applica-
tion of such amount, shall be a full and complete discharge of my
executors to the extent of such payment or application. This
paragraph shall be applicable to payments of income as well as
principal.
14. In the administration of my estate and the trust created
in this will, the fiduciaries named herein and their successor or
successors shall have the following powers, in addition to such
powers as they may have by law:
(a) To retain all or any part of my property,
real or personal, in the form in which it may be at
the time of my decease, including any business owned
or controlled by me, or any closed corporation,
partnerShip, or family enterprise in which I have an
interest, as long as in the exercise of their dis-
cretion it may be advisable so to do, notwithstanding
that said property may not be of a character
authorized by law, and to operate any such business
as a sole proprietorship, partnership, or corporation.
(b) To invest and reinvest any funds in my
estate or the trust created in this will in any
property, real or personal, including investments
that yield a high rate of income or no income at all,
and wasting investments, even though such property
would not be considered appropriate or legal for a
fiduciary apart from this provision, it being my in-
tention to give my executors and trustees the same
power of investment and reinvestment which I would
possess if present and acting.
(c) To sell, convey, exchange, partition, give
options upon, or otherwise dispose of any property,
real or personal, at any time held by them, at public
or private sale or otherwise, for cash or other con-
sideration or on credit, and upon such terms and for
such price as they may determine.
(d) To borrow money for any purpose in connection
with the administration of my estate or the trust
created in this will, to execute promissory notes or
other obligations for amounts so borrowed, and to
secure the payments of such amounts by mortgages or
pledges of any property which may be included in my
estate or the trust created in this will.

(e) To make loans, secured or unsecured, in such
amounts, upon such terms, at such rates of interest,
and to such persons, firms or corporations as they may
deem advisable.
(f) To renew or extend the time for payment of
any Obligation, secured or unsecured, payable to or by
my estate or the trust, for as long a period or periods
of time, and on such terms, as they may determine, and
to adjust, settle and arbitrate claims or demands in
favor of or against my estate or the trust created in
this will.
(g) In dividing or distributing any property,
real or personal, included herein, to divide or distribute
in cash, in kind, or partly in cash and partly in kind,
as they may determine, and to that end to allot specific
securities or other property or an undivided interest
therein to any share or part.
(h) To hold, manage, and develop any real estate
, which may be held by them at any time, to mortgage any
such property in such amounts and on such terms as they
may deem advisable, to lease any such property for such
term or terms, and upon such conditions and rentals as
they may deem advisable, irrespective of whether the
term of any such lease shall exceed the period permitted

trustees, or in the names of nominees, with or without
indicating the trust character of the securities so
registered.
(k) With respect to any securities forming a part
of my estate or the trusts created in this will, to vote
upon any proposition or election at any meeting of the
corporation issuing such securities, and to grant proxies,
discretionary or otherwise, to vote at any such meetingl
to join or become a party to any reorganization, readjust-
ment, merger, voting trust, consolidation or exchange, and
to deposit any such securities with any committee,

of the property passing to any minor beneficiaries who are issue
(including adopted children) of a son of Emily Herrick Schmidt as
a result of the trust created herein, and my executors shall serve
as guardians of the property of any other minor beneficiaries here-
