estate to be paid by Barry Simmons "ith interest at ,;ix percent (6%) per
annum payable annually "i th annual payments on principal of at least $5000.00

"ith a standard form sales agreement approved by my Estate's attorney, if one,

Donald Brashear, Barry Simmons, Emma Brnshenr Yeal\er, Orian Brashear and
I,alter Brashenr, and in the event any of them predecease me, then to survivors
of my said six named children.

I hereby nominate, constitute and appointi Barry
Simmons and Emma Brashear Yenger as sole Executors of this my Last Hill
and Testament; and I direct that no bond be required of my Executors.
ITEH IV.
I authorize and empO\;er my personal
representative and/or said Trustee to compromise, adjust, release and
discharge in such manner as my personal representative may deem proper,
all debts and claims o"ed by or to me or my Estate; to sell, lease or
exchange at public or private sale or in such manner, at such prices,
and upon such terms of credit or nthenvise. as my personal representative
or said Trustee may deem proper, all or any part of my property, real or
personal; to execute, ackno"ledge and deliver instruments of conveyance,
including deeds in fee simple; to borro" money for the purpose of paying
lestate, inheritance or other taxes "hich are required to be paid and to
secure any such loan by pledge or mortgage of all or any part of my
property and to execute the necessary instruments to carry out such
po"ers; to distribute my estate in kind or partly in money or partly in
kind, and to determine the fair value at "hich any property so distributed

in "hich I have an interest at the time of my decease, for such period

GENERAL INHERITANCE TAX INFORMATION
Unsatisfied liabilities incurred by the decedent prior to his/her death are deductible against his/her taxable estate.
In addition to debts incurred by the decedent or estate, other items are claimable including the cost of administration,
attorney lees, fiduciary lees, funeral and burial e~,penses including the cost of a burial lot, tombstone or grave marker.

All debts being claimed against an estate are subject to the approval of the Register of Wills with whom the
Inheritance Tax Return is filed. Evidence to support the decedent's or the estate's liability lor the debts being claimed
should be attached to this schedl.le.
A family exemption 01 $2,000 may be claimed by a spouse 01 a decedent who died domiciled in Pennsylvania.
If there is no spouse, or if the spouse has forfeited his/her rights, then any child of the decedent who is a member of
the same household can claim the exemption. In the event there is no such spouse or child, the exemption can be
claimed by a parent or parents who are members of the same household as the decedent. The family exemption is
allowable only against assets which pass by a will or by the Pennsylvania Intestate Laws.

PENNSYLVANIA INHERiTANCE TAX GENERAL INFORMATION
1. PERSONS RESPONSIBLE FOR RETURN
Section 701 of the Inheritance andiEsta!e,Tax I\~<lf 1961 plOvides that the fullowillg persons shall prepare and file
a return: ' . ./.
a. The personal representative of the estate of the decedenl as tu property of the decedent administered by him
and such additional properly which is or may be sublectto Inheritance Tax of Villich he/she shall have or
acquire knowledge;
b. The transferee of property upon the transfer of which Inheritance Tax is or may be imposed by the 1961 Statute,
including a trustee of property transferred in trust, provided thai no separate lehlln need be made hy the transferee
of property included in the re~~:~ of a personal representative.
2. PLACE FOR FILING
The return is to be filed in duplicate with the Regisler of Wills of the cOllnty wherein the decedent resided.
3. TIME FOR FILING
The return is due nine montlls after the decedent's death, unless an extension for tiling has been applied for and
granted by the Secretary of Revenue within tlle nine-month period.
4. FAILURE TO FILE RETURN
Section 791 of the 1961 Statute provides that" . . .any person who willfully fails to file a return or other report
required of him. . .shall be personally liable. . .to a penalty of 25% of the tax ultimately found to be due or $1,000
whichever is the lesser to be recovered by the Department of Revenue as debts of like amount are recoverable by
law."
5. TAX RATES
Inheritance Tax is payable at the rate of 6% on transfers to lineal descendants, such as father, mother, husband, wife,
son, daughter, grandchildren, grandparent, son-in-law and daughter.in-Iaw and at the rate of 15% as to all others.
6. PAYMENT OF TAX
The tax assessed on the transfer of property reported in the return is due 9 months after the decedent's death. Interest
at the rate of 6% per annum accrues thereafter until payment is made. All payments received are first applied to any
interest which may be due with any remainder applied to the tax. IF TAX IS PAID WITHIN 3 MONTHS AFTER THE
DECEDENT'S DEATH, A DISCOUNT OF 5% OF THE TAX PAYMENT IS ALLOWED.
All checks should be made payable to the Register of Wills of the county wherein the decedent resided and are
received subject to the final determination of the Department of Revenue.
7. FAILURE TO PAY
The taxes imposed, together with any interest thereon, are a lien upon real property, which lien remains in effect until
the taxes and interest have been paid in full. The taxes may be sued for against any real property in the decedent's
estate or against any property belonging to a transferee liable for the tax.
8. FILING OF FALSE RETURN
Any person who willfully makes a false return or report required of him shall, in accordance with Section 793 of the
1961 Statute, be guilty of a misdemeanor and, on conviction thereof, shall be sentenced to pay a fine not exceeding
$1,000 or undergo imprisonment not exceeding one year or both.

Dear Mr. Wiley:
When we spoke concerning the nbove-referenced Estate of Gertrude Brashear
Simmons on Tuesday, August 28, 1984, you indicated that although the First and Final
Account of the Executors of the Estnte of Gertrude Brashear Simmons had been timely
filed for confirmation on August 28, 1984, that in open court On the morning of the
28th, you indicated to PreSident Judge Sheely that there were yet some outstanding
iS6ues in need of clarification between and amongst the beneficiaries and that
although you did not desire to file exceptions to, or otherwise request that the
Account be withdrawn for presentation at a later time, you did request the Court to
provide to you approximately 15 days within which to resolve the outstanding matters,
whereupon the Court would then confirm the Accounts as filed, order distribution, and
otherwise confirm deeds conveying the real estate.
In our conversation of the 28th, I related to you my presumptions that Ross
Brashear would agree to the same terms we had previously communicated to earlier
counsel on behalf of his brother Wnlter, and I have now had opportunity to speak
together with Ross and have had those representations again confirmed. Therefore, I
am authorized to represent the fOllowing information to you concerning the right-of-
way and butcher shop issues.
Because Ross Brashear Owns a farm consisting of approximately 22 acres which is
landlocked and situated at the distant southwest corner of the larger farm, presently
being purchased under option agreement by Barry Simmons, Item II.C. of the Last Will
and Testament of Gertrude Brashenr Simmons as signed November 6, 1979 provided to
Ross Brashear a 50 foot wide right-of-way through the farm leading to the 22 acre
farm owned by Ross with the center Hoe thereof to be coincident with the center line
of the existing road used for access to the tract, with said right-of-way to be in
common with the Owner of the servient farm aod to whom like rights were also con-
veyed. It has been the concern of Walter Brashear and Barry Simmons, the operators

type of construction on the right-of-way clthcr in thc immediatc Vicinity of the
dwelling house and farm buildings, or through the ficlds. Rather, Ross simply
desires use of the right-o(-,my alullg the establi"hcd lInc, so as to nssure to him,
his family and guCSts, access to and from his farm. The use of this right-of-way
would obviously inure to thc benefit o( Ross' spouse, childrcn, heirs, executors
and/or assigns, and no waivcr of thusc inchoate intcrcsts Is intcndcd whatsocver.
It is purely thc dcsirc that acc"ss be provided in the form as it presently exists
as Ross has no intention of doinf', allY thing on the rIght-of-way wbich would otherwise
work to the detriment of the farm, its operation or continued maintenancc. The
width of the right-of-way to be prcserved must be that equal to permit passage of a
motor vehicle inclusive of automobile, jeep, or truck, which would be presumed to
be approximately 14 feet in width. Such suggested width is the approximate width
of the right-of-"ay presently prescrved on the ground and should be the width
always useablc in the form of th,o ri{;ht-of-way.
Item II.D. of the Last Will and Testament of Gertrude Brashear Simmons as signed
Novcmber 6, 1979 providcs to Ross Brashear the right to use thc butcher shop as
located in the farm bUildings in common with the farm owner and with his brother,
t~alter Brashear. Due to certain fo1lnilial difficulties, Ross Brashear hereby waives
and otherwise relinquishes any aod all right, title or intcrest in the use of the
butcher shop as provided at Item II,D. of the Last Will and Testament of his mother.
Although not directly involvcd in the scttlcment of the Estate of Gertrude
Brashear Simmons, we did discuss the issue regarding the barn as erected by Walter
and Ross On the real estate owned solely by Ross Brashear, and regarding which there
has been prior correspondence and discussion. You related to me your firm belief
that this issue would now be put to rest and further, that you would recommend to
your client that considering all of the (acts on both sides, there is no longer a
viable issue for detcrmination and no addi Cional action will be taken regarding this
matter.
I did discuss with Ross Brashear the fact that this letter and the representa-
tions contained therein would undoubtedly be shared with President Judge Sheely in
order to provide sufficient clarification regarding the issues of the right-of-way
and butchcr shop in order that the account could now be confirmed. Ross Brashear
indicated his understanding of that representation and further, that he agreed with
the presentation of his limited waivers of those rights and benefits otherwise
provided to him by the terms of the Will of his mOther, and that he agrees with the
presentation of this document to thc Court, if necessary, in order to expcdite the
settlement of his mother's estntc.
I would appreciate your contacting me upon receipt of confirmation of the
Account and otherwisc dirccting .,11 communication through my offices pertaining to
disbursement of the estnte and conveyancc of the deed for Lot No. 2 otherwise in

Dear Mr. Wiley:
When we spoke concerning the above-referenced Estate of Gertrude Brashear
Simmons on Tuesday, August 28, 1984, you indicated that although the First and Final
Account of the Executors of the Estate of Gertrude Brashear Simmons had been timely
filed for confirmation on August 28, 1984, that in open court on the morning of the
28th, you indicated to President Judge Sheely that there were yet some outstanding
issues in need of clarification bet"een and amongst the beneficiaries and that
although you did not desire to file exceptions to, or otherwise request that the
Account be withdrawn for presentation at a later time, you did request the Court to
provide to you approximately 15 days within which to resolve the outstanding matters,
whereupon the Court would then confirm the Accounts as filed, order distribution, and
otherwise confirm deeds conveying the real estate.
In our conversation of the 28th, I related to you my presumptions that Ross
Brashear would agree to the same terms "e had previously communicated to earlier
counsel on behalf of his brother Walter, and I have now had opportunity to speak
together with Ross and have had those representations again confirmed. Therefore, I
am authorized to represent the following information to you concerning the right-of-
way and butcher shop issues.
Because Ross Brashear owns a farm consisting of approximately 22 acres which is
landlocked and situated at the distant southwest corner of the larger farm, presently
being purchased under option agreement by Barry Simmons, Item II.C. of the Last Will
and Testament of Gertrude Brashear Simmons as signed November 6, 1979 provided to
Ross Brashear a 50 foot "ide right-of-"ay through the farm leading to the 22 acre
farm owned by Ross with the center line thereof to be coincident with the center line
of the existing road used for access to the tract, with said right-of-way to be in
common with the owner of the servient farm and to whom like rights were also con-
veyed. It has been the concern of l~alter Brashea r and Barry Simmons, the operators
of the farm, that Ross would, at some point in time desire to make use of the
entire 50 foot width right-of-way either by use or pavement or other form of utili-
zation, which "ould otherwise interfere with the homestead area situated along

Account "as filed on or about July 27, 1984. It is denied, however, that any
issues "ere in need of resolution. In particular, it is denied the \<ielth of th
right of \<ay devised to Ross I"~ Brashear at Item II. C. of the \,ill required
defining, as the Last \<111 and Testament of Gertrude Brashear Simmons is clear
and unambiguous and otherl1ise clearly expresses the intent of the Testatrix
regarding the width, specific location and purpose of such right of way. It is
further denied there exists any question in need of resolution regarding use of

1984) counsel for Ross \~. Brashear receIved a telephone call from then counsel
for Walter J. Brashear, Jan ~I. I~iley, Esquire, ,,'ho indicated he orally requeste
the President Judge "hold" the file for confirmation pending clarification of
prior discussions regardIng the intended use of the right of wny and use of the
butcher shop as provided by the terms of the 11111 in question.
It is further denied that the letter referred to as "Exhibit 1l" in the
Petition of Walter J. Brashear, relinquishes or otherwise offers the interest 0
Ross W. Brashear in the rigbt of way.
5. Admitted.
6. Admitted in part; denied in part. It ie admitted tbe final account wa
not amended to reflect the absolute ngreement by Ross W. Brashear to relinquish
all rights in the use of the butcher shop otben<ise provided to him by Item II.
D. of the Will in issue. It is denied, hO\,ever, that any amendment is in order
regarding the "idth of right of "ay. At no time did Ross \~. Brashear agree to
give up or relinquish permanent rights to the fifty (50) foot wide right of "ay
as clearly set forth at Item II. C. of the Will in question. Any such amendmen
to the Final Account "ould be contrary to the clear and unambiguous terms of th
Will.
WHEREFORE, Respondent ROSS W. BRASHEAR respectfully prays this Honorable
Court to reviel< said Final Account and amend to reflect the relinquishment of
