the event my wife, MARY E. HOUCK, is not able or is unwilling to
serve for any reason as Executrix, then in that event I nominate
and appoint my son, GILBERT R. HOUCK, as Executor of this, my Last
Will and Testament, to succeed her with all authority and power
conferred upon her by this Will, and I request that he not be
bonded. I expressly confer upon my Executrix power to administer
my estate, excusing her from making any returns to any Court. I
expressly confer upon her full authority and power to sell or con-
vey any part or all of my estate at public or private sale, with
or without notice as she may deem best and without the order of
any Court. I authorize her to make good and sufficient conveyances
to any purchaser and to hold the proceeds of any sale to the same
uses and trusts as heretofore declared in the several items of
this, my Will. I expressly confer upon her the authority and power
to borrow money for the use of my estate in any instance where she
may think it necessary and proper, and to secure the same by mort-
gage, trust deed or other form of security to, or upon, any part
of my estate. This she may do without the order of any Court. I
authorize my Executrix to retain during her administration any
property, real, personal or mixed, which she may receive as part
of my estate, the same to be regarded as an accumulation during the
probate, and to be distributed according to the terms hereof. I
further grant power to my Executrix in the division and distribution
of my estate, to make such division and distribution in kind in lieu
of cash. I further authorize and empower my Executrix without lic-
ense of Court, to sell, convey, mortgage, lease, invest, reinvest,
exchange, control and otherwise deal with any and all property, real
or personal, comprising any of my estate, and no purchaser need look
to the application of the purchase monies.

The authority of my Executrix is hereby extended to the
above-named alternate personal representative.
5. I hereby authorize my Executrix to claim expenses of
administration as either income tax deduction upon an income tax
return, or return in my estate, or an estate tax deduction on the
Estate Tax Return of my estate whenever such election is permitted
by law, such deduction to be taken in such manner as my Executrix,
in her sole discretion, shall deem proper, and I further authorize
my Executrix to make such adjustments between principal or interest
as my Executrix, in her sole discretion, shall deem proper as a re-
suIt thereof. The decision of my Executrix shall be conclusive on
all parties interested in my estate. I further authorize and em-
power my Executrix in her sole and uncontrolled discretion, to join
with my wife or her Executor or Administrator, in the execution and
filing of a joint Income Tax Return for any period prior to my death
for which I have not filed a return, or Gift Tax Return on gifts
made by my wife, and to consent to said gifts having been made half
by me for any period prior to my death, and to pay such taxes there-
on, including any interest and penalties, as my Executrix deems
proper, though it result in additional liability to my estate. The
decision of my Executrix as to the share of such tax payable by my
estate shall be final and binding on all parties and interest.
6. In the event that at the time of my death I am the owner
or co-owner of any real estate, insurance settlement, bank account,
government bond, or security or instrument of indebtedness, (whether
issued by a private corporation, a government, a governmental agency
or an individual) which is registered or issued in the names of my-
self and another person or persons as tenants by the entirety or as

joint tenants with right of survivorship, or which is registered
or issued in my name but is payable to or apparently payable to a
named beneficiary upon my death, I declare it to be my intention
that all my right, title and interest in any such property shall
immediately pass to the joint owner, co-owner or beneficiary named
in any instrument pertaining to such property, whether or not my
right, title or interest in any such property would, by operation
of law upon my death, vest in, or pass to, such surviving person.
I am making this provision in order to eliminate any doubt or
question as to the right of any such person apparently entitled
thereto to succeed to the full possession or ownership of such
property upon my death, and to provide for the possible contingency
of an ineffective attempt to create a joint tenancy with right of
survivorship or an estate by the entirety.
7. Although my spouse and I have executed similar Wills at
approximately the same time, I declare that such Wills are neither
mutual nor reciprocal, nor is there any agreement between us con-
cerning the disposition of any property or the content of any
future Will which may be made by either of us prior to, or subse-
quent to, the death of the other.

TO THE HONORABLE THE JUDGES OF SAID COURT:

the Commonwealth of pennsylvania, by Robert E. Matson, Deputy Secretary
for Taxation, for Howard A. Cohen, Secretary of Revenue, who avers:
1. That F. Wendell Houck, deceased, (hereinafter referred to
as "the Decedent"), died on May 31, 1979.
2. That An Application for Letters of Administration was
made by Gilbert R. Houck, Administrator, (hereinafter referred to as
"the Administrator"), on February 21, 1980. That Letters of Adminis-
tration were granted to the Administrator on February 21, 1980, as
evidenced by the Register of Wills' Volume 5, page 26, Line 116.
3. That on May 7, 1980, a certified demand letter was
sent to the Administrator, advising that the Inheritance Tax Return
for the Decedent had not been filed. A receipt was signed and
returned to the County Inheritance Tax Office. Attached hereto and
made a part hereof is a copy of said letter and receipt marked

4. That as of the date of this Petition no Inheritance
Tax Return has been filed by the Administrator of this estate
as required by Section 701 of the Act of June IS, 1961, P.L. 373,
Article VII (72 P.s. 2485-701), and Section 703 of the Act of
June IS, 1961, P.L. 373, Article VII, as amended (72 P.S. 2485-703).
5. That under Section 821 of the Act of June IS, 1961,
P.L. 373, Article VIII, (72 P.S. 2485-821), the Secretary of Revenue
is authorized to request the Court to issue a Citation directed to
those subject to any duty imposed by the aforesaid Act, commanding
such persons to appear and show cause why the requiranents of this
Act should not be met.
WHEREFORE, your Petitioner prays your Honorable Court to
issue a Citation upon the Administrator, directing the Administrator
to appear and show cause why said Inheritance Tax Return in the estate
of the Decedent should not be filed as required by law; and to
further direct that the costs of this action shall be borne by
the Adm.l,nistrator.
