LAST WILL AND TESTAMENT
I, RICHARD C. RHODES, of the Borough of Mechanicsburg, County of
Cumberland and State of Pennsylvania, being of sound mind, memory and
understanding, do make, publish and declare this to be my last Will and
Testament, hereby revoking and making void all former wills, codicils
and other testamentary disposition by me at any time heretofore made,
ITEM I.
I direct my Executrix, hereinafter named, to pay as soon as prac-
ticable after my decease all my just debts and the expenses of my last
illness and burial,
ITEM II.
I give, devise and bequeath the residue of my estate of every
nature and wherever situate to my wife, Marylou A. Rhodes, providing
she shall survive me by sixty (60) days,
ITEM III,
Should my wife, Marylou A. Rhodes, predecease me or die on or
before the sixtieth day following my death, I give, devise and bequeath
the residue of my estate of every nature and wherever situate to my
trustee hereinafter named, IN TRUST, for the following uses and purposes:
A. To accumulate the net income and to expend and apply so
much of the net income, accumulated income, and principal
of this trust as trustee in its sole and absolute discretion
deems advisable for the support and eWlcation (including
post high school education) of my children after taking
into consideration their other readily available assets
and sources of income, or during illness or emergency,
Trustee shall expend the funds as equitably among my
children as is practicable but not necessarily equally,
having in mind that the main purpose of this trust is to
make possible an adequate education for all of such children.
B, When my youngest living child completes her post high school
education or attains the age of twentY7two (22), whichever
event first occurs, or upon the death of the survivor of

my children should they all die prior thereto, then this
trust shall terminate and the then-remaining principal
and accumulated or undistributed income shall be distrib-
uted to my then living issue, per stirpes, without regard
to distribution made under Paragraph A of this Item III
of my Will,
ITEM IV.
I appoint The First Bank and Trust Company, of Mechanicsburg, Penn-
sylvania, guardian of any property which passes, either under this Will
or otherwise, to a minor and with respect to which I am authorized to
appoint a guardian and have not otherwise specifically done so, pro-
vided that this appointment of a guardian shall not apply to property
distributable to a minor for whom I have otherwise made special pro-
vision and provided further that this appointment of a guardian shall
not supersede the right of any fiduciary in its discretion to distribute
a share where possible to the minor or to another for the minor's bene-
fit. Such. guardian shall have the power to use principal as well as
income from time to time for the minor's support and education (in-
cluding post high school education) without regard to his or her par-
ent's ability to provide for such support and education, or to make
payment for these purposes, without further responsibility, to. the
minor or to the minor's parent or to any person taking care of the
minor,
ITEM V,
The interests of the beneficiaries hereunder shall not be subject
to antici.pation or to voluntary or involuntary alienation,
ITEM VI,
My executor, trustee and guardian shall have the following powers
in addition to those vested in them by law and by other provisions of
my Will, applicable to all property, whether principal or income, and
effective until actual distribution of all property:
A. To retain any or all of the assets of my estate, real or
personal, including stock of my corporate fiduciary, without

regard to any principle of diversification or risk.
B. To invest in all forms of property, including stocks, common
trust funds and mortgage investment funds whether operated
by my corporate fiduciary or others, without restriction to
investments authorized for Pennsylvania fiduciaries, as they
deem proper, without regard to any principle of diversifi-
cation or risk.
C. To sell at public or private sale, to exchange or to lease,
for any period of time, any real or personal property and
to give options for sales, exchanges or leases, for such
prices and upon such terms or conditions as they deem proper,
D. To allocate receipts and expenses to principal or income or
partly to each as they from time to time think proper,
E, To borrow from, or to sell to, my trustee.
F. To make distribution in cash or in kind, or partly in cash
and partly in kind, and in such manner as they may determine,
and at valuations finally to be fixed by them,
ITEM VII,
I appoint The Fi~st Bank and Trust Company, of Mechanicsburg, Penn-
sylvania, trustee of any trusts created by this my last Will,
ITEM VIII.
I appoint my wife, Marylou A, Rhodes, executrix of this my last
Will, Should my wife, Marylou A. Rhodes, fail to qualify or cease to
act as executrix, I appoint my daughter, Luann Rhodes, executrix of this
my last Will.
ITEM IX.
Should my wife, Marylou A, Rhodes, predecease me, I appoint my
brother, Peter N. Rhodes, guardian of the person of my minor children.
ITEM X.
I direct that my executrix, trustee and guardian shall not be
required to give bond for the faithful performance of their duties
