ITEM I: I direct that all inheritance and estate taxes becoming due by reason of my death, whether such taxes may be payable by my estate or by any recipient of any property, shall be paid by my Executor out of the property passing under ITEM V of this Will, as an expense and cost of administration of my estate. My Executor shall have no duty or obligation to obtain reimbursement for any such tax paid by the Executor, even though on proceeds of insurance or other property not passing under this Will. In the absolute discretion of my Executor, such taxes may be paid immediately or my Executor may postpone the payment of taxes on future or remainder interests until the time possession thereof accrues to the beneficiaries. ITEM II: I give and bequeath to my wife, MARY-MARGARET KELLOGG, the use during her life of the items of personal property set forth on Schedule A attached hereto and made a part of this Will, My wife shall not be required to give security of any kind for the safekeeping of this personal property, shall not be required to insure, such personal property, and shall not be liable for loss, damage or destruction of such personal proper.ty no matter Page 1 ; . ,-'C , ; ',." ",. how it should occur.. A written receipt and release of my wife shall constitute a complete release and discharge of my Executor with respect to said personal property. Upon the death of my wife, or upon my death if she pred'~ceases me, the pictures of those persons memorialized by the Bard College I,ibrary or for whom endowed chairs are named shall be delivered to the Bardiana collection at the Kellogg Library, Bard College. ~he balance of said personal property shall be offered to the following organizations, priority of choice being given in the order named: 1. Great Barrington, Massachusetts Historical society 2. Egremont Historical Society 3. Berkshire county Historical society, pittsfield, Massachusetts. My wi fe shall have the option at any time, and from time to time, to dispose of said personal property by gift or sale, for her own accoun , or to deliver all or any portion of said personal property to said organizations during her lifetime, without regard to any order of priority. The furniture listed in Schedule A is 18th century or earl 19th century. Should my wife at any point, as a memorial, care to give the entire contents of April Hill and/or the house for a South Berkshire county Historical Center, taking in the towns of Great Barrington, Hausatonic, Seekonk, Williamsville, Lee, Sheffield, Alford, North and South Egremont and others, I vlould be pleased. ITEM III: If I predecease my wife, MARY-MARGARET KELLOGG, I give and bequeath to her absolutely and in fee simple all of my household furniture and furnishings, books, pictu res, jewelry, sil verware, automobiles, \1earing apparel and all other articles of household or personal use or adornment, not heretofore specifically bequeathed. , ~. Page 2 ',,' ", I , , , , , : ITEM IV: If I predecease my wife, MARY-MARGARET KELLOGG, I give, devise and bequeath unto my said wife an amount, free of all taxes, equal to the maximum marital deduction allowable to my estate for federal estate tax purposes, reduced by the aggregate marital deduction allowable for federal estate tax purposes for other property or interests that pass or shall have passed to my spouse otherwise than under this clause and that qualify for the said marital deduction; and further re- duced by an amount, if any, needed to increase my taxable estate to the largest amount that, after allowing for the unified credit and any other credits available to my estate, will result in the imposition of no federal estate tax, No assets, or proceeds of any assets, which do not qualify for the allowance of the marital deduction shall be used to satisfy this bequest, To the extent also that other assets qualifying for the marital deduction are available, this bequest shall not be satisfied by the distribution of: (a) assets with respect to which a credit for foreign taxes paid is allowable under the Internal Revenue Code; (b) assets which may be subject to both income and estate taxes and which may be eligible for a credit or deduction; or (c) United States Treasury bonds eligible for redemption at par in payment of federal estate taxes. ITEM V: I give, devise and bequeath, IN TRUST, all of my property, real, personal and mixed, not disposed of in the preceding portions of this Will, to BANKERS TRUST COMPANY, New York, New York, and MARY-MARGARET KELLOGG, IN TRUST NEVERTHELESS, for the following uses and purposes: (a) Insofar as the same shall be real.:!state, the Trustees shall control and manage the same by Page 3 ': , \ ' i 1 1 I I \ I I 1 I , i . condition that any such college must qualify as an organization described in Section 170(c) , Section 2055(a) and Section 2522(a) of the Internal Revenue Code when payments are made. ITEM VI: Whenever and as often as the beneficiary hereunder, to whom payments of income or principal are herein directed to be made, shall be under legal disability, or, in the sole judgment of the Trustees, shall otherwise be unable to apply such payments to her own best interests and advantages, the Trustees may make all or any portion of such payments in anyone or more of the following ways: (a) directly to such beneficiary; (b) to the Legal Guardian or Conservator of such beneficiary; (c) to a relative of such beneficiary, to be expended by such relative for the benefit of such beneficiary; or (d) by themselves expending same for the benefit of said beneficiary. ITEM VII: No part of the income or principal of the property held under the Trust shall be subject to attachment, levy or seizure by any creditor, spouse, assignee or trustee or receiver in bankruptcy of the beneficiary prior to actual receipt thereof. The Trustees shall pay over the net income and the principal to the parties herein designated, as their interests may appear without regard to any attempted anticipation, pledging or assignment by any beneficiary under these Trusts, and without regard to any claim thereto or attempted levy, attachment, seizure or other process against said beneficiary. ITEM VIII: In the settlement of my estate and during the continuance of the foregoing Trust, my Executor and the Trustees of each Trust shall possess, among others, the following powers: Page 11 ,Page 12 (a) To retain any investments I may have at my death so long as my Executor or Trustees may deem it advisable to my estate or Trusts so to do. (b) To vary investments, when deemed desirable by my Executor or Trustees, and to invest in such bonds, stocks, notes, real estate mortgages or other securities or in such other property, real or personal, as they shall deem wise, without being restricted to so-called "legal investments", and without being limited by any statute or rule of law regarding investments by fiduciaries. (c) In order to effect a division of the principal of my estate or a Trust or for any other purposes, in- cluding any final distribution of my Trust, the Executor or Trustees are authorized to make said divisions or distributions of the personalty and realty partly or wholly in kind. If such division or distribution is made in kind, said assets are required to be divided or distributed at their respective values on the date or dates of their division or distribution. Should it appear desirable to partition any real estate, the Executor or Trustees are authorized to make, join in and consummate partitions of lands, voluntarily or involuntarily, including giving of mutual deeds, re- cognizances, or other obligations, with as wide powers as if they were individual owners in fee simple. (d) To sell either at public or private sale and upon such terms and conditions as the Executor or r.... ' ~ '"1,1 , Trustees may deem advantageous to the estate or Trusts, any or all real or personal estate or interest therein owned by the estate or Trusts severally or in conjunction with other persons or acquired after my death by my Executor or Trustees, and to consummate said sale or sales by sufficient deeds or other instru- ments to the purchaser or purchasers, conveying a fee simple title, free and clear of all trust and without obligation or liability of the purchaser or purchasers to see to the application of the purchase money or to make inquiry into the validity of said sale or sales; also, to make, execute, acknowledge and deliver any and all deeds, assignments, options or other writings which may be necessary or desirable, in carrying out any of the powers conferred upon my Executor or Trustees in this paragraph or elsewhere in my Will. (e) To mortgage real estate, and to make leases of real estate, extending beyond the term of the Trusts hereunder. (f) To borrow money from any party, including a Trustee, to pay indebtedness of mine or of my estate or trusts, expenses of administration or inheritance, legacy, estate and other taxes, and to assign and pledge assets of my estate therefor. (g) To pay all costs, taxes, expenses and charges in connection with the administration of a Trust of my estate, including a reasonable compensation to agents. I DATE PENNSYLVANIA INHERITANCE TAX GENERAL INFORMATION 1. PERSONS RESPONSIBLE FOR RETURN Section 701 of the Inheritance and Estate Tax Act of 1961 provides that the following persons shall prepare and file a return: a, The personal represenlative of 11\8 eslate of lhe decedent as to property of the decedent administered by him and such addilional property which is or may be subject to Inheritance Tax of which he/she shall have or acqui re knowl edge; b, The transferee of property upon the transfer of which Inheritance Tax is or may be imposed by the 1961 Statute, including a trustee of property transferred in trust, provided that no separate return need be made by the transferee of property included in the return of a personal representative. 2. PLACE FOR FILING The return is io be filed in duplicate with the Register of Wills of the county wherein the decedent resided. 3. TIME FOR FILING The return is due nine months atter the decedent's death, unless an extension for filing has been applied for and granted by the Secretary of Revenue within the nine-month period. 4. FAILURE TO FILE RETURN Section 791 of the 1961 Statute provides that" . . .any person who willfully fails to file a return or other report required of him, . .shall be personally liable. . ,to a penalty of 25% of the tax ultimately found to be due or $1,000 whichever is the lesser to be recovered by the Department of Revenue as debts of like amount are recoverable by law." TAX RATES Inheritance Tax is payable at the rate of 6% on transfers to lineal descendants, such as father, mother, husband, wife, son, daughter, grandchildren, grandparent, son-in-law and daughter-in-law and at the rate of 15% as to all others, 6. PAYMENTOFTAX The tax assessed on the transfer of property reported in the return is due 9months after the decedent's death. Interest at tile rate of 6% per annum accrues thereafter until payment is made, All payments received are first applied to any ,interest which may be due with any remainder applied to the tax. IF TAX IS PAID WITHIN 3 MONTHS AFTER THE ,DECEDENT'S DEATH, A DISCOUNT OF 5%OF THE TAX PAYMENT IS ALLOWED.
