I, CLARENCE M. DETWEILER, presently a resident of Cum-
berland County, pennsylvania, declare this to be my Will,
and hereby revoke all prior wills and codicils made by me.
1. I bequeath such items of my tangible personal prop-
erty as are specifically itemized on a list, if any, in my hand-
writing, signed and dated by me at the end thereof, and attached
to this, my Will, to the person(s) named thereupon to receive
such items, and my remaining tangible personal property I
bequeath to my wife, HELEN I. DETWEILER, if she survives
me, and if my wife does not survive me, such remaining items
of tangible personal property I bequeath equally among my
children. If anyone of my children does not survive me, his
share shall be distributed per stirpes among those of his issue
who survive me. If there are no such issue, said property
shall go to my other children, or if anyone of my other
children is not then living, shall be distributed per stirpes
among those of his issue who survive me. with regard to the
property passing hereunder, distribution shall be made among my
children on the basis of choices made in order of age and by
rotation, with the oldest child being given first choice, and
the values as finally det~rmined for federal estate tax purposes
shall be determinative with regard to the values of the property

chosen and any ultimate disparity among my children shall be
equalled by such payments among them as may be necessary.
If anyone of my children is not then living, the choices
to which he would have been entitled shall be made by his
issue in order of age and by rotation, with the oldest issue
being given first choice.
2. If my wife survives me, and at my death our usual home
is owned by me or by my wife and me, but in a manner which
will not result in passage of full title to her by operation of
law, 1 bequeath and devise my entire interest in said home and
its contents to her, along with all insurance thereupon. If my
wife survives me, 1 direct my fiduciary(s) hereunder to discharge
any mortgage or other encumbrance, together with all interest
accrued thereon, which may exist with regard to said home at my
death, whether passage of said home is by operation of law, or
by this Paragraph 2.
3. All the rest of my property, of whatsoever nature and
wheresoever situated, including property over which I hold
a power of appointment, I bequeath, devise and appoint to
HELEN I. DETWEILER and JOHN R. DETWEILER as Trustees under an

Agreement of Trust executed by me as Settlor on 1)<,_,~~.J,<,r../1,
1978, to be held and added to and administered as part of the
Trust established by said Agreement of Trust. Said Trust is in
existence as of the date of execution of this Will, and it is
my intention to incorporate its terms herein by reference.

(f) In general, to exercise all powers in
the management of my estate which any individual
could exercise in the management of similar
property owned in his own right, upon such terms
and conditions as to them may seem best, and to
execute and deliver all instruments and to do all
acts which they may deem necessary or proper to
carry out the purposes of this, my Will.
5. I direct that all estate, inheritance and succession
taxes that may be assessed in consequence of my death, of
whatsoever nature and by whatsoever jurisdiction imposed,
shall be paid out of the residue of my probate estate to
the same effect as if said taxes were expenses of adminis-
tration, and all property includible in my taxable estate which
is not a part of my probate estate shall be free and clear
thereof; provided, however, that in no event shall any portion
of any such taxes be paid from Trust A created under the

to in Paragraph 3 above. Taxes on future interests may be
prepaid in the discretion of my fiduciary(s) hereunder.
6. If my wife and I should die under such circumstances
that it cannot be determined which of us died first, she shall
be deemed to have survived me for all purposes hereunder. If
any other beneficiary shall die within sixty (60) days after my
death, he shall be deemed to have predeceased me for all
purposes hereunder.

7. No interest of any beneficiary of my estate, either in
income or principal, shall be subject to anticipation or to
pledge, assignment, sale or transfer in any manner, nor shall
any beneficiary have power in any manner to charge or encumber
his interest, either in income or principal, nor shall the
interest of any beneficiary be liable or subject in any manner
while in the possession of my fiduciary(s) hereunder for the
liability of such beneficiary, whether such liability arises
from his debts, contracts, torts or other engagements of
any type.
8. Any amounts which are payable to a minor under this
Will may, at the discretion of my fiduciary(s) hereunder, be
paid either to a parent or guardian of the property of such
minor, to the person who has custody of such minor, directly to
such minor, or may be applied for the use or benefit of such
minor. The receipt of such parent, guardian, custodian, or
minor, or evidence of the application of such amount, shall be
a full and complete discharge of my fiduciary(s) hereunder to
the extent of such payment or application. This Paragraph
shall be applicable to payments of income as well as principal.
9. The masculine gender shall be deemed to include the
feminine gender herein where the context so requires, and the
singular shall be deemed to include the plural where the
context so requires.
10. In the event that any assets of my estate, by the
terms of this, my Will, are to become a part of any trust, and

C. CORPORATE REORGANIZATION
Effective February 1, 1979, the corporation (then C. M. Detweiler, Inc.)
changed its name to Detweiler 'Enterprises, Inc. A subsidiary corporation,
wholly owned by that company was then formed. That subsidiary, named
C. M. Detweiler, Inc.. then exchanged its common stock for the real estate
agency assets and liabilities of Detweiler Enterprises, Inc. These consoli-
dated financial statements are prepared on the smae basis as the statements
of the predecessor enterprise.

LINE 1
Detweiler Enterprises, Inc. ("DEI") is a real estate
holding company which owns, in addition to real estate assets,
all of the stock of C. M. Detweiler, Inc. ("CMDI"). The
Financial Statement of DEI which is attached to this Explanation
is the consolidated statement of DEI and CMDI at March 31,
1980, the end-of-quarter closest to the date of the decedent's
death.
DEI was incorporated on June 12 , 1968, and until
January, 1979, conducted business under the name~C. M. Detweiler,
Inc. At that time, the corporation changed its name to Detweiler
Enterprises, Inc., and formed a new wholly owned subsidiary
corporation with the name, C. M. Detweiler, Inc. This was done
to have the real estate brokerage business theretofore conducted
by the parent corporation be conducted thereafter by the newly
formed subsidiary corporation, so that the brokerage activities
of the subsidiary corporation could be kept separate from the
real estate investment assets of DEI as the parent corporation.
As the Balance Sheet of the Financial Statement indicates,
at March 31, 1980, DEI had a negative equity of $45,236, i.e.,
the book value of its assets exceeded the amount of its liabil-
ities by $45,236.
To determine the value of DEI, the assets thereof having a
different market value from the book value thereof have been
revalued, and the excesses of such market values over book
values have been added to the book equity value as of date of
death ("000").
Thr assets which have been revalued are the following:
1. Stock of Central Penn Multi-List, Inc. ("CPMLI") is
itemized on the Balance Sheet with a book value of $1,800. The
book value, per the books of CPMLI, itself, for these same
shares is $20,000: hence, the stock has appreciated $18,200
over book value. DEI owns 16-2/3% of CPMLI and, because of its
minority ownership, the total value of $20,000 is appropriately
reduced by a 20% minority discount factor to $16,000. This
figure exceeds the book value of the CPMLI stock on the books
of DEI by $14,200, which amount should be added to the equity
of DEI as of DOD. CPMLI is properly valued at its own book
value because of the nature of its business - namely, serving
as a multi-listing operation for numerous brokers of residential
real estate. The operation is not conducted to earn a profit,
but merely to cover its costs, and the book value of its assets
(business equipment, office furniture, etc.) truly reflects its
value.
2. DEI owns a 17.39% interest in a partnership con-
ducting a real estate development business under the name,
Hampden Square Development Company ("HSDC"). Under the part-
nership agreement for HSDC, no interest therein can be sold,
assigned, hypothecated, encumbered or otherwise disposed of in
any manner without first being offered for sale to the remaining
partners at a price equal to the amount of the capital account
pertaining to such interest, together with interest at the rate
of five percent per annum compounded annually, computed from
the date of commencement of HSDC to the date of the acceptance
of the offer of sale. Attached as Exhibit 1 to this Explanation
is a computation applying this formula to the value of the
percentage interest of DEI in HSDC as of 000. Such value is
$44,968. The book value on the balance sheet of DEI for its
interest in HSDC is $28,483. Hence, the $16,485 excess of the
afore stated formula value any book value ($44,968 - $28,483)
should be added to the back equity of DEI as of 000.
~ DEI is a fifty percent partner in a real estate
development partnership conducting business under the name
Evbuna Gardens. DEI has invested $46,109 in Evbuna and the
partnership has produced net losses for the years 1975 to 1979
of $3,888 which, netted against the investment, produces an
ultimate net of $42,221, at which value Evbuna is carried on
the bookE of DEI. It is felt that no appreciation should be
attributed to this asset because of its history of meager
earnings and prospects for little, if any, future earnings.
The interest of DEI in Evbuna is only 50% and, accordingly, a
minority discount of 20% is justified, reducing the book value
of $42,221 by $8,444 (20% x $4,221) and, accordingly, the book
equity of DEI at 000 should be reduced by $8,444.
4. DEI has carried a cost for investment in a real
estate project named Meadowbrook at a book value of $1,477.
This project was defunct at 000 and since 000 has been aban-
doned with no benefit to DEI and, accordingly, such cost of
$1,477 should be a reduction from the book equity of DEI at
000.

5. At DOD DEI owned a property known as Park Town
Apartments which at DOD was under contract (dated April 17,
1980) for sale under a long term agreement of sale. Settlement
was consummated on June 10, 1980. The sale price under the
contract for sale was $360,000 which, under such agreement was
subject to commitments to pay a $36,000 real estate broker's
commission, an origination fee of $5,535, transfer tax of
$3,600, and a capital gains tax of $50,000. This leaves a net
of $264,865. This amount exceeds the book value assigned to
this asset ($89,678) by $175,187, and the book equity of DEI at
DOD should be increased by this amount.
6. DEI owned the land and buildings at 3310 Market
Street, Camp Hill, PA, with a book value of $164,981 therefor.
A professional, commercial appraisal has been ordered for this
property but it has not been delivered by the time required for
filing this Return. The appraisal work is complicated because
of the comparatively complex nature of the subject property and
because the appraiser, who is appraising also for purposes of
Federal Estate tax valuation, must consider alternate valuation
date matters, which requires that the appraising be done in too
short a time frame to be completed by the filing date. However,
in the judgment of the Executors, the subject property should
be worth $350,000, and particularly so based upon the net
earnings produced by the property, which $350,000 amount
exceeds the book value of the subject property ($164,981) by
S185.019, which excess should be added to the equity of DEI at
DOD.
7. DEI owned the land and buildings at 546 Second
Street, Highspire, PA, which at 000 were worth $75,000, which
amount exceeded the book value therefor ($62,343) by $12,657,
which excess should be added to the net book value of DEI at
000.
8. DEI owned the land and buildings at 5137 Devonshire
Road, Lower Paxton Township, Dauphin County, PA, for which
property there is a book value of $430,334. For the reason
stated in paragraph 6 above, a professional, commercial appraisal
for this property is not available by the filing date. However,
the building of the property has recently been constructed and
the book value should be reflective of the actual value of the
building.

CAMP HILL BUILDERS, INC.
The decedent owned forty shares of Camp Hill Builders,
Inc. ("CBBI"), a real estate holding and development company,
which, by 1980 had developed practically all of the land with
which it started. A financial statement for CHBI as of
February 29, 1980 is attached. At such time, and at date of
death, CHBI had one hundred twenty-eight shares issued and
outstanding, of which the decedent owned forty shares, or
31. 25% thereof.
The primary asset of CHBI, other than cash and receivables,
was undeveloped land in the residential community of pine Brook,
Hampden Township, Cumberland County, Pa.
Of the assets shown on the attached balance sheet, the
itemize: cash was paid prorata to the shareholders before the
decedent's death and the decedent's share of such cash, to the
extent remaining at his death, is reflected in his assets returned
elsewhere on this Form 706.
Of the land held for development and improvements thereto,
carried on the balance sheet at a total of $54,143, two lots,
which were part of the totality of such assets, were sold since
date of death for $11,500 each, or a total of $23,000. The
balance of $31,143 ($54,143 - $23,000) is allocable to real estate
which is adjacent to the Conodoquinet l~eek, and because in the
flood plain, a subdivision plan cannot be obtained for further
development of such property, thereby making such property useless.
Reducing the stockholders' equity, per the attached balance
sheet, by the aforesaid $22,602 of cash distributed before date
of death, and by the aforesaid $31,143 assignable to the unusable
remaining land, leaves a net equity of $25,914 ($79,659 - ($22,602 +
'$31,143)). 31.25% of $25,914 is $8,098, which amount has been
reduced by 20% for minority discount, resulting in a final figure
of $6,478.

This will confirm our recent phone conversation
wherein you raised the question concerning su~ession of
interest of the~tock of Home Protection Corp;?which you
and your father neld in partnership. The Stock Redemption
Agreement of October 14, 1978 provides as follows:
"1. A. Each individual party hereto who owns his
stock jointly with a partner, shall so structure his
partnership so that:
(1) in the event he desires to sell his stock
interest during his lifetime, he shall first offer
said stock interest to his partner upon such terms
as he and his partner shall agree. If said suc-
ceeding partner does not wish to purchase said stock
after a thirty day period, then said stock shall be
offered to the remaining parties hereto in accordance
with Article 2 of this Agreement;
(2) no person not listed herein as his partner
not a party to this Agreement shall ,succeed to any
interest in, or ownership of said stock, except as
hereinafter provided;
(3) upon his death, his stock shall be offered
to his partner, the Corporation or other Stockholders
