DIICLARATION
I, BETH L. McKEE, of Lower AlI.en Township, Cumberland
County, Pennsylvania, have transferred to myself as Trustee the
property lis ted in the a ttached schedule, and Idee 1are that I
hold that property and all investments and reinvestments thereof
and additions thereto (herein collectively referred to as the
"trust estate") upon the following trusts:
FIRST:
During my lifetime the Trustee shall pay the in-
come from the trust estate in convenient installments to me or
otherwise as I may from time to time direct, and also such sums
from principal as I may request at any time in writing.
If at any time or times I shall be under a legal
disability or, by reason of illness or mental or physical dis-
ability, be in the opinion of the Trustee unable properly to
manage my affairs, the Trustee may use such sums from the income
and principal of the trust estate as the Trustee deems necessary
or advisable for the care, support and comfort of myself or for
any other purpose the Trustee considers to be for my best in-
terests, adding to principal any income not so used.
SECOND: After my death the trust estate shall be held
and disposed of as follows:
Section 1: The Trustee shall pay from the prin-
cipal of the trust estate my funeral expenses, claims allowable
against my estate, costs of administration including ancillary,
and estate and inheritance taxes assessed by reason of my death.
Assets or funds otherwise excludable in computing estate or in-
heritance taxes shall be used only to the extent that other
assets are not available. The Trustee may make payment directly
or otherwise as the Trustee deems advisable, without seeking re-
,
imbursement for any payments so made, except that the amount, if
any, by which the estate and inheritance taxes shall be increased
as a result of the inclusion of property over which I may have
a power of appointment shall be recovered from the person re-
ceiving that property.
Interest and penalties concerning any tax shall
be paid and charged in the same manner as the tax. No compensa-
tory adjustment shall be made for administration expenses allowed
as Federal income rather than estate tax deductions.
Section 2: After making or providing for pay-
ments under Section 1, the Trustee shall distribute the trust
estate including any accrued and undistributed income thereon
in equal shares to my children, John M. McKee, Jr., of Hinsdale,
Illinois, Hugh C. McKee, of Omaha, Nebraska, Sarah M. Weisbrot,
~f Cinnaminson, New Jersey, and Beth M. Gorrell, of Meguon, Wis-
consin, or to those of my said children who are living at my
death, except that the issue of any of said children who may
predecease me shall take the deceased parent's share by repre-
sentation per stirpes.
Section 3: Each share of the trust estate
which becomes distributable to the issue of any of my children
who has not reached the age of 21 years, shall immediately vest
in him or her, but the Trustee may (a) establish therewith 'a
custodianship for the descendant under a Uniform Gifts to Minors
Act, or (b) retain possession of the share as a separate trust
until the descendant reaches majority, meanwhile paying to him
or her or applying for his or her benefit, so much or all of the
income and principal of the share as the Trustee deems necessary
or advisable from time to time for his or her needs, best in-
terests, education and welfare, and adding to principal any in-
come not so paid.
THIRD: The following provisions shall apply to the
trust estate and to each retained share under this declaration:

Section 1: the Trustee may retain any property
originally constituting the trust or subsequently added thereto,
although not of a type, quality or diversification considered
proper for trust investments. The Trustee shall have power to
invest and reinvest the trust property in bonds, stocks, notes
or other property, real or personal, deemed suitable for the in-
vestment of the funds of this trust without being limited to what
may be technically known as legal investments under the law of
pennsylvania or any other state or jurisdiction which might be
applicable to this trust; to register securities in the name of
a nominee without restriction; to vote in person or by general
or limited proxy, or refrain from voting, any corporate securi-
ties for any purpose; to lease (for any period of time though
commencing in the future or extending beyond the term of the
trust), sell, exchange or pledge any or all of the trust property
as the Trustee deems proper; to employ agents, attorneys and prox-
ies, and to designate a deputy for a safe deposit box; to compro-
mise, contest, prosecute or abandon claims; to divide or distri-
bute in undivided interes~or in kind, or partly in cash and
partly in kind, and to sell any property for such purposes; to
sell stock or securities short; to buy stock or securities on
margin; to borrow money from any lender (in~luding any brokerage
firm which is a member of the New york Stock Exchang~and as
security for loans to pledge any property forming a part of the
trust estate upon terms and conditions deemed by Trustee to be
advantageous to the trust; to place any security in the care and
custody, and in the name of (or in the name of the nominee of)
any bank or trust company or any brokerage firm which is a mem-
ber of the New York Stock Exchange without obligation, while such
security is so deposited, to inspect or verify the same and with-
out any liability for any loss or misapplication by such bank,

trust company or brokerage firm not caused by the negligence
thereof; to employ investment counsel and to compensate such in-
vestment counsel at rates regularly charged from time to time by
such investment counsel; and to authorize investment counsel to
buy, sell and deal in the securities of this trust without prior
approval when' in the judgment of the Trustee such prior approval
is' not feasible and provided such investment counsel shall re-
port, as required by the Trustee, all actions taken with respect
to the securities of the trust together with periodic statements
of principal items, gains and losses from sales, income received
and fees and costs paid,
The Trustee may transfer the situs of any trust
property to any other jurisdiction as often as the Trustee deems
it advantageous to the trust, appointing a substitute Trustee
to herself to act with respect thereto; and in connection there-
with, may delegate to the substitute Trustee any or all of the
powers given to the Trustee, who may elect to act as advisor to
. the substitute Trustee and shall receive reasonable compensation
for so acting; and may remove any such substitute Trustee and
appoint another, or reappoint herself, at will.
Section 2: If at any time,a successor Trustee
is acting hereunder, the Trustee shall render an account of the
Trustee's receipts and disbursements at least annually to me, if
living, otherwise to my children or the survivors of them. Any
successor Trustee shall be reimbursed for all reasonable expenses
incurred in the management and protection of. the trust and any
corporate Trustee shall receive a fair compensation for its ser-
vices.
Section 3: I or any successor Trustee may re-
sign as Trustee hereunder at any time by written notice to my

children. After my resignation, death or inability to act, my
children or the survivors of them or such of them as may be able
and willing to act as Trustees shall be successor Trustees and
if none of my children is living, willing and able to act as
Trustee hereunder, Dauphin Deposit Trust Company, Harrisburg,
Pennsylvania, shall be successor Trustee provided it is willing
to act as T~~stee hereunder. If any child, having assumed the
duties of Trustee, shall die, resign or become unable to act as
Trustee, the surviving Trustees shall have all the powers and
duties of Trustees hereunder. The determinations as to whether
I or any of my children are at any time unable to act as Trustee
hereunder shall be made by my children who are not the subject
of such determinations or the survivor of them by a written in-
strument signed and acknowledged by each of the children making
the determination.
The term "Trustee" as used herein shall mean
the Trustee or Trustees from time to time acting under this
dec la ra tion.
Every successor Trustee shall have all the
powers given the originally named Trustee. No successor Trustee
shall be personally liable for any act or omission of any pre-
decessor, and with the approval of my children, or the survivor
of them, a successor Trustee may accept the account rendered and
the property received as a full and complete discharge to the
predecessor Trustee.
FOURTH: I or any other person may transfer, devise or
bequeath additional property acceptable to the Trustee to be held
under this declaration. If the addition is made by will, the

Trustee may accept the statement of the Executor that the assets
delivered to the Trustee constitute all of the property to which

1961 (72 P.S. 9 2485.708).
To the extent that inheritance lax is paid within three (3) months ahor tho death of the decedent, a
discount of five 15) percent is allowed (72 P.S. 9 2485.716).
Inheritance Tax, other than tax on 8 futuro interest, is due at the dole of tho decedont's death and becomes
delinquent at the expiration of nine (91 months after the decedent's death 172 P,S. S 2485.711). Inheritance
