all wills at any time heretof'ore made by me.
1. I give and bequeath to my '.life, Helen E. Todd, the balance of
any savings or checking accounts, or certificates of deposit, whether
in my name or not and I direct my executor" to tran"fcr the same to
her as promptly after my death as can be conveniently done.
2. I give my personal effects, and :mch household goods, if any,
as may be individual property and not the property of my l1ife, and
other tangible property of like nature, together vlith any existing
insurance thereon, to my ':Iif'e, Helen E. Todd. If she survives me I
give her a life interest in the items enumerated on the hereinafter
referred to sheet. On her death I give the same to the persons named
on the sheet attached to my ,Iill entitled "Personal Property And/Or
Household Goods (See Paragraph 4 (b) of ':Iill)".
3. I give and bequeath Thirty Thousand (:;:30,000.00) Dollars to
my nephew, C. Robert Todd and Thirty Thousand (~:30,000.00) Dollars to
my niece, Elizabeth Todd Trego.
4. a. If my wife predeceases me I give, devise and bequeath
the items mentioned on the attached sheet entitled "LIST OF PER"ONAL

b. If my wife predeceases me I give, devise and bequeath to
my nephew, C. Robert Todd, and my niece, Elizabeth Todd Trego, the
personal property and/or household goods which they have requested
and which are listed on the sheet attached hereto.
c. If my wife predeceases me I give the items mentioned on
the attached sheet entitled "DONATIONS TO HAi.lILTON LIBRARY AND
GUf'IBERLAND COUNTY HISTORICAL SOCIETY BY I.m. AIm (,ms. ROGER K. TODD"
to said Hamilton Library and Cumberland County Historical Society.
5. If my \'Iife predeceases me the other personal effects and
household goods owned by me at the time of my death shall be sold
at public sale by my executor and the proceeds thereof added to the
corpus of my estate. At the time of my death, our living quarters
at 127 \'Jest High Street, Carlisle, shall be locked and nothing shall
be removed until an appraisal is made, after which such articles are
to be distributed as provided for in paragraphs 4-a, 4-b and 4-c
above. Believing that the remaining household goods and other
articles are of considerable value I instruct my executor to have
them all removed and, if satisfactory arrangements can be made, to
be sold by Pennypacker Auction Centre, 1540 Hew Holland Road, Kenhorst,
Reading, Pennsylvania, or by an equally qualified dealer at his place
of business. The proceeds thereof shall be added to the corpus of my
estate.
6. I direct my hereinafter named executors to pay all estate
and transfer inheritance taxes out of my residuary estate in the
manner hereinafter directed and to make no deduction from the fore-

inheritance taxer, due and imposed on or in connection \'Iith my estate
or any part thereof in any manner 'dhat:;oever, and after t.he payment

and remainder of my estate, or my ent.ire residuary estate if Helen
E. Todd fails to survive me, to the said Farmers Trust Company,
Carlisle, Pennsylvania, in trust, as a charitable remainder unit. rust ,
hereinafter referred to as Trust B for the follovling use;; and purposes:
To hold, manage, invest and re-invest, and:
A. To pay the income therefrom but not In excess of a sum equal
to 5% or the net fair market value of the asset:; ,,1' this trust, valued
annually, to my \'life Helen E. Todd, in each taxable year of the trust
during her life in such periodic in:itallments as trustee shall find
convenient, but at least quarter-annually. Any amo~nt of trust income
in excess of 5% of the net fair market value of the assets of this
trust, valued annuP..lly, shall be distributed to my '/life at, the end of
each trust year to the extent that the aggregate of the amounts paid
in prior years was less than the aggregate of the ,maximum amounts if
in each year there had been paid a sum equal to 5~ of the net fair
market value of the assets of this trust, valued annually. Any excess
income not so distributed to !IlY vlife shall be added to principal.
The obligation to make unit rust payments hereunder shall eo~menee
at the date of my death although actual payment may be deferred until
the end of the taxable year of the trust in '1Ihich occurs the complete
funding of the trust, if payment is so deferred, then within a
reasonable period of time after the comolete funding of the trust,
trustee shall pay to my wife (in the case of an underpayment) or be
repaid by my wife (in the case of an overpayment) an amount equal to
the difference between the amount actually paid plus interest there-
on at 6% a year compounded annually and the amount payable plus
interest thereon at 6% a year compounded annually; determination of
the amount payable shall be made in accord \'lith Reg. section 1.664-1
(a) (5).
In calculating net fair market value there shall be taken into
account all assets and liabilities without regard to whether the
particular items are taken into account in determining the income
of the trust, and the net fair market value shall be determined
each year on the 30th day preceding the last day of the taxable year
or by taking the average of valuations on the 30th day preceding each
of the dates of distribution as trustee shall choose orovided the
same valuation date or dates and methods are used each year. The
amount to be paid each year shall be based upon the valuation for
such year. If the net fair market value of the trust assets is
incorrectly determined for any taxable year, trustee shall pay to
my V/ife (in the case of an undervaluation) or be repaid by my \'Iife
(in the case of an overvaluation) an amount equal to the difference
betvlCen'the unitrust amount vlhich the trust should have paid if the
correct value vlere used and the unitrust a.mount vlhich the trust
actually paid, and such payments or repayments must be made \'lithin
a reasonable period after the final determination of such value;
and determination of the amount payable shall be made in accord
with Reg. section 1.664-3 (a) (iii).

The amounts due under this Daraeraph shall be paid during every
taxable year of the trust includin~ the first and the last taxable
years. In the case of a tay-oble YClar of less than t~lclv() months,
trustee shall distribute that amount which is calculated by multiply-
ing the amount due for a full taxable year of twelve months by a
fraction of ~Ihich the numerator is the number of day:.; in the taxable
year of the trust (for the taxable year in ;'Ihich occurs the end of
the period specified in Reg. section 1.664-3 (a) (5) the numerator
shall be the number of days in the period beginning on the first day
of such taxable year and ending on the last day of the period
specified in Reg. section 1.664-3 (a) (5) and of which the denomi-
nator is 365 (or 366 if February 29 is a day included in the numera-
tor); if no valuation date occurs before the end of the taxable year
of the trust, the trust assets shall be valued on the last day of
the taxable year of the trust (or in the case of a taxable year in
~Ihich occurs the end of the period specified in Reg. section 1.664-3
(a) (5) the trust assets shall be valued on the last day of such
period). Payments under this paragraph Ii shall terminate vlith the
regular periodic payment next preceding the death of my wife.
B. The trustee may apply the payments due my vlife under A,
above for the support of my wife, Helen E. Todd, should she by
reason of age, illness, or any other cause, in the opinion of the
trustee, be incapable of disbursing it.
C. Upon the death of my ~Iife, Helen E. Todd, or upon my death
if she predeceases me, trustee shall pay the sum of ~:5,OOO.OO to the
"Todd Trust Fund" novl at the Commomlealth National Bank &. Trust
Company, Carlisle Office, for maintenance of the chimes on the First
United Church of Christ, Carlisle, Pennsylvania. The remainder of
said trust fund together with accumulated income, if any, shall be
held by said Farmers Trust Company in trust to hold, manage, invest
and re-invest in what are known as Legal Investments in the Common-
wealth of Pennsylvania and to pay all the income therefrom in install-
ments no less often than quarterly after the division thereof into ten
(10) equal parts to the following beneficiaries in the following
pro port ions:
One of said oarts to the charitable organization in Carlisle,
Pennsylvania novl knovlD as the "United Vlay of Carlisle".
One of said parts to Homewood Church Homes, Inc., Carlisle,
Pennsylvania to be added to the Expansion Fund of the Sadler Unit,
presently located along the Walnut Bottom Road in Carlisle, Pennsylvania.
Two of said parts to the Cumberland County Historical Society and
Hamilton Library Association, Carlisle, Pennsylvania.
Three of said parts to the Carlisle Hospital for operating expenses.
The remaining three parts to the First United Church of Christ
of Carlisle, Pennsylvania in a fund kno~m as the "Roger and Helen Todd
r.Iemorial Fund" to be used by said church to defray general expenses,
with the following exception:
If said Church builds or rebuilds at its present or any other
location, the entire Roger and Helen Todd ;.;emorial income shall be
used by it to house and install in the Church building or as located

and automatic operation of the chime3 after such installation, the
said income 3hall again be used to defray general expense:.;.
D. 'l'he purpose of thi:; tru:.;t i:i to qualify 3:3 a charitable
remainder unitrust a:; defined in :;ection 664 of the Internal Revenue
Code as added by Section 201 (c) of the Tax Heform Act of 1969 or
any similar provision in effect at my death. If any provision of
my will shall result in depriVing my estate of the charitable
deduction for federal estate tax purposes, such provision is hereby
revoked and my will shall oe construed :)0 as to qualify for such
charitable deduction. If at the time of distribution under paragraph
9-C above, the charity there named is not then an organization
described in section 170 (c) of the Internal Revenue Code and for
which a charitable deduction is allowable under Section 2055 of the
Internal Revenue Code (or of any similar sections thcn in cffect)
the gift thereto shall lapse as though the charity had ceased to exist
and it shall be distributed to the other institutions sharing in the
ten parts mentioned in said paragraph 9-C above in proportion to the
interest they have in those procceds as expressed therein.
E. Except for the payment of the unit rust amount to my wife the
trustee is prohibited from engaging in any act of self-dealing as
defin~d in Section 4941 (d) of the Internal Revenue Code of 1954, from
retaining any excess business holdings as defined in Section 4943 (c)
of the Code vlhich vlOuld subject the trust to tax under Section 4943
of the Code, from making any investments which would subject the trust
to tax under Section 4944 of the Code, and from making any taxable
expenditures as defined in Section 4945 (d) of the Code. The trustee
shall make distributions at such time and in such manner as not to
subject the trust to tax under Section 4942 of the Code.
F. Additional contributions may be made to this trust other than
from my estate provided that for the taxable year of the trust in
which any additional contribution is made: (a) where there is no
valuation date after the date of contribution and during the taxable
year in which the contribution is made, the additional property shall
be valued as of the time of contribution; and (b) the amount to be
distributed under paragraph A shall be computed by multiplying the
fixed percentage by the sum of (i) the net fair market value of the
trust assets (exclUding the value of the additional property and
any earned income from and any appreciation on such property after
its contribution) and (ii) that proportion of the value of the
additional property (that was excluded under subdivision (ii)) which
the number of days in the period which begins with the date of
contribution and ends with the earlier of the last day of such taxable
year or the last day of the period described in Reg. Section 1.664-3
(a) (5) bears to the number of days in the period which begins with
the first day of such taxable year and ends with the earlier of the
last day of such taxable year or thc last day of the period described
in Reg. Section 1.664-3 (a) (5).
G. Nothing in this vlill shall bc construed to restrict the
trustee from investing the trust assets in a manner which could result
in the annual realization of a reasonable amount of income or gain
from the sale or disposition of tru:.;t assets.

of my aforesaid wife or at any time thereafter the income provided
for same hernin shall be paid by my trustee to the then existing

retain as a trust investment any or all of the property, real or

and to re-invest the proceeds thereof. In the event that my trustee
in its discretion shall determine that the income from this trust,
together with the income from the trust set up in the foregoing

my wife may have, shall at any time be insufficient to maintain my
said \'Iife in the standard and manner she enjoyed during my lifetime,
then said trustee shall, after the eY~austion of the corpus of Trust
A, apply to the use of or pay over to my said \'Iifc such sum or sums
of money out of the corpus of this trust as may be necessary, in my
trustee's sole discretion, to enable her to live in the aforesaid
standard and manner.
10. If my wife, Helen, and I die in a common disaster or from
illness or disGase under circumstances 'dherc it is not nossible to
determine with certainty ~Ihich of us survived the other: it shall
be conclusively presumed that I predeceased my wife.
11. I nominate, constitute, and appoint my wife, Helen E. Todd,
and Farmers Trust Company of Carlisle, Pennsylvania, to be the
executors of this my Last Will and Testament. I direct that the
services of i.1arion R. LO~ler, Ilttorney at La;-I, of Carlisle,
Pennsylvania be used in the settlement of my estate and that he
see to it that the provisions of my will, particularly those of
paragraph five (5), are carried out in every detail.
12. If the gifts to charities made herein fail by reason of my
failure to survive the making thereof for the period required by any
valid 1m', of any jurisdiction I dir8ct that the charitable gifts
made in accordance vlith the provbions of the \'Iill executed by m8
September 15, 1975 shall be effective.

I, Roger K. Todd, make this a codicil to my will dated Nov. 12, 1976.
1. I revoke the codicil to my said will dated September 13, 1979.
2. I revoke that part of paragraph 9 C of said will in which
~ pal~s of my estate are given to 5 charitable institutions. In
lieu thereof I substitute the following gifts of the 10 parts of
my estate then remaining:
a. One part to the charitable organization in Carlisle, Penna.,
now known as the "United Way of Carlisle."
b. One part to the Homewood Retirement Center of the United
Church of Christ (Carlisle Facility), or its successor.
c. Two parts to the Cumberland County Historical Society
and Hamilton Library Association, Carlisle, Pennsylvania.,
"
d. Three parts to the Carlisle Hospital of Carlisle;'
Pennsylvania for operating expenses.
e. The remaining three parts to the First United Church of
Carlisle, Pennsylvania in a fund known as the "Roger and Helen
Todd Memorial Fund" to be used by said church to defray general
expenses with the following~e~geption:
If said Church builds or rebuilds at its present or any
other location, the entire Roger and Helen Todd Memorial Fund
income shall be used by it to house and install ih the Church
building,or as located by the architect, the "Todd Chimes" now
located in its church edifice, with all the necessary mechanisms.
On the obtaining of perfect manual and automatic operation of the
chimes after such installation, the said income shall again be
used to defray general expenses.
3. I affirm said will in all other respects.
In witness whereof, I, Roger K. Todd, being unable to sign
my name because of a tremor in my hands have had my name subscribed
for me in my presence by Marion R. Lower wh~pon I have made my

Thank you for your letter of June 16, 1981 regarding a chari-
table remainder unitrust established under will of the above named
decedent.
Using the valuation approach approved by the Court of Common
Pleas of Montgomery County, Orphans Court Division in Schoelkopf
Estate, 28 Fidu. REP. 211, we have determined the factor to calculate
the taxable interest of the present unitrust is .308852. This factor
multiplied by the principle of the unitrust is the taKable value and
the balance is the amount that represents the charitable exemption.
This factor is based on the terms of the unitrust assuming
monthly payments and assuming each valuation date is at the beginning
of the taxable year. The calculation was also based on Table 38 of
U.S. Life and Actuarial Tables 1939-1941 and 3~ percent interest as
provided by Pennsylvania law.

Unsatisfied liabilities incurred by the decedent prior to his/her death are deductible against his/her taxable estate,
In addition to debts incurred by the decedent or estate, other items are claimable including the cost of administration,
attorney fees, fiduciary fees, funeral and burial expenses including the cost of a burial lot, tombstone or grave marker,
All debts being claimed against an estate are subject to the approval of the Register of Wills with whom the
Inheritance Tax Return is filed. Evidence to support the decedent's or the estate's liability for the debts being claimed

Discount: If any tax due is paid within three (3) months after the decedent's death. a discount 01

Except for tax on a future interest. inheritance tax becomes delinquent nine (9) months from
the date of death.
. Inheritance tax on a future interest becomes delinquent at the expiration of three months

Interest is calculated on a daily basis from

rate. Thus. taxes that remain outstanding from calendar year to calendar year will
be subject to different rates in effect on each January 1.
