I, WILLIAM A. NIXON, JR., also known as WILLIAM A. NIXON, of
the Borough of Camp Hill, Cumberland County, Pennsylvania, declare
this to be my Last Will and revoke any Will previously made by me.
I.
I direct that all my just debts and funeral expenses and all
expenses of my last illness shall be paid from my residuary estate
as soon as practical after my decease as a part of the expense of
the administration of my estate.
II.
I bequeath my automobile, household and personal effects and
other tangible personalty of a like nature (not including cash or
securities), together with any existing insurance thereon, to my
children, NANCY J. NIXON, WILLIAM A. NIXON, III and CYNTHIA N.
HUDSON, to be divided among them by my Executor with due regard
for their personal preferences in as nearly equal shares as
practical.
III.
I bequeath the sum of Two Thousand Five Hundred ($2,500.00)
Dollars to my brother, RICHARD W. NIXON, M. D., provided he shall
survive me, as a token of appreciation for the love and affection
we shared together over the years.
IV.
I bequeath the sum of Five Thousand ($5,000.00) Dollars to
my wife's parents, DR. GERALD WATKINS and MILDRED F. WATKINS, or
the survivor of them, as a token of appreciation for the love and
friendship that they have given me over the years.

V.
I bequeath the sum of Two Thousand ($2,000.00) Dollars to the
WEST SHORE BRANCH, HARRISBURG AREA YOUNG MEN'S CHRISTIAN ASSOCIA-
TION. I direct that an endowment fund b~ created, which said en-
dowment fund is to be managed exclusively by the Board of Managers
of the West Shore Branch of the Harrisburg Area Young Men's
Christian Association, and that the income derived from said en-
dowment fund be used, as the Board of Managers directs, for the
benefit of the West Shore Branch of the Harrisburg Area Young
Men's Christian Association.
VI.
I bequeath, in equal shares, to my children, NANCY J. NIXON,
WILLIAM A. NIXON, III and CYNTHIA N. HUDSON, all of my right,
title and interest in the Massachusetts Mutual Life Insurance
General Agent Retirement Plan and all of my right, title and in-
terest in the General Agent Deferred Compensation Agreement by and
between Massachusetts Mutual Life Insurance Company, springfield
and me, which said Agreement is dated January 23, 1979, and all
of my right, title and interest in the General Agent Deferred
Compensation Agreement by and between Massachusetts Mutual Life
Insurance Company, Springfield and me, which said Agreement is
dated December 17, 1974.
VII .
I devise and bequeath the residue of my estate of every nature
and wherever situate, in equal shares, to my children, NANCY J.
NIXON, WILLIAM A. NIXON, III and CYNTHIA N. HUDSON.
VIII.
Should any of my issue entitled to a share of my estate not
have attained the age of twenty-five (25) years at the time of
distribution, I devise and bequeath the share of each such issue
to the Trustee hereinafter named, IN SEPARATE TRUST, to hold,
manage, invest and reinvest the share so received and the accumula-
tion of income thereof as, in Trustee's sole discretion, he may
deem necessary and appropriate for such issue's support and edu-

cation (including trade school and college education, both graduate
and undergraduate) without regard to his or her parents' ability
to provide for such support or education, or to make payments for
these purposes, without further responsibility, to such issue or
to such issue's parent or any person taking care of such issue.
Any principal or income not so applied shall be distributed to
such issue absolutely when he or she attains the age of twenty-
five (25) years. If he or she dies before attaining the age of
twenty-five (25) years, the trust shall terminate and such share
shall be distributed to his or her personal representative.
IX.
All federal estate tax and Pennsylvania Inheritance Tax
payable because of my death, with respect to property forming
my gross estate for tax purposes, whether or not passing under
this Will, including any interest or penalty imposed in connec-
tion with such tax, shall be paid from the residuary of my estate
as part of the expense of the administration of my estate. All
such taxes on present or future interests shall be paid at such
time or times as my Executor thinks proper regardless of whether
such taxes are then due.
X.
The interests of the beneficiaries hereunder shall not be
subject to anticipation or voluntary or involuntary alienation.
XI.
My Executor, or his successors, shall have the following
powers in addition to those vested in them by law and by the pro-
visions of my Will applicable to all property, whether principal
or income, including propery held for minors, exercisable with-
out court approval, and effective until actual distribution of
all property:
A. To retain any or all of the assets of my estate,
real or personal, without regard to any principle of
diversification or risk.

has been filed in the office of the Register of Wills of Cumberland

death occurred prior to December 22, 1965) from date of death, interest at the rate of six (6%) percent
per annum is charged.

of the West Shore Branch of the lIi.lrrislJurg Area Young Men's
Christian Association, and that the income derived from said en-
dowment fund be used, as the Board of Managers directs, for the
benefit of the West Shore Branch of the Harrisburg Area Young
Men's Christian Association.

I bequeath, in equal shares, to my children, NANCY J. NIXON,
WILLIAM A. NIXON, III and CYNTHIA N. HUDSON, all of my right,
title and interest in the Massachusetts Mutual Life Insurance
General Agent Retirement Plan and all of my right, title and in-
terest in the General Agent Deferred Compensation Agreement by and
between Massachusetts Mutual Life Insurance Company, Springfield
and me, which said Agreement is dated January 23, 1979, and all
of my right, title and interest in the General Agent Deferred
Compensation Agreement by and between Massachusetts Mutual Life
Insurance Company, Springfield and me, which said Agreement is
dated December 17, 1974.

I devise and bequeath the residue of my estate of every nature
and wherever situate, in equal shares, to my children, NANCY J.
NIXON, WILLIAM A. NIXON, III and CYN'l'HIA N. HUDSON.
VII I.
Should any of my issue entitled to a share of my estate not
have attained the age of twenty-five (25) years at the time of
distribution, I devise and bequeath the share of each such issue
to the Trustee hereinafter named, IN SEPARATE TRUST, to hold,
manage, invest and reinvest the share so received and the accumula-

deem necessary and appropriate for such issue's support and edu-

tion of income thereof as, in Trustee's sole discretion, he may

to provide for such support or education, or to make payments for
these purposes, without further responsibility, to such issue or
to such issue's parent or any person taking care of such issue.
Any principal or income not so applied shall be distributed to
such issue absolutely when he or she attains the age of twenty-
five (25) years. If he or she dies before attaining the age of
twenty-five (25) years, the trust shall terminate and such share
shall be distributed to his or her personal representative.
IX.
All federal estate tax and Pennsylvania Inheritance Tax
payable because of my death, with respect to property forming
my gross estate for tax purposes, whether or not passing under
this Will, including any interest or penalty imposed in connec-
tion with such tax, shall be paid from the residuary of my estate
as part of the expense of the administration of my estate. All
such taxes on present or future interests shall be paid at such
time or times as my Executor thinks proper regardless of whether
such taxes are then due.
X.
The interests of the beneficiaries hereunder shall not be
subject to anticipation or voluntary or involuntary alienation.
XI.
My Executor, or his successors, shall have the following
powers in addition to those vested in them by law and by the pro-
visions of my Will applicable to all property, whether principal
or income, including propery held for minors, exercisable with-
out court approval, and effective until actual distribution of
all property:
A. To retain any or all of the assets of my estate,
real or personal, without regard to any principle of
diversification or risk.

(e) OVerridw Renenl Colllllliesions: The difference between re-
newal. collllllissions for the second through the tenth and the
eleventh through the fifteenth policy yearB, inclusiYB,
including any cOllllllLltation of such collllllissions, payable under
the Contract with respect to ordinarY business secured
thereunder, end the lIIDOunts of such commissions (1) which
are payable to agents or broksrs under the terms of their
contracts with the General Agent or (2) which are Personal
Collllllissions.
(f) Personal Commissions: Renewal collllllissions, other than OVer-
riding Renewal CollllllissiollS and Group Commissions, which
are payable unde.... the Contract with respect to business
personally secured thereunder by the General Agent.
(g) ~: Massachusetts Mutual General Agent Retirsment Plan
(h) Renewal Pees: Renewal fees which are payable under General
Agent Contract Porm C618 159, or that portion of renewal
commissions for second thrOugh the tenth policy years which
is payable under Gensral Agent Contract Porm C400 and which
is forfeitable upon the termination of said contract pur-
suant to Ssction 6a thereof.
ARTICLE III
Eligibility and Election to Participate
A General Agent will be eligible for participation in the Plan if on
the effective date of the Plan or on any date thereafter he baS attained
age 60 or has completed 20 years of ssrvice as a General Agent of the Company,
whichever occurs l.&'tor.

A General Agent who is eligible for participation in ths Pllll1 must
file a written election to participate with the Company at its Home
Office on or bsfore the thirtieth (30th) day prior to the termination
of his Contract due to retirement. Failure by the General Aglll1t to file mch
IIl1 election on or before mch date will be deemed to be IIl1 election by
that General Agent not to participate.
ARTICLE IV
Overri~ Renewal Collllllissions
If a General Agent elects to participate in the PlIIl1, as provided
in Article III, all Overriding Renewal Collllllissions which the General
Agent ~. be entitled to receive following the termination of his Contract
due to retirement will be retained by the Company in its general funds.
The COl!lpany will maintain a memorandum account of such collllllissions, known
as "Account One", to which intsrest will be credited 1lI1I1U81ly on each
anniversary of the termination of the Contract. Such interest will be
credited on the monthly balance reflected in Account One at an annual
rate determined from time to time by the Company. All payments made as
provided below will be charged against Account One. All overriding
Renewal Collllllissions ~ble to a General Agent participating in ths
Plan will be subject to the Compa:lY's right of offset as set forth in
the Contract, as well as to any pre-ex1stin8 ass1gnlll.ent of or lien
against such collllllissl.ons.
Upon termination of the Contract due to retirement, the Company will
calculate the appro:d.mate present value of all Overriding Renewal Colllllliesions
which might thereafter b. credited to Aooount One on the bUill of lII1eh
policy termination, policyholder mortality and interest assumptions as it
may determine. Commencing within sixty (60) days atter the date of tel'llli-
nation of the Contract, paylIlente will be made by the CompBD;y to the

General Agent in 180 monthly installments. Xhe amount of the monthly
installments payable on or prior to the first anniversary of the temination
of the Contract w1ll be calculated BUch that the present value of 180 such
monthly :Lnatallments, on an interest-only basis as determined by the
Company, 11111 be equal to the approxiRlate present value of Account One as
calculated in accordance with this paragraph.
On each of the first fourteen anniversaries of the te:nn1nation of
the Contract, the Com~ will adjust the amount of the next twelve install-
ments to rei'lect the actual amount accumulated in Account One as compared
to the amount expected to be accumulated in Account One on the basis of
the aSBUlllptions, stated in the precedi1l8 paragraph, used in calculating
the approximate present value of Account One. If, as a reSUlt of any
such adjustment, any :Lnatallment weuld be for an amount which is less
than 75% of the amount ilf the Initial Installment Payment from Account One,
the Company will pay an Additional Amount equal to the difference between
75% of the amount of the Initial Installment Payment from Account One end
such adjusted installment. Such Additional Amount will not be charged
against Account One.
III the event ot the death of the General Agent before receiving any
:Lnatallmente, or libile receiving such installments, 8lly unpaid :Lnatallments
shall be paid to his personal representative.
ARTICLE V
Supplemental Installment Pa:vments
Upon completion of the installment payments described in Article IV,
the Company will make Supplemental Installment PlIiYD1ents on a monthly
basis to the General Agent for the remainder of his lifetime. Each

Two", to libich intersst will be credited annually on each
anniversary of the termination of the Contraot. Suoh
interest will be oredi ted on the IIlOnthly balanoe refleoted

time by the Company, All paymants IIlBds as provided below will
be charged against Aocount Two.
All Group and Personal CollllllissiollB and Renewal Pees payable
to a General Agent partioipating in ths Plan will be subjeot
to the Company's rigbt of offeet as set forth in the Contract,
as well as to any pre-existing assigcment of or lien against
suoh oommissions and fees.
Upon termination of the Contraot due to retirement, the
Company will oalculate the approximate present value of all
Group and Personal Commissions and Renewal Pees whioh migbt
thereafter be credited to Acoount Two on the basis of such
polioy termination, policyholder IIlOrtality and interest
assumptions as it may determine. COJD:llenoing within suty
(60) days after the date of termination of the Contract,
payments will be lIlBde by the Company to the General Agent
i{l 180 IIlOntbly installmants. The lIIDOunt of the IlIOnthly
installments payable on or prior to the first annivsrsary
of the temination of the Contract will be oalculated such
that the present value of 180 such IIlOnthly installments, on
an interest-cnly basis as determined by the Comp8ll,y, will be
equal to the approximate present value of Aooount Two as
calculated 1.n aooordanoe with this paragraph.

nation of the Contract, the Company will adjust the lIlIl.OUI1t
of the next twelve installments to reflect the actual
amount accumulated in Account Two as compared to the amount
expected to be aocumulated in Aooount Two on the basis of
the assumptions, stated in the preoeding paragraph, used
in oaloulating the approx:iJDate present value of Account Two.
If, as a result of B.Dl such adjustment, any installment
would be for an llIIIount which is less than 75% of the amount
of the Initial Installment Payment from Account Two, the
Company will pay an Additional Amount equal to the differenoe
between 75% of the amount of the Initial Installmant P~ent
from Account Two and sueh adjusted installment. Such
Additional .Am.ount will not be charged against Aocount Two.
In the event of the death of the General Agent before
receiving B.Dl installments, or while reoeiving such install-
ments, 1j!;e remaining installments shall be paid to his per-
sonal representative.
( c) Al ternati ve !l!hree
The Company will appl;y an amount each IDOnth equal to not
more than 75% of the Initial Installment l'ayment oharged
'lgl'inRt Acoount Two, as determined in (b) above, to provide an
income under one of the alternative methods desoribed in (1)
through (5) below. The remainder of the Initial Installment
payment charged against Aocount Two, as well as the remainder
of B.Dl subsequent installment payments, as caloulated in (b)
above, will be paid to the General Agent, or to his personal
representative in the event of the death of the General
Agent, as BUch amounts beoome payable. The amounts payabls

(4) Payments to the General Agent will cOllDllence within
sixty (60) days after the date of termination of
the Contract and will continue to be made in monthly
installments until the death of the General Agent or
the death of his spouse, whichevsr occurs later. In
the altemative, payments will be made in monthly inStall-
ments for a specified period DOt exceeding 15 years and
thereafter until the death of the General Agent or thlil
death of his spouse, 'llhichever occurs later. The amount
of each monthly ~ent after the :1:n1tial payment will
depend upon the investment performance of Massachusetts
Mutual Variable Annuity Fund 2.
(5) Commencement of payments will be daferred until a date
fifteen years after the date of termination of the

Early Retirement

completion of 20 years of service as a General Agent of the Company,

V. Thc Company, in its sole discretion may invest a portion of its asscts up to an amount
equal in value to the amounl in the General Agent's account separately from its general
rescrves and assets. Such separate investments may be made at any time while any ..
amount of the Gencral Agent's compensation is being deferred hereunder and in any way
the Company sees fit or is allowcd by law. If the Company invests its property separately
pursuant to this Article V, it shall credit to the General Agent's account from time to
time whatever net earnings the assels 50 invesled have produced. Net earnings from
separale investments for purposes of this Agreement shall mean gross earnings, including
but not limited to, interest, dividends, realized and unrealized sppreciation or loss in the
value of such investments, less sll expensea and taxes attributable to the making, carrying
and liquidation of luch investments, ~cludin8 but not limited to, an appropriate sccrual
of taxes for unrealized appreciation In, the value of the Investments. The Company alone
shall determine the amount of net ~arni!1is that will b~ credited to the General Agent's
account; and such determination' of 'net eaminp, includins the determination as to
charges for expenses and taxes, shaU be linal.
The Company reservea to itself absolutely all rights and interests to any investment it
may make pursuant to this Article, Ally separate investments it JUay make hereunder
shall be solely for the administrative convenience of the Company, and the General
Agent's righta to deferred compensation under this Agreement shall be no greater than
his rights would have bI:en if such Investments hsd not been made, except to the extent
the aforesaid net earni/llll are credited to the General Agent's account.
If during any period while compensation Is deferred under this Agreement, the Company
makes separate Investments of its property in an amount less than the amount of the
General Agent's account, or it makes no separate Investments of its property, as provided ,i
above, it shall then credit interest on that portion or all of the account not represented
by separate investments of Company assols. Such Interest shall be credited to the account,
from time to time, in lieu of net esmil18s from separate Investments of Company assels, '
at the rate applicable to the Company', dividend sccumulation account; but no interest
shall be credited on that portion or al/ of the General Agent's account for any period.
during which sssets of the Company equal to such portion or al/ of the account are
separately invested, whether such separate investments produced net earnings or not.
ARTICLE VI
Disbursement
VI. Unless the prOVISIons of Paragraph E of this Article shal/ apply, the Company shall
commence disbursement of amounts standing to the credit of the General Agent's
account as of the first day of the next calendar quarter fol/owing the earliest of the
fOllOWing events:
1. Retirement of the General Agent upon the attainment of age 65.
2. Receipt of proof of death of the General Agent prior to retirement.
3. Determination of disability of the General Agent prior to retirement.
4. Termination of the Contract other than upon retirement, death or disability of thc
General Agent, if a new Contract is not immediatcly entcred into.

B. Disbur~ment upon death prior to retirement

In the event of the General Agent's death prior to his retirement, disability or other
termination of the Contract, disbursement to his estate in the manner and for the
period described in Paragraph A. 1 of this Article shall commence as of the first day
of the next calendar quarter following the receipt of proof of his death by the
Company; provided, however, that if no executor or administrator of the General
Agent's estate has been appointed and qualified, di6bursement shall commence as of
the first day of the calendar quarter following lhe receipt of notice of the
qualification of such executor or administrator.
C. Disbursement upon disability prior to retirement
I. In the event of lhe General Agenl's disability, as defined herein, prior to his
retirement or olher termination of the Contracl, disbursement to the General,
Agent shall commence as of the first day of the next calendar quarter
following the date on which he is determined by the Company 10 be disabled.
Such disbursement shall be made in the manner described in Paragraph A. I of
this Article for five, ten, fifteen or twenty years, whichever period is
determined by the Company to be appropriate.
2. If d.isbursement commences because of the General Agent's disability,
disbursement of the amount standing to the credit of his account shall be

continucd for the periOlI determined by lhc Company undcr Paragraph C. I of
this Anicle rcgardless of the duration of such disability. In the event of the '
Gcncral Agent's death aftcr disability has been, determincd and bcforc or

disburscd to thc Gcncral Agent's estate in quartcrly installments over the
rcmainder of such disbursement period.

D. Disbursement upon termination of the Contract other than upon retirement, death
or disability
I. In thc event of termination of thc Contract other than upon retirement, death
or disability, and if a new Contract bctween the Company and the General
Agent or a corporatc General Agency of which the General Agent is at least a
majority stockholdcr is not immediatcly entcred into, disbursement to the
General Agent shall commencc as of the firsl day of the next calendar quarter
following the date of stich tcrmination of the Contracl. Such disbursement
shall be made in the manner described in Paragraph A. I of this Arlicle for
five, ten, fifteen, or twenty years, whichcvcr period is determined by the
Company to be appropriate; provided, however, that the Company may in its
sole discretion disburse in a single sum the amount standing to the credit of
the General Agent's account.
2. In the event of the General Agent's death after termination of the Contract
other than upon retirement, death or disability, before or during the
disbursement period determined by the Company under Paragraph D. I of this
Article, the amount standing to the credit of his account shall be disbursed to
the General Agent's estate in quarterly installmenls over the remainder of such
disbursement period.
E. Disbursement upon attainment of age 10, if elected
"
1. Notwithstanding any contrary provisions of this Article, the General Agent
may elect to defer disbursement of the entire amount standing to the credit of
his account until he reaches age 10. An election under this Paragraph must be
in writing, and it shall be effective ~nly if:
(a) the Contract has not terminated and disbursement has not commenced for
any reason before the General Agcnt has attained age 60;
(b) the election is filed with the Company during the period between the
General Agent's 60th and 65th birthdays, but in all events at least 60
days prior to whichever of the following events occurs first:
(I) retirement of the General Agent upon allainment of age 65;
(2) temlination of the Contract after reaching age 60 for a reason other
than the disability or death of the General Agent.
The effective datc of an elcction to defcr disbursement under Paragraph E. I
of this Article shall be the date which disbursement would otherwise have
commenced either because of retiremcnt upon attainment of age 65 or because
of termination of the Contract after reaching age 60 for a reason other than
disability or death.

2. If an effeelivc election is made under I'aragraph E. I of Ihis Article, the
amount standing to the credil of the General Agent's account shall be
disbursed to him in quarterly Installmenls for a period of not more than 15
years commencing as of (he first day of the next calendar quarter following
the monlh In which the General Agent allalns age 70, The period for
disbursement under this Paragraph shall be limited to periods of five, ten or
fifteen years and shall be specified in the wrillen election of the General Agent.
Quarterly installments shall be computed in accordance with Paragraph A. 3 of
this ArUcle and the final quarterly disbursement shall Include any net earnings
or interest credited to the account as of the date of dlsbulSement and shall
exhaust the account.
3. In the event of the General Agent's death after he reaches age 60 but before he
attains age 70, while an election under Paragraph E. I of this Article is
effective, the amount standing to the credit of his accou.lt shall be disbursed
to his estate for the period elected by him pursuant to Paragraph E. 2 of this
Article, but commencing as of the first day of the next calendar quarter
following the receipt of proof of his death by the Company; provided,
however, that if at such time no execulor or administrator of the General
Agent's estale has been appointed and qualified, disbursement shall commence
as of the first day of the next calendar quarter following the receipt of notice
of the qualification of such executor or administrator.
4. In the event of the General Agent's death after reaching age 70 and before or
during the period for disbursement under Paragraph E. 2 of this Article, the
amount standing to the credit of his account shall be disbursed to the General
Agent's estate in quarterly installments over the rcmainder of such
disbulSement period.
F. Minimum monthly instaUmenu
If in any case the period for disbursement elected by the General Agent would
result in a first quarterly installment of less than 5300, disbursement shall be made
in quarterly installments over the next shorter quinquennial periOd 'of years which
will result in a fust quarterly installment of at lesst 5300; and if In any case the
amount standing to the credit of the General Agent's account is not sufficient to
disburse such amount over the minimum period of five yealS in such a manner that
the first quarterly installment is at least 5300, the Company may in its sole
discretion make disbursement eitlier in a lump sum or in quarterly installments of
$300 until the account is exhausted.
ARTICLE VII
Forfeiture
VII. A. General Asent's covenant
The General Agent agrces lhat for a pcriod of one year aftcr thc disbursement .
starting date or, if he clecls under Paragraph E. I of Article VI to defer
disbursement until allainmcnt of age 70, for one year after such election first
becomes effective he shall refrain from engaging, within the territory specified in
lhe Contract, in the operation or management of an agency, district agency, sales
office, or life insurance business of any kind which shall be in direct competition
with the CompanY'rcsulting in substantial detriment to the Company.

ll. ' Dischorlle of Company's liability
In the event the Company shall detcrmine that the yeneral Agent is engaging in
compelition, as aforesaid, the Company by wrillcn notice mailed to the Gcneral
Agent at his lost known addrcss may direct thc Gencral Agent to rcfrain from such
competition, If the Gencral Agcnt shall within thirty (30) (lays of the mailing of
such written nolice fail to comply wilh any such direction to rcfrain, thcn, except
liS provided in 1'lIragraph E of this Articlc, the Company's obligation to make any or
, furlhcr disbursements to the General Agcnt under Article VI shall ceasc, and the
Company shall be rcleased and discharged from any further liability to the Gencral
Agenl or his legal representative with rcspect 10 the amounls standing to the crcdit
of the General Agent's account. The General Agent in such case shall nol be under
any obligation to repay to the Company any disbursemcnt theretofore made to him.
C. Genersl Agent's addi~onal c\lvenant
The General Agent agrees that, except in the case of termination upon death or
disability, he shsll render for. a peri!X\ or ten years aftcr ,t~e disbursement starting
date or, if he 'clccts under Paragrap~'E. I of Article YII~' defcr dis~ursement until

request, but in making any such request the Company'shall take into account the

payments by the Company (other than payment or reim~ursement of reasonable,
actual, out-of.pocket cxpenses). ',/ .
D. Further discharse of Company's Uability ,
In the event the Company desires to call upon the General Agent for the services
described in Paragraph C of this Article, the Company by written nolice mailed to
the General AgenJ at his last known address may request such services of him. If
the General Agent shall within thirty (30) days of thc mailing of such wrillen
notice fail to respond to such request either by agreeing to perform such services or
by the 'performance of such selVices, then, except as provided in Paragraph E of this
Article, the Company's obligation to make any or further disburse men ts to the
General Agent under Arlicle VI shall cease, and the Company shall be released and
discharged from any further liability to the General Agent or his legal representative
with respect to the amounts standing to the credit of the General Agent's account,
The General Agent in such case shall not be under any obligation to repay to the
Company any disbursement theretofore made to him.
E. Arbitration
Upon written notice mailed by the General Agent to the Company at the Home
Office within thirty (30) days of the mailing of the notice referred to in either
Paragraph B or 0 of this Article indicating the General Agent's disagreement with
the Company's determination (\) that the General Agent is in competition, as
aforesaid, or (2) that the Company's requesl for consulting and advisory selVices is
reasonable, the question as to whether or not the General Agenl is in direct
competition with the Company resulting in substantial detriment to the Company
or the question as to whether or not the Company's request for consulting and
advisory services is reasonable, as the c.1se may be. shall be submitted to arbitration.
In such an event the Company shall select an arbitrator who shall be an officer of

the Company, and the General Agenl shall select an arbitrator who shall be a
memuer of the Massachusetts Mutual General Agents Executive Committee, and the
aforesaid two arbitrators shall select a third arbitralor who shall be a member of the
American Arbitration Association, The decision of a majority of such arbitrators
shall be I1nal and binding upon both parties 10 this Agreement.
ARTICLE VIII
Gcncral Agent's Contract
VIII. A. Amendment
This Agreement amends the Contract but is not Intended to amend any provisions
of the Contrsct which are consistent with this Agreement. Nothing contained in this
Agreement shall be construed to be a contract for any term of years, and both the
Company and the General Agent' reserve their right to terminate the Contract in
accordance with its provisions.
B. Termination oC the Contract
In the event thai the Conlract is lerminated for any reason, deferral of the payment
of General Agent's Commissions under Article III of this Agreemept shall thereupon
cease. Amounts of General Agent's Commissions deferred prior to such termination
and standing to the credit of the General Agent's account at the time of such
termination shall be disbursed in accordance with Article VIol' this Agreement.
C. New Contract immediately after termination
I. If upon termination of the Contract the Company and the General Agent
immediately enler inlo another General Agent's Contract, then for the purpose
of this Agreement the Conlract and any subsequent General Agent's Contract
shall be deemed not to have terminated until the termination of the last
Contract which may be entered into between the parties immediately upon the
termination of the Contract or any subsequent General Agent's Contract.
2. If Upon terminal ion of the Contract the Company and a corporate General
Asency of which the General Agent is at least a majority stockholder

ARTICLE IX
Termination of Deferral by Company

notice to the Company that he wishes the Company again to defer the payment of
a specific percentage (not less than S% nor more than SO%, stated in a multiple of
five) of his General Agent's Commissions. If such further deferral of payment is
acceptable to the Company, payment shall again be deferred in accordance with the
terms and conditions of this Agreement. Such further deferral of payment shall
commence on January I of the year following receipt of such wrillen notice by the
Company.
C. Effect of termination of deferral
Amounts of General Agent's Commissions deferred prior to termination of deferral
under Paragraph A of this Article and standing to the credit of the General Agent's
account shall be held by the Company for disbursement in accordance with Article

WITNESSETH:
WHEREAS, the Company and the General Agent entered Into a contract dated
March 1. 1962 (hereinafter referred to as "the Contract") under which the
General Agent was appointed a General Agent of the Company and under which the
Company allows the General Agent certain compensation for business secured by
himself and his agents; and
WHEREAS, the General Agent has performed his services for the Company
under the Contract in a capable and efficient manner; and
WHEREAS, the General Agent wishes to defer the payment and receipt of a
portion of his compensation in order that such deferred compeQsatlon may be made
available by the Company upon the General Agent's retirement, disability or death,
or upon any other termination of the Contract; and
WHEREAS, the Company is willing to defer the payment of a portion of the
General Agent's compensation am! to pay such deferred compensation to the General
Agent In later years as hereinafter provided;
NOW, THEREFORE, In consideration of the mutual promises of the parties
made each to tile otller, It Is hereby covenanted and agreed as follows:
ARTICLE I
Conduct of General Agency
I. The General Agent agrees to continue to devote his full time to the conduct of his
general agency and agrees that he shall not engage In any business activity other than
that covered by tile Contract, except with the written consent of the Company.
ARTICLE"
Definitions
11. The following words and terms used In tills Agreement are hereby defined as
fo llows:
A. "General Agent's Commissions" shall mean
1. On Ordinary business
(a) the difference between the first year commissions and the renewal
commissions for the second to tile tenth policy years, Inclusive, which

(a) The difference between the flrst year commissions and the renews I

the General Agent receives under the Contract and the amounts of such
commissions which are payable to agcnts and brokers under the terms
and conditions of their contracts with the General Agent; and
(b) Renewal service commissions.
3. But General Agent's Commissions shall not include
(a) First year and renewal commissions at Agent's rates on the General
Agent's Ordinary and Group personal business; and
(b) Commuted renewal commissions on Ordinary business for either the
second to the tenth policy years, inclusive, or the eleventh to the flf~
teenth policy years. inclusive.
8, "Disability" shall mean the continuous inability of the General Agent resulting
from disease or Injury to perform substantially all the work pertaining to his
occupatlonor business. The existence or non-existence of disability shall be
determined by the Company and its determination shall be conclusive and bind-
Ing upon both parties to this Agreement.
ARTICLE 1lI
Deferral of General Agent's Commissions
III. The Company agrees to defer the payment of 30 % of the General Agent's
Commissions, as defined herein, commencing Januarv 1, 1Q'lc; I
and the General Agent agrees that commencing on such date the payment of the afore-
said percentage of his General Agent's Commissions may be deferred.
ARTICLE IV
Accounting Provisions
IV, The Company shall establish an account to which amounts deferred under Article
III shall be credited and against which amounts disburscd under Article V shall be
charged. Interest shall be credited to the account as of December 31 of each year
and as of the date of the flnal disbursement under Article V. Interest shall be com-
puted at the rate applicable to the Company's dividcnd accumulation accounts.

1. In the event of tbe General Agent's retirement upon the attainment of age
65, disbursement to the General Agent shall bo made In monthly Install-
ments for a period of_ 20 years commencing on the first day of the
second calendar momh following the month in which the General Agent
attains age 65. Such monthly installments shall be computed In accordance
with Paragraph A.3ofthis Article; provlded,however, that the final monthly
disbursement shall include the interest credited to the account as of the
date of such disbursement and shall notwithstanding any other provision of
this Agreement exhaust the account.
2. In lieu of the aforesaid 20 year disbursement period, the General
Agent may eloct a 5 ,10 or 15 veal' disburse-
ment period by written notice filed with tile Company at least alxty days
pr10r to thedisburscmcntstaningdate. Hany such electloLlls made, Para-
graph A.I of this Article shall be amended to reflect such election and the
amount standing to the credit of tile General Agent's account shall be dis-
bursed in monthly installments for the period elected.
3. On the disbursement starting date and for the next succeeding eleven
months of the dlsburscmont period the monthly Installments specified In
Paragraph A.I of this Article or olected und"r Paragraph A.2 of thls
Article shall for each $1000 standing to the credit of the General Agent's
account on the disbursement starting date be equal to the appropriate

4. In the event of the General Agent's doathdurlng such disbursement period,
disbursement of the balance of the amount standing to the credit of his
account in monthly installments shall be continued to the General Agent's
estate over the remainder of such disbursement period.
8, Disbursement upon death prior to retirement
In the event of the General Agent's death prior to his retirement, disability or
other termination of the Contract, disbursement to his estate in the manner
and for the period described In Paragraph A.l of this Article shall commence
on the first day of the second calendar month following his death; provided,
however, that if no executor or administrator of the General Agent's estate
has been appointed and qualified, disbursement shall commence on the first
day of the month following the qualification of such executor or administrator.
C. Disbursement upon disability prior to retirement
.
1. In the event of the General Agent's disability, as defined herein, prior to
his retirement or other termination of the Contract, disbursement to the
General Agent shall commence on the first day of the second calendar
month following the date on which he is determined by the Company to be
disabled. Such disbursement shall be made in the manner described in
Paragraph A.l of this Article for five. ten, fifteen or twenty years, which-
ever period is determined by the Company to be appropriate.
2. If disbursement commences because or the General Agent's disability,
dlsbursement of tho balance of the amount standing to the credit of his

1. In the event of termination of the Colltract othllr than upon retirement,
death or illsabillty, disbursomellt to the General Agent shall commence on
the first day of the second culcndar montll following the date of such termi-
nation of the Contract. Such disbursement shall be made in the manner
described in Paragraph A.l of this AI'tlcle for five, ten, fifteen or twenty
years, whichever period is determined by the Company to be appropriate;
provided, however, tllUt the Company may in its sole discretion disburse In
a single sum the amount Htandlng to the credit of the General Agent's
account.
2. In \lIe event of the General Agent's death during the disbursement period
determined by tho Company under Paragraph 0.1 of this Article, disburse-
ment of \lIe balance of the amount standing to the credit of his account In
monthly Installments shall be continued to the General Agent's estate over
the remainder of such disbursement period. '
E. Minimum monthly inHtallments
If In any case the period for disbursement elected by tile General Agent would
result In a first monthly Installment of less than $100.00, disbursement shall
LJe made in monthly installments over the next shorter quinquennial period of
years which will result in a first montllly installment of at least $100.00; and
If in any case tile amount standing to the credit of the General Agent's account
is not sufficient to disburse such amount over the minimum period of five
years In such a manner that the first montllly installment Is at least $100.00,
the Company may In Its sole discretion make disbursement either In a lump
sum or in monthly installments of $100.00 until the account is exhausted.
ARTICLE VI
Forfeiture
VI. A. General Av;ent's covenant
The General Agent agrees that for a period of one year after the disbursement
starting date he shall refrain from engaging, within the territory specified \sl
the Contract, in the operation or management of an agency, district agency,
sales office or life intiurance business of any kind which shall be in direct
competition with the Company resulting In substantial detriment to the Com-
pany.

O. Discharge of Company's liability
.
In the evcnt tho Company shall determine thnt the Gcncral Agcnt Is engaging
In competition, as aforesaid, the Company by wrlttcn noticc mallcd to the
Gcncral Agent at his last known addross may direct thc Gcncral Agcnt to
refrain from such competition. If thc Genoral Agent shall within thirty days
of the mailing of such written notice fail to comply with any such direction to
refrain, then except as provided in Paragraph E of this Article the Company's
obligation to make further dlsburselllont to thc Gencral Agent shall cease, and
the Company shall be released and discharged of any further liability to the
General Agent or his legal representative with respect to the amounts standing
to the credit of the General Agent's account. The Gcneral Agent In such a
case shall not be under any obligation to repay to the Company any disburse-
ment theretofore made to him.
C. General Agent's additional covenant
The General Agent agrees that, except In tho case of termination upon death
or disability, he shall render for a period of ten years after thc dlsbursment
starting date such consulting and advisory sorvices as the Company may from
time to time reasonably request, but In making any such request the Company
shall take Into account the General Agent's health, residence and personal
circumstances. Such services shall be rondo red by the General Agent with-
out additional compensation, fee or other payment by the Company (other than
payment or rei mbursement of reasonable, actnal, out-of-pocket travel expenses
and other disbursements).
D. Further dlschar!l;e of Company's lIabll1ty
In the event the Company determines to call upon the General Agent for the
services described in Paragraph Cofthis Article, it shall request the same by
written notice mailed to the General Agent at his last known address. If the
General Agl!nt shall within thirty days of the malling of such written notice
fall to respond to such request either by agreeing to perform such services or
by the performance of such services, then, cxceptas providod in Paragraph E
of this Article, the Company's obligation to make further disbursement to the
General Agent under Article V shall ceaso, ami the Company shall be released
and discharged of any further liabi lity to the Goneral Agent or his legal repre-
sentative with respect to tile amounts standing to tile credit of the General
Agent's account. The General Agent in such case shall not be under any
obligation to repay to tile Company any disbursement theretofore made to him.
E. Arbitration
Upon written notice mailed by thc General Agent to the Company at Its Home
Office within thirty days of the mailing of the notice referred to In either
Paragraph B or 0 of this Article indicating the General Agent's dlsagreemont
with the Company's determination (I) that the General Agentls In competition,
as aforesaid, or (2) that the Company's request for consulting and advisory
services is reasonable, the question as to whether or not the General Agent Is
In direct competition wllh the Company resulting in substantial detriment to the
Company or the question as to whether or not the Company's request for
consulting and advisory services is reasonable, as tllo case may be, shall be
submitted to arbitration. In such an event the Company shall select an arbi-

ARTiCLE VII
Genera I Agent's Contract
VII. A. Amendment
TIlls Agreement amends the Contract but is not intendtld to amend any pro-
visions of the Contract wlllch are consistent with this Agreement. Nothing
contained in tills Agretlnlent shall be construed to be a contract for any term
of years, and both the Company and the General Agent reserve their right to
terminate the Contract in accordance with its provisions.
B. Termination of the Contract
In dIe event that the Contract is terminated for any reason, deferral of the
payment of General Agent's Commissions under Article III of this Agreement
shall thereupon cease. Amounts of General Agent's Commissions deferred
prior to such termination ami standing to the credit of-the General Agent's
account at the time of such termination shall be disbursed in accordance with
Article V of this Agreement.
C. New Contract Inunediawly after termination
If upon termination of the Contract the Company and the General Agent im-
mediately enter into another General Agent's Contract, then for the purpose of
this Agreement the Contract and any subsequent General Agent's Contract
shall be deemed not to have terminated until the termination of the last Contract
which may be entered into between the parties immediately upon tile termina-
tion of the Contract or any subsequent General Agent's Contract.
ARTICLE VIII
Termination of Deferral by Company
VIU. The Company at any time in Its sole discretion may terminate the deferral of
payment of General Agent's Commissions under Article III. In the event that such
deferral is terminated by the Company, amounts of General Agent's Commissions
