LAST WILL AND TESTAMENT
OF
ELVERDA E. SHOVER
I, ELVERDA E. SHOVER, of the Township of East
Pennsboro, County of Cumberland, and State of Pennsylvania,
being of sound mind and memory, do hereby make, publish and
declare this to be my Last Will and Testament, hereby revoking
and making void any former wills or testamentary dispositions
heretofore made.
1.
I direct that all my just debts and funeral
expenses, including my gravemarker and all expenses of my
last illness, shall be paid from my residuary estate as soon
as practicable after my decease as a part of the expense of
the administration of my estate.
II.
I bequeath my automobiles, household and personal
effects, and other tangible personalty of like nature (not
including cash, securities or any business property), together
with any existing insurance thereon, to my husband, STEPHEN B.
SHOVER, if he survives me by thirty days. Should my husband,
Stephen B. Shover, not be living on the thirty-first day after
my death, I bequeath such tangible personalty and in~urance
thereon to such of my children as are living on the thirty-first
day following my death, to be divided among them by my executor
with due regard for their personal preferences in as nearly equal
shares as practical. Any such article allotted to a minor may, as
my executor thinks advisable, either be delivered to the minor or

any person to hold [or the minor, to be sold and the proceeds
paid to the guard ian as property d is tributable to the minor as
hereinafter provided in ITEM IV hereof.
II.
I devise and bequeath the residue of my estate of
every nature and wherever situate to CUMBERLAND COUNTY NATIONAL
BANK AND TRUST COMPANY, of New Cumberland, Pennsylvania, trustee
of a certain inter vivos revocable trust created by my husband,
STEPHEN B. SHOVER, d~1.J s~t'./)-, 1972, to have and to hold, IN
TRUST, for the uses and purposes and subject to the terms and
provisions thereof, including any alterations or amendments
thereto, or any other inter vivos trust which may hereafter be
substituted therefor.
III.
I appoint CUMBERLAND COUNTY NATIONAL BANK AND TRUST
COMPANY, of New Cumberland, Ppnnsylvania, guardian of any
property which passes, either under this will or otherwise, to
a minor and with respect to which I am authorized to appoint a
guardian and have not otherwise spec ifically done so, provided
that this appointment of a guardian shall not apply to property
distributable to a minor for whom I have otherwise made special
provision and provided further that this appointment of a
guardian shall not supersede the right of any fiduciary in
its discretion to distribute a share where possible to the minor
or to another for the minor's benefit. Such guardian shall have
the power to use principal as well as income from time to time
for the minor's support and education (including college educa-
tion, both graduate and undergraduate) without regard to his or

her parent's ability to provide for such support and education,
or to make payment for these purposes, without further respon-
sibility, to the minor or to the minor's parent or to any
person taking care of the minor.

All federal, state and other death taxes payable
because of my death, with respect to the property forming my
gross estate for tax purposes, whether or not passing under
this will, including any interest or penalty imposed in
connection with such tax, shall be considered a part of the
expense of the administration of my estate and shall be paid
out of the principal of my estate without apportionment or
right of reimbursement, provided that any taxes in my estate
on any portion of the in~er vivos revocable trust created by
my husband on S'Pp+-. (,- , 1972, may be paid from the assets
of that trust as provided therein.
VI.
My executor and guardian shall have the following
powers in addition to those vested in them by law and by other
provisions of my will, applicable to all property, whether
principal or income, including property held for minors,
exercisable without court approval, and effective until actual
distribution of all property:
A. To retain any or all of the assets of
my estate, real or personal, including stock of
my corporate fiduciary or of its parent holding
company, without regard to any principle of diver-
sification or risk.

B. To invest in all forms of property
including stocks, common trust funds and mortgagc
investment funds whether operated by my corporate
fiduciary or others, without restriction to invest-
ments authorized for Pennsylvania fiduciaries, as
they deem proper, without regard to any principle
of diversification or risk.
C. To sell at public or private sale, to
exchange, or to lease for any period of time, any
real or personal property and to give options for
sales, exchanges or leases, for such prices and
upon such terms or conditions as they deem proper.
D. To allocate receipts and expenses to
principal or income or partly to each as they
from time to time think proper.
E. To borrow from, or to sell to, the
Trustee under my husband's inter vivos trust
mentioned above, even though such Trustee may
be my executor.
F. To join with my husband, STEPHEN B.
SHOVER, or his personal representative in filing
a joint income tax return without requiring him
or his estate to indemnify my estate against
liability for the tax attributable to his income
and to consent to any gifts made by my husband
during my lifetime being treated as having been
made one-half by me for purposes of the federal
gif t tax law.

GENERAL INHERITANCE TAX INFORMATION
Unsatisfied liabilities incurred by the decedent prior to his/her death are deductible against his/her taxable
estate. In addition to debts incurred by the decedent or estate, other items ore cloimable including the cost of
administration, attorney fees, fiduciary fees, funeral and burial expenses including the cost of 0 burial lot, tombstone
or grave marker and other related burial expenses.
All debts being claimed against on estate are subject to the approval of the Register of Wills with whom the
Inheritance Tax Return is filed. Evidence.to support the decedent's or the estate's liability for the debts being
claimed should be attached to this schedule.
A family exemption may be claimed by 0 spouse of a decedent who died domiciled in Pennsylvenia. If there is
no spouse, or if the spouse has forfeited his/her rights, then any child of the decedent who is 0 member of the same
household con claim the exemption. In the event there is no such spouse or child, the exemption con be claimed by
a parent or parents who ore member" of the some household as the decedent. The family exemption is allaweble only

part, any or all of the following items: the expense of Settlor's last illness
and burial, including cost of gravemarker; her debts; her income taxes; the

j,tems may be paid directly by Trustee or the funds for their payment may be

BANK AND TRUST COMPANY of Ne\. Cumberland, Pennsylvania (herein-
after called Trustee),
WIT N E SSE T H:
FIRST: Settlor grants, assigns and sets over to
Trustee and its successors all of the property described in
Schedule A annexed hereto and said property, together with all
other property, real or personal, that may be added to the
trust during the lifetime of Settlor or be added to the trust
by the Wills of Settlor and his wife or otherwise shall be
held by Trustee, IN TRUST, upon the following terms.
SECOND: During the J.ifetime of Settlor, Trustee
shall pay the net income therefrom monthly to Settlor together
with so much of the principal that shall be requested hy
Settlor or as Trustee in its discretion from time to time
thinks advisable for the support of Settlor or to maintain him
and his wife, ELVERDA E. SHOVER, in the standard of living to
which they were accustomed at the creation of the trust. If
Settlor is, in the opinion of Trustee, disabled by reason of
age, illness, or any other cause, Trustee shall apply for the
benefit of Settlor or his \.ife, ELVERDA E. SHOVER, so much of
the net income and principal of this trust as Trustee may from
time to time think advisable for the support of Settlor and his
\.ife, ELVERDA E. SHOVER, to maintain them in the standard of

THIRD: Upon the dcath of Settlor, Trustee shall
hold the trust estate in further trust as follows:
A. If Set tlor I s \"ife, ELVERDA E. SHOVER, is
living on the thirty-first day following Settlor's death and
if the federal estate tax falling due because of Settlor's
death will be reduced by making this gift for her benefit, then
upon Settlor's death, Trustee shall set aside in a separate
trust under this Article A as much of the principal as shall be
exactly sufficient to reduce such tax to the lowest possible
figure including full use of the federal estate tax specific
exemption and of any credits available to reduce such tax. A
chief object of this Article A is to secure the full benefit of
the marital deduction allowable for federal estate tax purposes
or any similar benefit available under the federal estate tax
law in effect \"hen Settlor dies. Accordingly, Settlor directs
that:
I. If the marital deduction, or any similar benefit,
is allowable with respcct to any property, including property
held by entireties, which Settlor's wife has received prior to
Settlor's death or at Settlor's death will receive otherwise
than pursuant to this Article A, the value of such property
shall be taken into consideration in calculating the size of
the gift under this Article A.
2. No property ineligible for the marital deduction,
or any similar benefit, shall be distributed to this trust
pursuant to this Article A.
3. Either cash or investments or both may be allocated

to the gift under this Articlc A.
4. Any property allocated under this Article ^ in
kind shall be valued at the value at which it is finally
included in Settlor's gross estate for federal estate tax
purposes, provided that the aggregate market value thereof
on the date of allocation (plus the value as finally deter-
mined for federal estate tax purposes of all other property
qualifying for the marital deduction) is at least equal to the
dollar value of the marital deduction as finally determined for
federal estate tax purposes.
5. Settlor's wife, ELVERDA E. SHOVER, shall be paid
the entire net income in such monthly installments by Trustee.
6. Settlor's wife, ELVERDA E. SHOVER, is hereby
given a pO\~er to appoint by will to her estate or to others,
in such manner and for such estates as she may appoint,
exercisable only by specific reference by her alone and in all
events over the principal of this trust.
7. As much of the principal of this trust as Trustee
may from time to time think advisable for the support of
Settlor's wife or during illness or emergency shall be either
paid to her or else applied directly for her benefit by
Trustee.
8. Settlor's wife, ELVERDA E. SHOVER, shall have the
power to withdraw such amounts from principal as she shall desire
from time to time including the entire exhaustion of principal,
such withdrawals to be evidenced by an instrumcnt in writing
signed by her am delivered to Trustee.
9. If Settlor's I.}ife, ELVERDA E. SHOVER, shall fail,
either Hholly or in part, to exercise ('ff('ctive1 y the pO\"er of

part of, the principal of this trust passing under Article B.
10. If any provision of this trust shall result in
depriving Settlor's estate of the marital deduction for
federal estate tax purposes for this Article A, such provision
is hereby revoked and this trust shall be read as if any portion
thereof inconsistent with allowance of the marital deduction
for federal estate tax purposes for this Article A is null and
void.
B. Trustee shall hold all of the principal not
subject to Item III A hereof as a separate trust under this
Item III B for the following uses and purposes:
I. Trustee shall pay the net income therefrom to
Settlor's wife, ELVERDA E. SHOVER, for her life, in such
periodic installments as Trustee shall find convenient, but at
least as often as quarter-annually.
2. As much of the principal of this trust as the
Trustee may from time to time think advisable for the support
of Settlor's wife, ELVERDA E. SHOVER, to maintain her in the
station of life to which she is accustomed at Settlor's death
and after taking into consideration her other readily available
assets and ffiurces of income, or for the support and education
(including college education, graduate and undergraduate) of any
children of Settlor who are dependent on Settlor's wife,
ELVERDA E. SHOVER, for support or educational assistance after
taking into consideration their other readily available assets
and sources of income, or during illness or emergency, shall be
either paid to her or them or any of them or else be applied
directly for her or their or any of their benefit by the
Trustee; provided, however, that insofar as practical no prin-
cipal of this trust shall be paid to Settlor's wife, ELVERDA E.

SHOVER, or applied for her bencfit as long as uny principal
rcmains in the marital deduction trust created in Item III ^
hereof. Any such distributions hereundcr need not be equal.
C. Trustee may apply the net income of this trust
for support of Settlor's wife, ~.VERDA E. SHOVER, should she
by reason of age, illness, or any other cause, in the opinion
of Trustee be incapable of disbursing it.
D. In addition to the above provisions, Settlor's
wife, ELVERDA E. SHOVER, shall have the power to direct the
trustee to pay to her or to apply out of principal in each
year including the year of Settlor's death and the year of her
death an amount not in excess of the greater of Five Thousand
($5,000) Dollars or five (5%) percent of the then aggregate
value of the trust principal. This pO\~er is noncumulative and
can be exercised only by an instrument in writing intended to
take effect during her life, signed by Settlor's wife, ELVERDA
E. SHOVER, and delivered to the corporate trustee.
E. Upon the death of Settlor's wife, ELVERDA E.
SHOVER, or upon Settlor's death, if Settlor's wife, ELVERDA E.
SHOVER, predeceases Settlor, the then-remaining principal and
any accumulated or undistributed income shall be distributed
to Settlor's then living issue, per stirpes, without regard to
earlier distributions of principal to issue under paragraph B
of this Item.
FOURTH: Should any person entitled to distribution
from this trust be, in the opinion of the Trustee, incapable of
disbursing it because of age, illness, or any other cause, and
should it be impossible or inadvisable in the opinion of the
Trustee for such share to be al,,'arded to such person or distributed

to another for such person's benefit, the share of such person
shall be held, IN FURTIIER TRUST, and thc Trustee shall
accumulate the incomc and shall apply from time to time such
portions of income, accumulated income, Bnd principal as it
thinks proper for that person's support and education (including
college education, both graduate and undergraduate) without
regard to his or her parent's ability to provide for such
support or education, or to make payment for these purposes,
without further responsibility, to the beneficiary or to the
beneficiary's parent, or to any person taking care of the bene-
ficiary. Any principal or income not so applied shall be
distributed to the beneficiary when he or she becomes of age or
competent, or to the personal representative of the beneficiary's
estate in case of death during minority or before becoming
competent.
FIFTH: The interests of the beneficiaries hereunder
shall not be subject to anticipation or to voluntary or invol-
untary alienation.
SIXTH: Trustee shall have the power, but not the duty,
to make such expenditures out of the principal allocated to the
trust in Article B as it, in its uncontrolled discretion, may
consider desirable in order to facilitate the settlement of
Settlor's estate and also in the event Settlor's wife survives
him, in order to facilitate the settlement of her estate, pro-
vided that in no event in settlement of Settlor's estate shall
any payment be made out of the assets allocable to the trust in
Article A. In exercising such power, Trustee may pay, in whole
or in part, any or all of the following items: the expenses of
Settlor's or Settlor's wife's last illness and burial, including
the cost of gravemarker; his or her debts; his or her income

taxes; thc dcath taxes on any or all property includcd in his
or her gross cstatc for tax purposes; and all other itcms in
conncction with thc scttlcmcnt or his or her cstate. Any such
itcms may be paid dircctly by Trustec or the funds for their
paymcnt may be transferred by Trustee to Settlor's or Settlor's
wife's executor or administrator; and neither such executor or
administrator nor any beneficiary of Settlor's or Settlor's
wife's estate s~all be required to reimburse Trustee for any
funds so paid or transferred. All such death taxes on present
or future interests shall. be paid at such time or times as
Trustee may think proper, rcgardless of \'ihether such taxes are
then due, provided that any postponed taxes on future interests
in the residuary trust under ARTICLE IlI-B hereof shall be
charged against the principal of the particular share with
respec t to \~hich the taxes are imposed.
SEVENTH: Trustee shall have the following powers in
addition to those vested in it by law and by other provisions
of this trus~, applicable to all property, principal and income,
including property held for minors exercisable without court
approval, and effective until actual distribution of all
property:
A. To retain any or all of the assets of this trust,
real or personal, including stock of the corporate trustee or
of any holding company mming or controlling stock of the
corporate trustee.
B. To invcst in all forms of property, including
stock, common trust funds and mortgage investmcnt funds whether
operated by Trustee or by others, without restriction to invest-
mcnts authorized for Pennsylvania fiduciaries, as it deems
proper, without regard to any principle of diversification or
risk.

C. To sell at public or private sale, to exchange,
or to lease [oJ: any peJ:iod of time, any real or personal
property, and to give options [or sales, exchanges OJ: leases,
for such prices and upon such terms or conditions as it deems
proper.
D. To allocate receipts and expenses to principal OJ:
income or partly to each as Trustee from time to time thinks
proper in its sole discretion, but in no event shall the income
of the marital deduction trust be reduced by the exercise of
this pO\"er.
E. To compromise any claim or controversy.
F. To distribute in cash or kind or partly to each.
G. To hold property in its name without designation
of any fiduciary capacity or in the name of a nominee or
unregistered.
EIGHTH: Trustee shall have no duty to pay any
premiums on the life insurance policies subject hereto and the
companies issuing such policies shall have no responsibility
to see to the fulfillment of this trust or the application of
the proceeds of such policies and Trustee shall have no duty
to bring suit upon any of the life insurance policies subject
hereto unless it holds funds hereunder out of which it may be
indemnified against all costs, legal fees and other expenses of
suit.
NINTI1: Settlor reserves to himself the following
rights (each of "ihich may be exercised by Settlor alone \'ihenever
and as often as Settlor may wish):
A. All rights now or hereafter vested in Settlor as
the owner and the insured under the life insurance policies
subject hereto, including, but not limited to, the rights to

LAST WILL AND TESTAMENT

I, ELVERDA E. ffiIOVER, of the Township of East
Pennsboro, County of Cumberland, and State of Pennsylvania,
being of sound mind and memory, do hereby make, publish and
dec1are this to be my Last Will and Testament, hereby revoking
and making void any former wills or testamentary dispositions
heretofore made.
I.
I direct that all my just debts and funeral
expenses, including my gravemarker and all expenses of my
last illness, shall be paid from my residuary estate as SOon
as practicable after my decease as a part of the expense of
the administration of my estate.
II.
I bequeath my automobiles, household and perSonal
effects, and other tangible personalty of like nature (not
including cash, securities or 'any business property), together
with any existing insu~ance thereon, to my husband, STEPHEN B.
SHOVER, if he survives me by thirty days. Should my husband,
Stephen B. Shover, not be living on the thirty-first day after
my death, I bequeath such tangible personalty and in~urance
thereon to such of my children as are liVing on the thirty-first
day following my death, to be divided among them by my executor
with due regard for their personal preferences in as nearly equal
shares as practical. Any such article allotted to a minor may, as
my executor thinks advisable, either be delivered to the minor or

any person to hold for the minor, to be sold and the proceeds
paid to the guardian as property distributable to the minor as

II.
I devise and bequeath the residue of my estate or
every nature and wherever situate to CUMBERLAND COUNTY NATIONAL
BANK AND TRUST COMPANY, of New Cumberland, Pennsylvania, trustee
of a certain inter vivos revocable trust created by my husband,
STEPHEN B. . SHOVER, J....iod '/"1,, 1972, to have and to hold, IN
TRUST, for the uses and purposes and subject to the terms and
provisions thereof, including any alterations or amendments
thereto, or any other inter vivos trust which may hereafter he
substituted therefor.
III.
I appoint CUMBERLAND COUNTY NATIONAL BANK AND TRUST
COMPANY, of New CUmberland, Pennsylvania, guardian of any
property which passes, either under this will or otherwise, to
a minor and with respect to which I am authorized to appoint a
guardian and have not otherwise specifically done so, provided
that this appointment of a guardian shall not apply to property
distributable to a minor for whom I have otherwise made special
provision and provided further that this appointment of a
guardian shall not supersede the right of any fiduciary in
its discretion to distribute a share where Possible to the minor
or to another for the minor's benefit. Such guardian shall have
the power to use principal as well as income from time to time
for the minor's support and education (including COllege educa-
tion, both graduate and undergraduate) without regard to his or

her parent's ability to provide for such support and education,
or to make payment for these purposes, withou~ further respon-
sibility, to the minor or to the minor's parent or to any
person taking care of the minor.

All federal, state and other death taxes payable
because of my death, with respect to the property forming my
gross estate for tax purposes, whether or not passing under
this will, .including any interest or penalty imposed in
connection with such tax, shall be considered a part of the
expense of the administration of my estate and shall be paid
out of the principal of my estate without apportionment or
right of reimbursement, provided that any taxes in my estate
on any portion of the inter vivos revocable trust created by

VI.
My executor and guardian shall have the following
powers in addition to those vested in them by law and by other

my estate, real or personal, including stock of
my corporate fiduciary or of its parent holding
