A. During the lifetime of my husband:
1. The entire net income shall be paid to him at
least quarterly;
2. As much of the principal as the Trustees may
deem advisable for the welfare, comfort and support of my
husband shall be either paid to him or applied directly for his
benefit by Trustees.
B. Upon my husband's death or if he shall have pre-
deceased me or died on or before the sixtieth day following
my death, said Trustees shall maintain the principal of 'or
remaining principal of this trust and any other funds which
may be added thereto from any source, IN TRUST, for the benefit
of the following named beneficiaries: NORIE JANE CARR, JOHN
LANSHE CARR, ISABEL L. CARR, MARY KATHYRN CARR and HELEN ANNE
CARR. Trustees shall, in instituting said trust, divide the
principal thereof into five separate and equal shares, one
for each named beneficiary to be administered as a separate
trust for each named beneficiary.
C. Trustees shall payor apply so much of the income
and so much of the principal of the separate trusts held for
each such beneficiary as they, in their sole discretion, deem
ne?essary for his or her welfare, comfort, support and education,
such education to include, but not be limited to undergraduate,
graduate and professional schooling so long as the beneficiary
maintains the scholastic standards of the institution or institutions
attended,

his or her twenty-fifth birthday, Trustees shall compute the
then remaining principal and any undistributed income of the
trust held for his or her benefit and shall distribute the same
to him or her absolutely at that time.

E. In the event that any named beneficiary shall
have predeceased the institution of such trust or died during
the term of the trust established for his or her benefit, the
principal of such beneficiary's trust shall be paid to such
beneficiary's issue then living, per stirpes; if none, the
same shall be paid to the survivor or survivors of such named
'beneficiaries in equal shares to be added to and administered
as a part of the separate trusts held for their benefit or
distributed outright to those who have attained the age of
twenty-five.
ITEM IV. If any person entitled to share in the
trusts created herein be a minor at the time of distribution
to him or her, such shares shall be held for such person by
the CUY~ERLAND COUNTY NATIONAL BANK AND TRUST COMPANY of
New Cumberland, Pennsylvania as Guardian with power to:
A. Invest such property and all accumulated income; and
B. Use income and principal for such person's
maintenance and education, either directly or by payment to any
person selected to disburse it, whose receipt shall be a
complete acquittance therefor. All unexpended principal and
income shall be paid to such person upon attaining their majority.
ITEM V. In addition to the powers given by law,
Trustees shall have the following discretionary powers applicable
to all real and personal property held by them, including
property held for minors, effective without court order until
actual distribution:
A, To retain any property received by them;
B, To invest in all forms of property without restriction
to investments authori~ed for Trustees;
C. To operate any business, cause or join in any
incorporation, partnership, recapitalization, merger, reorganization

or voting trust plan and to delegate authority ~Iith respect

D, To hold investments in the name of a nominee;

purchasers or lessees to see to the application of the consideration
and to give options for those purposes without obligation to

character given such items by law; to distribute in cash or kind
or partly in each at valuations fixed by them;
H, To borrow money, including the right to borrow from
any corporate , trustee and to mortgage or pledge as security or
to hold its own stock if a corporate trustee;
I, To exercise and dispose of warrants;
J. To loan to and to buy property from the estate,
even if Trustees are also acting as Executors or Administrators
thereof;
K. To apply income or principal to which any beneficiary
is entitled, directly for his or her comfort, maintenance and
support should they deem such beneficiary incapable of receiving
the same by reason of age, illness, infirmity or incapacity, or
to pay the same to such person as they select to disburse it,

intervention of any guardian;

such beneficiary exceed the amount otherwise payable thereunder
and encroaches upon principal or income which would otherwise
accrue to ,another person;
N, To advance funds without reimbursement for the
payment of estate settlement expenses and all taxes by reason
of my death, excepting, however, that benefits from a qualified
employee plan received by Trustees shall not be used for
paying of any portion of such costs;
o. All principal and income shall, until actual
distribution to the beneficiary, be free of the debts, contracts,
alienations and anticipations of any beneficiary and the same
may not be liable for any levy, attachment, execution or
sequestration while in the hands of the Trustees.
ITEM VI. The initial Trustees of the trusts created
herein shall be WILLIAM F. CARR and the CUMBERLAND COUNTY NATIONAL
BANK AND TRUST COMPANY of New Cumberland, Pennsylvania. Upon
the death or incapacity of WILLIAM F. CARR, the CUMBERLAND
COUNTY NATIONAL BANK AND TRUST COMPANY of New Cumberland,
Pennsylvania shall continue to serve as sole Trustee without
the appointment of a Co-Trustee to fill such vacancy. With
respect to the discretionary powers given to my Trustees in
the trusts created herein to distribute amounts of principal,

incapacity, that WILLIAM p, CARR, shall cease to act as Trustee
hereunder, he shall solely determine the exercise of such
discretionary powers and the amount' or amounts to be distributed
pursuant to the exercise of such discretionary powers and my
Co-Trustee, the CUMBERLAND COUNTY NATIONAL BANK AND TRUST COMPANY,
shall not participate in any such decisions. If, as aforesaid,
WILLIAM F.' CARR should, by reason of death or incapacity, cease
to act as Trustee hereunder, then my Co-Trustee, the CUMBERLAND

such powers.
ITEM VII. I appoint my husband, JOHN L. LANSHE, as
Executor of this my Last Will and Testament. Should my husband
fail to qualify or cease to act as Executor, I appoint WILLIAM
F. CARR as Executor of this my Last Will and Testament. Should
WILLIAM P. CARR fail to qualify or cease to act as Executor,
I appoint JOHN LANSHE CARR as Executor of this my Last Will and
Testament. Should JOHN LANSHE CARR fail to qualify or cease to
act as Executor, I appoint the CUMBERLAND COUNTY NATIONAL BANK
AND TRUST COMPANY of New Cumberland, Pennsylvania as Executor of
this my Last Will and Testament, No bond shall be required by
my Trustee or personal representative in any jurisdiction.
ITEM VIII. In addition to the powers given them by
law, my Executor and Contingent Executors, in the administration
of the assets of my estate, while administered by them in such
capacity, shall have the following discretionary powers applicable
to all assets held by them:
A. To retain property received by them and to invest
in all forms of property without restriction to investments;
B. To operate any business, corporation, partnership,
or enter into any recapitalization, merger, reorganization or
voting trust plan and to delegate authority with respect thereto

A. During the lifetime of my husband:

principal thereof into five separate and equal shares, one
for each named beneficiary to be administered as a separate
trust for each named beneficiary.
c. Trustees shall payor apply so much of the income
and so much of the principal of the separate trusts held for
each such beneficiary as they, in their sole discretion, deem
necessary for his or her welfare, comfort, support and education,
such education to include, but not be limited to undergraduate,
graduate and professional schooling so long as the beneficiary
maintains the scholastic standards of the institution or institutions
attended.
D. when each such beneficiary shall have attained
his or her twenty-fifth birthday, Trustees shall compute the
then remaining principal and any undistributed income of the
trust held for his or her benefit and shall distribute the same
to him or her absolutely at that time.

E. In the event that any named beneficiary shall,
have predeceased the institution of such trust or died during
the term of the trust established for his or her benefit, the
principal of such beneficiary's trust shall be paid to such
beneficiary's issue then living, per stirpes; if none, the
same shall be paid to the survivor or survivors of such named
beneficiaries in equal shares to be added to and administered
as a part of the separate trusts held for their benefit or
distributed outright to those who have attained the age of
twenty-five.
ITEM IV. If any person entitled to share in the
trusts created herein be a minor at the time of distribution
to him or her, such shares shall be held for such person by
the CU1~ERLAND COUNTY NATIONAL BANK AND TRUST COMPANY of
New Cumberland, Pennsylvania as Guardian with power to:
A. Invest ,such property and all accumulated income; and
B. Use income and principal for such person's
maintenance and education, either directly or by payment to any
person selected to disburse it, whose receipt shall be a
complete acquittance therefor. All unexpended principal and
income shall be paid to such person upon attaining their majority.
