COMPLAINT
Now come the Plaintiffs, Keith Killian and Linda Killian, by and through
their attorney, H. Anthony Adams, Esquire, and set forth the following:
1.
Plaintiffs are Keith Killian and Linda Killian, adult individuals, who reside at
136 Cherry Grove Road, Shippensburg, Cumberland County, Pennsylvania.
2.
Defendant is Associates Relocation Management Company, Inc., a
corporation with an office located at P.O. Box 660237, Dallas, Texas 75255.
3.
On or about September 13, 1996, the Plaintiffs and Defendant entered
into an agreement of sale for the sale of real estate.
4.
Defendant did on or about October 31, 1996 did convey the property to
the Plaintiffs.

(hcrcinal1cr callcd "Gundcr") was a licenscd Rcal Estatc Brokcr and was thc Brokcr of
rccord for ERA.
4. At alltimcs mcntioncd in Killian's original Complaint, Dcbra Shaffer was a
liccnscd Rcal Estatc Agcnt cmploycd by ERA working in its Chambersburg office.
5. At all timcs mentioned in Killian's original Complaint, Samuel R. Shaffer, the
husband of Debra Shaffer, was an indcpendent contractor doing business as Shaffer
General Contractors from his home addrcss of 509 Park Circle, Chambersburg, PA
17201.
6. At all times mentioned in Killian's original Complaint, Associates is a
relocation company and had been hired by the federal government to help in the
relocation of federal employees following the closure of the Letterkenny Depot.
7. ERA through, Debra Shaffer acted as Associates selling agent for the sale of a
properly to Killian.
8. After being informed that the roof of the property being sold needed to be
repaired and/or replaced, Associates instructed ERA and Debra Shaffer to solicit bids for
the replacement of the roof from three reputable roofing contractors.
9. Associates was given three bids and informed by ERA and Shaffer that the
lowest responsible bidder was Shaffer's General Contractors.
10. William Shaffer d/b/a Shaffer General Contractors was selected to replace the
roof.
I 1. Prior to October 30, 1996, al1er removing the former roof, installing the new
roof and cleaning the area, William Shaffer was paid $3,700.00 by Associates.
12. At all times mentioned in Killian's original Complaint, ERA through Debra
Shaffer knew or should have known that William Shaffer was not a qualified roofer.
COUNT I - WILLIAM SHAFFER - BREACH OF CONTRACT. WARRANTY
13. William Shaffcr d/b/a Shaffcr Gcneral Contractors was an indcpcndcnt
contractor and did not pcrfonn his work undcr thc supcrvision of Associatcs.
14. William Shaffcr warrantcd the work he performed on thc roof and agrced to
extcnd thc warranty to Killian, thc purchasers of the property, and to implicitly hold
Associatcs harmless for the work he pcrformed on the property.
15. William Shaffer was notified by Killian subscquent to their purchase of the
property that the roof work performed by William Shaffer nceded repair.
16. The roof replacement performed on the property by William Shaffer was not
performed in a workman-like manner.
17. William Shaffer has failed to warrant the work he performed on the property
and hold Associates harmless for the same.
18. Associates has been forced to expend time and money, including attorney fees
and costs, defending this and a former action.
WHEREFORE, Associates demands a judgment against William Shaffer for all sums
recovered by plaintiff from Associates as Defendant, together with costs of this action
including reasonable attorney fees.
COUNT II - WILLIAM SHAFFER - FRAUD & MISREPRESENT A TION
19. Associates hereby incorporates by reference paragraphs 1-18 as though they
were more fully set forth herein.
20. William Shaffer held himself out to the public as a general contractor,
qualified in roof repair.
21. William Shaffer knew that he was not so qualified and misrepresented to
Associates through ERA his qualifications.
22. If William Shaffer had not misrepresented his qualifications, Associates
would not have, through ERA, utilized the services and materials sold by William
Shaffer.

23. The misrcprescntation of William Shaffer of his qualifications and the
subsequent inferior work pcrfonned has causcd damage to the property Associates sold to
Killian and damage to Associates.
WHEREFORE, Associates dcmands judgment in its favor against William
Shaffer based on his misrepresentation for all slims recovcrcd by plaintiff against
Associates as defendant.
COUNT III - WILLIAM SHAFFER- VIOLATION OF THE PENNSYLVANIA
UNFAIR TRADE PRACTICES AND CONSUMER PROTECTION LAW
24. Associates hereby incorporates by reference paragraphs 1-23 as though they
were more fully set forth herein
25. Pursuant to the Unfair and Trade Practices and Consumer Protection Law, 73
P.S. Sections 201-1 et. seq., ("UTPCPL"), Associates falls within the definition of Buyer.
26. Pursuant to the UTPCPL, William Shaffer falls within the definition of Seller.
27. William Shaffer concealed the fact that he was not skilled as a roofing
contractor and misrepresented his credentials to Associates.
28. The fact that William Shaffer was not skilled in the replacement of a roof and
the materials to be sold and used in such a replacement, created a serious and dangerous
condition which presented a hazard to the property of Associates and Killian the known
purchasers of the property.
30. As a result of William Shaffer's fraud and misrepresentation as to the goods
and services he was selling to Associates, the property has sustained damages in an
amount no greater than $5,100.00.
31. As a result of William Shaffer's failure to honor the warranty as to the goods
and services he sold to Associates, the property has sustained damages in an amount no
greater than $5, I 00.00

32. Thc UTPCPL providcs in part that a Scllcr such as William Shaffcr who has
committcd fraud and/or misrcprcsentation and/or fails to honor a warranty shall bc liablc
for treble damages, thus Associatcs is entitled to damagcs in an amount not to cxceed
$15,300.00.
33. Thc UTPCPL further provides that Associates IS cntitled to rcasonable
attorncy's fees and costs.
WHEREFORE Associates demands a judgment against William Shaffer in the
amount of $15,300.00 together with costs and reasonable attorney fees.
COUNT IV- DEBRA SHAFFER - PROFESSIONAL NEGLIGENCE
34. Associates hereby incorporates by reference paragraphs 1-33 as though they
were more fully set forth herein.
35. Debra Shaffer at all times relevant to this action was related to William
Shaffer.
36. Debra Shaffer knew or should have known that William Shaffer was not
qualified as a roofing contractor and that he personally did not have the knowledge,
expertise or man-power to replace and repair the roof of the property owned by
Associates.
37. Debra Shaffer had a duty as a real estate agent for Associates to conduct
herself in a manner to serve the best interests of Associates in the sale of the property.
38. Debra Shaffer advised Associates of the need to repair and/or replace the roof
on the property and agreed to solicit three bids from reputable roofing contractors.
39. Debra Shaffer selected three contractors and requested bids for the roof
replacement and repair.
40. Debra Shaffer intentionally or negligently selected her relative, William
Shaffer d/b/a Shaffer General Contractors and represented him as a reputable contractor
knowledgeable in the field of roof replacement and roof repair.

47. Third Party Plaintiff's Complaint fails to state in any count against Answering
Defendants a cause of action against Answering Defendants, ERA Penn 1st Realty, Inc., Paul
N. Gunder and/ or Debra Shaffer.
48. Third Party Plaintiff is estopped from claiming that they relied upon the
Answering Defendants as they participated and approved the selection of said Samuel R.
Shaffer d/b/a Shaffer General Contractors with equal knowledge of Answering
Defendants.
49, Any reliance by Third Party Plaintiff relative to the selection of the roofing
contractor was not based upon any improper or negligent actions or inactions of
Answering Defendants.
50. Answering Defendants did not know, nor could they have known in the
exercise of reasonable care and performance of their duty as real estate licensees, that the
roofing contractor selected was not able to properly perform the subject contract.

51. At all times relevant to the events complained of, Answering Defendants
acted reasonably to determine the conditions known or knowable by them pursuant to
their expertise in marketing real property.
52. Answering Defendants had no legal duty other than to solicit three (3) bids
from roofing contractors and submit same to the Third Party Plaintiff for consideration and
approval.
53. Answering Defendants did nut have actual knowledge of any fact or make
any representation concerning the qualifications of the roofing contractor selected.
54. Answering Defendants believe and thereforc aver that the Plaintiffs have
failed to attempt to mitigate their damages.
55. Answering Defendants believe and thereforc aver that the Plaintiffs have
failed to permit Defendant and/or others from repairing and replacing the roof at
absolutely no cost to Plaintiffs,
WHEREFORE, Answering Defendants demand that judgment be entered in their
favor as against Defendant/Third Party Plaintiff.
