WHEREAS. the parties hereto did on the 27th day of April . 1998,
enter into an agreement (he'einef.er the "Contract.'), wherein and whereby said
Contractor undertook and agre50 to finish a:l materials, laber, equipment, etc" to
complete the Foundation Construction
NOW, THE:REFORE, the Contractor for itself and any and ail subcontractors,
materialmen and parties aClin~ for, th'ough or under the Contraclor or for. through or
under any of them, does covenant ar,d agree that it wiil not at any time suffer or permit
any mechanics' lien or any other lien, attachment cr other encumbrance, under any
laws, regulations or crders, Federal, State or local. or otherwise, by any person or
persons whomsoever, to be put or remain en ~he building or premises. into or upon
whiCh any work is done or labor or materiais are furnished this Contract, for such work,
labor or material, or by reason of any other claim or demand against the Contractor,
and the Contractor, will not put any materral on said building to which the Contractor
has not obtained absolute tille; and the Contractors agrees. further, that any
mechanics' liens, materialmen's lien or any olher lien, allachment or other
encumbrance or claim of a third part, hcwever arising (whether throu9h the Conlraclo~s
or Owne~s or any olher person. action or inaction, end whether valid or invalid), Llntil it
Is removed shall preclude any and all claim or demand for any payment whatsoever
under or by virtue of the Contract, and. in the event Ihat same is not removed, the
Owner at its discretion may remove same at the expense (including legal fees) of lhe
Contractor, and without regard to Ihe validity cf invalidity thereof,
