JAMES HUTCHISON t/d/b/a HUTCH CONSTRUCTION, Defendant CIVIL ACTION - LAW ANSWER TO COMPLAIN-I' AND NEW MATTER AND NOW, comes the Defendant, James Hutchison t/d/b/a Hutch Construction, by and through his counsel, Cunningham & Chernicoff, P.c., and files his Answer to the Complaint filed by R. F. Fager Company, and in support thereof avers as follows: " ji I' ,I I 1. Admi tted. 2. Admi tted in part and denied in part. It is admitted that James Hutchison is an adult individual. It is denied that James Hutchison trades and does business as HutCh Construction. By way of further reply, HutCh Construction ceased business operations on December 31, 1997. 3. Denied. It is denied that at all times relevant Defendant conducted business under the name Hutch Construction. By way of further reply, on December 31, 1997, !: I: ji i: , Jamos Hutchison ceased doing businoss as Hutch Construction, By way of further reply, on or about January 2, 1998, Articles of Corporation were filed on behalf of Hutch Construction, Inc. I I I II I I I 4. Admitted. 5. Admitted in part and denied in part. It is admitted that James Hutchison is a contractor. It is denied that James Hutchison t/d/b/a Hutch Construction, at all times relevant, was a contractor. 6. Admitted in part and denied in part. It is admitted that James Hutchison t/d/b/a Hutch Construction executed a credit application with Plaintiff on or about April 30, 1974. It is denied that Hutch Construction is still in business. 7. Denied. It is denied that between April 1, 1998 and October 31, 1998, various products, goods, supplies and materials (hereinafter collectively referred to as "Products") were ordered by Defendant from Plaintiff. It is further denied that Plaintiff sold and provided the products to the named Defendant. As to the balance of the averments set forth 3 in Paragraph 7, Defendant is without knowledge sufficient to form a belief and strict proof of the same, if relevant, is demanded at the time of trial. 8. The Defendant is without knowledge sufficient to form belief as to the truth of the averments set forth in Paragraph 8 of the Plaintiff's Complaint and strict proof of the same, if relevant, is demanded at the time of trial. 9. The Defendant is without knowledge sufficient to form belief as to the truth of the averments set forth in Paragraph 9 of the Plaintiff's complaint and strict proof of the same, if relevant, is demanded at the time of trial. By way of further reply, it is specifically denied that between April 1, 1998 and October 31, 1998, Plaintiff sold any goods to the named Defendant. 10. Admitted in part and denied in part. It is admitted that Plaintiff has submitted to the named Defendant statements of account which set forth alleged debts and credits for transactions. It is denied that the statements of accounts submitted by Plaintiff to the named Defendant accurately sets forth all debits and credits for transactions with Defendant. 4 Ii 'I " " , ;1 il 13. WHEREFORE, Answering Defendant, James Hutchison t/d/b/a Hutch Construction respectfully requests that this Honorable Court enter judgment in its favor and against the Plaintiff, and dismiss the Plaintiff's Complaint with prejudice, and further award Defendant all such other relief as is proper and I ~ just. On or about January 2, 1998, CO-Defendant, Hutch II ': Construction, Inc., filed Articles of Incorporation with the Pennsylvania Corporation Bureau which caused a corporation to be formed known as "Hutch Construction, Inc." 18. On or about January 2, 1998, Co-D~fendant, James Hutchison, as President and Indivi.dually, contacted the Plaintiff to specifically inform Plaintiff that the sole proprietorship known as "Hutch Construction", was no longer in business and that the corporation known as "Hutch Construction, Inc.", had now been formed. 19. After January 2, 1998 any purchase orders placed with Plaintiff were placed by Hutch Construction, Inc., as evidenced by the purchase orders which are attached hereto and are collectively marked as Exhibit "A". 20. Plaintiff knew or should have known that Hutch Construction, Inc. was a corporation because all written communications from Hutch Construction, Inc. between January 2, 1998 and October 31, 1998 were sent on corporation letterhead. A copy of the corporation letterhead is attached hereto and marked as Exhibit "B". 7 Ii I' I! ,I I 'I I[ I I I 21. By virtue of the incorporation of Co-Defendant, Hutch construction, Inc., Co-Defendant James Hutchison, Jr., was not personally responsible for any obligations incurred by Hutch Construction Company, Inc. 22. Co-Defendant, James Hutchison, Individually, did not execute any credit application or personal guarantees on behalf of Hutch construction, Inc. 23. Notwithstanding the prior notification to Plaintiff concerning the incorporation of Hutch Construction, Inc., Plaintiff continued to erroneously request payment from Co- Defendant James Hutchison and James Hutchison tjdjbja Hutch Construction for alleged obligations incurred by Co-Defendant, Hutch Construction, Inc. 24. Hutchison, Jr, co.defendant herein, on April 30, J 974, credit was established for James W, Hutchison, Jr, in his individual capacity and trading as Hutch Construction, The mere formation of a corporation known as Hutch Construction, Jnc, does not eliminate lhe liability of Defendant HU1ehison, individually, 22, Admitted with clarification, It is admitted that James W, Hutchison, Jr, co- defendant did not execute a credit application on behalf of Hutch Construction, Inc, or execute personal guarantees on behalf of Hutch Construction, Inc, However, James W, Hutchison, Jr, did execute a credit application in 1974 on his own behalftldlb/a Hutch Construction, Plaintiff extended credit to James W. If, in fact, purchase orders for Hutch Construction, lnc, or correspondence between the parties on Hutch Construction, lnc, stationery exists, it is irrelevant to this maller, WHEREFORE, Plaintiff, R.
