'18.6854 CIVIL AND NOW, comes the Plainliff: Ileahh Search, by and through its attorneys, Hartman & Miller, P.C., and avers as follows: COMPLAINT I. TIle Plaintiff, Health Search, is a Pennsylvania company with a principle place of business located at 55 McAllister Church Road, Carlisle, Cumberland Counly, Pennsylvania. 2. Defendant, Select Medical Corporation. is believed to be a business corporation organized and exisling pursuant to the laws of the Slate of Delaware with a principal place of business located at 4718 Old Gettysburg Road, Mechanicsburg. Cumberland County, Pennsylvania and is believed to be the parent and/or affiliate corporal ion 10 Derendant RehabSolutions. 3. Defendant, RehabSolutions, has a principal place of business located at 952 Seton Drive, Cumberland, Maryland, and is believed to be a subsidiary and/or affiliate of Defendant Select Medical Corporation. 4. Health Search is a national placement firm in the business of locating and referring applicants for employment positions within the healthcare industry. 5. Derendant RehabSolutions is a healthcare entity providing occupational, physical and speech therapy sel'\'ices. 6. Since 1993, Health Search and RehabSolutions have had a working relationship whereby lIeahh Seareh would refer suilahle caudidnlcs for employmenl wilh RehnhSolutiuns III ils vllrious facilities ill Maryland, Pennsylvania nlld Wesl Virginia. 7. On May 7, 199711eahh Search and RehahSolulionscxecllted a cOlllract in Carlisle, ('ennsylvania, confirmillg Ihe terms of the referral agreement. A true and correcl copy of Ihe contract, entitled "Recruitment Order", is attnched hereto as Exhibil"A" in compliallce with I'a. R.C.I'. 1019(h). 8. Under the terms of the agreement, RehabSollllions agreed to pay a service fee 01'25% of the starting salary of a candidate who was hired after being referred by Ileahh Search. 9. In Ihe spring of 1998 RehabSolutions was looking for a physical therapist 10 fill an available position in ils facility located in Cumberland, Maryland. RehabSolutions communicated these needs to Heahh Search. 10. Heahh Search referred a candidate by the name of James Lauder, MI'T, to RehabSolutions for consideration. Heahh Search coordinated an interview for Mr. Lauder with RehabSolutions. II. Based upon the direct involvement of Health Search, RehabSolutions hired James Lauder as a physical therapist at an annual salary of $52,000.00. 12. At the request of RehabSolutions, Heahh Search agreed to reduce its fee to 20%, without further consideration, as a demonstration of good will. RehabSolutions was responsible for preparing a . 1-- t..' i .~: ,....; supplemental agreement renecting this change, but never did so. 13. Heahh Search forwarded an invoice for services rendered in the amount of $1 0,400.00, \. 14. Despite repeated requests, RehabSolutions has refused to make any payment to Health representing 20% of James Lauder's starting salary. Search for the referral of James Lauder. 1'. Thomas Shanklin, Jr., Director of Marketing and Recruiting for RehabSolutions, has acknowledged working with Heahh Search on the placement of James Lauder, but has alleged that RehabSolutions had contact with James Lauder prior to the involvement of Health Search. 2 " h James Laudcr did nol havc any cuntact \\ ith RchahSolutioos or forward thcm a rcsumc prior to his involvement with IIcalth Scarch. 15. Under the tcrms of the agrccmcnt, thc service fcc was duc in thrce cqual installmcnts within 90 days from the applicant's starting dnte. 17. Under the temlS ofthc agrecment, RchabSolutions agrecd to pay for all cxpenses relatcd 10 collection aClivitics, including rcasonable 'lIIorney's fees. lIealth Search has incurred significant expenses in pursuing this matter againsl Rehab Solutions, including attorncy's fccs. COUNT I Drench or Conlracl 18. Health Scarch hereby incorporates by referencc paragraphs 1 through 17 hcreinabove as though fully set forth herein. 19. By accepling the terms and conditions of the recruitmcnt order of May 7,1997, RehabSolulions entered into a conlrncl for specific terms, all as set forth in Ihe aforesaid recruitmenl order. 20. In reliance upon the tcrms and conditions ofthc contract, Health Scarch referred a qualified candidate to RehabSolutions which hired the candidate. 21. Health Search has complied with all of its duties and responsibilities under the conlracl. 22. The failure of RehabSolutions, and its parent corporation, Select Medical Corporation, to comply wilh the payment terms and conditions as set forth in the conlracl, specifically with regard to payment of the 25% service fee, constitutcs a breach or conlract. 23. R. Civ. P. 1017(a) and 1028(a)(4) files the following Preliminary Objections to the Complaint of Health Search (" Health Search") and in support thereof, states as follows: I. The only allegations set forth in Plaintiff's Complaint against Defendant Select Medical Corporation appear in paragraphs 2, 3, 22 and 23. 2. Paragraph 2 of Plaintiff's Complaint states, in its entirety, as follows: Defendant, Select Medical Corporation, is believed to be a business corporation organized and existing pursuant to the laws of the State of Delaware with a principle place of business located at 4718 Old Gettysburg Road, Mechanicsburg, Cumberland County, Pennsylvania and is believed to be the parent and/or affiliate corporation to Defendant RehabSolutions. 3. Paragraph 3 of Plaintiff's Complaint states as follows: Defendant, RehabSolutions, has a principal place of business located at 952 Seton Drive, Cumberland, Maryland, and is believed to be a subsidiary and/or affiliate of Defendant Select Medical Corporation. 4. Paragraph 22 of Plainliff's Complaint Slates ;IS follows: The failure of l{ehallSolutions, ami ils parenl corporation, Select Medical Corporation, to comply with the payment terms and conditions as set forth in the contract, specifically with regard to payment of the 25% service fee, constitutes a Ilreach of contract. 5. Paragraph 23 of Plaintiff's Complaint states as follows: As a result of the breach of contract by l{ehabSolutions and/or Select Medical Corporation, Health Search has suffered the damages set forth here and above and incorporated berein. 6. The Plaintiff's one count Complaint sets forth a cause of action for breach of contract. 7. The contract on which Plaintiff relies and which is attached to the Complaint, is a contract between Plaintiff and Defendanl RehabSolutions. (See Exhibit A to Plaintiff's Complaint). Nowhere in the conlract is Defendant Select Medical Corporation even mentioned. Plaintiff's claim for breach of contract against both Defendants is based solely on its allegation of breach of contraCI. However, Plaintiff and Defendant RehabSolutions are the only parties to 8. Plaintiff pleads absolutely no facts to support its conclusory avennent that Select t this contract. Medical Corporation has some sort of obligalion as a result of Ihe execution of a contract between Plaintiff and Defendant RehabSolutions. 9. To the contrary, RehabSolutions corresponded directly with Mr. Lauder, after learning of Mr. Lauder's interest in RehabSolutions through Mr. Lauder's brolher, who approached employees of RehabSolutions. By the time Health Search communicatcd the name and qualifications of Mr. Lauder, his relalionship with RehabSolutions had already begun. 12. Admined in part and denied in part. It is denied that RehabSolutions was responsible for preparing a supplemental agreement reflecting a reduction of the fee from 25 % to 20%. To the contrary, no supplementary wrinen agrecment was discussed. The remaining averments of paragraph 12 are admined. 13. Admined. 14. Admitted in part and denied in part. It is admined that RehabSolutions has refused to make any payment to Health Search for the referral of James Lauder. It is further admined thaI P. Thomas Shanklin, Jr., has communicated to Health Search that RehabSolutions had contact with James Lauder prior to the involvement of Health Search. It is denied that Mr. Shanklin has acknowledged working with Health Search on the placement of James Lauder. To the contrary, Mr. Shanklin has admitted receiving information regarding Mr. Lauder from Health Search. However, this information was received after Mr. Lauder was already referred to RehabSolutions by other sources. 15. The allegations of paragraph 15 of Ihe Complaint are conclusions of law which require no answer. To the extent it is deemed an averment of fact, it is denied. 3 16. To the contrary, since the placement of Lauder with RehahSlllulillllS was a result of sources other than Plaintiff, no service fee is due. 17. To the contrary, since the placement of Lauder with RehahSolutillns was a result of sources other than Plaintiff, no expenses are due. COUNT I Breach of Contract 18. The response of averments of paragraphs 1 through 17 are incorporated herein by reference thereto as Ihough fully set forlh. 19. The allegations of paragraph 19 of the Complaint are conclusions of law which require no answer. To the extent it is deemed an averment of fact, it is admitted. 20. After reasonable investigation, RehabSolutions is without knowledge or information upon which Plaintiff relied for the alleged referral of a qualified candidate to RehabSolutions. 21. The allegations of paragraph 21 of the Complaint are conclusions of law which require no answer. To the extent it is deemed an averment of fact, it is admitted. By way of further answer, the placement of James Lauder for employment with RehabSolutions was a result of the involvement of employees of RehabSolutions, any information received about James 4 Lauder from Ihe l'lainliff was received ,Ifter RehahSolutions was already pursuing M!. Even if Plaintiff's submission is correct, i.e.. that the litigation record of RehabSolutions bears directly on ils course of conduct in honoring its referral contracts, it is still irrelevant and unlikely to lead to discovery of admissible evidence. Plaintiff's claim is for one of breach of contract and the terms of the contract will dictate the success or failure of Plaintiff's breach of contract claim. Furthermore, Plaintiff's claim for attorneys' fees is based on the language of the contract, not an alleged pattern of a bad faith in avoiding similar debts. 2 16. Denied. First. it is denied that these telephone records are only in the possession of Defendant. If they are thaI essential to Plaintiff's case, they could he subpoenaed from a third party. Further, if the telephone records are not produced by Defendant. the necessary ramification would be the inability to use such records by Defendant at trial. 17. Admined. 18. Denied. The very language of the Court's Order. which is attached as Exhibit D to the Motion for Sanctions, instructs Defendant to "provide responses to interrogatories". Defendant did just that. By way of further answer, Plaintiff served interrogatories under Pennsylvania Rule of Civil Procedure 4005. This Court later ordered the filing of responses to those interrogatories. Defendant filed responses within the time limits imposed by the Court. Those responses included substantive answers as well as objections to the substance and content of the interrogatories as allowed by the Rules of Civil Procedure. Plaintiff alleges in its Motion for Sanctions that any objections of Defendant to its interrogatories were waived and therefore Defendant is not in compliance with the direction of the Court. The failure to file objections to interrogatories within thirty (30) days as required by Pa.R.C.P. 4006(a) does not result in a waiver of objections to the content and substance of the interrogatories rather than the form thereof. Snvder v. CNA Insurance Comoanies, 6 D&C 4th 549 (C.C.P.York 1990). While Rule 4006(a)(2)(A) provides that objections to interrogatories shall be filed within thirty (30) days, nothing suggests that objections not raised within the 30-day period are waived.
