Denied, On the contrary, Plaintiff's agreed to a three month grace period due to Defendant Dianne Allen's medical condition by verbal agreement from it's attorney, Mitchell Stein, Esquire, who advised Defendants that he would cOl1tact Defendants to establish a payment schedule of $100,00 a mOl1th when Mrs. Allen was feeil1g well agail1. Attorney Steil1 made a demand upon Defendants by letter dated 8/17/98 demanding full payment of the outstanding balance owed, which letter was a breach of the agreement of the parties, WHEREFORE, Defendants demand judgmel1t in their favor and against Plaintiff. NEW MATTER 12. The avermel1ts of Defel1dants' Answer, paragraphs one through eleven, inclusive. are incorporated herein by reference, 13. On or about April 29, 1996, Tom Cochral1, agel1t of Plaintiff came to Defendal1ts' home unal1nounced il1 an effort to sell Defendal1ts food and grocery items and durable goods, 14, Defendants never solicited this visit from Plaintiff's agel1t nor was this visit contemplated by the Defel1dants ul1til Plail1tiff's agel1t arrived, 15, Plail1tiff's agel1t proceeded to explain the benefits of Colorado Prime Foods as "restaurant quality food at home", 16, Plaintiff's agel1t thel1 explained to Defendants that ul1der the agreement with Plaintiff, they would receive shipmel1ts of "restaurant quality foods" every three months. 17. Plaintiff's agent then pointed out that Defel1dants' current freezer capacity would be insufficient to hold all the food items they would receive under the contract with Plail1tiff should they sign up al1d pitched to them the benefits of a freezer unit marketed and sold by Plaintiff. 18. In response to inquiries by Defendant concerning the monthly cost of PlaIntiff's program, Plaintiff's agent quoted Defendants the prlce of $60.42 a month, but failed to explain that t)us would only cover the minimum monthly installment on the " "~\_'.'"'-"." ''',r: ..-: .', "r," 1_, ., ':, ~ \ _ '.;-~ ..' . 1I..w='.>>.....i'~ freezer unit and would not cover the cost of the food items to be shipped. 19, Defendants entered into an installment agreement to purchase the freezer unit from Plail1tiff for $1,812.00, which included $299.00 for a service agreement, applicable sales tax, and a credit for a $199.00 down payment made by Defendants on the day of execution of the agreement. 20. The above referel1ced agreement, a copy of which is attached to and referred to in P1ail1tiff's Complaint as Exhibit "1" and is hereby incorporated by reference il1 Defendants' Answer, displayed the $60,42 monthly fr'eezer installmel1t in a promil1ent locatiol1. 21. At the time of the executiol1 of the cOl1tract, Plaintiff's agent told Defendants they would have to pay $60.42 a month under the agreemel1t, 22, These foregoil1g statemel1ts by Plaintiff's agent were misrepresentations of a material factor of the agreement. 23. Defendants relied on the misrepresentatiol1 in entering into the agreement with Plaintiff and their reliance was reasonable, 24, Upon reading the agreement, it appeared to Defel1dants that $60.42 was the total monthly il1stallmel1t due for both the freezer and food and grocery items to be delivered. 25, As a result of their discussions with Plaintiff's agent's and the locat iOl1 of the language on the agreement, Defendants believed they were purchasil1g both the freezer unit and the food and grocery items to be delivered for the quoted price of $60.42 a month. 26, Defendants then selected food items from Plaintiff's "shopp1ng list" to be delivered in the first of what Defel1dants believed would be quarterly food shipments. 27. Plaintiff's "shopping list" contains a general descr1ption of che food items available for delivery and the quantity and item numbel- of each item. however the "shopping list" fails to indicate the price of each item. A copy of the "shoppi119 list" is attached hereto, made a part hereof and il1corporated hereil1 by reference as Defendants' Exhibit "A,". 28, Defendants received their only shipment of food and groceries items on or about May 8, 1996, 29, While putting the food al1d grocery items away, Defel1dal1ts discovered that several of the jarred sauces were broken al1d at least Ol1e meat portion was not the item selected on April 24, 1996. 30, Plail1tiff failed to exchanged these items for ul1broken jars of sauce, despite Defendants' request to do so, and the meat item sel1t il1 exchal1ge was again not the item selected by Defel1dants, 31. In addition to the breach by P1ail1tiff above, Defel1dants were also dissatisfied with the quality of the food items delivered by Plail1tiff, 32, Plaintiff, through its agents al1d printed material, marketed its products as "restaurant quality food at home," Defel1dants believed the items received were 110t "restaurant quality" as marketed by Plail1tiff, 33, On one occasion, Defendants had to feed several grocery items to their pets as the taste and texture made it unpalatable to Defel1dants and Defendants' children, 34. Plaintiff, through it agent, marketed its service as a program whereby Defendants would shipments every three months. 35. Defendants entered into the agreement with Plaintiff in reliance on Plail1tiff's promise to deliver food items every three food delivery receive food months, 36. The il1itial shipment received by Defendants on l~ay 8. 1996 was the only shipment of food delivered to Defendal1ts under the agreement. 37, On or about December 25 , 1997, Defendant Dianne Allen's grandfather died. , _' . As a result of these deaths, Mrs. Allen suffered an emotional collapse and was unable to work. 40. On or about March, 1998, Defendants contacted Mitchell Stein, Esquire, an attorney representing Plaintiff and explained that they were having financial difficulty as a result of the deaths of Mrs. Allen's gral1dparents. 41. During this conversation, Mrs. A1lel1 explained to attorney Stein that she had been raised by her grandparel1ts and their passing put her in an emotional state in which it was impossible for her to maintain gainful employment. 42. Attorl1ey Stein verbally agreed to a three month period in which Defendants could attempt to recover financially without having to make paymel1ts to Plaintiff. 43. Part of the agreemel1t referred to in paragraph thirty- four above provided that after three months, Plaintiff's attorl1ey would contact DefendantG to establish a payment plan whereby Defendants could pay Plail1tiff $100.00 a month, 44. l'.ttorl1ey Stein had no contact with Defendants until August 8, 1998. 45. On or about August 8, 1998, attorney Stein made a demal1d UPOl1 Defendants by letter dated 8/17/98 demanding full paymel1t of the outstanding balance owed, which 1et,ter was a breach of the agreement of the parties. 4G.
