At all times relevant hereto, the defendant(s) was the holder of a credit card, which at the request of the defendant(s) was issued to the defendant(s) by the plaintiff under the terms of which the plaintiff agreed to extend to defendant (s) the use of plaintiff's credit facilities, 2. Defendant(s) accepted and used the aforesaid credit card so issued and by so doing agreed to perform the terms and conditions prescribed by the plaintiff for the use of said credit card. 3, The defendant (s) received and accepted goods and merchand- ise and/or accepted services or cash advances through the use of the credit card issued by the Plaintiff. A true and correct copy of the Statement of Account is attached hereto as Exhibit "A". 4. Defendant's answer is unclear as to whether he claims Microenterprisesaz, Inc. is solely liable to Plaintiff as Defendant now avers in his Motion. The Defendant's answer is a writing which speaks for itself. However, Defendant changed stories as he initially claimed that a Pennsylv.mia corporation, MicroEnterprises, Inc. was liable for the purchases on the card. It is denied that the statement of account is listed in the name of a corporation. In fact, only the address line of the payment coupon indicates "Microeaz com". Strict proof of Defendant' s averment in paragraph 2 is demanded at the time ofthe hearing. 3. Admitted. 4. Denied. Plaintiff need not join any other party as a o,efendant. The Defendant Tod Shedlosky very clearly agreed to be bound by the ternlS ofthe agreement and one of those terms was that the card holder was liable for all charges, fees and outstanding balances incidental to the use of the card. By way of further answer, the corporation is not an indispensable party whose rights are so connected with the claims of the litigants that no relief can be granted without infringing or impairing those rights. NEW MATTER 1. Attached and made part hereof and labeled Exhibit "A" to Plaintiffs Response to Defendant's Motion for Judgment on the Pleadings is the applicable card member agreement governing the contractual relationship between Plaintiff and Defendant. 2. Exhibit A clearly indicates that Defendant agreed to be individually bound by the terms of the Card Holder Agreement attached as Exhibit A. Therefore, Defendant is severally and individually liable and not merely jointly liable for the purchases, fees and charges associated with the use ofthe credit card. 3. Attached and made part hereof and labeled Exhibit "Il" to Plaintiffs Response to Defendant's Motion for Judgment on the Pleadings is the applicable card member statements from May of2001 through April of2002. 4. Nowhere on Exhibit A or Exhibit B is the name ofMicroenterprisesaz, Inc. listed on the documents. On the contrary, the name of "Microeaz com" appears on the address line of the payment coupon. 6. Upon information and belief, Plaintiff avers that there is no such entity know to the secretary of state for the Commonwealth ofPennsylv,mia named "MICROENTERPRlSESAZ, INC". In support thereof Plaintiff offers th,~ following: FACTS Defendant, T od Shedlosky, was the holder of an American Express Corporate charge card issued in his name. Defendant refused to repay the balance due on the card and Plaintiff filed suit for breach of contract. Defendant filed an answer pro se denying liability and claimed a Pennsylvania Corporation was somehow liable for the charges. Defendant did not bother to explain how this Pennsylvania Corporation, believed to be Microenterprises, Inc., was liable for the charges. Being unable to resolve the matter, Plaintiff moved to put the matter on the trial list. Thereafter, Defendant obtained counsel and Mr. Carl Risch entered his appearance for the Defendant. Inexplicably, Defendant immediately changed his story and now claims that a completely different entity, a dissolved Arizona corporation, MicroenterprisesAZ, Inc., is liable for the charges. Plaintiff then filed this Motion requesting the Court dismiss Plaintiffs Complaint for failing to name this new entity as a co defendant. Plaintiff files this instant response to Defendants Motion for Judgment on the Pleadings. LEGAL ARGUMENT Issue: Should this Court dismiss the action against the Defendant because Plaintiff did not name as an additional Defendant a defunct Arizona corporation in an action to enforce a credit card agreement against the holder of the card where the cardholder agreement clearly states that both the Company and holder would be individually liable? Suggested Response: No, MicroenterprisesAZ, Inc. is not an indispensable party with rights so connected with the claims of the Plaintiff and Defendant that no decree can be made without impairing or infringing upon those rights. The language of the agreement rebuts any presumption that the obligation was a joint obligation requiring joinder of any other party. LEGAL ANALYSIS Generally, all indispensable parties to a dispute must be joined when a matter is litigated. The rules of Civil Procedure require parties who have ajoint interest in the outcome or subject matter oflitigation to be joined on the same side. Pa.R.C.P. SS 2227, 1032. Ifthe Plaintifffails to include an indispensable party, the Court has the power to dismiss the matter. Sprague v. Casey, 520 Pa. 38, 550 A.2D 184 (1988). However, the missing party must be indispensable or subject to a theory of joint liability. Pa.R.C.P. SS 2227, 1032. Additionally, Pennsylvania Courts require the objecting party to indicate how the unnamed party is indispensable. Burkett v. Smvder, 369 Pa. Super. 519, 532 A.2d 671 (1988). Finally, there are several exceptions to the rule requiring dismissal for non joinder. Mintz v. Tri-County Natural Gad Co., 259 Pa. 477, 103 A.2 285 (1918) et.a!. The first exception to dismissing a pleading for failure to join an indispensable party is when the Court has no jurisdiction over the unnamed 3nl party. Mintz, at 477,285. Taking Defendant's unverified averment that Microenterprisesaz, Inc., is an indispensable party as true, this Court would not still not have in personam jurisdiction over the company as Microenterprisesaz, Inc. appears to be a defunct Arizona corporation. The Peunsylvania long arm statute authorizes and grants jurisdiction to persons normally outside the jurisdiction of Commonwealth as long as the "minimum contacts" and traditional notions of fairness and substantial justice standards are not infringed. International Shoe v. Washing.ton, 326 U.S. 310 (1945); Neffv. Tribune Printing Co., 218 A.2d 756, (Pa. 1966). Without more information appearing on the face of the record, this Honorable Court must deny Defendant's Motion as this Court does not have jurisdiction over a foreign corporation, Microenterprisesaz, Inc. The Defendant also has the burden to demonstrate how the unnamed party is indispensable. Defendant has bothered to do so. Nor does the record independently reflect that an indispensable even exists. Defendant indicates in his Motion that the Statement of Account is in the name ofMicroenterpriseaz, Inc. A review of Plaintiff's exhibit to the Complaint shows the name "Microeaz com" on the address line on the payment coupon. The connection is not clear and certainly is not the independent reflection of an indispensable party the Court requires. Huston v. Camoanini, 464 Pa.147, 346 A.2d 258 (1975). See exhibit C. A Plaintiff need not join all possible Defendants, onlly indispensable Defendants. Pennsylvania Courts define an indispensable party as a party who's rights are so connected to the subject matter of the litigation as to require joining that party to protect its rights before issuing any decree or judgment. Columbia Gas v. Diamond Fuel Oil Co., 464 Pa. 377, 346 A.2d 788 (1975). Defendant does not bother to articulate how the rights of a defunct Arizona company are unduly prejudiced by an action on a contract against the holder of a credit card. There are no indispensable parties to this matter, because there is no joint obligation. Finally and foremost, while there is a presumption in Pennsylvania jurisprudence that all obligations are joint absent an agreement stating otherwise, the agreement attached as Exhibit A absolutely rebuts this presumption and defeats mandatory joinder. Yaduskv v. Shigars, 301 Pa. 99,151 A. 785 (1930). The language of the agreement (Exhibit A) clearly explains that the Defendant agreed to be individually liable for the charges, fees and other expenses associated with the use of the card. The language creates an individual, and not merely a joint, obligation. The terms of the agreement in paragraph 6 state that "[t]he Company and any Corporate Card members using the Card account agree both jointly and individually to be bound by the terms of this agreement." See Paragraph 6 Exhibit A . The inclusion of "individually" clearly manifests an intent to bind the parties not just jointly but also severally and individually, thereby rebutting the presumption of a joint obligation requiring dismissal of Plaintiffs Complaint for failure to join whichever 3rd party Defendant now claims as liable. Since the agreement contemplates individual liability, the Defendant's Motion for Judgment on the Pleadings should be denied. CONCLUSION Again, the Agreement between the Plaintiff and the Defendant clearly explains that the Defendant Tod Shedlosky, would be individually liable for all charges and fees associated with the card. There are no other indispensable parties that have been left out of the litigation. Microenterprisesaz, Inc., will not suffer any undue prejudice from this Honorable Court adjudicating this instant matter before it nor are any of its rights so connected to the subject matter of this litigation that joinder is required.
