I. The Plaintiff is the UNIVERSITY OF PENNSYL VANIA, a corporation not for profit
organized and existing under the laws of the Commonwealth of Pennsylvania, with its principal place
of business located at 3451 Walnut Street, Philadelphia, Pennsylvania 19104.
2. The Defendant is FARRELL S. BLACK, an individual and citizen of the
Commonwealth of Pennsylvania, residing at 106 E. Cumberland Street, Enola, Pennsylvania 17025.
3. At the special instance and request of Defendant, while Defendant was enrolled at the
UNIVERSITY OF PENNSYLVANIA, Defendant entered into a series of implied contracts, wherein
Plaintiff was to provide certain educational services and living quarters to Defendant.

4. A true and correct copy of Defendant's billing history, setting forth the amounts charged
to the Defendant and the dates on which said amounts were incurred, as well as any credits applied to

said account, is attached hereto, made a part hereof and marked Exhibit A.
5. Statements reflecting the outstanding balance due were sent to the Defendant by the
Plaintiff on a regular basis and in the ordinary course of business.
6. As set forth in the Affidavit of JOSEPHINE DELANEY, the Manager of Collections
for Plaintiff, the Defendant has made partial payments on said account, leaving an unpaid balance of
$20,383.99, plus late charges of $4,302. 16 thereon as of April I, 2000. Subsequent to the preparation
of said Affidavit, the Defendant has made partial payments in the amount of $160.00, which is
properly credited herein and the balance due and owing reduced accordingly. A true and correct copy
of said Affidavit is attached hereto, made a part hereof and marked Exhibit B.
7. Although demand therefore has been made repeatedly, Defendant has refused and failed
to pay the balance due, as set forth above.
WHEREFORE, Plaintiff demands Judgment against the Defendant in the amount of
$24,526.15 with interest at the rate of Six percent (6%) per annum from the date of Judgment, plus
anticipated court costs of $300.00.

The UNIVERSITY OF PENNSYLVANIA replies to Defendant's New Matter by and through
its undersigned counsel as follows:

14. Denied. The allegations of Paragraph 14 are conclusions of law to which no responsive
pleading is required. To the extent such responsive pleading is required, it is specifically and
affirmatively denied that the Plaintiff s claim is barred by the statute of limitations. By way of fmther
response to this Affirmative Defense, Defendant has been making regular partial payments on this

account since November, 1993. Said payments have been made each and every month through August,
1997. Defendant then resumed payments in March, 1998 and paid consistently through October, 1999.
Defendant stopped paying again until February, 2000, since which time Defendant has made consistent
monthly payments. Any claim that this account should be barred by the statute of limitations is totally
eliminated by the consistent and repeated re-acknowledgements of the debt by the Defendant. The
Defendant's acknowledgements of the debt are sufficient to avoid the judicial defense of statute of
limitations.
WHEREFORE, Plaintiff, request judgment as originally prayed for in its Complaint.

TO PLAINTIFF'S COMPLAINT
AND NOW, comes Defendant, Farrell S, Black, through his attorneys, Reager, Adler &
Cognetti, PC, and files these Preliminary Objections to Plaintiff's Complaint:
L Plaintiff filed the instant action in Philadelphia County allegedly seeking recovery on an
implied contract between Plaintiff and Defendant.
2. Plaintiff allegedly seeks to collect a debt which Plaintiff claims was incurred as a result of
tuition costs when Plaintiff attended the University of Pennsylvania,
3. The alleged debt at issue can be characterized as a consumer debt under the Fair Debt
Collection Practices Act, 15 U,S.C. 9 1692 et seq,
4. Any actions by a debt collector seeking to collect on any a consumer debt are required to be
brought in the "judicial district or similar legal entity" where "such consumer signed the
contract sued upon" or where "such consumer resides at the commencement of the action."

Plaintiff, the University of Pennsylvania, allegedly is seeking to recover on a number of
implied contracts it claims it entered into with Defendant, Farrell S. Black. Mr. Black was a student
at the University for a period oftime aronnd June 1990, For the past several years, Mr, Black has
resided at 106 East Cumberland Street, Enola, Cumberland Connty, Pennsylvania.
Since the time he was a student at the University, Mr. Black has received repeated requests
for payment on an acconnt that the University alleges reflects tuition fees and other costs from the
time that Mr. Black was a student there, Over the years, Mr, Black has made a number of relatively
small payments to the University in response to its requests for payment. The University filed this
action in May 2000 seeking to recover the balance of the alleged debt. Mr. Black has filed
Preliminary Objections objecting to venue on the grounds that the Fair Debt Collection Practices Act
requires that this action be transferred to Cumberland County, Pennsylvania.
II. Question Presented
Does the Fair Debt Collection Practices Act require that Plaintiff s collection action seeking

III. Ar~lIment

The Fair Debt Collection Practices Act, 15 US ,C. {1 1692 et seq" provides general rules that
govern the collection of consumer debts. The statute defines a "debt" as "any obligation or alleged
obligation of a consumer to pay money arising out of a transaction in which the, , . services which
are the subject of the transaction are primarily for personal, family, or household purposes[.]" 15
US.C. {1 1692a(5). In addition, the statute defines a "consumer" as "any natural person, , . allegedly
obligated to pay any debt." 16 US.C. {1 1692a(3), Therefore, the tuition fees that the University of
Pennsylvania is seeking to collect from Mr. Black can be characterized as "consumer debt" under
the statute, as the alleged debt was incurred in exchange for personal educational services which the
University provided to Mr. Black,
The statute's provisions apply to actions taken by "debt collectors." Although the Act
excludes a creditor itself from the definition of "debt collector," there is authority supporting the fact
that attorneys acting on behalf of a creditor are debt collectors subj ect to the provisions of the Act.
In Heintz v Jenkins, 514 U.S. 291 (1995), the United States Supreme Court unanimously held that
the Fair Debt Collection Practices Act applied to a lawyer regularly engaged in consumer debt-
collection litigation on behalf of its creditor client. In Heintz, the Court applied the statute's
provisions to an attorney who was acting on behalf of a bank that was seeking recovery from a
customer who had defaulted on a car loan,
The Court cited two "strong reasons" for its holding, First, the Court said that "[i]n ordinary
English, a lawyer who regularly tries to obtain payment of consumer debts through legal proceedings
is a lawyer who regularly attempts to collect those consumer debts." Heintz, 514 US. at 294
(internal quotation marks omitted), Second, the Court cited the fact that a previous version of the

Fair Debt Collection Practices Act has explicitly excluded lawyers from the defInition of debt
collectors. Congress later repealed this exemption, "without creating a narrower, litigation-related,
exemption to fIll the void," Id. at 294-95. Therefore, attorneys acting on behalf of creditors are
required to comply with the provisions of the Act.
Even before the Supreme Court acted, the Third Circuit held that attorneys who are regularly
engaged in debt collection activities on behalf of a client are "debt collectors" subject to the
provisions of the Act. Crossley v Lieherman, 868 F,2d 566 (3'd Cir. 1989). Again, the court cited
the legislative history of the statute and existing case law. The court highlighted the fact that
"[r]epeal of the [attorney] exemption thus requires attorneys to comport with the standards of
conduct. , , required oflay debt collectors," Id. at 569.
Based upon this authority, it is clear that an attorney who regularly engages in debt collection
litigation on his client's behalf is subject to the provisions of the Fair Debt Collection Practices Act.
The attorneys working on behalf of the University of Pennsylvania are seeking to recover a debt for
the University, and likely are regularly engaged in such a practice on the University's behalf.
Therefore, the attorneys are required to comply with the provisions of the Act as they pursue
litigation against alleged debtors.
One ofthe requirements ofthe Fair Debt Collection Practices Act is that any "debt collector"
who brings an action to collect on a consumer debt not involving real property is required to bring
that action either (I) in the judicial district in which the consumer sigued the contract or (2) in the
judicial district where the consumer resides, 15 U.S,c, S 1692i(a)(2), There was no express written
contract signed in this case. In fact, Plaintiff avers that it is trying to recover on "a series of implied
contracts." (pI. Compl. ~ 3.) Therefore, the only place the statute allows the Plaintiff to bring its
action is in the judicial district where the Defendant resides. Because the Defendant resides in
Cumberland County, Pennsylvania, Plaintiff should have fIled this action in Cumberland County,
For this reason, Defendant respectfully requests that this action immediately be transferred to the
Court of Common Pleas of Cumberland County.
IV. Conclusion
The Fair Debt Collection Practices Act requires that any debt collector who brings a legal

action to recover a consumer debt file that action in either the judicial district where the consumer
signed the contract sued upon or in the judicial district where the consumer lives, A university's
tuition and fees fall under the statutory definition of "consumer debt." There also is clear controlling
authority holding that attorneys who regularly seek to collect on behalf of creditor clients are "debt
collectors" subject to the provisions of the Act.
There was no express written contract ever signed in this case. Therefore, under the Act, the
only place this action could have been filed is where the debtor resides, Because Mr. Black resides
in Cumberland County, the action should have been filed there. For this reason, Plaintiff respectfully
requests that this Court sustain Defendant's Preliminary Objections and Order that this action
immediately be transferred to Cumberland County,

Enforcement of Accounts
1. The Plaintiff is the UNIVERSITY OF PENNSYLVANIA, a corporation not for profit
organized and existing under the laws of the Commonwealth of Pennsylvania, with its principal place
of business located at 3451 Walnut Street, Philadelphia, Pennsylvania 19104.
2. The Defendant is FARRELL S. BLACK, an individual and citizen of the
Commonwealth of Pennsylvania, residing at 106 E. Cumberland Street, Enola, Pennsylvania 17025.
3. At the special instance and request of Defendant, while Defendant was enrolled at the
UNIVERSITY OF PENNSYLVANIA, Defendant entered into a series of implied contracts, wherein
Plaintiff was to provide certain educational services and living quarters to Defendant.
4. A true and correct copy of Defendant's billing history, setting forth the amo~ts charged
to the Defendant and the dates on which said mounts were incurred, as well as any credits applied to
said account, is attached hereto, made a part hereof and marked Exhibit A.
5. Statements reflecting the outstanding balance due were sent to the Defendant by the
Plaintiff on a regular basis and in the ord'mary course of business.
6. As set forth in the Affidavit of JOSEPHINE DELANEY, the Manager of Collections
for Plaintiff, the Defendant has made partial payments on said account, leaving an unpaid balance of
$20,383.99, plus late charges of $4,302.16 thereon as of April 1, 2000. Subsequent to the preparation
of said Affidavit, the Defendant has made partial payments in the amount of $160,00, which is
properly credited herein and the balance due and owing reduced accordingly. A true and correct copy
of said Affidavit is attached hereto, made a part hereof and marked Exhibit B.
7. Although demand therefore has been made repeatedly, Defendant has refused and failed
to pay the balance due, as set forth above.
WHEREFORE, Pla'mtiff demands Judgment against the Defendant in the amount of
$24,526.15 with interest at the rate of Six pement (6%) per annum from the date of Judgment, plus
anticipated court costs of $300.00.

reflection of Defendant's billing history.
5. It is admitted that Plaintiff sent Defendant statements on a regular basis reflecting a
certain outstanding balance. It is specifically denied that these statements in any way reflected
a proper accounting of any outstanding balance that may have been due.
6. It is admitted that Defendant made periodic partial payments on an account with the
University of Pennsylvania. The remainder of the allegations in this paragraph are denied. It
is specifically denied that any attached exhibit is a tree and accurate reflection of Defendant's
billing history or of any amount that may be due.
7. It is admitted that Plaintiff has made repeated demands for payment. The remainder
of the allegations in this paragraph are specifically denied.
WHEREFORE, Defendant ask that Plaintiff's claim be denied.
NEW MATTER
8. Paragraphs 1 through 7 are incorporated herein by reference.
9. Defendant never entered into an express written contract with Plaintiff for the
provision of any services.
10. As such, any contract which may have existed between the Plaintiff and the
Defendant must be implied in law.
11. Under 42 Pa. C.S.A. § 5525(4), actions based upon a contract implied in law must
be commenced within four (4) years.
12. Any contract that may have existed between Plaintiff and Defendant was entered
into more than four (4) years ago.
13. Any contract that may have existed between Plaintiff and Defendant would have
been for services that were provided more than four (4) years ago.
14. As such, any claim by Plaintiff to recover on any alleged contract is barred by the
statute of limitations.
WHEREFORE, Defendant asks that Plaintifffs claim be denied.

its undersigned counsel as follows:

14. Denied. The allegations of Paragraph 14 are conclusions of law to which no responsive
pleading is required. To the extent such responsive pleading is required, it is specifically and
affirmatively denied that the Plaintiff's claim is barred by the statute of limitations. By way of further
response to this Affirmative Defense, Defendant has been making regular partial payments on this
account since November, 1993. Said payments have been made each and every month through August,
1997. Defendant then resumed payments in March, 1998 and paid consistently through October, 1999.
Defendant stopped paying again until February, 2000, since which time Defendant has made consistent
monthly payments. Any claim that this account should be barred by the statute of limitations is totally
eliminated by the consistent and repeated re-acknowledgements of the debt by the Defendant. The
Defendant's acknowledgements of the debt are sufficient to avoid the judicial defense of statute of
limitations.
WHEREFORE, Plaintiff, request judgment as originally prayed for in its Complaint.
