This agreement shall become binding only upon written acceptance by the Contractor or upon the Contractor commencing performance and upon such
acceptance or commencement of performance this shall constitute the entire contract and be binding upon the parties hereto, there being no covenants, promises,
warranties or agreements, written-or oral, expressed or implied. Except as herein set forth. No Sales Representatives of the Contractor has authority to alter the
terms of this agreement in any particular. It IS further agreed that:
(A) The Contractor is hereby authorized to make all such openings as are necessary for the fulfillment of this agreement and will close all such openings in a
neat and workmanlike manner. In case of openings thru Stucco, Brick Veneer, Asbestos Shingles, it is sometimes impossible to match perfectly the color or texture
of existing materials and the Contractor will not be responsible in case of its inability to do so. In addition, Contractor assumes no liability for any cosmetic
damages.
(B) The Contractor shall not be responsible for damage, delay or default where occasioned by any cases of any kind or extent beyond its control, including, but
not_limited to, armed conflict or economic dislocation resu1ti~ therefrom, embargoes; shortages of labor, raw materials, production facilities or transportation;
labor difficulties; civil disorders of any kind; action of civil or military authorities (including priorities and allocations);frres, floods and accidents. The Contractor
carries Workman's Compensation and Public Liability insurance, but does not assume risks of any character under this contract other than covered by such
insurance.
(C) The covenant and conditions contained on the reverse side are hereby made a part of this agreement.

agree, sirice no' sUch correspondence was received. We would be iriterested iri receiving it copy
of this document and the opportunity to respond to the contents.
Only two letters were ever received from your office. The first was dated March 11, 1997
followed by the a second correspondence dated June 9, 1997. A written response was retun:led
to your office for each of these.
Penn Insulation seems only to be iriterested in payment Although this is an important item, it is
not the only unresolved issue. My presumption is, when payment is received, Penn Insulation will
forget about this transaction. Regrettably, we must live with the reality of unresolved problems.
Penn Insulation has not resolved these items to our satisfaction. Should they be unable or
unwilling to satisfY these issues a significant monetary concession is expected.
I solicit your support, to encourage your client to meet with us so that an agreement can be
reached. Please contact me to schedule a mutually agreeable time and place to meet Collectively,

1. Plaintiff is Penn Insulation & Home Improvement Co., a Pennsylvania
corporation, with a place of business 711 Olive Street, York, Pennsylvania 17403.
2. Defendants are William Alward and Cindy Alward, his wife, residing at
1103 Granada Lane, Mechanicsburg, Pennsylvania 17055.
3. On March 25,1995 Defendants entered into a written agreement
whereby Plaintiff was to install replacement windows and do other work at
Defendants' home at 1103 Granada Lane, Mechanicsburg, Pennsylvania for a
contract price of $8,400.00. A copy of the contract is attached hereto as Exhibit
ar'

4. The averments of paragraphs 1 through 3 hereof are incorporated herein
by reference thereto.
5. Defendants were unhappy with the french door provided by the Plaintiff,
and since it was not used, Plaintiff gave Defendants a credit of $1,500.00 on the
contract.
6. All other work was performed by Plaintiff in a workmanlike manner and
was accepted by Defendants.
7. All work was completed on the contract on or before May 24, 1995.
8. On or about October 7, 1998 Defendants made a partial payment on debt
in the amount of$I,OOO.OO.
9. Despite repeated requests and demands defendants have failed and
refused to pay to Plaintiff the remaining debt due under the contract.
WHEREFORE, Plaintiff demands judgment against Defendants in the
amount of $5,900.00, plus cost of suit, which sum does not exceed the amount
requiring referral to arbitration under Local Rule.

10. The averments of paragraphs 1 through 9 hereof are incorporated herein
by reference thereto.

11. Under the terms of the contract Plaintiff is entitled reasonable counsel
fees in pursuing this action to collect the debt.
WHEREFORE, Plaintiff demands judgment against Defendants in the
amount its reasonable counsel fees, which sum does not exceed the amount
requiring referral to arbitration under Local Rule.
COUNT III
12. The averments of paragraphs 1 through 11 hereof are incorporated
herein by reference thereto.
13. Under the terms of the contract Plaintiff is entitled to interest on the
unpaid balance of $5,900.00 in the amount of 1.5% per month beginning 30 days
from the completion date of May 24, 1995.
WHEREFORE, Plaintiff demands judgment against Defendants in the
amount interest on $5,900.00 at the rate of 1.5% per month from June 24, 1995,
which sum does not exceed the amount requiring referral to arbitration under
Local Rule.

residence located in Mechanicsburg, Cumberland County,
Pennsylvania.
3. The Complaint was docketed on April 4, 2000.
4. All solicitations, transactions and occurrences made by
Plaintiff to Defendant prior to and after the entry of the
Contract attached to Plaintiff's Complaint occurred in Cumberland
County, Pennsylvania.

by Plaintiff and Defendants in Cumberland County, pennsylvania.
6. Defendants continue to reside in Cumberland County,
Pennsylvania.
I. PRELIMINARY OBJECTION PURSUANT TO PA.R.C.P. l028(al(l)
IMPROPER VENUE
7. paragraphs 1 - 6 incorporated herein as if set forth at
length.
8. Pa. R.C.P. No. 1006(a) requires that actions against
individuals be brought in and only in a county in which the
individual may be served or in which the cause of action arose or
where a transaction or occurrence took place out of which the
cause of action arose.
9. Plaintiffs improperly commenced this action in York
County.
10. Proper venue in this case requires the filing or transfer
of the action to Cumberland County, pennsylvania, the county where
all transactions and occurrences took place and where the
Defendants reside.
WHEREFORE, Defendants respectfully request that this
Honorable Court transfer the above-captioned matter to the Court
of common Pleas of Cumberland County in accordance Pa. R.C.P. No.
1028(a)(1) and Pa. R.C.P. No. 1006 (a), without prejudice.

interest and alleged attorney's fees of 20%.
14. The claims for alleged interest and attorney's fees are
required to be set forth in separate counts pursuant to Pa. R.C.P.
No. 1020 (a).
15. Plaintiffs failure to set forth multiple claims in separate
counts prejudices Defendants's ability to form a proper answer and
defense to the claims.
16. Plaintiffs complaint violates Pa. R.C.P. No. 1021 (c) as it
fails to aver whether the amount does or does not exceed compulsory
arbitration.
WHEREFORE, plaintiff respectfully requests that this Honorable
Court enter an Order of Court directing Plaintiff to file an amended
pleading in accordance with the Rules of Court, or in the

COMPLAINT
1. Plaintiff is Penn Insulation & Home Improvement Co., a Pennsylvania
corporation, with a place of business 711 Olive Street, York, Pennsylvania 17403.
2. Defendants are William Alward and Cindy Alward, his wife, residing at
1103 Granada Lane, Mechanicsburg, Pennsylvania 17055.
3. On March 25, 1995 Defendants entered into a written agreement
whereby Plaintiff was to install replacement windows and do other work at
Defendants' home at 1103 Granada Lane, Mechanicsburg, Pennsylvania for a
contract price of $8,400.00. A copy o13r~ 60~Ct is attached hereto as Exhibit

4. Defendants were unhappy with the french door provided by the Plaintiff,
and since it was not used, Plaintiff gave Defendants a credit of $1 ,500.00 on the
contract.
5. All other work was performed by Plaintiff in a workmanlike manner and
was accepted by Defendants.
6. All work was completed on the contract on or before May 24, 1995.
7. Despite repeated requests and demands Plaintiff has only paid $1,000.00
on the balance of the contract.
8. Under the terms of the contract Plaintiff is entitled reasonable counsel
fees in pursuing this collection action in the amount of 20% and interest on the
unpaid balance in the amount of 1.5% per month.
WHEREFORE, Plaintiff demands judgment against Defendants in the
amount of $5,900.00, interest at the rate of 1.5% per month beginning 30 days
from the completion date of May 24, 1995, and attorney's fees of20% of the
unpaid balance.

TO PLAINTIFF'S COMPLAINT
Defendants, William Alward and Cindy Alward, by and through
counsel of Andrew C. Sheely, Esquire, hereby file these
Preliminary Objections in accordance with Pa. R.C.P. 1028 (a) to
the above-docketed Complaint, and respectfully state as follows:
1. Plaintiff commenced the above-captioned matter on or about
September 14, 1999 by filing a Praecipe for Writ of Summons
docketed to the above-captioned matter in the Court of Common
Pleas of York County.
2. On April 8, 2000, both of the defendants received a time-
stamped copy of a Complaint by United States Mail at Defendants'
residence located in Mechanicsburg, Cumberland County,
Pennsylvania.
3. The Complaint was docketed on April 4, 2000.
4. All solicitations, transactions and occurrences made by
Plaintiff to Defendant prior to and after the entry of the
Contract attached to Plaintiff's Complaint occurred in Cumberland
County, Pennsylvania.

5. The Contract attached to Plaintiff's Complaint was signed
by Plaintiff and Defendants in Cumberland County, Pennsylvania.
6. Defendants continue to reside in Cumberland County,
Pennsylvania.
I. PRELIMINARY OBJECTION PURSUANT TO PA.R.C.P. 1028(a)(1)
IMPROPER VENUE
7. Paragraphs 1 - 6 incorporated herein as if set forth at
length.
8. Pa. R.C.P. No. 1006(a) requires that actions against
individuals be brought in and only in a county in which the
individual may be served or in which the cause of action arose or
where a transaction or occurrence took place out of which the
cause of action arose.
9. Plaintiffs improperly commenced this action in York
County.
10. Proper venue in this case requires the filing or transfer
of the action to Cumberland County, Pennsylvania, the county where
all transactions and occurrences took place and where the
Defendants reside.
WHEREFORE, Defendants respectfully request that this
Honorable Court transfer the above-captioned matter to the Court
of Common Pleas of Cumberland County in accordance Pa. R.C.P. No.
1025(a)(1) and Pa. R.C.P. No. 1006 (a), without prejudice.
II. PRELIMINARY OBJECTION PURSUANT TO PA.R.C.P. 1028(a) (2):
FAILURE OF PLEADING TO CONFIRM TO RULE OF COURT
11. Paragraphs 1 through 10 are incorporated herein as if set
forth at length.
12. Plaintiff's Complaint is based upon allegations of breach
of contract.
13. Paragraph 8 of the Complaint and the "Wherefore Clause" of
Plaintiff's Complaint contains requests or claims for alleged
interest and alleged attorney's fees of 20%.
14. The claims for alleged interest and attorney's fees are
required to be set forth in separate counts pursuant to Pa. R.C.P.
No. 1020 (a).
15. Plaintiffs failure to set forth multiple claims in separate
counts prejudices Defendants's ability to form a proper answer and
defense to the claims.
16. Plaintiffs complaint violates Pa. R.C.P. No. 1021 (c) as it
fails to aver whether the amount does or does not exceed compulsory
arbitration.
WHEREFORE, Plaintiff respectfully requests that this Honorable
Court enter an Order of Court directing Plaintiff to file an amended
pleading in accordance with the Rules of Court, or in the
alternative, dismiss Plaintiff's Complaint with prejudice.

COMPLAINT
1. Plaintiff is Penn Insulation & Home Improvement Co., a Pennsylvania
corporation, with a place of business 711 Olive Street, York, Pennsylvania 17403.
2. Defendants are William Alward and Cindy Alward, his wife, residing at
1103 Granada Lane, Mechanicsburg, Pennsylvania 17055.
3. On March 25, 1995 Defendants entered into a written agreement
whereby Plaintiff was to install replacement windows and do other work at
Defendants' home at 1103 Granada Lane, Mechanicsburg, Pennsylvania for a
contract price of $8,400.00. A copy~-~~ct is attached hereto as Exhibit

4. Defendants were unhappy with the french door provided by the Plaintiff,
and since it was not used, Plaintiff gave Defendants a credit of $1,500.00 on the
contract.
5. All other work was performed by Plaintiff in a workmanlike manner and
was accepted by Defendants.
6. All work was completed on the contract on or before May 24, 1995.
7. Despite repeated requests and demands Plaintiff has only paid $1,000.00
on the balance of the contract.
8. Under the terms of the contract Plaintiff is entitled reasonable counsel
fees in pursuing this collection action in the amount of 20% and interest on the
unpaid balance in the amount of 1.5% per month.
WHEREFORE, Plaintiff demands judgment against Defendants in the
amount of $5,900.00, interest at the rate of 1.5% per month beginning 30 days
from the completion date of May 24, 1995, and attorney's fees of 20% of the
unpaid balance.

AMENDED COMPLAINT
Plaintiff is Penn Insulation & Home Improvement Co., a Pennsylvania
corporation, with a place of business 711 Olive Street, York, Pennsylvania 17403.
2. Defendants are William Alward and Cindy Alward, his wife, residing at
1103 Granada Lane, Mechanicsburg, Pennsylvania 17055.
3. On March 25, 1995 Defendants entered into a written agreement
whereby Plaintiff was to install replacement windows and do other work at
Defendants' home at 1103 Granada Lane, Mechanicsburg, Pennsylvania for a
contract price of $8,400.00. A copy of the contract is attached hereto as Exhibit
COUNT I
4. The averments of paragraphs 1 through 3 hereof are incorporated herein
by reference thereto.
5. Defendants were unhappy with the french door provided by the Plaintiff,
and since it was not used, Plaintiff gave Defendants a credit of $1,500.00 on the
contract.
6. All other work was performed by Plaintiff in a workmanlike manner and
was accepted by Defendants.
7. All work was completed on the contract on or before May 24, 1995.
8. On or about October 7, 1998 Defendants made a partial payment on debt
in the amount of $1,000.00.
9. Despite repeated requests and demands defendants have failed and
refused to pay to Plaintiff the remaining debt due under the contract.
WHEREFORE, Plaintiff demands judgment against Defendants in the
amount of $5,900.00, plus cost of suit, which sum does not exceed the amount
requiring referral to arbitration under Local Rule.
COUNT II
10. The averments of paragraphs 1 through 9 hereof are incorporated herein
by reference thereto.
11. Under the terms of the contract Plaintiff is entitled reasonable counsel
fees in pursuing this action to collect the debt.
WHEREFORE, Plaintiff demands judgment against Defendants in the
amount its reasonable counsel fees, which sum does not exceed the amount
requiring referral to arbitration under Local Rule.
COUNT III
12. The averments of paragraphs 1 through 11 hereof are incorporated
herein by reference thereto.
13. Under the terms of the contract Plaintiff is entitled to interest on the
unpaid balance of $5,900.00 in the amount of 1.5% per month beginning 30 days
from the completion date of May 24, 1995.
WHEREFORE, Plaintiff demands judgment against Defendants in the
amount interest on $5,900.00 at the rate of 1.5% per month from June 24, 1995,
which sum does not exceed the amount requiring referral to arbitration under
Local Rule.

Defendants, William Alward and Cindy Alward, by and through
counsel of Andrew C. Sheely, Esquire, hereby file this Answer and
New Matter to Plaintiff's Amended Complaint, and respectfully
state as follows:
1. Admitted upon information and belief.

COUNT I
4. NO response is required.
5. Defendants are without sufficient information to form an
answer or defense to the allegations. To the extent a response is
required, the allegations are denied and strict proof thereof
demanded at arbitration, trial or otherwise.
6. Denied. The contrary, the work was not completed in a
quality and workmanlike manner. By way of further response, the
work required by the agreement was never completed.
7. Denied. To the contrary, the work was never completed and
the work which was completed was not completed in a quality and
workmanlike manner.
8. Admitted in Part/Denied in Part. It is admitted that a
payment of $1,000.00 was made on or about October 7, 1998. It is
specifically denied that Defendants acknowledged the amount sought
in the underlying complaint. By way of further response, the
payment was made by Defendants to prior counsel for Plaintiffs in
order to reach a reasonable resolution regarding the dispute.
9. Denied. The allegations are conclusions of law and/or
facts to which no answer is required. To the extent that an
answer is required, Plaintiffs failed to complete the work in a
quality and workmanlike manner and no amount(s) are due to
Plaintiff under the terms of the contract.

fact to which no answer is required. To the extent that an answer
is required, the allegations are denied as Plaintiffs failed to
complete the work required by the Contract in a quality and

is required, the allegations are denied as Plaintiffs failed to

WHEREFORE, Defendants respectfully request that judgment be
entered in favor of Defendants and against Plaintiffs on all
counts.
NEW MATTER
14. The averments of paragraphs 1 - 14 are incorporated
herein as if set forth at length.
15. Plaintiff's Complaint fails to set forth adequate causes
of action against the Defendants upon which relief may be granted.
16. Count 1 of Plaintiff's Complaint is barred by the
applicable statute of limitations.
17. Count II of Plaintiff's Complaint is barred by the
applicable statute of limitations.
18. Count III of Plaintiff's Complaint is barred by the
applicable statute of limitations.
19. Plaintiffs failed to complete the work in a quality and
workmanlike manner as required by the contract referenced in
Paragraph 3 of Plaintiff's Amended Complaint.
20. Plaintiffs failed to complete the work as required by the
contract.

Plaintiffs may have failed to mitigate their damages.
Plaintiffs are not entitled to Attorney fees, interest
or other amounts sought in Counts II and III of the Complaint.

additional amount pursuant to the terms of the contract referenced
in Paragraph 3 of Plaintiff's Complaint.
